Our theme this year is COMPELLED! What a word! In the Bible, our Our theme this year is COMPELLED! What by a word! Welcome to the 2017 Annual Meeting of Texas Baptists! Thank you for coming. I know that it takes time, effort, and resources to participate in this gathering. Your BGCT family is grateful you're here. COMPELLED is the theme of this year's gathering. The two primary points of focus are the Great Commandment of Matthew 22 and the Great Commission of Matthew 28. As Christ followers, we are compelled to Love the Lord and others and we are compelled to make disciples. We have worked hard to give equal opportunities in this year's Workshops to help attendees learn effective ways to do both. Also, it is our prayer that the worship and fellowship times are blessings to you. As always, you are appreciated and the support you provide for our cooperative work and ministry makes a difference. If you haven’t been able to explore Waco, I would invite you to book a short tour with one of our Tour Agencies to experience all Waco has to offer! Director, Texas Baptists Great Commission Team Dr. Delvin Atchison brings over 35 years of pastoral experience to his role as Director of the Great Commission Team for Texas Baptists. He studied philosophy and psychology at The University of Texas at Austin and was awarded a Masters of Divinity degree with honors from George W. Truett Seminary, where he is currently seeking his Doctor of Ministry.

TEXAS BAPTISTS ENCOURAGED TO LIVE COMPELLED AT ANNUAL MEETING IN WACO By: Kirsten McKimmey, News Writer Texas Baptists are celebrating their call to “live Compelled” at this years’ Annual Meeting in Waco, Nov. 12-14. “In the Bible our New Testament ancestors were compelled by the Spirit, compelled to preach, and compelled to contend for the faith,” said Danny Reeves, Texas Baptists president and pastor of First Baptist Church of Corsicana. “However, the most striking proclamation came from the Apostle Paul in 2 Corinthians 5:14. Paul wrote, ‘For Christ’s love compels us.’ That's how we still feel. As Texas Baptists, Christ’s love compels us to serve Him, to love Him, to seek and save the lost with Him, and to be on mission because of Him. I'm looking forward to our hearts being renewed and challenged as Texas Baptists gather!” Through exceptional speakers, world-class workshops and Christ-centered worship, Texas Baptists will explore exactly what it means to be led to live God-honoring lives and renew passions to embody the Great Commandment and the Great Commission every day. On Sun., Nov. 12, the event will kick-off with various evening rallies. Keynote speakers during the threeday event include Will Mancini, author and church strategist and Delvin Atchison, director of Texas Baptists Great Commission team. Addresses will also be given by President Danny Reeves and Executive Director David Hardage. Worship will be lead by First Woodway Baptist Church under Director Gary Rhodes; Brenham’s First Baptist Church praise band under Director Charles Covin; and One Voice, an ensemble group from the University of Mary Hardin-Baylor. Workshops will be held on Monday and Tuesday, as hour-long sessions focused on current issues and ways we partner together and serve alongside our Institutions and Universities. Topics include Caring for the Least of These, The Art of Persuasion: Preaching for a decision, The Great Commission Church, I Was Thirsty, Church Strengthening and many more. Workshop speakers include Jimmy Dorrell, executive director of Mission Waco; Dr. Joel Gregory, professor of preaching at Truett Seminary; Ray Still, senior pastor of Oakwood Baptist Church; Mickey Lenamon, executive director of Texas Baptist Men; and Will Mancini. Attendees are encouraged to stop by the exhibit halls throughout the three-day event to learn more about partnering ministries and Texas Baptists’ resources, and to network and fellowship.

REGISTRATION INFORMATION Registration for this annual meeting is being held in the Upper Lobby of the Waco Convention Center beginning Sunday, November 12 at 4:00 pm. Visitors are required to register at the registration desk. CONSTITUTION OF THE BAPTIST GENERAL CONVENTION OF TEXAS (excerpt) Article III – Membership Section 1. This Convention in session in all its meetings shall be composed of messengers elected by Baptist churches that shall voluntarily cooperate with the Convention. All messengers must be members of the church by which they are elected. A messenger must be enrolled at the Convention in session to be qualified to vote. The messengers have no right to act except for annual or special meetings constituting the Convention in session for which they have been elected by their cooperating churches. Section 2. Each church cooperating with this Convention shall be entitled to: A. Two messengers for the first one hundred (100) members or fractional part thereof. Two additional messengers for the first two hundred fifty dollars ($250) given during the previous fiscal year to the Texas budget as adopted by The Baptist General Convention of Texas in annual session, and B. One additional messenger for each additional hundred members and each additional one thousand dollars ($1,000) given during the previous fiscal year to the Texas budget as adopted by The Baptist General Convention of Texas in annual session, and C. If, as calculated under B above, a church’s giving surpasses its membership, then one additional messenger for each two thousand dollars ($2000) given during the previous fiscal year to the Texas budget as adopted by The Baptist General Convention of Texas in annual session, not to exceed six additional messengers, provided, however, that D. No church shall be entitled to more than twenty-five messengers. E. A mission church shall be considered a church under the Constitution solely for the limited purpose of electing messengers to the Annual Meeting if it is identified as a body of believers separate from its sponsoring church; it contributes to the BGCT in an identifiable way either directly or through the sponsoring church from its own resources; it exists to address some specific mission need, such as language, culture or location, it regularly practices baptism and the Lord’s Supper separate from its sponsoring church; and it identifies itself with, aligns itself with, and endorses, generally, the purposes and work of the Convention. The total number of messengers a mission may qualify for is four (4).

BULLETIN TO PROPOSE A RESOLUTION A resolution has been defined as an expression of opinion from a messenger, as opposed to a motion, which calls for action. The following guidelines are offered for persons desiring to submit a resolution. Only registered messengers may submit a resolution. Resolutions may be submitted in the following ways: • Resolutions may be given in print directly to any member of the Resolutions Committee. The committee members are identified on page 38 of the Bulletin. Committee members will be available at the front of the stage at the conclusion of the first business session which is expected about 3:30 pm, on Monday, November 13. • Resolutions may be brought to the Resolutions Committee meeting room; Room 101 on the Lower Level of the Waco Convention Center. • Resolutions may be emailed to the Resolutions Committee at ferrell.foster@texasbaptists.org Any messenger needing help in submitting a resolution may meet with the committee in Room 101 of the Lower Level of the Waco Convention Center between 4:00 pm and 5:00 pm on Monday, November 13. The Resolutions Committee must receive resolutions no later than 5:00 pm on Monday, November 13. Any resolution must be submitted electronically or in print with the name, address, contact phone number and church membership of the messenger. A member of the committee may contact anyone submitting a resolution if there are questions concerning the resolution. The committee may be reached by calling Ferrell Foster at (214) 773-1512.

STANDING RULES The Convention today will be asked to act on the following recommended â&#x20AC;&#x153;Standing Rulesâ&#x20AC;? for this annual meeting: 1. All reports, motions, resolutions or amendments to the constitution, bylaws or articles of incorporation shall be submitted by a registered messenger to the body, then sent to the recording secretary in writing, legibly signed by the maker and shall include their name, address, church membership and phone number where they can be reached during the convention. 2. All motions requiring a vote not scheduled on the agenda must be introduced by the close of the Monday business meeting. Amendments to the Constitution and/or Bylaws must also be introduced by the close of the Monday business meeting. 3. All resolutions must be submitted to the Resolution Committee by 5pm Monday. 4. To obtain the floor, a messenger shall approach the microphone, address the chair, give his or her name and church and wait to be recognized. 5. Discussion or debate and nomination speeches shall be limited to three minutes for each speaker. There may be no more than one nomination speech per candidate. 6. No messenger shall speak more than once on the same question or topic until all have spoken who wish to do so. 7. The chair shall recognize messengers wishing to speak to each side of the question alternately. 8. All messengers who attend and participate in the business meetings of the convention shall conduct themselves in keeping with the stated objectives of the Constitution of Texas Baptists. 9. Voting shall be conducted by voice or by the raising of ballots by messengers. Division of the assembly shall be conducted by messengers standing and raising ballots. The president, by his/ her own decision, may order a vote by ballot. 10. In the election of officers, if no nominee receives a majority vote of the messengers, there shall be a runoff election between the two nominees who received the greatest number of votes on the first ballot.

BULLETIN TO MAKE A MOTION A motion calls for specific action by Texas Baptists or some entity of Texas Baptists. Only registered messengers may make a motion. A motion normally begins with “I move to ..." or "I move that…” 1. Write the motion legibly. (If the motion is spontaneous and you don’t have time to write it before presenting it to the convention, write the motion before leaving the microphone area.) 2. Go to a microphone at a time when business is being considered. 3. When recognized by the presiding officer, state your name, that you are a messenger, the name of your church, and read your motion, which must be presented to the convention during a business meeting to become an official motion. 4. Before leaving the microphone, give the written copy of your motion to the page at the microphone. A page will take the copy of your motion to the platform so the motion can be entered into the record by the recording secretary. 5. The Committee on Annual Meeting will announce a time for the convention to consider the motion or recommend its referral to some convention entity.

NOTICE Texas Baptists’ Bylaws call for the meeting of the convention to be conducted according to the current edition of Robert’s Rules of Order Newly Revised. The officers abide by this manual on parliamentary procedure. In the past, a messenger’s motion has been ruled out of order because it did not comply with Robert’s Rules of Order when a change in wording was all that was necessary for the motion to have been appropriate and in order. Every effort is being made for the business of our convention to be conducted in the smoothest and best way possible for the advancement of our Lord’s Kingdom. If a messenger has a motion to make, the parliamentarian will be available to assist with the wording so that the motion will be in proper format. Note: A motion will not be considered by the convention until a messenger has personally made it at the appropriate time and place while the convention is in session. A motion cannot be submitted to the delegates except during the Annual Meeting.

CREDENTIALS COMMITTEE The Committee on Credentials has been assigned an area near Registration, located on the Upper Lobby of the Waco Convention Center. Messengers must have a messenger card properly endorsed by the church clerk or moderator. Messengers who do not have this card will need to be approved by the Credentials Committee.

BULLETIN HELP FOR MESSENGERS Materials are prepared each year to help messengers during business sessions of the Texas Baptists Annual Meeting. Among those materials is the Book of Reports, which contains the annual reports of Texas Baptists Institutions and Agencies, the Texas Baptists Executive Board and a copy of the Texas Baptists Constitution and Bylaws. Additionally, the Texas Baptists Bulletin contains information about business matters to be voted on and proceedings.

FOOD SERVICE OFFERED The Café at the Convention Center is located on the upper Level of the Waco Convention Center. Menu selection is limited (ex. salads, cold sandwiches, cookies, coffee, sodas). Café hours - Monday, November 13 8:00 am – 5:30 pm – Upper Lobby An additional kiosk with a meal option will be available on the lower level for lunch and dinner on Monday, November 13th for $8 per person. Lunch Served from 11:30 am – 1:00 pm Baked Potato Bar – Large Baked Potato, with toppings (BBQ Brisket, Sour Cream, Green Onions, Butter, Shredded Cheddar Cheese), Small Salad and Soda or Ice Tea. Dinner Served from 5:00 – 6:30 pm Chicken spaghetti, Small Salad, Bread and Soda or Ice Tea. Seating is available on both Upper and Lower Lobby Levels. Vending machines are available in the Café and in the lower level by the Washington Street entry doors for snacks, water and soda options. Local restaurant guides are available at the Texas Baptists Information Desk.

First Aid will be available Sunday, November 13 from 3:00 pm - 7:00 pm, Monday, November 14 from 7:00 am - 10:00 pm and Tuesday, November 15 from 7:00 am - 5:00 pm. CHILD CARE First Baptist Church - Hewitt will be providing free childcare for infants through 5 years of age as a service for out-of-town messengers. Services are available Monday, November 13, from 8:00 am until 9:00 pm and Tuesday, November 14 from 8:00 am until 1:00 pm. Lunch and dinner will be provided on Monday, along with daily snacks. Space is limited and advance reservations were REQUIRED. No walk-ins will be allowed.

BULLETIN 2018 BUDGET PROCESS The Business and Financial Plan calls for each administrative office, ministry and program area of the convention to submit an itemized budget of its expected expenditures for the next fiscal year to the Executive Director. The Executive Director works with staff to make necessary changes and presents the proposed budget to the Finance Committee of the Executive Board which, in turn, presents it to the Executive Board for its approval. The Executive Board submits the Cooperative Program budget, consisting of all the anticipated income and expenditures which have been submitted and approved, to the Convention in session. Preparation of the proposed budget includes months of projections, research, planning, committee reviews and prayer to arrive at the proposed resource plan for the coming year. Such is the case for the proposed 2018 calendar year budget. For ordained staff members, the Executive Board allows advance designation of a portion of the salary as housing allowance as permissible by IRS regulations. Ordained staff members pay their own self employment taxes, which are 15.3 percent of taxable compensation. The detailed budget is published annually and provided to the Executive Board and committees involved in the budget preparation process. A budget summary is mailed to each church annually. The budget summary and the detailed report can be found at texasbaptists.org. For a hard copy, please call 888.244.9400. The Finance Committee is authorized, on a contingency basis, to adjust spending based on actual receipts.

Recommendation:

We recommend that the relationship between the Baptist General Convention of Texas and Baptist Community Services of Amarillo be changed from an affiliated relation to a relationship by special agreement as specified in the agreement listed below.

Background: BGCT Constitution Article VIII â&#x20AC;&#x201C; Affiliated and Related Ministries Section 1. General Provisions A. Institutions or agencies which associate with this Convention in compliance with this Article are affiliated. Institutions or agencies which associate with this Convention pursuant to an adopted Special Agreement are related. B. A new agency or institution may be established or a change in relationship with an agency or institution may be approved by a majority vote of the votes entitled to be cast by the messengers when the vote is taken without regard to the total enrollment at any meeting of the Convention upon the recommendation of the Executive Board, and must be considered by the Executive Board not later than a September meeting of the Board preceding the annual meeting of the Convention. In the case of a new agency or institution, the recommendation must include a comprehensive plan of development, a set of proposed articles and bylaws, and a proposed annual budget. C. An affiliation or relationship with an agency or institution may be discontinued by the Convention upon recommendation by the Executive Board and by majority vote of the votes

BULLETIN entitled to be cast by the messengers present when the vote is taken without regard to the total enrollment at any meeting of the Convention. Section 2. Affiliated Ministries A. Trustee Membership of Boards 1. Each institution affiliated with this Convention shall have a board consisting of thirteen (13) or more trustees of which at least a simple majority shall be elected by this Convention in its annual meetings. When the charter of such institution provides for a specific number of trustees, the number so provided for shall be elected. Those persons elected by the Convention to serve as members of these boards shall be active members of cooperating churches of The Baptist General Convention of Texas. 2. No person shall be eligible for concurrent membership on more than one affiliated board or board of related institutions or agencies. 3. Each institution affiliated with this Convention shall be eligible to elect those members of its trustee board not elected by the Convention in accordance with criteria adopted by its board. All trustees so elected shall be active members of a Baptist church and shall meet other criteria established by the Executive Board. 4. Trustees of affiliated institutions shall be elected in classes so that the terms of one class only shall expire with each Convention year. The term of office of each member of the boards of affiliated institutions shall be three years. A member who has served three full successive terms shall not be eligible for re-election until he or she shall have been out of office for one Convention year. 5. The board of trustees and the administrator of an institution may request that a trustee, whose continued service is considered imperative to meet an emergency or a special need, be elected for an additional year. Such an exception must be approved by the Committee on Nominations for Boards of Affiliated Ministries. No more than two exceptions may be made for any given term for any one institution. In the event of such an exception, the position filled by that trustee shall revert to its previous class at the completion of the extra year. 6. No Trustee shall be allowed to name his or her successor by resigning in favor of another person. 7. No elected trustee of the board of an affiliated institution who resigns from that board before the expiration of his or her current term shall be eligible for nomination to another board of the Convention until one year after such resignation is filed. A trustee elected by the Convention who no longer meets the qualifications for service set forth by the Convention as determined by the Executive Board, shall cease to be a trustee and that place shall be deemed vacant, or the Executive Board upon a 75 percent vote of those present may recommend to the Convention the removal of a trustee. A vote of 75 percent of the votes entitled to be cast by the messengers when the vote is taken without regard to the total enrollment at any annual meeting of the Convention is necessary for removal. The Articles of Incorporation and bylaws of affiliated institutions shall not contain provision inconsistent with this Section 2 (A)(7). Page 2 of 17

8. The Recording Secretary of the Convention shall be notified immediately of vacancies that occur on an institutional board for any cause. Should a trustee position elected by the Convention become vacant for any cause, the Convention shall name a replacement trustee for that position through its adopted processes. B. The board of each institution affiliated with this Convention shall submit any and all changes or amendments to the institution’s charter to the Executive Board for approval. Any changes that significantly alter the mission of the institution or the institution’s relationship to The Baptist General Convention of Texas shall be referred to the Convention for approval. Section 3. Related Ministries A. The institution’s Articles of Incorporation and Special Agreements with the Convention shall guide the election and terms of trustees. B. No person shall be eligible to concurrently serve on more than one related ministry board or affiliated ministry board. C. The board of an institution may request, with a 75 percent vote of its board, that the institution relate to the Convention through a contractual Special Agreement rather than as an affiliated institution. Such agreements must be approved by the Convention at its annual meeting and may be considered only after favorable action by the Executive Board. Special Agreements must be negotiated in accordance with policies established by the Executive Board. Section 4. Reports and Reviews to the Convention A. The board of each agency or institution affiliated with or related by Special Agreement to this Convention shall submit to the Convention at each annual meeting such written reports as will keep the Convention fully informed concerning the activities, plans, resources, financial condition, and legal status of the institution. B. The board of each agency or institution, except general acute care hospitals and health care systems, affiliated with this Convention shall submit for review and approval to this Convention, or to a committee designated by this Convention, each and every project or policy that involves a level of indebtedness of the institution beyond the policies of The Baptist General Convention of Texas. BGCT Board Policy 601

INSTITUTIONS REQUESTING TO RELATE BY SPECIAL AGREEMENT

As defined by the BGCT Constitution, institutions “affiliate” with the Convention when they comply with Article VIII of the Constitution (Article VIII, Section 2). The preference of the BGCT is that institutions associate with the Convention through affiliation in order to promote greater unity within the BGCT and to provide consistency in practice. However, provision is also made for institutions to “relate” to the Convention through the development of a contractual Special Agreement. These policies are established in response to Article VIII, Sections 1 and 3 of the BGCT Constitution. I.

Before an institution makes an official request to relate to the Convention by Special Agreement, the President / CEO of the institution is asked to request a conference with the Page 3 of 17

BULLETIN BGCT Executive Director and the Associate Executive Director so that there might be an opportunity for dialog in regard to the needs of the institution or issues that have arisen. II.

When the board of an institution votes to request that the institution relate to the convention through a Special Agreement rather than by affiliation, the board chair shall notify the BGCT Executive Director and the Associate Executive Director in writing as soon as possible. A. Included in this notification should be a summary of the specific reasons the board is making this request and/or any specific concerns that may have led to this request. B. Because Special Agreements specifically require approval at the Annual Meeting of the BGCT, requests to develop an agreement shall be made by February 1 prior to the annual meeting.

III.

After notification, the Associate Executive Director shall arrange for a meeting involving the BGCT Executive Director, the Associate Executive Director, and chair of the Executive Board Institutional Relations Committee (or designee) along with the President/CEO, board chair and board vice-chair of the institution making the request. The purpose of this meeting shall be to: A. Provide opportunity for general dialog in regard to the reasons the request is being made and the future goals of the institution in its relation to the Convention. B. Establish a mutually agreed upon procedure and time-line to be followed in negotiation of a Special Agreement. Such negotiations may include board members of the institution and members of the BGCT Executive Board Institutional Relations Committee in addition to institutional and BGCT staff. C. Create an initial outline of specific matters that should be included in the Special Agreement. While understood that each Special Agreement is unique, effort should be made to align such agreements as closely as possible with the constitutional expectations for “affiliated” institutions and with the provisions of other Special Agreements.

IV.

Once a Special Agreement has been developed, it should be reviewed by BGCT legal counsel and must be affirmed by the Institutional Relations Committee of the Executive Board and approved by the Executive Board for recommendation to the Annual Meeting for final approval. After approval by the Executive Board and before action by the Convention, the Special Agreement must also be approved by the institution’s board of directors or trustees.

SEVENTH AMENDMENT TO SECOND AMENDED AND RESTATED BYLAWS OF BAPTIST COMMUNITY SERVICES

Section 3.02, Section 3.03, and Section 3.04 of ARTICLE III of the Second Amended and Restated Bylaws of Baptist Community Services is hereby amended in their respective entireties to read as follows: “3.02 The number of Trustees of the Corporation shall be thirteen (13). Three (3) Trustees shall be “Convention Elected Trustees” (as that term is defined in ARTICLE VII of the Second Amended and Restated Certificate of Formation), and ten (10) Trustees shall be “Board Elected Trustees” (as that term is also defined in ARTICLE VII of the Second Amended and Restated Certificate of Formation). Eligibility requirements for Trustees are set forth in ARTICLE VII of the Second Amended and Restated Certificate of Formation. No Trustee may serve more than three (3) consecutive full terms as a Trustee. 3.03 Each Convention Elected Trustee shall be elected by the Convention in accordance with the Constitution and procedures thereof, as same shall from time to time exist. The term of office of each member of the Board of Trustees shall be for a period of three (3) years. 3.04 Any Trustee may resign at any time by giving written notice to the Board of Trustees through the Chairman or the President. Such resignation shall take effect upon receipt thereof, unless the notice specifies a future date, and acceptance thereof by the Board of Trustees shall not be necessary to make such resignation effective. Vacancies in the Board of Trustees arising from reasons other than the expiration of term may be filled by (a) the Executive Board of The Baptist General Convention of Texas (subject to the approval of the next annual meeting of The Baptist General Convention of Texas), if the vacancy occurs in a Convention Elected Board Place, and (b) the Board of Trustees of the Corporation if the vacancy occurs in a Board Elected Place. A Convention Elected Trustee may be removed and replaced by The Baptist General Convention of Texas or by the Executive Board thereof in accordance with the constitution and procedures of The Baptist General Convention of Texas (as the same shall from time to time exist). A Board Elected Trustee may be removed and replaced by the Board of Trustees at any time, with or without cause.”

BULLETIN RELATIONSHIP AGREEMENT BETWEEN THE BAPTIST GENERAL CONVENTION OF TEXAS AND BAPTIST COMMUNITY SERVICES THIS RELATIONSHIP AGREEMENT (this “Agreement”) is an agreement by and between The Baptist General Convention of Texas (the “BGCT”) and Baptist Community Services (“BCS”), as follows: RECITALS WHEREAS, BCS and the BGCT have enjoyed a cooperative affiliation in healthcare ministry that began in the 1960’s with the opening of High Plains Baptist Hospital in Amarillo, Texas; WHEREAS, this nearly 50 year affiliation in ministry has been mutually beneficial to both entities and has aided both in their respective efforts to fulfill their biblical mission of building Christ’s kingdom and providing Christian services to those in need; WHEREAS, during this affiliation the BGCT has generously helped BCS fulfill its mission through financial contributions, gifts of service, spiritual guidance, and the prayers of Texas Baptists, and for all of which BCS is profoundly grateful; WHEREAS, BCS and the BGCT are entering into this Agreement in order to modify the form of this historic relationship, but in a manner that will continue and enhance the important relationship of their common ministries; WHEREAS, BCS is developing new healthcare ministries in the Panhandle region of Texas that address the ever increasing problem of food insecurity in the general population, and particularly with respect to children and senior adults, and as a consequence the structure of these new ministries dictate that BCS shift from a cooperative affiliation status with the BGCT to that of a cooperative relationship; WHEREAS, the Board of Trustees of BCS has strongly affirmed the desire of BCS to maintain a close and cooperative relationship with the BGCT; and WHEREAS, both the BGCT and BCS seek to continue to carry out the Christian-oriented aims and ideals of Texas Baptists, while acknowledging and respecting each organization’s autonomy, and wish to voluntarily enter into this Agreement; NOW THEREFORE, in consideration of the benefits to both BCS and the BGCT in carrying out their respective, compatible missions by continuing their historic cooperative relationship, the BGCT and BCS enter into this Agreement on the following terms and agreements. Section 1. GOVERNANCE AND TRUSTEE SELECTION (A) In the election of Trustee members of the BCS Board, both the BCS Board of Trustees and the BGCT shall elect capable Trustees who have shown a commitment to carrying out the purposes and mission of BCS in cooperation with the BGCT. The number of BCS Board members elected by Page 6 of 17

the BGCT shall be no more than one-third (33.3%) of the BCS Board, but not less than three (3) Board members. Every Trustee elected to the BCS Board of Trustees will be (i) a professing Christian, (ii) an active member of a Baptist church, and (iii) positively supporting of the biblical principles of Texas Baptists. Of the total of Trustee members elected by BCS at least one-third (33.3%) shall be members of a Baptist church cooperating with the BGCT. For purposes of this Agreement, â&#x20AC;&#x153;members of a Baptist church cooperating the BGCTâ&#x20AC;? shall mean that each such proposed Trustee, at the time of his or her election, shall belong to a church eligible to send messengers to the Annual Meeting of the BGCT and shall be otherwise eligible for election as a BGCT-elected Trustee of BCS, based on then-current policy and practice regarding such BGCT nominations. In determining the 33.3% number (in both instances above in this Section 1 (A)), if less than a whole number is obtained when multiplying the total number of Trustees elected by BCS to the BCS Board by 33.3%, then if the fractional part of such number obtained is less than .5 the number shall be rounded down to the next whole number, and if the fractional part of such number so obtained is .5 or greater the number shall be rounded up to the next whole number. (B) In the event of resignation or removal of a Trustee elected by the BGCT from the BCS Board, the BGCT shall approve a replacement in accordance with BGCT policy and procedures. (C) No Trustee shall be allowed to name his or her successor by resigning in favor of another person. (D) No more than one-third (33.3%) of the total number Trustees of BCS shall be members of the same church. In determining this number, if less than a whole number is obtained when multiplying the total number of Trustees on the BCS Board by 33.3%, then if the fractional part of such number so obtained is less than .5 the number shall be rounded down to the next whole number, and if the fractional part of such number so obtained is .5 or greater the number shall be rounded up to the next whole number. (E) No officer or employee of BCS shall serve on the BCS Board of Trustees. Further, no one who is related within the third degree of consanguinity to an officer or employee of BCS shall be elected as a Trustee of the BCS Board. (F) Trustees directly elected by the BGCT shall be fairly and proportionately placed on standing and special committees of the BCS Board. (G) All Trustees of the BCS Board shall be eligible to serve three consecutive full 3-year terms on the Board, and shall rotate off the BCS Board for at least one year before being eligible for re-election to the BCS Board. Section 2. MISCELLANEOUS ADMINISTRATIVE MATTERS (A) Whenever the occasion arises, the BCS Board of Trustees agrees to elect a President of BCS who is a Christian of Baptist heritage, who is positively supportive of the Baptist principles upon which BCS and BGCT were founded, who tangibly affirms a commitment to carrying out the purposes and mission of BCS in cooperation with the BGCT, and who is a member of a Baptist church cooperating with the BGCT. (B) The other chief officers of BCS shall be Christians, members of a local church and positively supportive of the Baptist principles by which BCS and the BGCT operate. Page 7 of 17

BULLETIN (C) BCS will continue to provide requested reports to the BGCT, and will reasonably cooperate with the BGCT and its Executive Board. (D) So long as BCS is a recipient of Cooperative Program funding from the BGCT, BCS shall not solicit funds directly from BGCT-affiliated churches. (E) BCS agrees to maintain a unique relationship with the BGCT by not affiliating or establishing a formal relationship with other denominations, conventions, or religious entities without the consent of the Executive Board of the BGCT. (F) The BGCT agrees to prayerfully support the ministries of BCS, to promote the ministries of BCS among its constituency, and to welcome BCS as a participant in planning and carrying out mutually beneficial goals, priorities, and missions. Section 3. CHANGES TO THE BCS CERTIFICATE OF FORMATION The Trustees of BCS hereby agree to amend the Certificate of Formation and Bylaws of BCS as shown in EXHIBIT A attached hereto and incorporated herein, and the BGCT hereby consents to such amendments and actions. Section 4. MISCELLANEOUS PROVISIONS (A) This Agreement contains the entire understanding between BCS and the BGCT, covering the matters contained in this Agreement. (B) The laws of the State of Texas shall govern this Agreement. (C) The BGCT recognizes that BCS is an independent, non-profit corporation under the laws of the State of Texas with the full legal right, power and authority to amend or rescind its Certificate of Formation, bylaws and governing documents without approval or consent of the BGCT or any other party, except to the extent provided in Article VII, ARTICLE VIII and ARTICLE X of the BCS Certificate of Formation, as amended. (D) Prior to the receipt by BCS of an IRS determination letter that BCS is recognized as tax-exempt under section 501(c)(3) of the Internal Revenue Code of 1986 as a stand-alone entity, the BGCT agrees to continue to include BCS as a subordinate organization under the BGCT group ruling. Upon receipt of a favorable IRS determination letter issued to BCS as a stand-alone entity, BCS will promptly notify the BGCT and will send a copy of the IRS letter, and thereafter, BCS will no longer be included in the BGCT group ruling for federal income tax purposes. (E) BCS and the BGCT agree to review the terms of this Agreement at least every ten (10) years to discuss mutually agreeable revisions to this Agreement. Notwithstanding the agreement to review at least every ten (10) years, this Agreement shall be treated as an agreement without a specific or definite term.

(F) No amendment to this Agreement shall be effective unless the amendment is in writing and lawfully executed by BCS and the BGCT. (G) This Agreement is executed by authorized officers of BCS and the BGCT, respectively, and is jointly recommended for approval on behalf of BCS by its Board of Trustees and on behalf of the BGCT by its Executive Board and the messengers to its 2017Annual Meeting.

Certificate of Formation Baptist Community Services Amarillo, Texas September 11, 2017 ARTICLE I The name of the Corporation is Baptist Community Services. ARTICLE II The Corporation is a non-profit corporation. ARTICLE III The period of duration of the Corporation is perpetual. ARTICLE IV The purposes for which the Corporation is organized are: (A)

To acquire, erect, equip, conduct, develop, maintain, and oversee on the broadest humanitarian principles (either directly, through affiliates and subsidiaries, or otherwise indirectly), one or more health care facilities to care for the sick and injured and provide related health care services and other services, to educate and train persons in the care of the sick and injured, and to engage in any other exclusively religious, charitable, scientific, or educational purposes and undertakings which may be authorized by Theare consistent with the Baptist principles of the Baptist General Convention of Texas or the Executive Board thereof.

The Corporation may not engage in any activities which are not in furtherance of the aforementioned purposes.

(C)

No part of the net earnings of the Corporation shall inure to the benefit of any Trustee of the Corporation, officer of the Corporation, or any private individual (except that reasonable compensation may be paid for services rendered to or for the Corporation regarding one or more of its purposes), and no Trustee or officer of the Corporation, or any private individual, shall be entitled to share in the distribution of any of the corporate assets on dissolution of the Corporation. No substantial part of the activities of the Corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Corporation shall not participate in, or intervene in (including the publication or distribution of statements) any political campaign on behalf of any candidate for public office.

Amend Article VII, Article VIII, or Article X of the Corporation’s Articles of IncorporationSecond Amended and Restated Certificate of Formation;

(B)

Amend the Bylaws of the Corporation so as to increase or decrease the number of Trustees; or

(C)

Deviate from or amend the broad objectives of the Corporation;.

(D)

Consent to or authorize Baptist/St. Anthony’s Health System (“BSA”) to do any of the following:

(1) Amend or repeal the BSA Articles of Incorporation or bylaws in a manner that would eliminate or materially impair the Member rights of the Corporation in BSA; ( 2)

Merge or consolidate with, or sell, lease or otherwise dispose of all or substantially all of BSA’s assets to, any other entity; or

( 3)

Dissolve;

(E ) Dispose of any part of the physical plant (real property) of the Corporation, having a fair market value in excess of the greater of (i) $1,000,000 or (ii) 10% of the total audited net assets of the Corporation on a consolidated basis; (F )

(G )

Incur or assume any new capital indebtedness (other than indebtedness incurred to refund existing indebtedness) in excess of 20% of the total audited net assets of the Corporation on a consolidated basis; or Permit the Corporation to incur operating expenses in excess of income available for operations (which shall include income from operations, endowment and investment income, contributions, funds properly transferable from special purpose and Board designated funds, and contingency reserve funds as determined from the audited financials of the Corporation on a consolidated basis).

BULLETIN ARTICLE IX No Trustee of the Corporation shall be personally liable to the Corporation for monetary damages for an act or omission in the Trustee’s capacity as a Trustee occurring from and after the certification by the Secretary of State that thesethis Second Amended and Restated Articles of Incorporation haveCertificate of Formation has been filed in such office, except in the following instances: (1) for a breach of a Trustee’s duty of loyalty to the Corporation; (2) for an act or omission not in good faith that constitutes a breach of duty of the Trustee to the Corporation or an act or omission that involves intentional misconduct or a knowing violation of the law; (3) for a transaction from which a Trustee received an improper benefit, whether or not the benefit resulted from an action taken within the scope of the Trustee’s office; or (4) for an act or omission for which the liability of a Trustee is expressly provided for by statute. If the Texas Miscellaneous Corporation Laws ActTBOC or any other statute of the State of Texas hereafter is amended to authorize the further elimination or limitation of the liability of Trustees of the Corporation, then the liability of a Trustee of the Corporation shall be limited to the fullest extent permitted by the statutes of the State of Texas, as so amended, and such elimination or limitation of liability shall be in addition to, and not in lieu of, the limitation on the liability of a Trustee of the Corporation provided by the foregoing provisions of this Article IX. Any repeal of or amendment to this Article shall be prospective only and shall not adversely affect any limitation on the liability of a Trustee of the Corporation existing at the time of such repeal or amendment.” ARTICLE X Upon dissolution of the Corporation or the winding up of its affairs, the assets of the Corporation shall be distributed exclusively to THE BAPTIST GENERAL
