Call to Order Mr. Brown called the meeting to order at 3:04 p.m. when quorum was reached, and all members who were present could hear each other.

Roll Call Board Members present: Joseph Brown, Marsha Moyer, Misty Galofteanu Board Members absent: Kim Thatcher, Bobbie Jager Members of the Public present: None School Staff present: Allison Galvin, Executive Director, and the following school staff; Todd Schweitzer, Lori Walter, Mary Ellen Mansfield, Rachel Reid

Routine Business A. Approval of the Agenda Mr. Brown asked if any changes needed to be made to the agenda.

There being no changes to the proposed agenda, a motion was made and seconded as follows.

Ms. Moyer moved to approve the agenda as presented.

Ms. Galofteanu seconded the motion.

The mission of Oregon Charter Academy is to prepare all students for success in a global society through an inclusive, rigorous, academic environment where students have daily live interaction with highly qualified teachers and continuous access to curriculum. Oregon Charter Academy staff partners with families in a transparent, collaborative school environment to support all students in their academic journey.

RESOLVED, that the agenda for the February 28, 2022 special meeting of the Board of Directors of Oregon Charter Academy is hereby approved.

The motion passed unanimously.

V.

Action Items A. Review and consideration of plan to staff according to an enrollment of 2700 for the 2022-23 school year Ms. Galvin shared that she and Ms. Walter met with the school’s legal counsel and the budget committee during the last week. It has been determined that the best way to maintain a sustainable budget is to staff according to the projected number of enrollees for next school year: 2700 students. The plan for staff reduction has been reviewed and approved by ORCA’s legal counsel and includes a severance package for the first 40 staff who voluntarily resign. Ms. Galvin noted that the voluntary resignation must take place before the staff renewal deadline of March 15th.

At the request of the board, Ms. Galvin went on to recap the staff reduction plan in further detail. The plan as presented would include a reduction in staff by up to 40 staff members. This includes 30 licensed staff members and constitutes a 20% reduction across all employment categories. The plan would allow a one-time opportunity for resigning staff to receive a severance package of $1000 for each full year of service to the school, prorated according to their full-time equivalency, to be paid out on their last workday in June.

Ms. Galvin noted that at this point, it is unclear if anyone will voluntarily resign.

However, after the resignation window closes, should there still be a need to reduce staffing, school leaders will go through the usual yearly non-renewal process, keeping enrollment numbers in mind.

Mr. Brown asked the Board if there were any questions or discussion needed.

There being none, a motion was made and seconded as follows.

Ms. Moyer moved to approve the staff decrease plan.

Ms. Galofteanu seconded the motion.

RESOLVED, to APPROVE the staff decrease plan as presented.

The motion passed unanimously.

The meeting was adjourned by Mr. Brown at 3:15 p.m.
