I.

Call to Order At the request of Mr. Brown, Ms. Thatcher called the meeting to order at 12:47 when quorum was reached and all members who were present could hear each other.

Roll Call Board Members present: Joseph Brown, Kim Thatcher, Marsha Moyer, Misty Galofteanu Board Members absent: Bobbie Jager Members of the Public present: None School Staff present: Allison Galvin, Executive Director, and the following school staff; Todd Schweitzer, Lori Walter, Mary Ellen Mansfield, John Meyer, Laura Dillon, Rachel Reid.

Routine Business A. Approval of the Agenda Ms. Thatcher asked if any changes needed to be made to the agenda.

There being no changes to the proposed agenda, a motion was made and seconded as follows.

Ms Moyer moved to approve the agenda.

The mission of Oregon Charter Academy is to prepare all students for success in a global society through an inclusive, rigorous, academic environment where students have daily live interaction with highly qualified teachers and continuous access to curriculum. Oregon Charter Academy staff partners with families in a transparent, collaborative school environment to support all students in their academic journey.

Mr. Brown seconded the motion.

RESOLVED, that the agenda for the May 25, 2022 meeting of the Board of Directors of Oregon Charter Academy is hereby approved.

The motion passed unanimously.

V.

Oral Report A. Financial Report 1. April Financials Ms. Mansfield presented the projections for next year’s financials. The projection summary includes severance packages from this school year, a settle up from last school year, and summer staff salaries. She noted that the school is projected to end the year breaking even, or slightly in the black. Given the enrollment numbers for the year, this is a positive outcome.

B. School Leader’s Report Ms. Galvin began by reviewing the school’s enrollment and ITR data.

There are just under 2100 students who are scheduled to return in the fall. She noted that this is a testament to the work being done by teachers to engage the students.

1. School Events Ms. Galvin noted that state testing is back after a two year COVID-related hiatus. Virtual schools were allowed to test remotely this year, and ORCA’s testing happened during the week of May 2-6. Of ORCA students who tested, there was only one testing impropriety. This is a good sign given that this is the state’s first time ever doing online state testing.

Ms. Galvin went on to highlight a couple of upcoming events. Spring Celebration will be next week, on June 3rd. It will be the first all-school event in two years. Ms. Galvin thanked Office Manager Kathie Smee for all of her behind the scenes work on this event.

Graduation is also coming up on June 11. Board members are invited to attend. Ms. Thatcher indicated that she would attend. Mr. Brown will be a featured speaker at the event.

2. Wilsonville building

Ms. Galvin shared photos of the new Wilsonville building. Closing on the purchase is scheduled for next week. She noted that ORCA will maintain its classroom space downstairs in addition to the new upstairs office and conference space.

Consent Agenda A motion was made and seconded as follows.

Mr. Brown moved to approve the consent items as presented.

Ms. Moyer seconded the motion.

Approval of Minutes from the April 27, 2022 Board Meeting Approval of Staffing Report Approval of 2022-23 Outreach Spend Approval of Expenditure Summary Report-April Approval of Legal Invoice(s) - May Approval of Bank Reconciliation-April

The motion passed unanimously.

VII.

Action Items A. Approval of board policies as presented at the April 27, 2022 meeting Ms. Galvin noted that the new board policies have been reviewed with support of OSBA and extensively examined by the executive team.

Ms. Thatcher asked the Board if there were any questions or discussion needed.

There being none, a motion was made and seconded as follows.

Ms. Moyer moved to approve the board policies.

Mr. Brown seconded the motion.

RESOLVED, to APPROVE the comprehensive board policies as presented at the regularly scheduled board meeting on Wednesday, April 27, 2022.

The motion passed unanimously.

B. Approval of the 2022-23 School Improvement Plan Ms. Galvin indicated that the only changes to the school improvement plan include updated language from previous years. Otherwise, there are no changes to the plan.

There being none, a motion was made and seconded as follows.

Ms. Moyer moved to approve the 2022-23 School Improvement Plan.

Mr. Brown seconded the motion.

RESOLVED, to APPROVE the 2022-23 School Improvement Plan as presented.

The motion passed unanimously.

VIII.

Information Items A. Outreach and events Update Ms. Galvin noted the outreach and event update from the board packet. She expressed gratitude to Laura Dillon, Katie Souza, and all other members of the marketing team for their work in continued outreach on behalf of the school.

B. Board updates 1. Preparation for annual meeting in June Ms. Galvin highlighted plans for the June board meeting. She instructed board members to make sure that their contact information is correct. She also noted those board members who will need to be prepared with a decision regarding the renewal of their terms.

Executive Session - Executive Director’s End of Year Review The board moved into EXECUTIVE SESSION at 12:55 pm in order to review and evaluate the employment-related performance of the chief executive officer of any public body, a public officer, employee or staff member who does not request an open hearing – Executive Director’s End of Year Review – pursuant to ORS § 192.660 (1) and (2) (i) Board members present: Joe Brown, Marsha Moyer, Kim Thatcher, Misty Galofteanu School Staff present: Todd Schweitzer, Lori Walter, Mary Ellen Mansfield.

The board returned from Executive Session at 1:22
