Our Writing Brands

The story of Newell started in 1903 in Ogdensburg, N.Y., when the W.F. Linton Co., a manufacturer of metal curtain rods, defaulted on its loan. Prominent local businessman Edgar A. Newell purchased the company and renamed it the Newell Manufacturing Company.

Dan Ferguson was named President in 1965. Using his growth-by-acquisition strategy, Newell grew from a small, one-category private company to a powerful hardware and housewares company that catered to large national retail chains with dozens of brands. Over 70 acquisitions in 30 years!

Newell entered the office supplies business with the 1991 acquisition of W.T. Rogers and the 1992 purchase of Sanford, a leading manufacturer and marketer of writing instruments.

1965

During World War II, Western Newell converted factories to assist with the war effort, earning the prestigious Army/ Navy “E” award for excellence in wartime production. After the war, Western Newell saw immediate success in sales and manufacturing of drapery pin-on hooks, extension rods, sash rods, curtain holdbacks thanks to a deal with Kresge.

2000 Michael B. Polk joined the company in July as president and CEO. He has been a member of the company’s Board of Directors since 2009.

OUR HISTORY

The Newell Company went public in 1972, opening on the NASDAQ at $28 per share.

The company created the world’s broadest assortment of writing products with the purchase of Gillette’s stationery products business, including Paper Mate and Liquid Paper. The acquisition also included the Parker and Waterman brands, the most global of the company’s brands to date, positioning Newell Rubbermaid in the luxury writing instruments category.

2015

In 2015, Newell Rubbermaid announced its intention to acquire Jarden Corporation.

The transaction closed in April 2016 and created Newell Brands.

• Customers making changes or cancellations after production has begun will be invoiced for all labor and production costs expended. All cancellations must be in writing.

Overruns/Underruns Sanford Business-to-Business reserves the right to ship and invoice the requested order quantity on promotional products plus or minus 5 percent.

Production Holiday Observances

• A gift certificate, entitling the recipient to have the pen personalized with engraving free of charge, can be inserted in the packaging of applicable products for an additional charge of: – Waterman and Parker—$2.50(G) each single pen purchase, $5.00(G) each set purchase – Sharpie Stainless Steel—$1.00(G) each single pen purchase, $2.00(G) each set purchase – No additional charge if the engraving certificate is the only customization option.

• The engraving certificate will accompany the product at the time of shipment.

• The choices of personalization may include straightline copy engraving of name, monogram or message on cap.

• Engraving certificates must be requested on the purchase order at time of purchase.

• Distributor or end users is responsible for shipment and return of pen(s) for engraving and must include the completed certificate.

Emblem Stocking Program The emblem stocking program provides for prepaid crown emblems and clip emblems for all eligible products to be held in inventory on the client’s behalf. Releases from inventory can be quickly turned around. Emblems from inventory will be invoiced after they have been manufactured. Prepaid emblems are held for two years from date of last release and must be used within that period. Emblems with no activity beyond two years will be discarded. Same size nickel finish emblems and brass finish emblems can be combined to meet the minimum order of 50 emblems at no additional charge. Repeat orders can be converted from brass to nickel or nickel to brass at no additional charge if the 50 piece minimum order is met.

Artwork submitted electronically that is vector based and created in Adobe Illustrator (.ai) or CorelDRAW (.eps or .pdf).

• Files received without vector data or in an unacceptable format are subject to a longer lead time.

Split Shipments/Drop Shipments

• All small package orders are shipped FOB Calexico, CA 92231 via our preferred carrier – FedEx. • Large quantity orders will be shipped via less than truckload freight carrier upon request and approval.

• Large quantity orders (less than a truckload) will be shipped best cost and delivery method via one of our preferred carriers based on geographic region. LTL shipments are excluded from the Freight Max 3 Program (see page 130 for details).

• If an alternative carrier is requested, an account number and the zip code for the billing address of the account provided should be given on your purchase order.

• If shipping 3rd party collect on specific carrier, that 3rd party account will accrue and be responsible for any duties, taxes or fees.

• Zones differ for ground services outside the continental United States. Shipments to Hawaii will default to Fedex 2 Day. • FOB Calexico, CA (ZIP/Postal Code 92231) standard ground parcel rate charges will be added to the invoice. A complete street address must be supplied. Shipments cannot be made to a post office box.

• C.O.D. shipments will not be accepted.

• Sanford Business-to-Business is not responsible for delayed shipments that are given to the carrier on time.

Preferred Carrier Freight Information Freight Policy • All prepaid small package orders are shipped via our preferred carrier—FedEx. • LTL shipments are excluded from the Freight Max 3 Program.

• Standard ground service rates will be charged to all continental U.S. destinations regardless of the expedited service selected by Sanford in order to deliver within a maximum of 3 business days.

• Specific requests for expedited orders require a freight account number.

3 DAYS OR LESS GROUND PARCEL RATES

For example, an order shipping to New York, NY would typically take FedEx 5 business days via standard ground service.

Under Sanford’s Freight Max 3 Program the customer would ONLY be charged standard ground service rates, however Sanford would ship this order via FedEx Express Saver in order to reach this destination in 3 business days.
