PCC recalibrates M&A notifications

THE Philippine Competition Commission (PCC) has recalibrated the thresholds for required notifications of mergers and acquisitions (M&A) after careful evaluation of the actual notifications to date and to keep pace with recent developments in the economy. In its Memorandum Circular No. 18-001 released on March 5, the PCC raised

the new thresholds to P5 billion for the Size of Person and P2 billion for the “size of transaction” as defined in the Implementing Rules and Regulations. TESDA 10 holds the Regional CTECs Summit 2018 and Launching of Trainers to the Barrio Program

Cagayan de Oro City – TESDA-10 earned overwhelming response and support from the Community Training and Employment Coordinators (CTECs) of Region 10 during the CTECs Summit and Capability Building held last March 21, 2018 at N-Hotel, Kauswagan Highway, Cagayan de Oro City. THE EDUCATIONAL SYSTEM OF THAILAND By ELISEO I. FELISILDA, Ph.D. Teacher III/TIC Larapan Elementary School Malitbog-II District, Division of Bukidnon

INTRODUCTION Education in Thailand is provided mainly by the Thai government through the Ministry of Education from pre-school to senior high school. A free basic education of twelve years is guaranteed by the constitution, and a minimum of nine years’ school attendance is mandatory. Formal education consists of at least twelve years of basic education, and higher education. Basic education is divided into six years of primary education and six years of secondary education, the latter being further divided into three years of lower- and upper – secondary levels, span 2-3 years depending on the locale, and are variably provided. Non-formal education is also supported by the state. Independent schools contribute significantly to the general education infrastructure. Administration and control of public and private universities are carried out by the Office of Higher Education Commission, a department of the Ministry of Education. BRIEF HISTORICAL AND EDUCATIONAL BACKGROUND Formal education has its early origins in the temple schools, when it was only available for boys. From mid-16th century Thailand was influenced significantly with French catholic until mid-17th century. It was then left on its own strengthening its cultural ideologies. Unlike other parts of South and Southeast Asia, particularly the Indian subcontinent, Myanmar (Burma), Laos, Vietnam, Cambodia, the Malay Peninsula, Indonesia and the Philippines which had all benefited from the influenced of countries with centuries of educational tradition, Thailand has never been colonized by a Western power. As a result, structured education on the lines of that in developed countries was slow to evolve until it gained new impetus with the reemergence of diplomacy in the late 19th century. Early Education It is possible that one the earliest forms of education began when King Ram Khamhaeng the Great invented the Thai alphabet in 1283 basing it on Mon, Khmer, and Southern Indian scripts. Stone inscriptions from 1292 in the new script depict moral, intellectual and cultural aspects. During the Sukhothai period (1238-1378), education was dispensed by the Royal institution (Rajabundit) to members of the loyal family and the nobility, while commoners were taught by Buddhist monks. On Narai’s death, fearing further foreign interference in Thai education and culture, and conversion to Catholicism, xenophobic sentiments at court increased and diplomatic activities were severely reduced and ties with the West and any forms of Western education were practically severed. They did not recover their former levels until the reign of King Mongkut in the mid-nineteenth century. Development Through his reforms of the Buddhist Sangha, King Rama I (1782-1809), accelerated the development of public education. During the reign of King Rama IV (1851-1865) the printing press arrived in Thailand making books available in the Thai language for the first time. Rama IV decreed that measures be taken to modernize education and insisted that English would be included in the curriculum. King Rama V (1868-1910) continued to influence the development of education and had introduced the modern concept of a school with purpose constructed building,

lay teachers and a time-table was opened in the place to teach male members of the royal family and the sons of the nobility. The Command Declaration on Schooling was proclaimed, English was being taught in the palace for royalty and nobles, and schools were set up outside the palace for the education of commoners’ children. With the aid of foreign – mainly English – advisers a Department of Education was established by the King in 1887 by which time 34 schools, with over 80 teachers and almost 2,000 students were in operation and as part of the king’s programme to establish ministries, in 1892 the department became the Ministry of Education. Recognizing that the private sector had come to share the tasks of providing education, the government introduced controls for private schools. In 1897 on the initiative of Queen Sribajarindra, girls were admitted into the educational system. In 1898, a two-part education plan for Bangkok and for the provinces was launched with programmes for preschool, primary, secondary, technical, and higher education. In 1901, the first government school for girls, the Bamrung Wijasatri, was set up in Bangkok, and in 1913, the first teacher training school for women was set up at the Benchama Rajalai School for girls. The first university is named after King Chulalongkorn (Rama V), and was established by his son and successor King Vajiravudh (Rama VI) in 1917 by combining the Royal Pages School and the College of Medicine. In 1921, the Compulsory Primary Education Act was proclaimed. Modernization The bloodless revolution in 1932 that transferred absolute power from the king to democratic government encouraged further development and expansion of schools and tertiary institutions. The first National Education Scheme was introduced formally granting access to education regardless of ability, gender, and social background. In 1960, compulsory education was extended to seven years, and for the first time special provisions were made for disabled children, who were originally exempted from compulsory education. In 1961, the government began a series of five-year plans, and many of the extant purpose-built school buildings, particularly the wooden village primary schools, and the early concrete secondary schools date from around this time. Recent From early 2001, under Prime Minister Thaksin Shinawatra, the Ministry of Education began developing new national curricula in an endeavor to model the system of education on child, or studentcentered learning methods. The years from 2001 to 2006 showed some of the improvements in education, such as computers in the schools and an increase in the number of qualified native-speaker teachers for foreign languages. Experiments had also been tried with restructuring the administrative regions for education or partly decentralizing the responsibility of education to the provinces. By 2008, however, little real change had been felt, and many attempts to establish a clear form of university entrance qualification had also failed due to combinations of political interference, attempts to confer independence (or to remove it) on the universities, huge administrative errors, and inappropriate or mismatched syllabuses in the schools.

Teaching requires never ending patience and a fountain of understanding for all the members of the community. This is what the pupils needed. A teacher is responsible not only in the academic performance of the pupils but also their holistic development. Teaching is hardwork and it can be emotionally draining. Yet, the passion to make a difference stop you from throwing up your hands in the air and giving up. Teach-

A camera store owner was sentenced to imprisonment by the lower court due to non-reporting of employees and non-remittance of contributions to the Social Security System (SSS) in violation of Republic Act 8282 or the Social Security Act of 1997 (SS Law). SSS President and Chief Executive Officer Emmanuel F. Dooc said the Regional Trial Court of Quezon City Branch 225 sentenced Rogelio C. Almonina, President of M20 Enterprises, to a maximum of 12 years in prison and ordered him to pay a fine of P10,000. “Aside from imprisonment, Almonina was also ordered by the lower court to pay the unremitted SSS contributions of his employees from April 2008 to September 2013 amounting to P31,548 plus penalties amounting to P51,824.47 as of July 31, 2015,” said Dooc.

Dooc added that Almonina’s payable amount to SSS will continue to incur a three percent monthly penalty accruing from July 31, 2015 until fully paid. Based on the decision, SSS conducted a monitoring of M20 after it had received a letter of complaint from Carlos Claveria, one of its employees. In the complaint, Claveria said that his company did not report him for SSS coverage and did not remit his monthly contributions. As a standard procedure, SSS issued a billing letter to Almonina, which the latter received on November 26, 2013. After SSS had not received compliance from him, another billing letter was issued in 2014 but it was still not acted upon by Almonina. His continued noncompliance led the SSS to issue a demand letter against him. “During the hearing, Almonina waived his right

to present evidence, which will disprove the allegations against him. SSS was able to show that Almonina neglected in his duty to report his employees and pay the corresponding contributions,” said Dooc. Dooc explained that failure to report employees and nonremittance of SSS premiums are violations of the SS Law, which mandates employers to report their employees for SSS coverage beginning the first day of work and to remit their contributions to the pension fund within 30 days. “We want to reiterate that employers have the responsibility to report all their employees and to pay their monthly contributions religiously. When employers don’t remit SSS contributions, they are depriving their employees of the benefits that belong to them and SSS won’t tolerate that,” warned Dooc.

In return, Uber will receive a 27.5% stake in Grab’s shares.  Uber’s Southeast Asian operations will continue until April 8, 2018.   For his part, Grab Philippines country head Brian Cu assured that the ridesharing firm will continue to coordinate with various government agencies and stakeholders to further improve the delivery of services to their customers.  “The combined services of Grab and Uber signals a wider network of TNVS drivers and passengers and improved ridesharing services,” Cu said.  “Our partnership with Uber will fuel our drive and passion for a better transport future even more. We will continue to work and collaborate with the Department of Transportation, Land Transportation Franchising and Regulatory Board (LTFRB), local government units and other stakeholders to constantly find ways to improve our services,” he added.   Last February, the LTFRB has issued a memorandum setting the common supply base for TNVS units at 66,750.   There are 59,020 accredited TNVS units for both Uber and Grab whose Certificates of Public Convenience were not processed by the LTFRB due to the moratorium on applications last July 2017. Israel said the city government helps in the promotion of the rights of persons with disabilities by implementing Republic Act No. 10524, “An Act Expanding the Positions Reserved for Persons with Disability, Amending for the Purpose Republic Act No. 7277, as Amended, Otherwise Known as the Magna Carta for Persons with Disability.” Under the law, all government agencies shall reserve at least 1% of their regular and non-regular positions for PWDs. Israel said the city government employed 10 women with disabilities9 in the different offices of city hall and one at the CSWD. She added that the city government issued identification cards to 787 PWDs composed of 443 men and 334 women. “The IDs were issued for them to avail privileges and incentives especially 20% discount in the purchase of medicines in all drug stores, among others,” Ababon said. She expressed confidence that the proclamation will raise public awareness on the situation of women with disabilities and to promote positive attitudes, role models and opportunities for their development. In his letter-complaint, Judith alleged that the bulk water supply agreement between RVWCI and COWD to which MWIC was subrogated was valued at P1.75 billion, well within the minimum threshold amount of P1 billion to fall within the jurisdiction and authority of the PCC. However, in its letter to the PCC in reply to Judith’s letter-complaint, MWIC maintains that the value of the transaction that was computed based on the actual contribution of the parties is only P140 million, thus the JV project does not fall within the PCA notification requirements. Under the Implementing Rules and Regulations (IRR) of the Philippine Competition Act (PCA), Rule 4, Section 3 provides: “Parties to a merger or acquisition are required to provide notification when, either the aggregate annual gross revenues in, into or from the Philippines, or value of the assets in the Philippines of the ultimate parent entity of at least one of the acquiring or acquired entities, including that of all entities that the ultimate parent entity controls, directly or indirectly, exceeds P1 billion, and when the value of the transaction exceeds P1 billion as calculated in accordance with the PCA

IRR.” “Rule 4, Section 3(d) of the PCA IRR clarifies that with respect to joint ventures, an acquiring entity shall be subject to the notification requirements if either the aggregate value of the assets that will be combined in the Philippines or contributed into the proposed joint venture exceeds P1 billion; or the gross revenues generated in the Philippines by assets to be combined in the Philippines or contributed into the proposed joint venture exceed P1 billion. The PCA-IRR also state that the following shall be included in determining the assets of the joint venture,: all assets which any entity contributing to the formation of the joint venture has agreed to transfer, or for which agreements have been secured for the joint venture to obtain at any time, whether or not such entity is subject to the requirements of the PCA; and any amount of credit or obligations of the joint venture which any entity contributing to the formation has agreed to extend or guarantee, at any time. Thus, neither the assets contributed to, nor the gross revenues generated by the CDO JV Project breaches the P1 billion threshold prescribed by the PCA IRR. MWIC further noted that the P2 billion amount in the law was actually only P1 billion at the time the letter-complaint was filed, but has just been increased to 2-billion this March. According to a press release posted 05 March 2018 at the PCC’s official website (http://phcc.gov.ph/pccadjusts-thresholds-com pulsory-ma-notifications/) mergers and acquisitions subject to mandatory notification to the PCC must have a transaction value of at least P5 billion and P2 billion depending on the gross revenue of the acquiring party and the value of the transaction, respectively. (PCC Memorandum Circular No. 18-001, dated March 1, 2018.) Although a joint venture would under normal circumstances be considered

a merger or acquisition (since the parties involved maintain their respective juridical personalities and are only jointly undertaking a project to attain a common end), the PCC said it is still classified as a merger that has to be reported to the PCC “provided the transaction comes within the threshold.” The PCC considers all parties in the joint venture as an “acquiring entity” obliged to make a notification if the aggregate value of the assets that will be combined or contributed in the proposed joint venture exceeds P2 billion, or the gross revenues generated in the Philippines by assets to be combined in the Philippines or contributed into the proposed joint venture exceed P2 billion. Consistent with the principle that parties in a joint venture do not lose their respective juridical identities, the valuation of the assets for purposes of determining the application of the notification requirement shall be limited to (a) the properties that the entities involved have agreed to contribute to the joint venture at the time of its signing and in the future, and (b) any amount of credit or obligation of the joint venture that any of the parties has agreed to extend or guarantee at any time. The P5 billion and P2 billion thresholds earlier mentioned are applicable only for one year from the date of announcement. If any of the requisites is absent or does not meet the valuation criterion, the PCC need not be notified and the contracting parties can proceed with the transaction.
