By Riesa Pascal October was a fun-filled, spooktastic month in the city of Orlando! From haunted houses to era-themed whiskey balls, here’s a list of all the highlights just in case you missed it! Some people are so excited for Halloween that they can’t help but to start the celebrations early! Each fall, Mickey’s Not-SoScary Halloween Party invites guests to dress in costumes and trick-or-treat throughout Magic Kingdom after regular park hours. This year’s boo-free bash took place from August 25thNovember 1st and included a parade, bewitching fireworks and more. Universal Orlando Resort’s Halloween Horror Nights is considered one of the world’s largest, most elaborate Halloween celebrations. Every year, Universal enlists a “scream team” of designers to research the human psyche and its deepest fears to create haunted houses and “scare zones” of terrifying magnitudes for guests. On September 15th, the 27th annual event returned to the delight of thousands. You have until November 4th to join in on the scream-worthy celebrations! SeaWorld’s Halloween Spooktacular was an ocean of Halloween fun for the whole family! During the event, families were immersed in an underwater “fantasea” including trick-ortreating, whimsical pumpkin fish, sea-themed arts and crafts and up-close animal encounters in a family-friendly event that could only come from SeaWorld. With multiple candy stations and a wide array of sweets and treats, kids were swimming in Halloween goodies all month long! On October 5th, 1st Thursday returned to the Orlando Museum of Art for a special “Ghosts & Ghouls” event. Artists extended beyond earthly boundaries for inspiration to create works depicting dark, horror, goth, and other Halloween themes. The works ranged from Hollywood inspired movies or TV icons, eerie/creepy landscapes and architecture, ghostly or ghoulish images, spooky or spoofy to anything associated with the paranormal, the uncanny, and the unexplained. Mather’s Social Gathering is Orlando’s hottest new venue and on October 9th, whiskey enthusiast across the city were invited over to celebrate Beam Suntory Spirits in the most probationary fashion! The private Industry Prohibition Themed Whiskey Cocktail Ball featured a variety of premium craft cocktails complimentary of Beam Suntory. Guests in 1920s/1930s era attire enjoyed amazing whiskies all night long such as The Manhattan made with Knob Creek Rye, The Goldrush made with Jim Beam Black and more. The largest trade and consumer show in North and South America dedicated to cake, chocolate, sugar arts and more was held from October 13th-15th at the Orange County Convention Center. The Americas Cake Fair, hosted by Satin Ice, featured industry celebrity headliners, including TLC’s “Cake Boss” Buddy Valastro, Food Network stars, more than 100 hands-on classes and demonstrations, cake competitions, live challenges, a sugar art fashion show and a VIP meet and greet with celebrities. More than 1,000 artists and performers brought the heart of the city to life in downtown Orlando on October 21st. Hosted by Creative City Project, guests of IMMERSE discovered a diversity of artists with amazing talents, while experiencing interactive shows, art installations and inspiring live performances all over Downtown Orlando from Cirque du Soleil, the Orlando Philharmonic orchestra and the Orlando Ballet. The Swan and Dolphin Food & Wine Classic returned from October 27th-28th with exciting new dishes debuting alongside returning festival favorites. The Food & Wine Classic offers guests unlimited tastings at more than 50 stations featuring culinary selections from the hotel’s award-winning restaurants and wine from more than 30 wineries amidst a festive backdrop of live entertainment on the hotel’s scenic causeway. The event also includes hands-on seminars with the hotel’s chefs and certified beverage experts. Horror enthusiasts entered the dark side of comic con from October 27-29th at Spooky Empire! The annual weekend event featured an array of activities including a tattoo festival, film festival, celebrity autographs, zombie walk, kids zone, costume and cosplay contest, huge exhibitor room, live music, performances, Q&A’s with artists, authors and filmmakers, a game room, seminars, creepy cars, among many other fun and exhilarating activities. Children across Orlando had an opportunity to trick-or-treat in the wildest neighborhood in town at Zoo Boo Bash 2017! From October 28th-29th, visitors to Central Florida Zoo & Botanical Gardens explored a haunted hayride, visited the pumpkin patch for a fun photo and learned about the myths and realities of some misunderstood animals. Children donned costumes for trick-or-treat stations and even got their faces painted at the fun, not-too-scary event that was a delight for young and old alike.

The Walt Disney World Swan and Dolphin Food & Wine Classic celebrated its eighth year October 27 – 28, the largest event to date featuring more than 60 food and beverage stations and 11 educational seminars taught by members of the resort’s award-winning food and beverage team.

The resort’s Executive Chef Robert Ciborowski presented specialty barbecue offerings and World Champion Pastry Chef Laurent Branlard showcased a variety of decadent desserts.

Guests delighted in numerous opportunities to sip and savor along the resort’s causeway, private lake and private beach while enjoying live entertainment.

Ingredients 1.3 ounces premium vodka 1 ounce 100% cranberry juice 1 tablespoon fresh lime juice 8 ounces ginger beer Garnish Fresh cranberries (3 in toothpick) Recipe Fill a cocktail shaker with ice and add vodka, cranberry juice, and lime juice. Despite having grown up just two hours away from Sarasota, somehow I had never had the pleasure of exploring Florida’s Cultural Coast and all the little treasures it holds within such as the charming town of Longboat Key. Not only is Longboat Key a gateway to miles of beaches with fine sand and shallow waters, it is also home to the area’s newest luxury beachfront resort, Zota Beach Resort. I delighted at the opportunity to explore this pristine property and its surrounding attractions during my long-overdue first trip to Sarasota. Over the course of my weekend stay I learned very quickly that Zota Beach Resort is truly a local gem that it is making waves across the city and proving it’s here to stay. After a scenic drive through Florida’s West Coast, my companion and I arrived at the opulent property and immediately stepped into an atmosphere that invited us to sit back, relax and enjoy ourselves. Needless to say, we were more than excited for our stay and checking out our room was at the top of the list! Zota Beach Resort’s stylish guest rooms and suites were outfitted with all the necessities required for a comfortable stay, as well as various in-room luxuries. From plush beds and flat-screen TVs to refrigerators and coffee makers, our accommodations set an impressive tone for the weekend and continuously reflected the laid back elegance of the property. Our spacious suite featured a balcony overlooking the crystal blue waters and a breathtakingly beautiful sunset at dawn. In spite of our first-rate accommodations, our growing appetite forced us to tear ourselves away from the exceptional views in search of lunch. In no time we had pulled up a seat at Viento Kitchen + Bar, Zota Beach Resort’s trendy restaurant and wine bar. An open-air lounge overlooking the pristine pool deck was the perfect spot to enjoy an enticing lunch of calamari fritto, roasted garlic hummus, zota salad and a mouthwatering blackened Luau Grouper sandwich. Led by Executive Chef Jason Pellett, Viento Kitchen + Bar’s innovative menu and extensive

wine list was an excellent start to what would go on to be an unforgettable weekend. A stroll through Marie Selby Botanical Gardens seemed like the perfect way to work off our hefty meal so my companion and I hit the road and headed to beautiful Sarasota Bay to explore the 15 acre tropical, urban oasis. Unparalleled horticulture displays allowed us to relax amidst nature’s beauty as we were carried away by botanical bliss. One would think the walk was enough exercise for the day, but we were only just getting started! After heading back to Zota Beach Resort, we donned our gym attire and hit their 24/7 fitness center to get our hearts pumping. The facility was outfitted with a variety of high-tech cardiovascular machines with built-in TVs, strength training equipment, room for stretching, towels, water, and even spare earbuds for us forgetful travelers! The third floor placement of the facility also meant I had incredible views of the Gulf of Mexico to keep me motivated during my workout and keep me motivated it did! I added two extra miles to my usual treadmill routine and felt like could’ve ran till sunrise, but dinner reservations at Shore restaurant meant otherwise. Shore is Sarasota’s expression of a mid-century, al-fresco coastal eatery. The venue was awarded OpenTable’s Top 100 Hot Spots in the U.S. for 2017 and it wasn’t difficult to see—and taste—why. The oceanside diner featured an assortment of creative recipes combined with local favorites, all served in an open air dining space. My companion kicked off the meal with an appetizer of spiced whole roasted cauliflower served with goat cheese, shishito purée, zante currants and hazelnut pesto. I opted for Kung Pao calamari served with napa cabbage, red pepper, and toasted peanuts. My main course came in the form of free range fried chicken served with mac ‘n’ cheese, coleslaw, and crystal hot sauce honey. I assure you every bite was just as delectable as it sounds! With full appetites and a busy day ahead of us, we headed back to Zota Beach Resort to enjoy a night of peaceful sleep and stress-free relaxation. STYLETOME.COM |

After fueling up with a piping hot breakfast at Viento Kitchen + Bar, my companion and I set off on a mission to explore some of Sarasota’s finest attractions. Unbeknownst to me (a die-hard Seminoles fan), Florida State University is the steward of the state art museum of Florida and one of Sarasota’s most notable cultural institutes, The John and Mable Ringling Museum of Art. Also known as the The Ringling, our first stop on the property was a tour of Ca’ d’Zan, the home of the circus king and his wife which still stands regal on the grounds. Walking around the dazzling mansion felt like entering a time capsule that perfectly captured the splendor of the roaring 20s and the romance of the Italy the Ringlings so loved. Steps away from Ca’ d’Zan was the Ringling Circus Museum where we explored parade wagons, posters, stage props, glittering costumes, and even the cannon that shot daring performers through the air to delight packed houses in great cities and small towns across America. Our next adventure took place just a few minutes away at Mote Aquarium where guests can get an up-close experience with a variety of marine animals and fish, including two touch tanks and a 135,000 gallon shark habitat. More than 100 species of marine life call Mote their home and we even have the opportunity to witness scientific research—as it happens—in viewable working laboratories. Upon returning from our excursions, my companion and I kicked back in luxurious poolside cabanas and enjoyed a savory lunch and handcrafted cocktails from Cascades Pool Bar. Between refreshing dips in the resort’s sparkling infinity-edge pool and stretching out on the sun-drenched pool deck, I wasn’t sure if we would ever make it to the beach, but we were on one of the most sought-after Gulf-front destinations in the country so beach time was a must! Eventually we ventured across the sugary soft, white sand in front of the resort and entered the Gulf of Mexico to watch the bittersweet sunset of our final day. After returning to the property—

and taking a quick dip in the hot tub—we headed to Viento Kitchen + Bar for an exquisite farewell dinner of “Floribbean” cuisine influenced by Florida, Caribbean, and Mediterranean cooking techniques and flavors. I didn’t think I would fall in love with Sarasota on my very first trip, but it more than easy to do with Zota Beach Resort in the mix. Vehicle dynamics The Ferrari Portofino’s vehicle dynamic characteristics have been completely revised and benefit from the introduction of new technological solutions. For the first time on

this type of Ferrari model, the third generation electronic rear differential (E-Diff3) has been adopted and integrated with the F1-Trac, improving both mechanical grip and the control of the car on the limit. The Ferrari Portofino is also the first GT in the range to be fitted with EPS (Electric Power Steering). This allowed the engineers to reduce the steering ratio by seven per cent for even more responsive steering without a trade-off in stability thanks to the integration with the E-Diff3. The magnetorheological damping system (SCM-E) has been uprated with dual-coil technology which helps reduce roll while simultaneously improving absorption of road surface unevenness. Design & Aerodynamics The Ferrari Design Centre-penned Ferrari Portofino is an aggressively-styled car with a two-box fastback configuration – unprecedented in a coupé-convertible with a retractable hard top – that adds extra sleekness to its silhouette, lending it a sportier character without impinging on its elegance and dynamism. Close collaboration between the Aerodynamics department and Ferrari Design has ensured maximum efficiency in the development of the surface treatment. Starting with the front, the form of the large radiator grille opening, that stretches from edge to edge of the carefully contoured nose, is underscored by a new fullLED headlight assembly with a more horizontal shape. The outside edge of the headlight hides an innovative air intake which vents into the front wheelarch and exits along the flank to reduce drag. Comfort on board There was also a particular focus on board comfort which is guaranteed by a slew of new features, not least an infotainment system with 10.2” touchscreen display, a new airconditioning system that improves occupant comfort both with the top up or down, a new steering wheel, 18-way electrically adjustable seats with a new backrest design that boosts legroom for rear seat passengers, and the passenger display. While in the public eye, Selena has remained unashamed about her battle with lupus over the past several years. In 2015, she shared with her fans that she had received chemotherapy as a method to treat her illness, and she had stated that the reason for her most recent hiatus was to take necessary measures to deal with anxiety and depression, critical side effects of her disease. Although she expressed to fans in 2016 that she is “very healthy,” her 2017 kidney transplant caused many to wonder if she is in a worse condition than she had led others to believe. Lupus, which is a disease that causes the immune system to begin to attack the body’s organs, commonly damages the kidneys. About half of all lupus cases affect key organs, especially the kidneys, heart, and brain. Thankfully for Gomez, a kidney transplant is usually not given to a patient unless the lupus is in remission. The singer’s disease was most likely treated a few years ago and is currently under control, which is necessary for the kidney replacement to take place. Gomez’s kidney donor, actress Francia Raisa, is the songstress’ long-time friend. Even after such a traumatic summer of recovery, Selena has much to be thankful for, especially her life. The past few months have been nonstop success for the star, as she debuted her single, “Bad Liar” on May

18, which included a music video release exclusively on Spotify—the first video premier ever to stream on the music service. Her latest single, “Fetish,” has climbed up the Billboard Hot 100 chart, and her new sound is catching the attention of fans and critics alike. The vodka is quadruple-distilled and seven times filtered, with the final 3 filtrations taking place through Herkimer diamond crystals. Sean “Diddy” Combs In 2007, Diddy agreed to become a brand ambassador for Ciroc which was struggling to sell 40,000 cases a year. World’s most talented dog or inseparable best friends? For Trench, a multiinstrumentalist and fingerstyle guitarist, that question has written “both” all over it when referring to his loyal sidekick, Maple. If you’ve spent any time on Twitter, Vine, or Instagram over the past two years, chances are you’ve come across this special dog. Maple is Trench’s devoted female companion every time he sits down to play a catchy tune on his acoustic guitar. She is a mixed breed with part Border Collie, Golden Retriever and Shetland Sheepdog. Maple was adopted by her owner as a small puppy from a rescue shelter. Trench, who

resides in New England, began uploading clips of his guitar covers on Vine roughly two years ago in 2015 when he saw that Maple developed a special interest in playing with him. To his surprise, the videos soon went viral when others started to enjoy Maple’s steady paw rhythms on the drums and exclusive wooden bar strucks on the xylophone. While Trench does not show his face and likes to remain somewhat anonymous to maintain his privacy, the spotlight is fully on Maple and there’s no denying she enjoys it. If you’ve ever watched a clip, you can tell she is a singer and percussionist at heart. Generating more than 77 million loops on Vine, Maple’s steadfast drumkicking is also matched with her happy persona as she relentlessly sticks out her tongue in Trench’s Seven Nation Army cover by The White Stripes. Although Maple picks up on things quickly and performs on her own, Trench admits that she does get a little help sometimes. In interviews with her owner, Trench has stated that he works with her for an hour before filming the Vine. In that time frame, he holds her paw with his hand and teaches her how to strike the instrument at the right time. Still, even above all the training, that doesn’t take away from Maple’s intelligent and witty persona. In the majority of the Vines, she plays without any guidance. Other times, she just sits and relaxes to the sound of her owner’s playing to the Pokemon Theme song while actually wearing a Pokemon hat. She’ll even throw on some hip, black shades in a few videos. Yeah, talk about stylish, too! It is 2017 and Trench still continues to upload viral clips on YouTube, Vine, Twitter, and Instagram with his loyal paw-pal. To Trench, every day is National Puppy Day alongside his faithful Maple. This dynamic duo makes Andy and Woody from Toy Story seem almost ordinary. Buddies? No, more like musical best friends. BUSINESS DISPUTES Equity for Services Performed and Raising Capital.

It happens every day: friends go into business with one

another, and invariably, one friend has more (if not all) startup capital than the other. In such a situation, equity is often distributed based on capital contribution and services performed. Unfortunately, the partnership agreement, operating agreement, bylaws or other operational documents rarely address what happens when a “services” partner fails to perform his or her services or performs these services at a level that is unsatisfactory to the other partners. Lack of funding or one partner feeling the financial burden more than others can put a strain on the business relationship if not properly structured at the inception of the business. Partners are bound to disagree at some point or another, which can lead to stressful posturing and expensive litigation. The best way to avoid the unwanted partnership dispute is to plan properly on the front end in your organizational documents, before any money flows in or out of the company. Equity for services performed and raising money can be hot button issues for fledgling partnerships, so here are a few pointers to keep in mind:

Vesting Business relationships can go sour quickly if one or more partners are not performing as they should. Delegation of equity to service partners should be done in phases, meaning a certain portion of the service partners’ equity vests in quarterly or annual increments pursuant to the “vesting schedule,” set to expire after passage of a certain amount of time, usually 3 to 5 years.

The company should have the right to terminate the services arrangement prior to the expiration of the vesting schedule in the event the services are not being performed. This termination ideally should trigger a “buyout clause,” meaning the remaining partners are able to elect to buy out the service partners’ vested equity (to avoid having a “salty partner” lingering around). The equity which has not vested will be either redistributed or set aside to raise additional capital if needed. Which leads us to our next point.


IN THE KNOW

Seeking Additional Capital When corporations are first formed, it’s very difficult to predict how much capital will be needed – and, as with most things, anticipate going over budget. Be conservative when estimating your incoming revenue, be prepared to lose money, and have a plan for seeking additional capital in the event you need it. The favored form of corporation is no doubt the LLC, but this entity can prove to be tricky when additional capital is needed. True corporations (think board of directors, shareholders, outstanding/treasury/issued stock) are able to sell stock to raise money. This is a distinct difference from an LLC, which presumes that all the equity is distributed at all times. For example, if you have an LLC and have three

partners (or “members”) and the company wishes for each member to have 25%, one often makes the mistake in assuming the remaining 25% is unowned and is available for sale. Not true. The 25% would technically be distributed pro rata amongst all existing members, who then may each decide to sell 25% of the equity to a new member to raise money, and subsequently each member’s equity would be reduced pro rata or diluted. To avoid this complication or misunderstanding, the operating agreement should be very clear on issues surrounding capital raises, particularly in an LLC. Almost inevitably, one member will kick in money for the operation of the business while others are unable to. Does this entitle that member to additional equity? Is it a loan? If so, is the loan entitled to a priority payback? How does this effect voting rights?

These are common situations with endless creative solutions, which often need to be tailored to suit your business. So, time for the shameless “consult your attorney” plug. Spending a little money on the front end can save you a boatload on the back end… and please, avoid “legal template” websites if you can! No matter how simple your business, there is always some essence of a “needs analysis” that should be conducted, and your operational documents should always be custom tailored (and updated and amended) to suit your needs.

WHY SHOULD I INVEST IN

COMMERCIAL REAL ESTATE? The economic crash of 2008 sent

commercial real estate prices into a free fall. According to the Massachusetts Institute of Technology Center for Real Estate, property values plummeted by 10.6% in the fourth quarter of 2008. As we all know, it only got worse from there. This created a spectacular buying opportunity for savvy investors. They didn’t have to reach for low hanging fruit. All they had to do was pick the fruit off the floor. Commercial real estate investors don’t make emotional buying decisions. Investors are primarily focused on getting the highest return on their investment while minimizing their risks. Usually the deals with the highest risk offer the highest rewards. A perfect example of this is a shopping center we sold to a client in January for $1,525,000. The property consisted of 149,000 square feet, sitting on 15 acres of land at a very busy intersection. Now this center was only 50% occupied and it needed some renovations, but it was still bringing in a net operating income of $166,000 a year. The main tenants of this center were Cash America Pawn and Mcdonalds. One doesn’t need to be Donald

Trump to see the value in this acquisition. Our client started with a fresh coat of paint and the center started to come to life. Prospective tenants began to fill the vacancies and the net operating incoming slowly started to climb. The Mcdonalds ground lease will soon be closing for over $1,500,000 dollars and our client will be playing on the house’s money. Within a year, they will have received all their money back, and they will have a shopping center that will bring in over $200,000 dollars a year until they decide to sell. As their occupancy reaches closer to 100%, that net operating income will only continue to rise. With annual escalators in the leases, that number will eventually reach north of $350,000 to $400,000 a year. Can you say “Show me the money?” This was such an incredible deal because it required a little work and some strategic planning. There are plenty of buying opportunities out there that will produce similar results. Keep in mind that in the game of high risk, high rewards real estate investing, it is imperative that you use the help of a seasoned commercial real estate professional. Before you choose your broker, ask them to show you their

recent resume of investment sales. Ask them to show you the letters of recommendations from their past clients. Don’t just take their word for it, look up the transactions online and verify if the numbers that they’re bragging about match up to the numbers recorded in the public record. The numbers don’t lie, but swampland sales people do.

FEDERAL GRAND JURIES Federal grand jury investigations of high-profile individuals often draw the attention of the media. Most Americans have little or no knowledge of what a grand jury does and how it operates. Under the Fifth Amendment to the United States Constitution, a person cannot be charged with a felony by the Department of Justice unless an indictment is returned by a grand jury. An indictment is the formal charging document that sets forth the crime that the federal government wants to prosecute. The originators of the Constitution sought to provide a safeguard against abusive prosecutions by requiring the decision to bring the charges be placed with a grand jury rather than totally at the discretion of police and prosecutors.

A grand jury is comprised of 23 members of the community that are selected at random from voter registration lists. The grand jury conducts its business in secret, meaning, that it is not open to the public. The only people allowed into the grand jury are that grand jury members, the prosecuting attorney, a court reporter, and the witness. Two witnesses are not allowed in the grand jury at the same time. No judge is present in the grand jury. The attorney for the government must be an attorney with the United States Attorney’s Office or the Department of Justice. The function of the government lawyer is to present witnesses to the grand jury, question the witnesses, advise the grand jury of the law, and draft the criminal charges in the form of an indictment. To return an indictment, there must be at least 16 members of the grand jury present and at least 12 votes to approve the indictment. The grand

jury, in making the decision to indict, is not required to find guilt beyond a reasonable doubt but only that there is probable cause to believe that the person indicted may have committed the crime. The potential defendant has no right to appear before the grand jury and the lawyer representing the potential defendant has no right to address the grand jury or present any information that the indictment should not be issued. Grand jurors can request the prosecutor to issue subpoenas to require individuals to appear in the grand jury to answer questions and produce documents. The government lawyer, with the assistance of a federal investigator, such as an FBI or DEA or agent, decides which witnesses to put in the grand jury. The government lawyer may only put the investigator before the grand jury to summarize the evidence. The government lawyer may subpoena the target of the investigation. If subpoenaed, a person must appear before the grand jury. The person who appears before

the federal grand jury has no right to have his or her lawyer present during the questioning. However, the witness may have his or her attorney outside the grand jury room and may leave the grand jury to consult with his or her attorney. The best practice is for the witnesses to consult with an attorney experienced with the operations of federal grand juries before appearing to testify. All people who appear before a grand jury, including the person to be indicted, has the right to refuse to answer questions based upon their right not to incriminate themselves under the Fifth Amendment. The right not to answer a question can also be based upon a legally recognized privilege. For example, a person cannot be forced to answer questions concerning discussions with their lawyer or discussions with their spouse.
