PRESIDENT’S MESSAGE Happy New Year to the Chesapeake Region Chapter of the Community Associations Institute!

I am extremely humbled and honored by the opportunity to serve as your Chapter President for 2024. I am also very grateful to my fellow Board Members: Noni Roan (President-Elect), Vicki Eaton (Vice President), Rebecca Clemson-Petrik (Treasurer), Hillary Collins (Secretary), Gary Saylor, B.K. Swartwood, Gail Windisch and Cindy McKoin (Board Members-at-Large). Five of these amazing people are past Chapter presidents as well. Our success is also due to the incredibly talented and hard-working Chapter Staff: Valere Lykins (Chapter Executive Director), Angela Marsh (Marketing and Events Manager) and Mahogani Brevett (Administrative Specialist – welcome aboard!).

We’re all aware of the great things they do for us and our Chapter Membership, but I’m blown away with how hard they work every day behind the scenes keeping us all going. Finally, a big thanks to all the committee chairpersons, vice-chairs and members (past, present and newcomers). They are really where the rubber meets the road in getting things done.

This is my fourth year serving on the Board and it has been an absolute whirlwind from day 1. It seems like yesterday was my first Board meeting and just about a minute later… COVID. Couple that with the turnover of CEDs (three in three years), it’s been an extremely challenging time, and I can easily say I am so proud to be where we are today! We’ve had amazing changes in the past few years and hopefully we can settle down for a minute and focus on the things that continue to make our chapter so amazing:

Education! Let’s face it, education is one of our pillars and it’s really the main reason why we’re here. This year, we’re going to continue to provide amazing education opportunities through webinars, in-person seminars, workshops and at our Expos! (Yes – we have TWO!). This year, we’re also teaming up with other, neighboring Chapters to provide additional education opportunities for our members, including PCAM level courses (WMCCAI Expo and the Virginia Leadership Retreat). I’m very excited about both events and I love seeing more and more of our Chapter members there.

Events! Personally, one of the most gratifying and rewarding aspects of this Chapter is socializing and networking with other members. These past four years have been so much fun with new events and social/networking opportunities. We will again have two golf outings (yes-TWO!), a joint social event this fall, and our social committee is hard at work planning for our annual end-ofyear social event. I’ve challenged them to make this event one to remember and they’re all excited to dig in and start working.

People! (See above, and…) Our wonderful Homeowner Leaders, Community Managers and Business Partners are the lifeblood of our Chapter.

I’m continually amazed by the ideas, energy and talents throughout our membership.

Okay, time to get down to business. Our “official” theme for this year is “Community Together” as I wanted to take a more inward focus on the great things our Chapter has done and continues to do, and to focus on everyone pulling together to make them happen. We’ve all worked on group projects or in teams where everyone is digging in and contributing – very rewarding. On the contrary, many of us may also have been involved with teams or projects where not everyone was contributing – sometimes very frustrating. I’m asking everyone here to “pick up an oar” and row with us, even if just a tiny bit. If you’re not on a committee – consider joining one! We have amazing people leading and working on these teams who would love to welcome new members. You’re on a committee? Great – thank you! I’ll ask you to participate and contribute just that little bit more – maybe even take a leadership role in one of them.

You’ve been serving and/or leading a committee?

Fantastic – I challenge you to throw your hat in the ring and run for a Board seat! Even if none of these ideas seem doable with our busy schedules, even just voting and/or speaking up can go a long

way in making our Chapter the best it can be. Our membership is the reason we’re here and we can’t do anything without each and every one of you!

As we navigate this community journey together, let’s be sure to extend kindness, understanding, and support to one another. Whether it’s a shared success, a challenge to overcome, or simply a moment of joy, our togetherness amplifies every experience. Let me close with one simple ask: I challenge everyone to just do that one more little thing, that tiny bit of effort, grab that oar.

MARYLAND AND DELAWARE HIDDEN GEMS

Botanical Gardens:

Beauty and Serenity Awaits You in Maryland and Delaware

Within the Mid-Atlantic region, Maryland and Delaware boast a diverse range of botanical gardens, offering a peaceful place from the bustling city life.

These sanctuaries serve as living museums, displaying an impressive assortment of plant species while providing education and tranquility to visitors.

Visiting botanical gardens not only allows one to appreciate the beauty of nature, but it is also a valuable educational opportunity. Many gardens offer workshops, guided tours, and programs that highlight conservation efforts and the importance of biodiversity in preserving our ecosystems. Both Maryland and Delaware have plenty of botanical gardens, both large and small for people to choose from. Below is a list, offering a glimpse into the variety of experiences available, from the urban oasis of Cylburn Arboretum to the historic Nemours Estate’s sprawling landscapes.

MARYLAND BOTANICAL GARDENS: 1. Ladew Topiary Gardens www.ladewgardens.com: Located in Monkton, Maryland, this historic garden spans twenty-two acres, famed for its topiary artistry and diverse plant collections. Visitors wander through themed gardens, including rose and butterfly gardens. Ladew is famous for its animal and geometric shaped topiary sculptures. You do not want to miss the Garden Festival on Saturday, May 4, 2024.

2. Howard Peters Rawlings Conservatory and Botanic Gardens www.rawlingsconservatory.org: Located in Baltimore, this Victorian-era glass conservatory is a gem, housing five distinct greenhouse rooms, each representing a different climate zone. From tropical to desert landscapes, visitors experience a world of botanical diversity under one roof. (You can read more about this in the Spring 2023 issue of the Beacon.) On the fifth Saturday of the month, they offer free drop-in tours as part of their Plants and People program.

3. Cylburn Arboretum www.cylburn.org: This 200acre urban oasis in Baltimore houses a diverse collection of trees, shrubs, and plants native to the Mid-Atlantic region. Its trails, gardens and educational programs attract nature lovers and provide a peaceful escape for visitors.

DELAWARE BOTANICAL GARDENS: 1. Delaware Center for Horticulture www.thedch. org: Located in Wilmington, this center focuses on sustainable gardening practices and environmental stewardship. It hosts beautiful gardens, workshops, and community outreach programs aimed at promoting a green lifestyle.

Head here on February 15, 2024, for a Flowers and Fun workshop that includes a night of flower arranging, chocolate tasting, and wine pairings; pre-registration required.

2. University of Delaware Botanic Gardens www. canr.udel.edu: Located in Newark, fifteen acres of gardens are located on the university campus, providing a serene retreat for students and the public alike.

3. Nemours Estate www.nemoursestate.org: Although primarily known for its historic mansion and formal French gardens, Nemours Estate in Wilmington encompasses sprawling landscapes and naturalistic gardens, offering a glimpse into the estate’s past.

The estate is closed through the winter months and will reopen on April 2, 2024.

In conclusion, these botanical gardens stand as a testament to the beauty and importance of plant life, inviting all to explore, learn, and reconnect with the natural world amidst meticulously crafted landscapes and serene surroundings.

The Economic Census (It’s Not a Scam!)

Every 5 years, in years ending in “2” or “7”, the U.S. Census Bureau conducts an “economic census” to collect business data. The data is then used to measure the economic impact of U.S. businesses. The data specifically helps federal, state, and local agencies gauge the effectiveness of their programs and provide the information needed to create jobs, foster sustainable growth, and promote a strong economy.

Around 4 million businesses are flagged for the census each cycle. Community associations are not exempt from census reporting if noticed, as associations are part of the homeowner/condominium association category under the North American Industry Classification System (NAICS).

If your association receives a notice requiring participation in the economic census, the association is obligated to fill out and submit the questionnaire to the Census Bureau. The association will need to create an online account on the census portal and submit responses electronically.

The survey will ask questions about the associations’ status (whether it files returns using a 528 election or not), annual assessment revenue, other sources of income, number of employees and their collective salaries, and other industry-specific information. The information is kept confidential, other than for general data reporting. In other words, the association will not be specifically identified publicly.

The survey can be burdensome to fill out; however, the penalties for failing to complete and submit the responses when noticed can be severe – up to $5,000 for failure to report (and a response is still required) and $10,000 for intentionally providing false information.

As such, if your association receives a notice to participate in the economic census, we recommend doing so without delay. Responses for the 2022 census cycle were due on March 15, 2023. If communities have questions about filling out the economic census, they should contact their legal counsel or accounting professional.

GENDER IDENTITY When most people hear the term “Gender Identity,” they think of just two identities, male and female.

However, as people feel more comfortable being their authentic selves, the definition has changed.

According to the National Institutes of Health (NIH), the definition of Gender Identity is, “An individual’s sense of being a man, woman, boy, girl, genderqueer, nonbinary, etc. This identity is not necessarily visible to others.” Terms describing a person’s gender identity have changed and will likely continue to change over time, with more distinctive terms reflecting the diverse and nuanced experiences of individuals’ gender identities.

A person’s gender identity does not always match their sex at birth, rather, it is their core sense of self.

Often, a person will recognize at a very early age that their physical appearance doesn’t necessarily match their self-realized gender identity. Sadly, many do not feel comfortable with this feeling of self and often wait many years to come out in public.

The federal government enacted laws to protect employees from gender identity discrimination in the workplace, with the goal of evaluating employees based on performance and not on any W INT E R/S P RING 202 4

potentially discriminating factors. It is important to acknowledge that experiences of discrimination vary across intersecting identities. Factors such as race, ethnicity, class, and disability intersect with gender identity, leading to unique challenges and experiences for individuals within different communities. While these laws should protect people from discrimination based on gender, often people will hide their gender identity out of fear that discrimination will still occur. A 2015 study by the National Center for Transgender Equality indicated that 77% of transgender respondents who had a job in the preceding year reported taking steps to avoid mistreatment at work. In addition, nearly half (47%) said they did not ask their employer to refer to them with correct pronouns out of fear of discrimination.

Non-binary respondents (66%) were nearly twice as likely to avoid asking to be referred to by their correct pronouns compared to transgender men and women (34%). Recent studies continue to reveal persistent challenges showcasing the ongoing need to address workplace discrimination faced by transgender and non-binary individuals.

Managers and supervisors have a responsibly to create a safe workplace environment for all 15

employees. According to the Department of Labor, for all employees to feel safe and comfortable as their authentic selves at work, managers and supervisors should do the following: • Communicate clearly to ensure that all employees know what is considered acceptable and what is not. They should also make clear what consequences can be faced should anyone discriminate against others • Lead by example • Practice, fostering an inclusive environment might involve implementing gender-neutral restroom policies, organizing awareness workshops, or establishing mentorship programs to support employees navigating their gender identities in the workplace • Use proper names and pronouns • Use inclusive language

Inflation and Interest Rates and the Impact on the Community Property Association Industry - Be Proactive and Prepared!

Introduction Inflation and high interest rates cause property management associations a great deal of strife.

Management walks a fine line trying to balance what is best for the community versus the association’s bottom line. This article will address how high interest rates and inflation impact the industry, but it will also provide solutions to help you navigate the current marketplace.

Challenges of the Industry Marketplace Inflation: According to the U.S. Labor Department data published on October 12, 2023, the annual inflation rate as of September 2023 was 3.7%, the same as the previous period, but down from the 8.2% reported at the same time last year. Community associations are no different than any other industry when it comes to inflation – the pain is real!

Moderate inflation is expected, but the association board must ensure that the association is being managed in a manner that keeps up with the inflation rate and does not place any undue strain on the budget. Inflation can lead to a shortage of vendors and supplies which drives up material costs for property maintenance, repairs, and renovations.

With inflation comes increases in utilities, insurance, contracts, and labor/materials pricing. Inflation – just like in the case of higher interest rates – may squash profits and impede cash flow stability. As a result, W INT E R/S P RING 202 4

the association may not have any other choice but to increase association fees to owners.

Industry website, HOA Management, predicts that community associations will have to raise dues by 10%-15% by the end of 2023. Therefore, it is critical that the board plan, budget, and control expenses carefully during the time of high inflation to avoid the possibility that owners will be hit with special assessments that can put their financial strength in jeopardy, which could result in delinquent accounts and/or uncollected funds.

High Interest Rates: A number of factors have affected the HOA market over the years with interest rates having a significant impact on the industry. The increase in interest rates has resulted in increased association fees. Higher interest rates on loans reduce the amount of cash available for projects forcing associations to dip into their reserve funds to pay for unexpected costs. To avoid paying higher interest rates, an association may delay or simply defer projects which the community may feel are needed to grow or improve the community.

As a result, you may be dealing with a frustrated community.

Solutions • Reserve Study Analysis – It is critical, particularly during a volatile market period, that the association determines the frequency cycle for 19

analyzing the reserve study in order to better address and plan for challenges. If this was not accomplished last year during the high inflation period, chances are you are not funding your reserves at an appropriate level. The goals of the association’s reserve fund should increase, along with dues, in line with what the CPI indicates.

When the association responds correctly to inflation, the reserve fund budget should increase as well.

• Investment Power – The Federal Reserve has raised the interest rate by nearly 5% over the last year. Associations seeking a loan will pay out more money as a result when securing a loan. However, higher interest rates will present the association with opportunities to earn better returns on investments. Take the time to re-evaluate the association’s investments to see if there are ways to take advantage of better interest rates.

• Banking Relationship -- Establish a relationship with a banking institution to have the prerogative of securing financing at a better rate.

• Communication – It is always best practice and very important to share decisions about increases with owners as soon as possible so they can adapt their budgets accordingly. Encourage them to attend meetings and get involved. Reference inflation and explain how it affects the association so they can confirm in their own minds it is a fair and necessary increase. Being open and upfront with owners can help cultivate a better understanding of the situation and the need for any increase.

• Contracts and Scope of Work – Take the time to review any projects currently underway and slated for the future to determine if there are any potential cost reductions to be gained. When possible, lock-in low pricing to help keep costs and dues at a fixed rate.

• Insurance Review – Review the association’s insurance plans so you are fully familiar with what the community association covers versus what an owner’s policy covers. As interest rates increase, the cost of insurance does too, and these increases should be considered when developing the association’s budget. Factors such as the construction type, age, size, building value and loss history of the property will factor into any

premium increase, so it is important that you work with a broker who specializes in the property management association industry to ensure that the property has the right advice to make the best possible decisions. Foregoing insurance will place a community association in violation of its governing documents and opens the board to liability claims. As an option to combat increases in premiums, an association can increase the deductible which will lower the premium rate, but the association must be prepared to absorb greater out-of-pocket expenses should a loss occur.

Conclusion So, one might ask, how does a community association best navigate the challenges of high interest rates and inflation?

• Maintain the property in the best shape possible in accordance with maintenance schedules. This not only promotes goodwill with the community, but also helps reduce insurance and maintenance costs overall.

• Invest in capital replacements. While the association may incur higher costs upfront, investing in quality materials will yield longer lifespan and less frequent repairs or replacement.

• Be creative in your thought process when addressing inflation and subsequent increasing costs. Instead of effecting a substantial increase in dues to owners all at once, the association might consider small, incremental increases over a period. This might make the increased dues easier to accept and more manageable to an owner’s budget.

As we look back at 2023, we saw double digit premium increases, higher deductibles and coverage restrictions. Will 2024 be more favorable? Predictions reflect that we may not see any rate relief until 2025.

Factors that have influenced the property insurance market include years of inflation, severe weather and litigation claims that continue to hit all-time highs. The insurance industry is still seeing record underwriting losses, natural disasters, economic challenges and increasing claims payouts due to supply chain issues that make claims more expensive than expected.

The property insurance market remains challenging. Property valuations will continue to be an important underwriting factor in 2024 and will be critical to maintain adequate values with the cost of inflation.

We have seen substantial underwriting guideline changes that are driven by the reinsurance market. These changes and limitations involve coastal properties, properties built prior to 1990, high value properties (over $10M or 15M), roofs older than 15-20 years, and per unit deductibles. Insurance carriers consider claims history when deciding to underwrite a new policy. Today, the insurance carriers are declining to write those accounts with adverse claims history. Take steps to address any underlying issues that may lead to a claim.

Once your insurance is canceled or non-renewed, you may be placed in the Lloyd’s of London market, with higher rates, limited coverage, and higher deductibles.

Take time to review the regular maintenance in your community. You should be proactive to prevent future claims. Implementing proactive measures can significantly reduce the likelihood of property insurance claims and create a safer environment for your community.

It is also critical that you make sure your premium payments are made on time. In the past carriers have been open to reinstating your policy if there is a cancellation notice. We are finding carriers that are not willing to reinstate these policies, especially for older structures or policies that have claims.

As you work through the future for your insurance program, it is very important that you do regular renewal and coverage reviews. Your insurance agent should bring value to your insurance program with recommendations, coverage changes and options for the board to consider. It is important to note that the insurance market is cyclical and will transition between the hard and soft markets. While it is challenging to predict, maybe we will see an end to the hard market by 2025.

THE CORPORATE TRANSPARENCY ACT CONUNDRUM:

WHAT TO DO ABOUT IT? In 2021, the U.S. Corporate Transparency Act (“CTA”) was enacted to enhance reporting and transparency of business entity ownership to combat money laundering, terrorism, tax fraud, and other illegal acts. The statute broadly defines companies that are required to comply with the reporting requirements under the CTA. Under the CTA, unless an exemption applies, a reporting company includes traditional corporations such as limited liability companies, limited liability partnerships, and other entities that are registered with their state corporation commission, state secretary of state, or a similar office in the United States. Reporting companies also include entities that are not strictly businesses, such as community associations.

Exemptions in the CTA include not-for-profit entities that hold an IRS non-profit tax determination.

However, the description of reporting companies covered by the CTA would apply to community associations since most are formed as nonstock corporations under state law and do not hold an IRS non-profit tax determination. Even community associations not incorporated may still be covered

by the CTA. The entity charged with enforcing the CTA is the Federal Crimes Enforcement Network (“FinCEN”). FinCEN adopted reporting requirements that require certain reports to be filed in 2024.

What are the deadlines for filing reports? All community associations in existence as of January 1, 2024, are required to file a first report no later than January 1, 2025. Any association that comes into existence after January 1, 2024, must file a first report within 30 days of incorporation. Once an initial report is provided to FinCEN, the community association must be cognizant of any changes to the report and report any changes within 30 days of the change. This is very important as the initial report includes providing information on “beneficial owners”. Under the CTA, a beneficial owner is anyone who (1) exercises substantial control over the entity or (2) owns or controls at least 25% of the ownership interest. What is determined to be substantial control includes, but is not limited to, the following: serving as a senior officer (i.e., Board

President); having authority over the appointment or removal of any senior officer or a majority of Board members; or having direction, determination, or decision power over, or substantial influence over, important matters affecting the community association. Determining whether a Board member meets these criteria may need to be done on a case-by-case basis.

Nonetheless, most Board members are considered “beneficial owners” for purposes of the CTA. Therefore, the report must include the following information for those beneficial owners: the full legal name of the individual; current residential address; unique identifying number from a government-issued form of identification (i.e., a passport or driver’s license) and the issuing jurisdiction; and a copy of the identification document. The intention of FinCEN maintaining this information is to help identify shell companies used to launder money, as a vehicle for terrorism, or for other criminal acts. This report may be burdensome for community associations to comply with as most Boards turn over on a yearly basis requiring this information to be updated frequently. Further, any removal, resignation, or appointment of a Board member will require the filing of an updated report. It should also be noted that the filing of a report pursuant to the CTA is separate from any filing requirements a community association may have with their state commission.

Although the Community Association Institute does not believe the CTA is intended to apply to community associations, the law is in place and the broad definition of a reporting company requires compliance by community associations. Thus, until there is an express exemption in the law for community associations, including the need to file beneficial ownership information, compliance is required. Therefore, organization is key! It is imperative that community associations start to put in place a plan to prepare for filing the required report, as well as how to handle changes to the report as they arise in the future. Further, community associations should work with their counsel to confirm their reporting obligations.
