TACTILE PANEL - THE ORIGINAL

The original and best Tactile Panels by Mike Ayres Design are often imitated but never duplicated.

They provide wonderful focal points for any sensory room or classroom and can even be used in hallways as points of interest. The carefully selected textures have been meticulously chosen and tested to give your clients a wide range of sensory feedback, while ensuring that they are robust and can take regular and heavy use.

The patented "trail" design is to encourage exploration, leading the client from one texture to another in a fluid and organic way. Each texture offers its own properties that are unusual to find in normal life and even rarer for those with limited movement.

VERY TACTILE CATERPILLAR

Tactile sensation is a fundamental part of your overall sensory experience. It acts as a medium for exploration and enhances the understanding of the environment around you.

Originally designed by Jessica Ayres (Mike Ayres' daughter), the Tactile Caterpillar's wonderful exploration of form and texture fits very well in public or open spaces within a building.

Incorporating a wealth of different tactile textures, many of which can be found on our Tactile Wall Tiles. Feel and track the textures while discussing what the caterpillar could possibly eat to have such a varied skin. Can be designed as part of a larger tactile mural.

THE WHALE

All your clients will have a whale of a time on this piece of equipment that was developed after an early design by Dr. A. Jean Ayers. The Whale is great at providing rhythmical calming and organizing input. It also helps with postural control, balance and core strengthening.

The Whale conveniently installs between walls with attachment points or to any Southpaw Support Structure with the purchase of the Upright Eyebolt Kit (page 49).

Southpaw’s Variable Axis Swing allows clients to be moved in a number of different directions. From general swinging on any axis to spinning with Southpaw’s Rotational Device, this swing provides comfort while your clients can be positioned in vertical and horizontal planes. This swing is a great way to address spatial awareness as well as vestibular and proprioceptive inputs.

Southpaw’s Glider Bolsters allow therapists to accommodate larger or more involved clients in all developmental positions. They're also strong enough for a therapist to ride with clients and provide hands-on facilitation.

For younger or posturally insecure clients, the swing offers stability. It can be hung from two or four points and moved in smooth arcs, or gently rocked, depending on the need. If you want to encourage social interaction, the Glider Bolster can easily accommodate several clients during an activity.

Use the heavily padded, vinyl-covered base on either side by simply flipping the bolster over. One side is high-density foam padding; the other side is padded with low-density foam. This special feature is designed to increase your clients’ comfort.

The Southpaw Therapy Net is an all-around must-have for any therapeutic setting. It’s simple to use, and can be used in a variety of ways. It provides vestibular input in all planes, improved head and neck extension, proprioceptive input, and overall body control. Use the Therapy Net by itself or with our Net Adaptation Kit. Nets are wonderful therapy tools, but for physically challenged or uncoordinated clients, they can be difficult to use. Southpaw’s answer to this problem is the Net Adaptation Kit.

The kit includes a padded wooden seat, top spreader bar and (2) attachment clips. The hardwood spreader bar attaches easily to your net, and the seat insert lets you easily adjust your client’s position in the net.

PULL HANDLES & ROPE

These are the same Pull Handles included with the Linear Glider, but they are offered separately for use with other equipment such as the Platform Swing (page 26) or Therapy Net (page 23). Handles are made of durable plastic with soft, poly rope. This well-made accessory has no knots or sharp edges.

FROG SWING

The Frog Swing is one of the most popular swings for clinical and home use for providing proprioceptive stimulation and vertical movement.

The Frog Swing has a wood crossbeam that allows it to be adapted for a working load of 150 lbs. The Frog Swing comes with three single vertical stimulation loops for an initial working load of up to 90 lbs. These loops can be removed to provide a greater bounce for younger clients. FLYING TRAPEZE

Motor planning, flexion, vestibular stimulation and fun are all a part of this activity on the Southpaw Flying Trapeze. This horizontal glider is excellent for helping clients develop a tolerance to movement, for improving flexion patterns, and motor planning a new task.

This system hangs from two existing ceiling points, 8' to 12' apart, and does not require wall-mounted suspension points. A special track allows the trolley to glide freely from one end to the other. The configuration of the upper rigging uses four height adjustment systems to give you complete control over the height and angle of the track, and keeps the mechanism from swaying.

The First and Best Custom Support Structure!

CUSTOM SUPPORT STRUCTURE

Designed to fit any room regardless of size, shape or location of doors and partitions, Southpaw’s Custom Support Structure is perfect for rooms that cannot accommodate a permanently installed ceiling eyebolt.

We start with a standard size of 12'L x 8'W x 10'H at the base. From there you can customize the finished height of your structure to a minimum of 7'6" or a maximum height of 12'. The main crossbeam may be as short as 8' or as long as 20' to accommodate your therapy space. There is a limited range of swings that can be used at the 7'6" height.

Southpaw’s Custom Support Structure is constructed of .25" thick 5" x 3" structural steel tubing. This solid, stable, freestanding structure will support almost any piece of suspended equipment, and will not slip or slide with the most rigorous activity.

Custom Support Structures under 15' in length include three forged eyebolts spaced evenly on the top beam. You may add eyebolt wraps, swivel eyebolt wraps or uprightmounted eyebolts for an additional charge. For added protection, the uprights and bases are heavily padded. CUSTOM FLOOR MAT

We now offer custom-made floor mats to fit within the dimensions of your Support Structure. The 5" thick mats are the same height as the base of the structure, and are made of 3.75" of 1.8 density 50 ILD polyurethane, topped with 1.25" cross-linked polyethylene. The standard size is 11.25'L x 8'W. Additional 11.25'L x 2'W mats may be ordered so you can cover the complete floor area. All mats are camel colored.

CEILING SUPPORT

Sensory integration therapy is not inherently dangerous, but every activity has certain elements of risk.

Precautions can be taken that will eliminate most hazards.

Southpaw is committed to helping its customers develop a comprehensive safety strategy. We believe the elements of safety include the layout of the clinic or therapy space, the installation of ceiling eyebolt supports to the proper specification, the implementation of a systematic equipment inspection program, proper matting, and personal protection.

Ceiling support must be designed around the most rigorous environment, not necessarily the current one. Your ceiling support point should meet the following standards no matter what population you treat or the manner in which you treat them.

Ceiling supports should be able to support at least a 1,000-pound working load at up to a 45-degree angle in any direction, regardless of ceiling structure. Keep in mind that during treatment activities, the forces acting on the ceiling eyebolt will not always be straight down. Even a gentle swing on the equipment varies the angle of those forces on the ceiling support point. There should be no more than .25" of movement in your eyebolt, which is up to and inclusive of the stated 1,000-pound, 45-degree pull. Eyebolt movement beyond .25" or any rotation under any load is UNSAFE.

WARNING! Eyebolts will wear with use and must be inspected on a regular basis. Discontinue use of eyebolt and replace immediately when wear begins to show, never letting wear exceed 30%.

In ceiling support applications, following the inspection and maintenance checklist that comes with the product is even more critical where components of the ceiling support are above a dropped ceiling. In these situations, loose or worn components are typically only discovered by a scheduled inspection.

WORKING LOAD

The working load is the combined weight of the equipment, the child and/or therapist on it, and the weight created by movement. It is NOT the number at which the equipment will fail, but rather the maximum sustainable load that the equipment can handle.

To demonstrate, if a 150-pound person stands on a scale, it will read 150 pounds. However, if that person jumps on the scale, the reading will momentarily shoot way past 150 pounds. That is an example of weight created by movement, the result of which is the working load exerted on the scale.

MATTING

Because safety is always a priority, proper matting must be considered up front. Regardless of the application, we recommend as many of the best, thickest mats you can afford. When purchasing mats, consider these questions:

• What kind of suspended activities do your clients perform?

• Do activities include linear swinging, rotation or a mix?

• Do clients swing very high?

• Where do activities take place?

Once you have answered these questions, you will have a good idea of the floor space that will need to be covered with mats and how thick the mats should be.

The base of the eyebolt must be flush with the ceiling. There must not be any gap between the base and ceiling surface.

Your ceiling support point should be able to sustain at least a 1,000-pound load at up to a 45-degree angle in any direction.

There should never be more than .25" of movement in your eyebolt. All eyebolts must be installed 6' away from any wall or obstruction.

DEVELOP A COMPREHENSIVE 3-STEP INSPECTION AND MAINTENANCE PROGRAM.

Most therapy equipment takes quite a beating. Southpaw works hard to design equipment around this fact by using the best materials available. However, even the best piece of equipment will have a finite life.

In the few instances of equipment failures we have seen over the years, most have been a result of parts wearing completely through, such as eyebolts breaking or ropes failing. The vast majority of failures can be completely prevented by simple, routine inspections and maintenance.

A COMPREHENSIVE 3-STEP INSPECTION AND MAINTENANCE PROGRAM INCLUDES THE FOLLOWING:

1. TRAINING

All therapists who will use the equipment must familiarize themselves with the instruction sheet and maintenance checklist that comes with each item purchased from Southpaw. Both documents, which include a list of all parts, setup procedures (if applicable), safety notes, inspection point, and cleaning and storage instructions, need to be kept in a fully accessible, known location.

Minimum height recommendation is 8' from floor to eyebolt.

2. KNOW WHAT NEEDS TO BE INSPECTED

As noted above, each item from Southpaw includes an instruction sheet and maintenance checklist. Each instruction sheet lists items to inspect on the product as well as inspection intervals. Following these guidelines will bring your attention to the wear on a piece of equipment before it becomes dangerous.

In addition to inspecting the specific points noted on the checklist, therapists must always inspect each piece of equipment as a whole before and after each use. The last person to use the equipment may have changed or reconfigured something that makes its use inappropriate for the next person.

3. MASTER SCHEDULE

Developing a regular inspection and maintenance master schedule is one of the most significant steps you must take to keep equipment, therapists and clients safe.

A master schedule is highly detailed and includes a comprehensive list of all items requiring inspection, the related instruction sheets and checklists, and the dates on which each inspection should take place. The program should specifically identify assigned groups or persons to perform each task.

The importance of proper, scheduled maintenance cannot be overstated.

THERAPUTTY™

Theraputty can be used for a variety of finger, hand and wrist resistive exercises. It can also be used to facilitate grasp patterns with pediatric clients. Pleasant to the touch, this silicone putty will not dry out. It is non-toxic, unscented, non-oily and latex-free.

The six different resistance strengths are represented by six colors, ranging from tan for the softest to black for the most resistant. We offer 1 lb. containers and personal 2 oz. containers.

RESISTANCE TUNNEL

Challenge your clients with heavy work while developing body awareness and motor planning using Southpaw’s Resistance Tunnel. As your client pushes a therapy ball or other large objects through the tunnel, he/she will experience varying degrees of resistance as well as tactile and deep touch input. MOBILE CHANGING TABLE

Our table will help eliminate the back strain and pain that accompanies lifting and transferring clients. The table is powered by an electric motor that lowers the frame to 18"H from the floor, enabling the client to self-transfer or use minimal assistance. The safety rails are then locked in the upright position and the frame is then raised to a maximum 37"H. This allows the caregiver to attend to the client while in an upright position. Safety rails are padded on the inside for the client’s comfort. All four casters lock. Upholstery is dove grey and frame is granite colored steel. A hook-and-loop safety strap is also included.

EZ FLEX MATS

In a constantly changing world, therapy spaces tend to change as quickly as those who use them. EZ Flex Mats are much lighter than traditional folding mats and can be quickly moved when needed but are durable enough to withstand everyday use. They can be rolled up for storage and are easily portable if you need to adjust your therapy space.

EZ Flex Mats can be made to any size and may also be cut for full wall-towall coverage. The mats are offered in 1.25", 1.625", and 2" thick cross-linked polyethylene foam covered in smooth vinyl with built-in antimicrobial protection and no fraying edges. Seams between mats are sealed with matching colored tape. EZ Flex Mats have no folds on top, eliminating infection control hazards found in classic folding mats. Angled transitions further reduce the risk of tripping while moving on and off the mats.

FIRE-RETARDANT WALL PADDING PANELS

Our commercial-grade wall padding panels offer protection for all your therapy clients and students at any facility. Choose your pad requirements, pad height, installation method and color. Southpaw has your wall padding needs covered!

Our 2" thick/firm, closed-cell polyethylene foam is environmentally friendly and meets the ASTM 2404-04 standard for Impact Attenuation. This foam contains 60-100% recycled pre-consumer raw material content. This wall padding will meet the needs of most programs.

Our 2" medium/firm, specially formulated foam pad is tested as a composite product to meet the stringent ASTM E 84 Fire Retardant standards. Choose this wall padding when strict standards apply.

Standard panels of both are 24" wide, feature heavy-duty 7/16" OSB plywood backing laminated to 2" thick foam. Our wall pads are covered in CPSC phthalate and lead-compliant, Class A vinyl. Installation instructions for Nailing Margin Install or Z-Clip Install are included with each shipment. Select panels with a 1"H Nailing Margin Top and Bottom for installation on concrete, concrete block and wood walls. Select the Z-Clip panels for mounting to any wall surface including drywall. Z-Clip orders include pre-cut Z-Clip with screws for your on-site panel prep and 6'L lengths for wall attachment. Southpaw’s In-FUN-ity Climbing System can go into any clinic or classroom and is expandable to any size.

Climbing enhances body awareness, body scheme, motor planning and bilateral coordination. The child’s body weight, combined with gravity, provides additional proprioceptive feedback to his joints, helping the child coordinate his movements while working toward increasingly complex motor planning events. The Problem

Sensory processing disorder disrupts the way an individual responds to sensations, severely impacting daily activities and impairing quality of life. For children with autism spectrum disorders, attention deficit disorders, emotional and behavioral disorders, anxiety disorder, or other developmental conditions, sensory processing differences can initiate high levels of anxiety or arousal, leading to self-stimulatory behavior, self-injurious behavior, tantrums and meltdowns.

A growing body of literature indicates that deep-touch pressure interventions act as a calming or focusing agent for individuals coping with sensory integration problems. While numerous tools are currently available to occupational therapists to provide this kind of proprioceptive input, few of these items actually achieve high enough levels of pressure to provide a sufficient benefit.

The Sensory Lounger is a new sensory-based intervention that provides rapid deep-touch pressure to the lateral, medial, ventral and dorsal sides of the body at the discretion of the user. The Qball PRO is a smart microphone that knows when it is being tossed and automatically mutes itself to avoid unwanted noise. Southpaw has improved on the popular laser star generator and made it robust enough for continuous use in your home or facility. The Southpaw Star Gazer has controls for the speed of the stars, allows the user to add blue and/or white clouds, includes a timer that allows you to control operation in 30 minute increments up to 4 hours, or allow it to run continuously. The unit has its own fan to keep things cool and running smoothly. The laser in the unit will last 3,000 hours and the laser can be changed without purchasing a new unit. PAYMENT TERMS & CREDIT POLICY

All payments must be in U.S. dollars. We accept checks, money orders, Visa, American Express, MasterCard, or Discover. Credit cards are charged at time of shipment. We do not ship C.O.D.

Tax-exempt organizations must supply a copy of their sales tax exemption certificate via mail or fax (937.258.4390) prior to order shipment.

Credit is available to qualifying customers upon completion of a credit application, which is available by calling 800.228.1698. Hospitals, government agencies and public schools are not required to complete an application.

Credit terms are Net 30 days from invoice date. Unpaid and past due invoices will be subject to a service charge on the unpaid balance at an interest rate equal to the lesser of eighteen percent (18%) per annum or the maximum allowable interest rate under applicable law. Customer is responsible and liable for all expenses incurred by Southpaw Enterprises for collection, including reasonable attorneys’ fees.

QUOTATIONS

Any quotation from Southpaw is conditioned on, and shall not become binding upon Southpaw until, actual receipt of customer’s written order. Order must be consistent with all terms and conditions stated in Southpaw’s quotation without qualification, and be submitted within 30 days as indicated in the quotation.

SHIPPING & RETURNS

SHIPPING LEAD TIMES

In-stock items are normally shipped via courier within 2 days of order acceptance. Items shipped via motor freight carrier shipments and drop ships may require up to 10 days from order acceptance. If an item cannot be shipped within 30 days, we will contact you for further instructions.

We recommend that items with extended shipping times be ordered 3 months in advance of desired delivery date.

Shipment dates are approximate. Southpaw Enterprises is not responsible for damages resulting from shipment delays or product deliveries.

SHIPPING, HANDLING AND FREIGHT CHARGES

U.S. Domestic Customers: Orders are shipped via UPS. A shipping and handling charge, based on the greater of $10.00 or 14% of the order total, is added to shipments within the 48 contiguous states. Shipping and handling charges for orders going to Alaska, Hawaii or U.S. territories will be determined on a case-by-case basis. Please note: A 5% handling fee is charged to use third party (customer specified) transportation. There is an additional $3.17 charge per box when using FedEx accounts.

Canadian Customers: Orders are shipped via UPS. A shipping and handling charge, based on the greater of $20.00 USD or 21% of the order total, is added to shipments. Please include the shipping charge in your order payment. NOTE: Brokerage charges, GST taxes and duty are not included and are the customer’s responsibility. Please note: A 5% handling fee is charged to use third party (customer specified) transportation. There is an additional $3.17 charge per box when using FedEx accounts.

International Customers: Shipping charges will be quoted based on customer’s specified mode of transportation from the U.S. and must be paid at the time the order is accepted. Taxes and duties are the customer’s responsibility.

MOTOR FREIGHT

Larger items will be shipped via Motor Freight. A quote from our preferred freight carriers will be requested to determine the lowest cost. Customer will be notified of the charges prior to shipment, including additional fees for liftgate service, inside delivery or residential delivery requests.

EXPORT

If products are to be exported, the order is subject to Southpaw’s ability to obtain export licenses and other necessary papers within a reasonable period. Customer will furnish all consular and custom declarations and will accept and bear all responsibility for penalties resulting

from errors or omissions thereon. Customer shall not reexport any product, or any goods or items that incorporate the product, if the re-export would violate United States export laws.

DAMAGED AND INCOMPLETE SHIPMENTS

All deliveries should be inspected immediately before signing carrier acceptance. Damage description (including damage to outer cartons) and other notations must be written on the delivery receipt or bill of lading and signed by the driver. Retain all packaging.

Report any damage or shortage immediately by calling our office at 800.228.1698 (Domestic) or +1.937.252.6460 (International). Have your customer number and invoice number available. All damage and shortage claims must be reported within 30 days of delivery.

RETURN POLICY

Product returns are only accepted within the first 12 months after shipment. To return an item, contact our customer service department at 800.228.1698 (Domestic) or +1.937.252.6460 (International) for a required Return Merchandise Authorization (RMA) number and detailed shipping instructions. Unauthorized returns are subject to a $20 processing fee.

Return shipping expenses are paid by Southpaw only if:

• Customer received defective merchandise

• Customer received incorrect item due to Southpaw error

• Product is being returned under warranty

All returned merchandise must be in new, resalable condition in order to receive credit. Credit is given to the original purchaser minus shipping and restocking fees. Purchases originally made by credit card are refunded to the same card. Merchandise originally purchased by check, money order or purchase order will be issued a credit on customer’s account, or a refund check will be issued at customer’s discretion.

RESTOCKING FEES

Restocking fees will apply to any merchandise returned after 30 days of receipt. Restocking fees are waived for defective products and for merchandise returned within 30 days of receipt with proper Return Merchandise Authorization, in the original packaging and in resalable condition.

STATEMENT OF POLICY

Southpaw Enterprises designs and manufactures equipment only for supervised non-recreational treatment activities. It is the user’s total responsibility to ensure that the equipment is properly and safely assembled and secured, used appropriately, and removed and stored when not in use.

Our equipment should not be altered, modified or changed in any fashion. Instruction sheets are included with each piece of equipment and are critical to the user’s understanding and safe use. Replacement instruction and safety sheets are available by calling 800.228.1698 (Domestic) or +1.937.252.6460 (International) and are downloadable at southpaw.com.

GUARANTEE OF SATISFACTION

Southpaw has a proud reputation for making quality products. If you are not completely satisfied with any item for any reason, call within 30 days of receipt and we will provide instructions on returning the item for full credit or refund (on product only), subject to the Southpaw Return Policy.

Execution of guarantees apply to U.S. and Canadian customers only. Special conditions and regulations apply to international customers.

TWO YEAR LIMITED WRITTEN WARRANTY

Introducing our new Two Year Limited Written Warranty, now covering defects in materials or workmanship in Southpaw products for two years from date of shipment, which is extended solely to the user of the product. Any defects in materials or workmanship will be addressed by repairing or replacing the defective component or product at the sole discretion of Southpaw Enterprises.

Any alteration, abuse, misuse, tampering, improper repairs, negligence or use of the equipment in a manner inconsistent with the instruction and/or safety sheets is not covered under warranty. Outdoor use of suspended equipment or hardware may also void all warranties. Warranties may be deemed void at the sole discretion of Southpaw in such instances.

Warranty does not cover conditions, damages or failures due to normal wear and tear. We recommend the user establish a regular inspection program of all equipment, fittings and support systems to guard against injury.

LEGAL INFORMATION

LIMITATION OF LIABILITY

Our products are intended for use only by trained professionals. Although we use the finest materials, we cannot guarantee freedom from injury. The user assumes all risk of injury and responsibility for applicability to any client. All merchandise is sold under this condition, which no representative of the company can waive.

The performance of necessary repairs or replacement of defective components or products is the sole and exclusive remedy under this warranty. Southpaw shall not be liable for indirect, incidental or consequential damages resulting from breach of the express written warranty set forth herein.

THERE ARE NO OTHER EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE. SOUTHPAW SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, FOR INJURIES TO PERSONS OR PROPERTY, OR FOR ANY OTHER LOSS OR DAMAGE EXCEPT AS EXPRESSLY SET FORTH HEREIN.

CONTINGENCIES

Southpaw shall not be liable for any default or delay in performance if caused, directly or indirectly, by an act of God; war; force of arms; fire; the elements; riot; labor dispute; picketing or other labor controversy; sabotage; civil commotion; accident; any governmental action, prohibition or regulation; delay in transportation facilities; shortage or breakdown of or inability to obtain or non-arrival of any labor, material or equipment used in the manufacture of any product; failure of any party to perform any contract with Southpaw relative to the production of any product; or from any cause whatsoever beyond Southpaw’s reasonable control, whether or not such cause be similar or dissimilar to those enumerated.

LIMITATION OF ASSIGNMENT

Neither party may assign any of its rights or obligations hereunder without the prior written consent of the other, except that Southpaw shall have the right to assign them to any company with which it is affiliated or to any corporation into which it shall be merged, with which it shall be consolidated, or by which it, or all or substantially all of its assets, shall be acquired.

IMPORTANT INFORMATION

Although we try to make each Southpaw product fun to use, therapy is a serious business. Our products are not designed to be used for unsupervised play. Even a simple piece of equipment can be dangerous if used improperly. OUR PHOTOS AND SUGGESTIONS ARE NOT INTENDED TO BE RECOMMENDATIONS OR ENDORSEMENTS FOR ANY ACTIVITY. It is up to the user to determine whether a given activity is safe and appropriate for the client or situation.

Throughout the catalog we provide a recommended maximum working load for each product. WORKING LOAD IS THE COMBINED WEIGHT OF THE CLIENT AND THE EQUIPMENT, PLUS THE FORCE CREATED BY MOTION (bouncing, rotating). Please do not exceed this maximum.

The word “safety” as used in our catalog is not intended to imply the product is safe in all conditions, but simply that it has been tested and approved by Southpaw (see Limitation of Liability). For the safety of your clients, therapists, users, etc., check your suspended equipment on a regular basis.

FLSA, OSHA COMPLIANCE

Southpaw certifies that any products that are manufactured by Southpaw will be produced in compliance with all applicable requirements of Section 12 of the Fair Labor Standards Act, as amended, of Sections 204(c),(d), 301–305, 401–403 and 501 of the Fair Labor Standards Act Amendments of 1966, and of regulations and orders of the United States Department of Labor issued under Section 501 thereof, and of Section 5(a) of the Occupational Safety and Health Act of 1970, as applicable to the manufacture of such products.

OTHER RIGHTS OR REMEDIES

Except as otherwise provided herein, any rights or remedies granted hereunder to either party shall be in addition to, and not in lieu of, any other rights or remedies of such party at law or in equity.

ENTIRE AGREEMENT

This document contains the entire agreement between Southpaw and customer and constitutes the final, complete and exclusive expression of the terms of the agreement, all prior or contemporaneous written or oral communications, agreements, forms or negotiations with respect to the subject matter hereof being merged herein. By way of illustration and not limitation, customer’s order shall be deemed to incorporate, without exception, all terms and conditions hereof notwithstanding any order

form of customer containing additional or contrary terms or conditions, unless customer shall have expressly advised Southpaw to the contrary in a writing apart from such order form, and no acknowledgement by Southpaw of an order by customer shall be deemed to be an acceptance by Southpaw of any such additional or contrary terms or conditions thereof which are in addition or contrary to the terms and conditions hereof. No additional or contrary terms or conditions or modifications may be made to these terms and conditions except by a written instrument signed by one of Southpaw’s officers. Stenographical and clerical errors are subject to correction by Southpaw.

SEVERABILITY

In the event that any provision hereof shall violate any applicable statute, ordinance or rule of law, such provision shall be ineffective to the extent of such violation without invalidating any other provision hereof.

GOVERNING LAW

This document and the sale of all products shall be governed by and construed in accordance with, and all disputes shall be resolved under, the laws of the State of Ohio. Whenever there is a conflict of laws, the substantive laws of the State of Ohio shall prevail.
