For Entrepreneurs: Financing Your Business’s Growth

by C. Lawrence "Larry" Thomas he first step is to plan, in writing, how, when and why you will grow and how you will finance the growth. As you get started with the planning, some questions are in order. First, how much do you actually have to grow to provide the business income necessary for the lifestyle you want for yourself and the others who depend on you? Further, is your business ready for growth with the appropriate infrastructure, management, employees and systems?

As the plan is written, the timeline for that plan and its forecasted rate of growth should be realistic and achievable. This is no time for wishful thinking. Forecasting growth is arguably the hardest part of the project, unless you can find similar companies and evaluate their growth strategies and results. Even with this input, there are lots of variables to consider.

Erring on the conservative side is best.

Identifying the method of financing growth is the next step. Basically, there are two types: debt financing and equity financing.

Debt financing must be paid back with interest. Further, loans come with conditions (called covenants) that require management’s attention and compliance. Regular financial reporting to the bank is an example of a covenant. Additionally, a bank loan will most likely require the personal guarantee of the owner(s). Approval of the guarantee(s) involves evaluation by the bank of each owner’s personal finances.

If a bank loan is impossible, other non-bank lenders may be interested. Generally these lenders focus on “accounts receivable” lending. Some will consider other assets. Your banker should be able to give you a referral to alternative lenders if the bank can’t make the loan.

Equity financing is not repaid. Rather, investors pay in capital in exchange for an ownership interest in the company. While giving up equity may be less desirable to the current owner(s), it may be necessary and advantageous, especially if the new investor also brings new expertise to the enterprise.

Planning for growth should be done well before the financing is needed. The written growth plan is an essential tool to use to explain what you want to do and why. Your bank should appreciate planning at this in-depth level. We do at Independence Bank.

Before they moved, their case manager helped the couple prepare a budget to assure that they would be able to pay their rent and maintain their new apartment.

Recently, Cheryl called Thomas House to share the exciting news that their children were doing well in school, their jobs are stable and they achieved their dream of buying a home.

Thomas House exclusively serves homeless families with children in Orange County and the parents must be willing and qualified to work.

“Participants must also adhere to the organization’s criteria for assistance – including learning life skills like budgeting, parental guidance, remaining drug and alcohol-free and actively seeking and obtaining employment. Thomas House covers the cost of their housing, food, phone, etc. for a period of (generally) six to nine months, during which time these individuals are able to save their earnings toward finding a place to live. Simply put, the goal of Thomas House to help homeless families get on their feet.”

Founded in 1986 by a group of Orange County residents who were members of St. Barbara’s Catholic Church, the Garden Grove-based not-for-profit provides a supportive environment and the resources necessary for homeless families with children to remain together and empowering them to become self-reliant.

“Thomas House does much more than shelter homeless families,” says Executive Director Cyndee Albertson. “Thomas House is a goal oriented, life changing program that offers comprehensive services designed to help families attain housing and self-sufficiency. Last year, over 95 percent of our residents graduated from the program – 89 percent moved into their own home and 81 percent got full-time jobs.”

For families like Bob and Cheryl and their three children, their stay Thomas House Family Shelter allowed them to achieve their dream of one day owning their own home.

When Bob was injured on the job, he went on disability, but was unable to make ends meet. The family lost their apartment and lived in motels and with relatives for several months before finding Thomas House.

During their stay, Bob entered a retraining program and Cheryl found employment. When Bob finished the program, he applied for a job and started a new career. Without the usual expenses of rent,

Orbe became involved with the organization, which serves approximately 135 150 families per year, 12 years ago – initially volunteering to help in the after school program for kids and help their parents find employment. Over the years, he (and his wife) have donated significant time and resources toward helping Thomas House achieve its mission.

“I’ve always felt that there should be no such thing as a homeless family,” says Orbe, who in his working life serves as the Vice President of the Orange County-based Wahoo’s Fish Tacos.

“People always tell me that my involvement is a very unselfish thing to do, but the truth is that it’s just the opposite – I get more out of it than I could possibly ever give. It’s all about the children.

To see these children and their families go from a circumstance where they don’t know where their next meal is coming from to a living in a much better environment and being able to envision and achieve a future of independence and self-sufficiency is a very rewarding thing to see.”

AJ Takata St. Anne School, Laguna Niguel Class of 2014 J Takata, a Dana Point resident and eighth grader, has attended St. Anne School in Laguna Niguel since preschool. AJ has represented St. Anne at the Orange County Science & Engineering Fair the past two years and was awarded First Place in Physical Science last year, and First Place in Zoology the prior year. His projects competed at the California State Science Fair both years.

Last year’s project, “Renewable Energy from Ocean Waves Using Piezoelectric Crystals,” caused AJ to be named a Broadcom Masters national semi-finalist.

AJ is a four-year member of the St. Anne Future Problem Solvers team where, after analysis, teams design solutions for futuristic problems using research, critical thinking, creativity and teamwork. AJ has been on the Principal’s Honor Roll every semester and he is a member of the National Junior Honor Society. He is a St. Anne WEB leader (a group of eighth graders who lead activities with students in lower grades to foster community), and he is a Student Consultant to the Student Life Committee of the St. Anne School Board.

Being an active member of the St. Anne community has also caused AJ to be a caring member of the community at large.

Along with three other classmates, AJ led the Operation Christmas Child project at St. Anne School for three years. Shoeboxes are collected, filled with gifts for children in desperate conditions, and distributed worldwide by Samaritan’s Purse, a ministry led by Franklin Graham. Over 1,500 shoeboxes were filled by St. Anne students in three years.

AJ has avid interests in video games, piano, running and writing. He hopes to attend Orange County School of the Arts for high school and college at Washington University in St. Louis, after which he plans to become a novelist.

In November 2013 AJ was the student host for Holocaust survivor Ruth Treeson, who came to St. Anne to speak.

AJ was deeply moved by his experience spending time with her. As fate would have it, just three days after her visit to St. Anne, Ms. Treeson passed away. AJ’s mother shared that during their time together Ruth convinced AJ that poetry was worthy of his consideration.

I looked behind me to see the woman and the lights “Close the window!” Father shouted, “It’s cold!”

Upon learning of Ruth’s passing, AJ wrote his first “official” poem, addressing it to Ruth’s husband, Emil. Emil was so touched that he asked AJ to read it at Ruth’s memorial service to a full house in Laguna Woods in January. We share it with you both in honor of Ruth, and in commendation of the quality of AJ’s efforts and character.

Auditory processing refers to how the brain uses sound from the ears. "The ears are actually pretty dumb and amazing at the same time, collecting sound for the brain to figure out,” says Dr. Colucci. “The brain's processing system is not just about hearing alone, but how all the senses work together to help us train, learn and create memory libraries.” These memory libraries are critical in preventing memory loss, dementia, and staying active. Any sound isolation is a "ding" on the brain.

What are the most identifiable hallmarks of hearing loss? Asking people to repeat what they say, turning the television up too loud, and the inability to hear in background noise are major red flags. If someone is avoiding social situations, staying away from family and friends, they need precisionprogrammed hearing aids immediately.

Today's hearing aid technology can make sound louder, but most fail to address the bigger picture because many of them do not provide prescriptions that maximize the brain's ability to hear clearly, not just hear.

The correlation between mild hearing loss, changes in brain processing and cognitive disorders is nothing short of a revelation.

"It's best to start with hearing aids in the early, mild stages,” says Dr. Colucci. “Most hearing loss starts early in the baby boomer population, with about 30 percent being affected. According to Dr. Colucci, “The public is unaware of the need to treat hearing loss at the earliest stage or risk accelerating changes in auditory processing and brain aging.”

One area that Dr. Colucci specializes in is the relationship between brain processing and music, one of life's most enriching pleasures. “Music is a fine tuning tool for the brain that should be part of listening for all of us.”

Eileen Gordon – Personal Trainer

by Antje Mills ’ve always enjoyed exercise, but used to break into a cold sweat at the thought of working with a professional trainer. I pictured a muscled figure towering over me, barking out military-like orders:

Will Massage Help? The benefits of massage will depend on the extent of the injury, how long ago it occurred, and on the skill of the therapist. Chronic and old injuries often require deeper and more precise treatments with less emphasis on general relaxation and working on the whole body.

It Works! A recent Consumer Reports article ran the results of a survey of thousands of its readers and reported that massage was equal to chiropractic care in many areas, including back and neck pain. Massage also ranked significantly higher than some other forms of treatment, such as physical therapy or drugs.

If that nagging injury persists, consider booking a massage. Be sure to discuss the injury with your practitioner: How did you receive the injury? Have you reinjured it? And what exactly are your symptoms? Often, the body compensates in one area to protect another that has been traumatized, and this can create new problems.

If the Trustor (creator of the trust) is the primary beneficiary of the trust, the account holder (also likely named as trustee while alive) still retains complete control and enjoys the benefit of using their hard-earned assets yet receives the added protection of probate avoidance upon their death.

Probate is a very costly and time-consuming court process that can be avoided simply by properly placing your assets into trust. A typical southern California probate can cost your heirs anywhere from $20,000-$50,000 compared to the cost of forming a trust at a mere fraction of that cost. Probate can also take one to several years to settle before the beneficiaries get a dime while in trust administration; the beneficiaries have access to trust funds almost immediately.

Funding Your Trust Is A Must The Alternative Can Be Quite Costly

With the rapid changes in the banking industry, and in our busy lives, it is imperative that you review the assets that are placed into your trust on an annual basis these days.

What is “Funding”?

Technically, a California trust doesn’t exist until it is funded with at least one asset. Funding a trust isn’t rocket science; it just takes someone to take the time to get it done and to get it done right. It is a common misperception that once your trust is executed with your estate planning attorney that it can just sit on a shelf and collect dust until it is needed sometime in the distant

It can be catastrophic when trusts have insufficient and outdated funding or, worse yet, no funding at all.

What is the Problem?

Every trust I have helped administer has had some deficiency primarily due to neglect in its funding. In many trusts I see short-cut versions of funding whereby the trust was originally funded with “seed money” of just $10.00 to make it a technically legal California trust. Other trusts may have a Schedule of Assets that lists “any and all bank accounts,” “any and all brokerage accounts,” and “any and all savings bonds” for example. Both of these funding schemes are woefully inadequate yet used by many estate planning attorneys or in do-it-yourself kits. Just as problematic are the trusts that are most common – those with a list of outdated, non-existent or improper Schedule of Assets leaving the trustee without a good roadmap to follow when the time comes to collect and distribute their loved ones assets.

Case Example #1: A deed on the Trustor’s home to their trust was signed but not recorded. Because the asset was not formally moved into their trust by recording the deed, it forced the

trustee to open a court procedure which tripled the cost of a regular trust administration.

Case Example #2: Bank or Company names from a bygone era who had merged into new names were not updated on the Schedule of Assets requiring much more research than necessary, increasing the time and expense of the administration of the trust.

Case Example #3: Brokerage accounts named in the old trust but not moved forward into the new trust with different beneficiary allocations. This forced the trustee to handle assets in two trusts doubling the amount of paperwork necessary for proper distributions.

Case Example #4: The house that used to be in trust was taken out of trust by the mortgage company upon a loan modification or refinance but it was not put back into trust. This lead to a $30,000 probate that could have been easily avoided by an annual trust asset review.

What is the Solution?

It’s simple. Take time each year to review your Schedule of Assets and make sure all of your current assets are included (those without beneficiary designations). Verify that your bank and brokerage statements reflect the name of your current trust and check the deed on your house to make sure that someone didn’t take it out of your trust and forget to put it back in.

Don’t forget items seldom thought of such as stock certificates or savings bonds and see to it that they have the name of your trust directly on them as well. If not, a simple phone call or letter can make a very important difference.

Before I became a professional trust administrator myself, all of the above scenarios could have happened to me. After all, my trust was done and I was busy with life planning those annual vacations without a care in the world. Now that I know better, my goal each year is to ensure that my children have an accurate roadmap to access my assets after I am gone.

Unmasking The Artist At The Ritz-Carlton Laguna Niguel A Photo Exhibition by Artist Charley Akers

What started as a simple creative endeavor for Asheville, NCartist Charley Akers has turned into a tribute to Festival of Arts artists with a photography exhibition at The Ritz-Carlton, Laguna Niguel.

For the third consecutive year, the exhibit features a selection of Aker’s photographs, complemented by a piece of art by the artist depicted in the portrait. Aker’s unique black and white portraits capture the essence of each artist, while also highlighting their craft. The exhibit includes portraits of southern California artists Ron Azevedo, Marlo Bartels, Paul Bond, Antje Campbell, Russell Jacques, Susan Jarecky, Christopher Jefferies, Murray Kruger, Tom Swimm, Hannah Harris and Rachel Young, each of whom have also been selected to showcase their art at the 2014 Festival of Arts in Laguna Beach. As someone who is gluten intolerant, the abundance of clearly defined gluten and dairy-free options was a particularly nice touch that alleviated much of the pressure I often feel in eating out. Moreover, our waitress overheard us discussing the gluten-free options and knowledgeably navigated us through the menu and even suggested other dishes that she said the Chef would gladly prepare gluten-free.

For starters, there are a number of “share plates” that would certainly satisfy even the most discriminating palate. The Hamachi Crudo pairs Japanese yellowtail with lotus root, avocado, citrus, Fresno chili and cilantro vinaigrette while the Peaches and Pork combine la quercia prosciutto with grilled local yellow peaches, pecorino crisp and vanilla oil.

The grilled sturgeon is one of the restaurant’s signature dishes with good reason – the wonderfully aromatic, flaky fish arrived with a sweet pea puree, tempura cauliflower and a radish-arugula salad. Another not-to-be missed dish was the Shrimp and Clam Linguine which was chock full of gulf white shrimp, Manila clams and wild spring onions in a fragrant smoked tomato and miso shrimp broth over handmade pasta cooked al dente.

Playwright Don Fried has artfully crafted a series of five vignettes for an evening of entertainment entitled Senior Moments. foibles helps us tolerate the inconvenience caused by our mental lapses, it helps to have a gentle reminder that one is not alone. Live theatre is the perfect place to get that reminder. While laughing at the antics of the actor on stage we find ourselves laughing at ourselves. That laughter sooths the discomfort of our own goofs.

Mysteries Abound in 2014 Pageant of the Masters ‘’The Art Detective’’ As this summer’s 2014 Pageant of the Masters, Laguna Beach’s world-famous celebration of art in “living pictures,” gears up for its opening on July 9, Pageant director Diane Challis Davy faced a “third degree” about her theme, “The Art Detective.” To the question: Who is “the Art Detective”? Challis Davy replied, “Anyone who suffers from a case of curiosity, who’s driven to ask who, what, where, when and why.” She added, “Who doesn’t love to solve a mystery or enjoy a good scandal or a ‘ripping yarn’?”

The original inspiration for the theme, she said, came from television shows like The History Detectives and the Connections series, as well as from her love of Sherlock Holmes stories. But, as with all her Pageants, this one begins with great masterpieces of art. “We’ll feature Manet’s Olympia, Rembrandt’s The Night Watch, Botticelli’s Primavera and Madame X by John Singer Sargent,” Challis Davy noted, revealing just a few of the highlights from her list. “The Art Detective” will be beautiful, fun, enlightening and mysterious.

Hidden 200 Year Old Painting Restored and Unveiled

1973 by a replica painting because the original was in poor condition from years of exposure to harsh environment, movement and neglect.
