TheTransparencyActshallpromotebusinesses'respectforhumanrightsanddecentworking conditions,aswellasensurethepublic'saccesstoinformation.Amongotherthings,theAct imposesadutyofinformationonthebusinessesandadutytocarryoutduediligence assessmentswhichmustbeexplainedinthisreport.TheTransparencyActaimstoreducethe riskofhumanrightsviolations,avoidmodernslaveryandensuredecentworkingconditions.

Thisreportistogivethepublicinsightintothebusiness’keyfindingsintheduediligence assessments,andwhichmeasureshavebeenimplemented.Thisisthethirdreportcovering due-diligencefortheCompanyandcoverstheperiod12.06.2024-10.06.2025.

Organizationandoperatingarea

Establishedin2011,SoiltechAS(SoiltechortheCompany)isaninnovativecleantechservice providerspecializinginthetreatment,recyclingandresponsiblehandlingofcontaminated waterandsolidindustrialwastestreamsatsite.Soiltech’stechnologiesenablecostsavingsand lowerCO2emissionsthroughwastereduction,wasterecoveryandreuse.

Wedesign,build,ownandoperateourtreatmenttechnologies,providingservicesinclose cooperationwiththecustomerontheirsites.TheCompanyalsooffersbiodegradablechemistry andsolutionsfortreatmentofcontaminatedwaterintheenergysector(producedwater), aquaculture,municipalandotherindustries.

ABCPolicy:Soiltech’sAnti-BriberyandcorruptionPolicyappliestoallemployeesand directorsofSoiltechandofallSoiltech’saffiliatesworld-wide,aswellasanythird-party intermediaries/representativessuchasresellers,contractorsoragents.Violationsofthe guidelinesandpoliciescanbesubjecttoaninvestigationandmayleadtoterminationof thesupplierrelationship.

SafetyRepresentativesandWorkingEnvironmentCommittee(AMU):TheCompany hasappointedsafetyrepresentativesandestablishedaworkingenvironment committeethatactivelyaddressesworkplacehealthissues,ensuresemployeehealth andsafety,andpromotescollaborationbetweenmanagementandstaff.

OccupationalHealthServices:Accesstooccupationalhealthservicesensuresthatall employeesreceivenecessaryhealthfollow-upandpreventivehealthcare,whichhelps tomaintainandimprovehealthstandardsattheworkplace.

AnonymousReportingChannel:Ananonymousreportingchannelenablesemployees toreportirregularitiesorconcernswithoutfearofretaliation.Thisisanessentialtool formaintaininganethicalworkplacewheretheemployees'rightsarerespected.

AnnualHSEQKPIs:Soiltechuseskeyperformanceindicators(KPIs)tomeasureand analyseimportantareassuchassick-leave(shortandlong-term),injuries,oil-in-water ratiosforseadischarges,andcustomersatisfaction.Theseindicatorsarecrucialfor evaluatingtheCompany'sperformanceandeffectivityinaddressinghumanrightsand workingconditions.

Raisingawareness:HumanRightsandoursystemtomanagethisriskiscommunicated toallemployees.MonthlyHSETopicisonechannelweusetoraiseawarenessonthe topic.

Soiltech'sapproachtoassessingandapprovingsuppliersinvolvesastructuredanddetailed process,ensuringsuppliersmeetstringentcriteriainvariousareassuchasquality,healthand safety,andenvironmentalimpact,alongwithadherencetohumanrightsstandards.Here'sa summaryofhowSoiltechperformsthisassessment:

RegistrationandCategorization:SuppliersareinitiallyregisteredintheCustomer RelationshipManagement(CRM)systemandcategorizedbasedonpotentialimpactand risklevelintoCritical(A),Key(B),orothersuppliers(C).Thiscategorizationhelpsin determiningtheextentandfrequencyofevaluationsandauditsrequired.

RiskAssessment:Soiltechconductsaninitialriskassessmentfocusingongeographical risks(basedonlabourconditionsandothercountryspecificrisks),industryrisks(linked tostandardizedNACEcodes),andsocialrisks(acompositemeasureofgeographicaland industryrisks).Thisassessmenthelpsinidentifyingareaswithpotentialhumanrights violationsandpoorworkingconditions.

CodeofConduct/SupplierApproval:Beforebeingfullyapproved,A&Bsuppliersmust filloutadetailedSupplierQuestionnairecoveringvariousaspectsoftheiroperations, fromtechnicalcapabilitiestoadherencetoSoiltech’scodeofconductwhichincludes criterialikehumanrights,healthandsafety,andenvironmentalpractices.Suppliersare evaluatedandneedtobeapprovedinallthreeareas(Quality,Health&Safety,and Environment)andmustacceptSoiltech’scodeofconduct.

EvaluationandAuditing:Dependingontheircategorization,suppliersundergoperiodic evaluationsandaudits.Criticalandkeysuppliersfacemorefrequentanddetailed assessments.Theevaluationprocessincludesvariousperformancemetricssuchas deliveryreliability,productquality,financialstability,compliancewithhealthandsafety standards,andenvironmentalimpact.

Ranking:Basedontheevaluation,suppliersarerankedandmaybeapproved, conditionallyapproved(requiringfollow-upreviewsorspecificimprovements)or rejected.High-leveloversight,suchasfromtheVPOperations,isrequiredforsuppliers whodonotmeettheminimumstandardsinitially.Thisprocessnotonlyensuresthat Soiltech'ssupplierscomplywithcurrentstandardsbutalsosupportstheCompany's commitmenttosustainableandethicaloperations.

DocumentationandContinuousMonitoring:Allevaluations,approvals,andrelevant supplierdocumentationarerecordedintheCRM.Anychangestotheirstatusor performancecouldcausere-evaluationoradditionalaudits.

Externalpartiescanalertconcernsusingthecontactinformationpublishedonourwebsite.

Internally,employeesandconsultantsareencouragedtospeakupaboutnegativeconditionsin theworkplaceandseekadviceiftheyareindoubt.Theycanreportaconcerntotheirline manager,arepresentativeforthemanagementteamorsafetydelegatesandAMU.Ifanyone seetheneedtoreportanonymously,wehaveestablishedawhistleblowingchannelwhereall reportsaremanagedconfidentially.

Soiltechappliesastructuredrisk-basedapproachtosupplierassessmentandhumanrightsdue diligence.Whilewehavenotidentifiedanyconfirmedbreachesofhumanrightsorlabour conditionsinoursupplychain,weacknowledgethatriskisdynamicandrequirescontinuous evaluation.

SuppliersarecategorizedasCritical(A),Key(B),orOther(C)basedontheiroperationalimpact andpotentialhumanrightsrisks.Eachcategoryisevaluatedthrough:

Supplierquestionnaire:Covershumanrights,labourstandards,environmental compliance,andanti-corruptionpractices.

Ongoingauditsandfollow-ups:Conductedforhigh-risksuppliers.

WhenconsideringpotentialbreachesoftheTransparencyAct,itisobservedthattheriskof non-complianceishigheramongsuppliersoperatinginternationallyinregionswherethe transparencylegislationdoesnotapply.Consequently,ourstrategicfocusistocontinueto workcloselywithoursuppliersabroadtomitigatetheserisks.Thisproactiveapproachinvolves enhancingcomplianceandoversightmeasurestoensurethatoursuppliersadheretothe ethicalandlegalstandardsexpectedbySoiltech.Thisalignmentisimportantinmaintainingour commitmenttotransparencyandethicalbusinesspracticesacrossoursupplychain.
