Integrity Solutions® Client Agreement SOLUTION COMPONENTS 1. Participant Licenses – Integrity Solutions Holdings, LLC. grants to you, the Client, a nonexclusive and nontransferable License to have participants in the Seminar, Follow-up Sessions, and Reinforcement Meetings specified in the proposal to utilize licensed program materials— including Workbooks and Support Tools both in the program and online. This license shall be automatically extended for additional participants, provided that you, the Client, are not in breach of the conditions of this Agreement.

2. Workshop Facilitation – A SalesTeam East certified senior consultant may be utilized to facilitate the Seminar or Follow-up Sessions at Client’s facility of choice or as otherwise agreed upon by both parties.

PAYMENT SCHEDULE All SalesTeam training solutions are 100% prepaid.

AGREEMENT VALIDITY The terms of this Agreement shall be honored for fifteen days during which time it shall be executed by both parties after which a new Agreement shall be issued by Integrity Solutions.

CANCELLATION You shall be responsible for all fees for materials shipped or services performed or scheduled to be performed for 30 days after the date of cancellation.

RIGHTS AND USE The Integrity Solutions Holdings, LLC. is the proprietor of all rights, including copyrights, in the processes, materials, products and other know-how associated with the development, execution, and content of the Solutions (herein known as Products). Nothing contained herein shall be deemed to constitute an assignment of those copyrights, or of any rights contained in the products, whether or not copyrighted in the materials, provided to the Client.

In some cases we will be customizing certain materials to reflect your business environment and to illustrate how our solutions can be used in your environment. We will continue to be the proprietor of all rights, including copyrights, to any such materials. However, the Solution will now contain some information referencing you and might contain some information that is proprietary to you. We will use footnotes or other mutually acceptable means to identify any information that is proprietary to you. You agree not to reproduce any materials in whole or in part, in any form or medium now known or hereafter invented or created (to create a new program or otherwise) without our written consent. You also agree not to use the Solutions, in whole or in part, to train additional individuals or to resell or sublicense the Products. Fees shall be due for any and all training or use of the products that are not specified as part of this Agreement. The Solution Investments entitle the specified number of individuals to participate in the training, utilize the application tools, and retain one set of materials for his or her personal use.

PERFORMANCE GUARANTEES SalesTeam East will make every effort to convey, develop, and encourage the experiences, skills, and application of our solutions by solution participants. However, we do not guarantee or make any claims regarding such conveyance, development, or application. In addition, you agree that we shall not be held accountable for any consequential implications or damages that may be attributable to the participant’s application of the experience, skills, tools, or other methodologies associated with the solutions.

GOVERNANCE This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona. This Agreement contains a complete statement of all the arrangements between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions with respect to the subject matter hereof whether written or oral. All modifications, additions, and notices must be in writing and shall be deemed to have been given and received an the date of delivery or the date of receipt on the third business day following the date of mailing to the current business address of the Client or SalesTeam East. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision or covenant hereof or herein contained and any such invalid provisions or covenant shall be deemed to be severable.
