PRESIDENT’S REPORT
The dedication of our volunteers, officials, coaches and administration ensures that people of all ages, both male and female, have the opportunity to participate, develop and enjoy the game each year in a positive and supportive environment. On behalf of the Board, I extend my sincere thanks to Rugby League Manager Adam Przybyla, Rugby League Community and Development Manager Geoff Daniela, Rugby League Administrator Dannielle Lane, Junior League President Peter Bowler and Junior League Secretary Janelle Borg. Their passion, professionalism and tireless efforts, along with all our coaches, managers, trainers and volunteers, continue to make “Saints” one of the strongest and most respected rugby league clubs in the country. The 2026 season was historic for the Club, with both our NSW Rugby League Ron Massey Cup and Sydney Shield teams securing premierships. The Ron Massey Cup team claimed back-to-back titles, while the two victories made Saints only the second club in the competitions’ history to win both premierships in the same season.
It gives me great pleasure to present the President's Report for the 2025/2026 financial year. Throughout the year, the Board remained focused on ensuring the long-term financial sustainability of the Club while enhancing our junior rugby league program, investing in our facilities and supporting the needs of our local community. I am pleased to advise that the Club achieved a record year of trading, significantly exceeding expectations. A net profit of $6,228,476 is an outstanding result and a credit to everyone involved in our Club. This performance not only reflects the Club's ongoing financial strength but also provides the foundation for further investment in our facilities, rugby league programs and community initiatives while planning confidently for the future. Following the successful completion of our 10-Year Strategic Plan, the Board and Management commenced developing the Club’s next long-term roadmap. At a Strategic Planning Session in July, Directors considered future development opportunities and priorities aimed at keeping the Club financially secure, relevant and responsive to the evolving needs of our members and community. While these opportunities remain exploratory, the Board is encouraged by their potential to shape the Club’s future. The Board remains committed to responsible decision-making, transparency and the highest standards of compliance. We recognise the significant responsibilities that accompany the Club’s position within the community and will continue to operate with integrity, accountability and in the best interests of our members. While financial performance is important, the success of our Club cannot be measured by financial results alone. It is reflected in the experiences we create for our members, the contribution we make to our community, the preservation of our rich history and culture, and the legacy we leave for future generations. These principles continue to guide the Board's decision-making and shape the direction of the Club.
RUGBY LEAGUE Rugby league remains at the heart of our identity. I am proud that the Club operates the largest tackle rugby league program in Australia, with 70 teams competing from Under 5s through to the Ron Massey Cup and more than 1,000 registered players.
4
To finish off the regular season, Saints hosted an Old Boys Day at St Marys Leagues Stadium, attracting more than 150 former players, officials and volunteers. The event celebrated the generations of Saints who have contributed to our proud rugby league tradition and helped build the strong culture that remains a cornerstone of our Club today. The success of our rugby league programs is due in no small part to the dedication of our Junior League Executive. At the Annual General Meeting, members will be asked to consider, and if thought fit, pass a special resolution to award Junior Rugby League President Peter Bowler, Life Membership. Peter has devoted more than 25 years of continuous service to St Marys Junior Rugby League Club, serving in multiple roles including coach, trainer, strapper, publicity officer, Coach and Trainers Coordinator, Secretary and, since 2018, President. He has been a member of the Junior League Executive since 2006 and has played a significant role in the continued development and success of our rugby league programs. The Board unanimously supports Peter's nomination for Life Membership, believing it to be a fitting recognition of the commitment he has shown over more than two decades.
KOKODA YOUTH LEADERSHIP CHALLENGE One of the highlights of the year was the Club's return to the Kokoda Youth Leadership Challenge. Developed by former Army Major Charlie Lynn of Adventure Kokoda, the program combines demanding physical and mental challenges with historical, cultural and environmental learning. Participants gain a deeper understanding of the courage, endurance, mateship and sacrifice displayed by Australian soldiers during the Kokoda Campaign while developing valuable life skills, resilience and self-confidence. St Marys Rugby League Club has a proud history of supporting the program, having sponsored 16 local young people to participate between 2011 and 2019 before the initiative was paused during the COVID-19 pandemic. In 2026, the Club renewed its involvement by sponsoring two of our current players and twin brothers, Caine and Danny Johnstone, to undertake the ten-day trek across the Kokoda Trail in Papua New Guinea. The Club contributed more than $15,000 towards the initiative, covering program fees, essential equipment and preparation costs required to safely complete the challenge.

KOKODA YOUTH LEADERSHIP CHALLENGE RON COSKERIE, DANNY JOHNSTONE, DAVID CARTWRIGHT & CAINE JOHNSTONE
Programs such as the Kokoda Youth Leadership Challenge provide experiences and lessons that simply cannot be learned in a classroom or on a sporting field. Through initiatives such as this, the Club continues to invest in the development of young “Saints” and provide opportunities that encourage leadership, personal growth and a lifelong commitment to serving others. At the time of writing, Caine and Danny Johnstone have commenced their Kokoda journey. I wish them every success and look forward to hearing about their experiences upon their return.
COMMUNITY Giving back to the community that supports us is a fundamental part of who we are as a Club. Through our Saints Cares Program and ClubGRANTS initiatives, we continue to provide significant financial and in-kind support to a broad range of community organisations, charities, sporting groups and local initiatives. St Marys Leagues Stadium continued to strengthen the Club's position as a key sporting and community venue within Western Sydney, attracting major rugby league and community events that delivered both economic and social benefits to the region. During the year, the Stadium hosted significant events, including the Blues Tag Representative Gala Day, NSW Rugby League Ron Massey Cup Magic Round and a live broadcast by the 2GB Continuous Call Team. The venue also welcomed a range of elite and pathway competitions, including the NSW Cup, Jersey Flegg, Harold Matthews, Lisa Fiaola and Tarsha Gale competitions, as well as NSW Combined High Schools Rugby League, NSW Combined Catholic Colleges Rugby League and the NRL Schoolboy Cup. Collectively, these events reinforced the Stadium’s value as a venue for community, pathway and elite rugby league, while bringing participants and visitors from across the region to St Marys. A key contributor to the ongoing success of the Stadium is the work of Grounds Manager Aaron Anger and his grounds team. Their commitment to maintaining first-class playing surfaces has earned the Stadium an outstanding reputation throughout the rugby league community. The quality of our fields is a significant factor in our ability to attract major rugby league fixtures, representative matches and sporting events to the region and is something the Club can be extremely proud of.
MANAGEMENT AND STAFF The success of our Club would not be possible without the dedication and professionalism of our employees. On behalf of the Board, I thank every member of staff for their commitment throughout the year. Whether serving members on the frontline or working behind the scenes across administration, operations and maintenance, each employee contributes to the experience of our members and the Club’s continued success. I would also like to acknowledge our Chief Executive Officer, Rod Desborough, together with his management team, for their leadership, professionalism and commitment to delivering positive outcomes for our members, employees and community. Their passion for the Club and focus on continuous improvement ensure the Club remains well positioned for the opportunities and challenges ahead.
MEMBERS AND BOARD OF DIRECTORS I would like to thank our members for their continued support and confidence in the Board. The Board's unopposed re-election is both humbling and sincerely appreciated. It reflects the trust our members place in the Board to govern responsibly, make sound decisions and deliver on the strategic objectives that will help secure the Club's future. I also extend my sincere appreciation to my fellow Directors for their dedication and unwavering focus on what is best for the Club and its members. Serving on the Board is a significant responsibility, and I am grateful for the time, care and considered approach each Director brings to the role. Their willingness to address challenges, consider different perspectives and make decisions in the long-term interests of the Club has been instrumental in our growth, ongoing success and sustainability. As we look to the future, I am confident that St Marys Rugby League Club is well positioned to build on its achievements, honour the legacy of those who came before us and continue creating outstanding experiences and opportunities for our members and the broader community.

RUGBY LEAGUE MANAGER’S REPORT
RON MASSEY CUP 2026 PREMIERS
SYDNEY SHIELD 2026 PREMIERS
It gives me great pride to reflect on another outstanding year for the Mighty Saints. Rugby League at St Marys continues to thrive, with participation reaching record levels in 2026. This season, we proudly registered 1,044 players across 70 teams, ranging from our U5s through to our Ron Massey Cup team. It is a remarkable achievement and a testament to the strength of our Club, our volunteers, and the families who continue to make the Mighty Saints their rugby league home. Throughout the year, we continued to build on the proud traditions that have defined our Club, while striving to raise the standard both on and off the field. Across every team, there was a genuine commitment to excellence, development, and teamwork. The dedication shown by our players, coaches, staff, volunteers, and supporters is what makes our Club so special. Our senior program enjoyed an exceptional 2026 season, delivering results that will be remembered as one of the great chapters in the recent history of St Marys Rugby League Club. Under the leadership of newly appointed Head Coach Glenn Jones, our Ron Massey Cup team produced another outstanding campaign, finishing the regular season in 2nd position before delivering when it mattered most. The team went on to claim the 2026 Ron Massey Cup Premiership, securing back-to-back premierships and reinforcing St Marys’ standing as one of the competition’s benchmark programs. Our Sydney Shield team, led by the return of inaugural Ron Massey Cup Head Coach Brad Drew, achieved an equally remarkable feat. The team dominated the competition throughout the season, securing the Minor Premiership before completing an undefeated season and claiming the 2026 Sydney Shield Premiership. To have both our Ron Massey Cup and Sydney Shield teams crowned Premiers in the same season is an extraordinary achievement for our Club. The accomplishment is made even more significant by the Ron Massey Cup securing back-to-back titles and the Sydney Shield completing the season undefeated. These results are not only a reflection of the talent within our senior playing groups, but also the strength of the pathways, coaching structures, support staff and culture that have been developed across St Marys Rugby League. The success of our senior teams provides an outstanding platform for our younger players to aspire to and demonstrates the opportunities available to those coming through our system. I would like to congratulate Glenn Jones, Brad Drew, their coaching and support staff, and every player who contributed to these remarkable achievements. Their commitment, professionalism and pride in representing the Saints jersey have done our Club proud. Special acknowledgment and congratulations to Jake Butfield, Falefa Letoi and Niko Apelu, who were all selected for the NSW Men’s City Origin team.

SAFEGUARDING CHILDREN & YOUNG PEOPLE The safety and wellbeing of every young Saint will always come first. At St Marys Junior Rugby League Club, we are proud to provide an environment where every child and young person feels safe, welcome, respected, and supported. We want every player to enjoy their rugby league journey, build lifelong friendships, develop confidence, and reach their full potential both on and off the field. Creating a safe club is about more than meeting requirements; it means fostering a culture in which children can thrive. By protecting and supporting our young Saints, we help them develop not only as rugby league players, but also as resilient, respectful and responsible young people who can make a positive contribution to their communities. To ensure we continue to provide the highest standard of care, our safeguarding policies are regularly reviewed and updated in line with best practice, the requirements of NSW Rugby League and the NRL, and the ten Child Safe Standards established by the Office of the Children's Guardian.

Keeping children safe is everyone's responsibility. We encourage all players, parents, volunteers, coaches, officials, and supporters to familiarise themselves with our safeguarding policies and to play their part in maintaining a safe and inclusive environment for every young Saint. Our safeguarding policies are available on the Club's website, from the Junior Rugby League Office, and are included in our Registration Policy Handbook.
SARAH TOGATUKI - ST MARYS RUGBY LEAGUE CLUB FEMALE AMBASSADOR St Marys Rugby League Club is delighted to continue the appointment of Sarah Togatuki as the Club's Official Female Ambassador. Sarah's connection with the Saints runs deep. As a former St Marys player who proudly represented the Club in the Harvey Norman Women's Premiership, she understands what it means to wear the Saints jersey and the values our Club represents. Since then, Sarah has established herself as one of the game's leading players, starring in the NRLW with the Wests Tigers and earning regular selection for the NSW Women's State of Origin squad. Her achievements on the field, combined with the way she carries herself away from the game, make her an outstanding role model for our players and the wider community. In her role as Club Ambassador, Sarah plays an active part in promoting and growing female rugby league by: • Visiting local schools to encourage participation in rugby league. • Attending junior training sessions and delivering skills and mentoring opportunities. • Supporting St Marys Rugby League Club game days and community initiatives. • Making special guest appearances at Club functions and events. Sarah's continued involvement gives our young players the opportunity to learn from someone who has progressed from the Saints pathway to the highest levels of the game. Her passion for giving back to the community and inspiring the next generation reflects the values of our Club and reinforces St Marys Rugby League Club's ongoing commitment to developing female participation, junior rugby league and strong community connections.
BELIEVE ACHIEVE PROGRAM The Believe Achieve program once again proved to be a great success in 2026, bringing together our senior and junior players in a meaningful way. Across a number of evenings, our Ron Massey Cup players led group training sessions for our U5, U6 and U7 teams, guiding the young Saints through a range of fun interactive skills and activities. The enthusiasm from both the senior players and the juniors was outstanding, with the children embracing the opportunity to learn from the Club's senior representatives and spend time with their role models. To cap off each session, every junior player was presented with their own football by the Ron Massey Cup squad—a moment that brought plenty of smiles and created lasting memories. The Believe Achieve program continues to be one of the Club's most rewarding initiatives, strengthening the connection between our senior and junior pathways while inspiring the next generation of Saints.
MINIFIT PROGRAM Anthony ‘Mini’ Minichiello was a welcome guest of the Saints and, in partnership with the Club, helped deliver the “Mini-fit” Clinic for all Saints players aged 5 to 12 years. Led by Anthony Minichiello himself, the Mini-fit program promotes health, fitness and wellbeing while encouraging children to develop lifelong healthy habits. The initiative provided our young Saints with valuable lessons in exercise, nutrition and maintaining an active lifestyle.
SCHOOL RUGBY LEAGUE DEVELOPMENT St Marys Rugby League Club remains committed to growing the game from the grassroots up by investing in school rugby league programs throughout our local community. Working closely with local schools, the Club has proudly supported a range of participation and player development initiatives, creating opportunities for more young people to experience and enjoy rugby league in a positive and inclusive environment.
Our support has extended beyond the field, providing jerseys, equipment, and other essential resources to ensure students have everything they need to participate with confidence and pride. Cambridge Gardens Public School, Penola Catholic College, Kingswood High School, Sydney West PSSA, Chifley College Senior Campus and the Catholic Schools Parramatta Diocese are among the schools and associations that have recently benefited from this ongoing partnership. This support reflects the Club's commitment to nurturing the next generation of players and strengthening the future of rugby league in our community.
DISTRICT, REGIONAL & COUNTRY RUGBY LEAGUE DEVELOPMENT This year, the St Marys Rugby League Club Board proudly committed dedicated funding to support fellow rugby league clubs across the Penrith district, reinforcing its commitment to the growth and sustainability of grassroots rugby league. Through the provision of essential equipment and financial assistance, the Club has helped ensure local organisations are better equipped to continue developing players and serving their communities. As part of this initiative, the following contributions were made: • Colyton Colts Junior Rugby League Club received $1,500 to support its rugby league program. • Emu Plains Junior Rugby League Club received $1,800 to support its rugby league program. • Quakers Hill Junior Rugby League Club received $3,000 worth of training and match equipment. The Board's support also extended beyond the Penrith district, continuing the Club's long-standing commitment to regional rugby league. Once again, Condobolin Junior Rugby League Club received funding to provide off-field apparel, including jerseys, playing shorts and socks, ensuring players could proudly represent their community both on and off the field. In addition, Sussex Inlet Panthers Junior Rugby League Club received equipment for the value of $3,000 to assist with the continued development of its rugby league program and support opportunities for local players. These contributions demonstrate that the St Marys Rugby League Club's commitment extends well beyond its own teams. By investing in neighbouring and regional clubs, the Board continues to strengthen grassroots rugby league, foster participation, and help ensure the game continues to thrive across New South Wales for future generations.
ACKNOWLEDGEMENTS One of the greatest strengths of our Club is the people behind it. The professional reputation that St Marys Rugby League Club enjoys across both the local and wider rugby league community has been built through the dedication, passion and hard work of an incredible team. I would like to acknowledge Rugby League Administrator Dannielle Lane and Community & Development Manager Geoff Daniela, whose commitment and professionalism help drive the Club forward every day. They are supported by an outstanding group of volunteers, led by Junior League President Peter Bowler and Junior League Secretary Janelle Borg, whose countless hours of service ensure our Club continues to thrive. COMMUNITY REPORT St Marys Rugby League Club continues to demonstrate its commitment to making a meaningful difference to the social and economic wellbeing of our community through the Saints Cares Program, providing valuable support to local organisations, schools and charities across Western Sydney. This year, we are proud to have distributed more than $1,200,000 in funding and in-kind support to a diverse range of community organisations and initiatives, helping to create positive and lasting impacts throughout the Western Sydney community.
EMPOWERING OUR COMMUNITY
ONGOING SUPPORT FOR LOCAL HEROES
Through our ClubGRANTS program, Saints Cares supported 39 local organisations, funding a diverse range of new initiatives designed to enrich the lives of individuals and families across Western Sydney.
Saints continues to proudly support trusted community partners and initiatives that make a meaningful difference to vulnerable communities year after year: PENRITH COMMUNITY KITCHEN – $40,150
NEW BENEFICIARIES INCLUDE: GOTCHA4LIFE FOUNDATION – $40,000 The “Mentally Fit Schools” program is a prevention focused initiative that embeds mental fitness within primary school communities. The program equips students, teachers and families with the knowledge, skills and support needed to build resilience and navigate life’s challenges. Early intervention is key to combating future mental health issues. This program will be delivered at two primary schools in St Marys. TALK YOUR WALK FOUNDATION – $20,000 Saints Cares is proud to support the Talk Your Walk Program, which aims to enhance youth mental health, wellbeing and engagement by building confidence, emotional awareness and positive decisionmaking skills amongst young people, especially students at risk of disengagement. Funding will support the delivery of the program across two school terms at Erskine Park High School and Chifley College Dunheved Campus. MIRACLE BABIES FOUNDATION – $8,980 Our contribution supports six months of NurtureGroup for 100 Penrith families whose babies have been born prematurely or experienced illness. NurtureGroup is a free, fortnightly play and support group for babies and young children affected by prematurity or sickness, as well as their families, providing ongoing peer connection and wellbeing support, following their transition into life post NICU or Special Care Nursery.
Saints Cares is proud to support Penrith Community Kitchen in 2026 across multiple initiatives. The ‘Food For Kids’ program provides students at St Marys North Public School and Braddock Primary School with breakfast and supplemented lunches, as well as emergency food assistance for children. Our funding also supports the kitchen’s daily operations and the purchase of essential equipment, helping expand its capacity to meet the growing demand in food security in the Penrith region. CEREBRAL PALSY ALLIANCE – $40,000 Early response therapy at the Kingswood Centre provides vital physiotherapy, occupational therapy and speech pathology for babies at risk of Cerebral Palsy during critical stages of development. Parents are also provided with practical strategies to support their child’s development and build strong foundations for the future. NADO SHARE MY ABILITY – $29,000 Saints supported Share My Ability in upgrading its All Abilities Sensory Activities Centre in Jamisontown, providing new sensory equipment, interactive games and a dedicated quiet space. These improvements will create a more inclusive and engaging environment for people of all abilities, supporting local families, schools and disability services.
WESTCARE COMMUNITY SERVICES INCORPORATED – $5,100 Saints Cares is proud to support the Domestic, Family and Sexual Violence Expo, which will be held at St Marys Memorial Hall on 15 October 2026. MAMA LANA’S COMMUNITY FOUNDATION – $25,000 Providing thousands of hot meals, sandwiches and essential food hampers to individuals and families experiencing hardship across Penrith LGA. Support also extends to local schools, helping ensure students facing food insecurity have access to nutritious meals. More than a meal service, Mama Lana’s provides a safe and welcoming space for people experiencing homelessness, hardship and social isolation.
Each year, we proudly host our Saints & Signatures Buffet “Thank You - Christmas Lunch”, recognising more than 140 dedicated community volunteers for their invaluable contribution and tireless efforts throughout the year. The celebration includes a gourmet buffet, lucky door prizes, a mega raffle where every volunteer receives a Christmas gift, and plenty of festive cheer alongside Santa and our Club Directors, a true Saints style celebration of gratitude. We are incredibly proud of the strong community legacy we continue to build. Through the Saints Cares Program, we remain committed to uplifting, empowering and inspiring those around us, reflecting our values and our dedication to being a Club that genuinely cares.
SAINTS STAFF & THE COMMUNITY
PCYC PENRITH – $15,000 Our contribution supports the delivery of the ‘Transport for NSW Safer Drivers Course’. This initiative removes financial barriers for learner drivers from low-income families, enabling teens to develop the knowledge and skills necessary for safe driving and subsequently reducing road related incidents in the community. COMMUNITY JUNCTION NORTH ST MARYS CHILDREN’S CENTRE – $35,370 Now in our 23rd year of partnership, Saints is proud to continue assisting this vital centre in delivering early intervention speech and occupational therapy services. This support helps children experiencing significant developmental delays access specialised therapy in an inclusive group setting, while providing families and educators with ongoing expert guidance and support.
Throughout the year, our staff continued to demonstrate their generosity and commitment to supporting causes that make a meaningful difference in our community. From wearing denim for Jeans for Genes Day and coming together for Australia’s Biggest Morning Tea, to getting behind Purple Friday Clubs Against Domestic & Family Violence, our team embraced every opportunity to raise awareness and funds for important causes. Staff also showed their support for Beanies for Brain Cancer, Pink Up Penrith, and the National Breast Cancer Squat Challenge, helping to shine a light on causes that impact so many lives. These initiatives are a wonderful reflection of the compassion and community spirit that exists across our team. We extend our sincere thanks to everyone who participated, donated, organised, promoted, and encouraged others to get involved. However, the success of the Group is not judged by financial performance alone. The reputation, professionalism, and standing of the Group in the community and industry are paramount and is a key factor in determining the Group’s success.

RECOGNITION AND MEASUREMENT Property, plant and equipment is stated at historical cost less depreciation. Historical cost includes expenditure that is directly attributable to the acquisition of the items. Subsequent costs are included in the asset's carrying amount or recognised as a separate asset, as appropriate, only when it is probable that future economic benefits associated with the item will flow to the Group and the cost of the item can be measured reliably. The carrying amount of any component accounted for as a separate asset is derecognised when replaced. All other repairs and maintenance are charged to profit or loss during the reporting year in which they are incurred. Depreciation is calculated using the straight-line method to allocate the cost of the assets, net of their residual values, over their estimated useful lives as follows: Buildings
40 years
Grandstand and playing fields
40 years
Plant and equipment
4-10 years
Gaming machines – under lease
5 years
Grandstand plant and equipment
Hotel
10 years 40 years
The assets' residual values and useful lives are reviewed, and adjusted if appropriate, at the end of each reporting year. An asset's carrying amount is written down immediately to its recoverable amount if the asset's carrying amount is greater than its estimated recoverable amount. Gains and losses on disposals are determined by comparing proceeds with carrying amount. These are included in profit or loss. The Group leases gaming machines which consists of rental contracts which are typically made for fixed periods of 36 months with options to extend for a further 24 months. The lease term includes the option as it is reasonably certain that the Group will extend the lease for an additional 24 months.
KEY ESTIMATE AND JUDGEMENT ESTIMATED USEFUL LIVES OF ASSETS The company determines the estimated useful lives and related depreciation and amortisation charges for its property, plant and equipment and finite life intangible assets. The useful lives could change significantly as a result of technical innovations or some other event. The depreciation and amortisation charge will increase where the useful lives are less than previously estimated lives, or technically obsolete or non-strategic assets that have been abandoned or sold will be written off or written down.

7. RIGHT-OF-USE ASSETS
RIGHT-OF-USE – OFFICE EQUIPMENT The Group leases office equipment which consists with rental contracts which are typically made for fixed periods of 48 to 60 months. There were additions to the right-of use asset during the current year of $188,940 (2025: nil). There depreciation charge of right-of-use assets during the year were $130,114 (2025: $26,709).
RECOGNITION AND MEASUREMENT – RIGHT-OF-USE ASSET A right-of-use asset is recognised at the commencement date of a lease. The right-of-use asset is measured at cost, which comprises the initial amount of the lease liability, adjusted for, as applicable, any lease payments made at or before the commencement date net of any lease incentives received, any initial direct costs incurred, and, except where included in the cost of inventories, an estimate of costs expected to be incurred for dismantling and removing the underlying asset, and restoring the site or asset. Right-of-use assets are depreciated on a straight-line basis over the unexpired period of the lease or the estimated useful life of the asset, whichever is the shorter. Where the Group expects to obtain ownership of the leased asset at the end of the lease term, the depreciation is over its estimated useful life. Right-of use assets are subject to impairment or adjusted for any re-measurement of lease liabilities. The Group has elected not to recognise a right-of-use asset and corresponding lease liability for short-term leases with terms of 12 months or less and leases of low-value assets. Lease payments on these assets are expensed to profit or loss as incurred.

(I) TERMS AND CONDITIONS The Group has an existing loan facility with Australia and New Zealand Banking Group Limited (ANZ) with a facility limit of $19,100,000 as at 30 June 2026. The facility matures on 1 July 2027 and the outstanding balance is repayable in full upon maturity. (II) LOAN COVENANTS The bank loans are subject to certain financial covenants and these are assessed at the end of each quarter. In the event of a covenant breach, the loans may become repayable, subject to the terms of the lending agreement. The company is not aware of any conditions or circumstances that would suggest difficulty in meeting these covenants within 12 months after the reporting period. (III) SECURED LIABILITIES AND ASSETS PLEDGED AS SECURITY The lease liabilities are secured by the underlying leased assets to which the liability relates to. The bank loan is secured by registered first mortgages over the assets of the Group as follows: • A registered mortgage by St Marys Rugby League Club Limited over the commercial property situated at Corner Forrester & Boronia Road, St Marys NSW but excluding Lots 311,183-197 Boronia Road, St Marys. •
registered equitable mortgage by St Marys Rugby League Club Limited over the whole of its assets and undertakings including A uncalled capital.
•
A guarantee unlimited as to the amount by SMRLC Investments Pty Ltd.
RECOGNITION AND MEASUREMENT All financial liabilities are recognised initially at fair value and, in the case of loans and borrowings and payables, net of directly attributable transaction costs. The Group's financial liabilities include trade and other payables and borrowings. Borrowings are initially recognised at fair value, net of transaction costs incurred. Borrowings are subsequently measured at amortised cost. Any difference between the proceeds (net of transaction costs) and the redemption amount is recognised in profit or loss over the year of the borrowings using the effective interest method. Fees paid on the establishment of loan facilities are recognised as transaction costs of the loan to the extent that it is probable that some or all of the facility will be drawn down. In this case, the fee is deferred until the draw-down occurs. To the extent there is no evidence that it is probable that some or all of the facility will be drawn down, the fee is capitalised as a prepayment for liquidity services and amortised over the year of the facility to which it relates.

RECOGNITION AND MEASUREMENT A lease liability is recognised at the commencement date of a lease. The lease liability is initially recognised at the present value of the lease payments to be made over the term of the lease, discounted using the interest rate implicit in the lease or, if that rate cannot be readily determined, the Group’s incremental borrowing rate. Lease liabilities are secured over the rights to the hire purchase assets recognised in the statement of financial position which will revert to the lessor if the Groups defaults. Lease liabilities are measured at amortised cost using the effective interest method. The carrying amounts are remeasured if there is a change in the following: future lease payments arising from a change in an index or a rate used; residual guarantee; lease term; certainty of a purchase option and termination penalties. When a lease liability is remeasured, an adjustment is made to the corresponding right-of use asset, or to profit or loss if the carrying amount of the right-of-use asset is fully written down.
