Can ‘community’ survive at a merged bank?

Oak Harbor-based company becoming part of larger firm, but aims to keep faith with customers

When a financial institution has 73 branches, is it a community bank?

Jack Wagner thinks so — as long as it stays true to the communities it serves.

“It’s about how you treat your customers and how you treat the communities you bank in,” says Wagner, the president and CEO of Washington Banking Co. “It’s really about your style of banking

and what do you emphasize. Our banking is focused on small communities.

We bank primarily small businesses. We don’t bump heads a lot with the Chases and U.S. Banks and those people.”

The evolving definition of a community bank took on particular relevance recently when Wagner’s Oak Harborbased company, which is the parent of Whidbey Island Bank, announced that it will merge sometime next year with Olympia-based Heritage Financial

Corp. The combined company will take the Heritage name and have $3.3 billion in assets and 73 branches along the I-5 corridor from Bellingham to Portland.

Six Washington Banking branches on the island itself will retain the Whidbey Island Bank name. All other Whidbey branches, including those in Snohomish County, will be called Heritage Bank.

The combined Heritage Financial Corp. will be based in Olympia. But the merged entity’s executives and members

of the board of directors will be a mix from both firms.

Heritage President and CEO Brian Vance will retain that title. Wagner will become an adviser to the merged company. At 70, he is ready for retirement, but he wanted to ensure Whidbey Island Bank and its employees had a solid future.

quite a while,” Wagner said. “Our banks are quite similar.” The companies are so complementary, he said, that for a long time people in community banking have asked why they shouldn’t merge.

“A few months ago, we sat down and said, ‘Let’s take a look at it,’” Wagner said.

Wagner said community bank mergers are being driven by a need for revenue growth in the absence of a strong economic rebound. “We’d been hoping for organic growth” in the Whidbey Island Bank’s business, Wagner said, but it didn’t materialize.

Both companies are publicly traded. A prospectus filed by Washington Banking with the U.S. Securities and Exchange Commission says that the Whidbey Island company’s shareholders will receive 0.89 shares of Heritage stock and $2.75 in cash for every share of Washington Banking stock they own.

In essence, Washington Banking stockholders will be paid about $16 per share in consideration of the merger.

Based on share prices Oct. 24, the day it was announced, the deal is worth $265.1 million to Washington Banking Co.’s owners.

Whidbey Island Bank and Heritage Bank are similar in many ways — nearly identical in size and with similar histories as community banks that not only survived the recession but acquired several troubled banks in the process.

Founded in 1961, Whidbey Island Bank has grown to 31 branches in Island, Snohomish and four other adjacent counties. Today, it has deposits worth $1.4 billion and a $1.1 billion loan portfolio.

Heritage Bank was founded in 1927 and has 42 branches, mostly in the south Puget Sound area and points south. In Yakima and Kittitas counties, Heritage does business as Central Valley Bank.

A key difference is that Whidbey Island Bank has a bigger consumer loan portfolio, while Heritage is primarily a

The two banks have no overlapping territory, and neither has a significant presence in King County. The prospectus states that the merger will give the new company the heft to possibly expand to Seattle and Bellevue. Wagner said the Eastside suburbs are the most promising area in which Heritage could expand.

The combined bank will be the 11thbiggest in the state, based on deposits, and the third-biggest bank among those headquartered in Washington.

Both companies’ boards of directors have approved the deal, but it is subject to regulatory approval and requires the consent of shareholders of both companies. The merger is expected to be complete in the first half of 2014.

Wagner said the rule-of-thumb threshhold that separated community banks from big ones used to be $1 billion in assets. In today’s world of rapidly growing community bank and their mergers, obviously, that’s not the case.

By Wagner’s measure, the test now will be whether a bank twice as big as Heritage or Whidbey can stay true to the communities they have served.

Better days for banks The ones that survived the recession can now plan for growth

There is a sense of optimism in those few banks still headquartered in Snohomish County.

Stability has returned and profitability is on the rise.

CEOs are able to plan for expansion rather than survival. It’s a far different picture from three years ago when local banks were struggling to keep afloat.

“A lot of them are gone now. It’s really sad,” said Glenn Deutsch, CEO of Lynnwood-based Prime Pacific Bank.

Nearly half of the locally headquartered banks in Snohomish County disappeared in the financial crisis. Those that made it through have been rewarded with slow but steady growth and

the return of the local customer.

“Thousands of former community bank customers, who were acquired as part of bank failures and acquisitions over the past few years, continue to move back to local community banks again,” said Mark Duffy, CEO of Everett-based Mountain Pacific Bank.

People want local access to management, Duffy explained. They want someone local to make a decision about their loans and not a nameless, faceless person from out-of-state.

They want the ability to meet with the CEO in his office.

Customers can choose from several local institutions. In Snohomish County, Prime Pacific Bank was founded in 1995

Prime Pacific is a fullservice bank with both personal and commercial lending. The company’s goal is to focus on the needs of small commercial businesses, Deutsch said.

Founded in 1997, Everett-headquartered Coastal Community Bank has investment services in addition to personal and commercial banking and lending. The company has experienced ongoing growth, according to CEO Eric Sprink, and profitability is up 51 percent.

Everett-headquartered Mountain Pacific Bank returned to profitability this year. The bank was founded in 2006 and came near to closure when it was hit with a cease-and-desist order from the Federal Deposit Insurance Corp. in 2009.

credit union. Last year, the company went public with FS Bancorp as its holding company.

FS Bancorp reported 2013 second quarter net income of $1.1 million, or $0.36 per diluted share, compared to $621,000 for the same period last year.

According to Joe Adams, CEO of 1st Security Bank, the company is committed to core values of service that make it a great place to bank for both personal and business banking customers.

Adams said, “2013 has been a tremendous year for the Bank in pursuit of this goal with increased earnings, excellent deposit and loan growth and wonderfully evolving relationships with the communities we serve, especially in Snohomish County.”

Pacific Crest Savings Bank, located and headquartered in Lynnwood, began its life in 1984 as Phoenix Mortgage. It later

converted to a Washington state-charted, federally insured savings bank in 1998.

Pacific Crest Savings Bank offers a variety of

checking and savings products as well as specialized loans for multifamily, commercial and residential properties and construction loans for builders. There

is an emphasis of online banking.

Pacific Crest Savings Bank CEO and co-founder Sheryl Nilson reported the bank has assets of more

than $163 million.

Lynnwood-based UniBank is the only KoreanAmerican bank still headquartered in Washington state. Last year, it tried to acquire troubled Pacific International but lost out to Los Angeles-based BBCN Bancorp.

Founded in 2006, UniBank has shown increased profitability for the past five consecutive years.

Total assets are at $188 million with a future goal of $500 million. It features both personal and business banking as well as lending.

UniBank has four branches but just one in Snohomish County that is also the corporate office.

The Bank of Washington started its life as The Bank of Edmonds.

Currently headquartered in Lynnwood, its five branches have personal and business banking as well as real estate services.

The institution recently named Marty Steele as its CEO. He comes to The Bank of Washington at a time when the company

has announced that it is poised for future growth.

But changes still occur in local banks. This doesn’t always result in closure.

Sometimes it’s just a move of headquarters to outside the county.

In Island County, for example, Oak Harborheadquartered Washington Banking Company, which runs the Whidbey Island Bank chain, just struck a deal with Olympiabased Heritage Financial Corporation.

The deal means the headquarters for the institution will move outside of Island County and result in the renaming of several branches. It’s a big step for the company that grabbed headlines in 2010 when it acquired City Bank of Lynnwood and North County Bank.

Wherever they are headquartered, most banks anticipate future growth as consumer confidence and the demand for loans increase. But most CEOs are happy to still be in business with a loyal customer base.

Community model endures at Edward Jones

St. Louis-based Edward Jones is one of the largest suppliers of financial products for individual investors in North America. There are more than 11,000 Edward Jones offices across the U.S. and Canada due to a unique business model that is designed to reach clients on the community level.

“Our model is one financial adviser and one branch office administrator per office,” explained Snohomish-based Edward Jones adviser Sterling Gurney.

“Advisers have the ability to choose where they want to have their office as long as it is a location that Edward Jones has researched that will support a financial adviser.”

As Edward Jones advisers are encouraged to get involved in the community where their office is located, most choose to set up within their own neighborhood if possible. That way their community involvement benefits friends and neighbors.

It’s a philosophy that goes back to Edward D. “Ted” Jones Jr., son of the founder. He believed that face-to-face contact and building relationships with clients were essential to success. Around 1955, he originated the two-person community office model that has become the Edward Jones standard.

to Gurney as he began his career as a financial adviser.

“I love working with Edward Jones because our philosophies are similar,” he said. “We both believe involvement in community is valuable.”

Gurney’s current involvement includes a place on the Snohomish Food Bank board and the board of Mari’s Place — a nonprofit that helps underprivileged children experience the arts. He is also involved with the Haven for Life Ministries board. It is a nonprofit that assists teen mothers and their infants.

“I am also involved with Snohomish, Lake Stevens and Sultan chambers of commerce,” Gurney said.

Gurney’s branch office administrator, Tammy Holten, is also involved in a

number of community groups and local nonprofits.

Each Edward Jones office is given the flexibility to market itself as desired. For Gurney, that includes a monthly coffee club at his office at 602 Second St. in Snohomish. It takes place on the first Thursday of each month.

This coffee club concept, followed by a number of Edward Jones advisers, isn’t meant to be a sales pitch, Gurney insisted. Those who attend get to hear about what is going on in the markets and in the economy. They can ask questions, join in the discussion and even change the subject to sports or other current events.

On Nov. 6, Gurney plans to bring an additional coffee club to the Sky Valley Chamber of Commerce office in Sultan.

“It may become a regular outreach of the Snohomish branch,” he said.

Once a customer decides to invest in Edward Jones, they find that their financial adviser or office administrator are easy to contact, another part of the business model. Gurney and Holten answer the phone themselves. Face-to-face meetings are standard with plan reviews on a regular basis.

“I like to think of Edward Jones as building custom plans for everybody,” Gurney said. “Each person has unique financial plans, unique challenges and unique goals. We help by customizing plans for every person.”

The company discourages high-risk,

low-cost stocks, unproven companies and commodities. Long term investment is encouraged rather than trading and there is an an emphasis on quality and diversification.

“Edwards Jones was ranked highest in investor satisfaction with full service brokerage firms, according to J.D. Power and Associates, in last year’s Investor’s satisfaction survey,” Gurney said.

There have been other awards as well.

In June 2012, Edward Jones was named the top full-service brokerage firm in SmartMoney magazine’s Annual Broker Survey. It also ranked at the top in REP magazine’s 2012 annual survey, where financial advisers from the nation’s six largest brokerages grade their firms’ products, quality, service and support.

Advisers seem to like working for the company. It was named one of the 100 Best Companies to Work For in America

by Fortune magazine in its annual listing.

In February 2013, Edward Jones ranked as a top company for training its associates on Training Magazine’s Top 125 list.

The company provides training for its new advisers. An initial two-month training course is designed to help them pass their securities exams. They then receive mentoring and additional training from established advisers. Gurney is one of those coaches.

It is, he explained, just another way of giving back to the community, an extension of the business model that forms his business.

Federal status makes banks cautious of legal pot industry

OLYMPIA — Community banks and credit unions are ready and willing to provide financial services to entrepreneurs in the state’s new legal pot industry.

But they aren’t able to, at least not yet.

Marijuana businesses, even ones that will soon be legally licensed in this state, are considered criminal enterprises under federal law, which makes handling their money a crime in the eyes of the Department of Justice.

Until the agency changes its outlook or Congress changes the law — and efforts are under way to do both — those getting into the pot business can’t open a bank account, secure a line of credit or obtain a loan from a federally insured financial institution in their neighborhood.

For those who make a living doing those things, it’s frustrating.

“We survive in our community and we prosper in our community by providing banking services,” said Denny Eliason, lobbyist for the Washington Bankers Association, which represents nearly all of the state’s 93 banks. “It is not a matter of do we want to offer these services. We’re eager to but we’re not willing because there is too much at stake.”

The landscape is the same for credit

unions.

“Our hands are tied,” said David Curtis, director of compliance services for the Northwest Credit Union Association, which has 104 members in Washington.

“Until we can get some official guidance, everybody is in a holding pattern.”Under the federal Controlled Substances Act, marijuana is deemed a dangerous drug and it’s illegal to grow, distribute and sell it.

In August, U.S. Attorney General Eric Holder said his department would not upend efforts of Washington and Colorado to implement regulated marijuana industries approved by their voters.

The agency will steer clear as long as the states run their systems in a way that prevents distribution to minors, keeps money from sales out of the coffers of gangs and prevents diversion of marijuana to other states where recreational use by adults remains illegal.

But the feds didn’t green-light banking and financial services.

The last time the department looked at the money side came in 2011 when it put out guidelines for how it would deal with medical marijuana businesses.

The message to banks was clear: don’t do it.

“Those who engage in transactions involving the proceeds of such activity may also be in violation of federal money laun-

dering statutes and other federal financial laws,” Deputy Attorney General James Cole wrote in the 2011 memo.

A lack of banking options won’t impede those who apply for a producer, processor or retailer license in Washington starting Nov. 18.

“We don’t require an applicant to have a business bank account,” said Brian Smith, communications director for the state Liquor Control Board. “During the investigation phase of their application, we may ask that they provide personal or business bank statements to verify source of funds.”

Without banking services, it’s not farfetched to imagine retailers keeping large sums of money in safes and paying taxes with suitcases of cash.

Gov. Jay Inslee and Colorado Gov. John Hickenlooper pointed out such concerns in an Oct. 2 letter to federal financial officials urging them to find a way to permit normal banking transactions, credit card services and other activities.”

Our states will soon be licensing hundreds of retail stores, each of which will, without a normal banking relationship, be forced to conduct business on an all-cash basis,” the governors wrote in their Oct. 2 letter. “This creates an unnecessary inviting target for criminal activity.”

Access to banking services and credit card processing is “a necessary component

in ensuring a highly regulated marijuana system that will accurately track funds, prevent criminal involvement, and promote public safety,” they wrote.

Among those receiving the letter were heads of the Treasury Department, Federal Deposit Insurance Corp. (FDIC), National Credit Union Association and the Comptroller of the Currency.

“We’re all talking. So much is in the hands of our federal counterparts,” said Scott Jarvis, director of the state’s Department of Financial Institutions. “Having all that cash running around doesn’t really provide the kind of safe environment the Attorney General has said he wants to see.”

If Jarvis gets asked his advice from a banker, he can’t provide much guidance.”We’re not telling them ‘no.’

We’re not telling them ‘yes.’ We’re telling them you have to make your own decision,” he said. “As a result I think everybody is sitting back and waiting.”

Representatives of banks and credit unions said any rule changes must be crystal clear on what will, and will not, be allowed.

“We are going to be cautious,” Eliason said. “It is an emerging industry. It is going to be a lucrative one. We want an ironclad assurance that we would not be putting charters at risk by banking this industry.”

Acquisitions and the Great Recession have trimmed the number of publicly traded companies headquartered in Snohomish County.

For example, Sonosite was acquired

by Fujifilm in December 2011 while Intermec was acquired by Honeywell at the close of 2012.

Almost all of the publicly traded companies still based within the county are clustered in Bothell along the biotechnology corridor.

Biotechnology generates a large portion of the state’s revenue and about 22 percent of those firms are located in Snohomish County. Many have a national, if not a global, presence.

An example is Biolife Solutions (ticker: BLFS). The company develops and manufactures bio-preservation media products that are used in medical and scientific research. Its key products are HypoThermosol and CryoStor.

The company’s website lists more than 85 clinical trial and hospitalapproved uses of its proprietary products. Mike Rice, Biolife Solutions CEO, has pointed out that the regenerative medicine market is projected to grow.

Recent reports seem to support that assertion.

Biolife Solutions announced record revenue of $2.3 million for the second quarter of 2013. It was also recently named one of the Best Places to Work in Washington State by Seattle Business Magazine.

Seattle Genetics (SGEN) is a Bothell-based biotechnology company focused on developing and commercializing antibody-based therapies for the treatment of cancer. Total Revenues of $73.6 million were announced for the second quarter of 2013.

The company’s first antibody-drug conjugates product, ADCETRIS (brentuximab vedotin), received accelerated approval from the U.S. Food and Drug Administration in August 2011.

Recently it also received approval with conditions from Health Canada.

ADCETRIS accounted for $35.7 million of the company’s net product sales.

Bothell-based OncoGenex (OGXI) is focused on the development of therapeutics that target treatment resistance in cancer. Custirsen and Apatorsen are two of the firm’s experimental drugs designed to block specific proteins that contribute to treatment resistance.

Treatment resistance is an ongoing problem for cancer patients, according to CEO Scott Cormack. The ability of tumors to adapt and develop resistance means that the company’s research efforts will be long term.

Second quarter revenue for OncoGenex was reported as increased to $6.3 million as compared to $2.4 million from the same period the previous year.

Marina Biotech (MRNA) is a Bothell-based biotechnology company focused on discovery and development of RNAi-based therapeutics to treat human diseases. Last year, the company suffered some major financial setbacks.

It recently sold intellectual property to California-based Arcturus Therapeutics for an undisclosed amount in order to solidify their position. CEO Philip Ranker also announced that the company intended to relocate to Cambridge, Mass.

HaloSource (HALO) is a Bothellbased global clean water technology company. It offers solutions to disinfect or purify water for a number of purposes including fresh drinking water, recreational use in hot tubs and swimming pools and for industries requiring environmental processing.

The company’s products include HaloKlear, HaloShield and HaloPure.

Overall revenue for HaloSource for the first half of 2013 increased to $5.9 million, up 2 percent from the previous year. Water purification revenue specifically was up 26 percent due to increased global demand while recreational water treatment revenue was down slightly.

One publicly traded company in Snohomish County that is not a biotechnology firm is Everett-based Zumiez (ZUMZ). The specialty retailer caters to the action sports lifestyle. It retails clothing, footwear, accessories, and gear suitable for skateboarding, snowboarding, and surfing.

Zumiez began as a single store at the Northgate Mall in 1978. It now features more than 500 stores located across the U.S., Canada and Europe. It also operates under the retail name and website of Blue Tomato. Zumiez acquired Austria-based Blue Tomato last year for 59.5 million euros.

Zumiez net sales for September decreased 6 percent to $58.9 million, compared to $62.7 million for September 2012. However, total net sales for the second quarter of 2013 increased 16.9 percent to $157.9 million up from $135.1 million the previous year.

New shopping center opens in Lynnwood

LYNNWOOD — The first business in a new retail center has opened at the intersection of 196th Street SW and Highway 99.

LA Fitness at 19800 Highway 99 is one of 15 businesses that will make up the Lynnwood Crossroads Shopping Center. The fitness company’s new gym opened on Oct. 17 and is located in one of six new buildings on the site.

“By the end of November, there will be four or five other (businesses) that will be open,” said Will Daniels, property manager with Bellevue-based Sterling Realty Organization. “They’re going to be fairly simultaneous.”

Other businesses set to be located in the Lynnwood Crossroads Shopping Center include Best Sushi and Teriyaki, Five Guys Burgers and Fries, Great Clips, Hop Jack’s, Qdoba Mexican Grill, Starbucks, Verizon, and Yogurtland.

Couple pleased with clothing line’s success Social media used to promote shirts adorned with the word ‘please.’

MARYSVILLE — Donald and Melissa McGhee have built their business around the magic word.

The husband-and-wife team in June launched a clothing line as a platform for people to use the word ‘Please.’ The Please Line, a part of their company, Curacy Apparel, offers a selection of shirts and encourages people to share pictures through social media while wearing items from the clothing line.

“Please just has so many different forms of a meaning,” said Melissa McGhee, 36. “It is so independent to each person.

That’s the thing I love the most about it. It’s so personal for every single person.”

The idea for The Please Line started over a year ago when the couple decided to begin their own clothing business.

They were brainstorming and thinking of one word to build it around when Donald McGhee, 46, threw out the word please.

It stuck.

The couple spent months planning to launch The Please Line. They visited a patent attorney, hired a business strategist and searched for a comfortable type of shirt before the June 25 official launch. The Please Line has taken off quickly since then, said Melissa McGhee.

Within the first two weeks, fashion blogger Nayla Carvalho E Silva reached out from Italy. The blogger for www.

VoguePillsFashion.com wore a fitted ladies T-shirt from The Please Line during Milan Fashion Week in September.

The contest allows small businesses to compete for a commercial that will air during the Super Bowl on Feb. 2. Melissa and Donald McGhee expected to learn if The Please Line is one of 20 semi-finalists in late October. A vote of more than 8,000 Intuit employees will determine the final four businesses. The business that earns the most votes in a final round wins the commercial spot.

Melissa McGhee admits she does think about what it would be like to win it all. The competition’s requirements that included making a 90-second video, have propelled her new company forward, she added.

“We would not have pushed the company this hard without this,” she said. “Even if this doesn’t happen for us we want to take the company to that level anyway so this is just pushing us in that direction.”

The Please Line also plans to offer customers the chance to print a word on the back of the shirts. Some ideas are love, live, forgive, and cure.

“We just think ‘please’ is a great word to express yourself because it’s polite and it’s accepted by everybody,” Donald McGhee said. “It’s just a word that’s not used as much as it should.”

Trivia’s no trivial matter for Mill Creek woman

EVERETT — Kage Nienhuser, a prekindergarten teacher, started her trivia service on April Fools’ Day. It’s turned into serious business for the 31-year-old Mill Creek resident.

She now hosts trivia five nights a week at various bars in Snohomish and King counties and plans to leave teaching at the end of the school year to focus on her expanding business, OutLoud Entertainment.

One recent night at the YNot Sports Bar and Grub on Hewitt Avenue, she picked up her microphone to begin five rounds of trivia. She wore a black-andwhite striped tie and quickly relayed the ground rules for the weekly event: Answers to trivia questions must be pulled from brains and not from technology, Nienhuser told a crowd of about 20 people ready to play the bar’s weekly game. Teams of up to eight players are allowed and those with the most correct answers after the final round win prizes.

“Rule No. 3 and this is my favorite rule of the night, you’re playing for gift certificates to the bar you’re sitting in, not for the right to keep your kidneys, so don’t take it too seriously,” she said.

Nienhuser, a teacher at Whole Child Learning Center in Seattle, started OutLoud Entertainment this year.

“Teaching has been such a wonderful, rewarding experience, but my home is behind the microphone,” she said. “If ever there was an inanimate object to be a soulmate to it’s me and the mic.”

Nienhuser remembers that as a teen she painted a wooden spoon to look like a microphone and used it in her car to sing along to her favorite songs. She also announced roller derby bouts in her home city of Spokane before moving to Seattle five years ago. She soon found herself back behind a microphone when an announcer failed to show up for an Everett-based Jet City Rollergirls bout. She continues to announce throughout the league’s roller derby season.

Nienhuser hosted pub trivia for Beat the Geek Trivia for more than a year

before starting her own business. OutLoud Entertainment has grown faster than expected, she said. That’s both exciting and terrifying, Nienhuser admitted, but nothing is causing her to slow down or get quiet.

“I don’t know many people that can feel as certain as I do now that I’m doing the absolute right thing in my life professionally,” she said. “I get emotional. ... Wait, there’s no crying in trivia.”

Trivia nights hosted by OutLoud Entertainment typically consist of two rounds of question-and-answer categories, a photo round, a music round and a random “grab bag” round. First, second and third place teams receive prizes, while the team that scores the fewest points is awarded the “Golden Cup of Loserdom.” Ties are broken with a game of Rock’em Sock’em Robots or Hungry Hungry Hippos.

Nienhuser makes sure trivia nights are entertaining and fun, said Lori Fisher.

The Everett resident regularly attends trivia with friends at YNot Sports Bar and Grub. Her team, The Misfits, missed out on earning first place by a point and added more people to the team to try to capture the top spot.

“I look over what the categories will be for the week, but I don’t really prepare that much,” said Fisher, adding that Nien-

huser “is a kick.”

Nienhuser said she tries to maintain a balance in the difficulty of her questions so that nobody answers every question correctly but nobody is stuck without a correct answer, either. She takes requests for trivia categories when possible — in one recent case, the history of Kenmore.

“If I can make that entertaining, forget about it, I’m gold,” Nienhuser said.

OutLoud Entertainment includes three other hosts and an operations manager.

Nienhuser is looking for an additional host. She would like her business to provide entertainment for more weddings and holiday business parties as it continues to grow.

Word of mouth has contributed greatly to the overall success of her business, Nienhuser said. She is grateful for the support of her husband, Armando, and others who have supported her.

Maria Stobie, owner of Whole Child Learning Center, said she’ll miss working with Nienhuser when the school year ends, but she is supportive of her decision to focus on OutLoud Entertainment.

“I see her energized by what she’s doing and what she’s creating, and she brings that to work,” Stobie said. “She lightens things up with her laughter. I think I will definitely miss that.”

Owner has faith in Bothell shop

BOTHELL — Anita Morgan is a woman of faith. And she’s found a way to make her faith her livelihood She is the owner of Alleluia Catholic Store in North Creek Business Park in Bothell in south Snohomish County.

A small staff runs the Bothell store six days a week. Visitors can find religious statues, books, movies, rosaries and many other religious items.

“People do shop online,” Morgan said. “But here they can come in to touch and feel.”

There’s an area for children and a newly set-up corner for speakers and groups to meet. An upcoming presentation on Camino de Santiago, a Spanish pilgrimage walk, will be given by two people who have made the trek in the footsteps of Saint James.

Morgan’s own path to Alleluia Catholic Store began in 1991 at a furniture store in Yuma, Ariz. Morgan had a small space in her store that she thought would be good to dress up with religious items. She told a friend in Seattle.

“I was just daydreaming to him out loud,” Morgan said.

The friend suggested that Morgan take some donated items for her corner.

But she was shocked when a moving van arrived at her store with a full inventory of donated religious items, enough to fill the new store.

Morgan called the store Santa Cruz and sold the furniture inventory before the doors were open. Eighteen months later, her boyfriend, John Morgan, asked her to marry him. She had two weeks to figure out what to do with her store.

“It was all in the Lord’s hands,” Anita Morgan said.

Within those two weeks,

a couple Morgan knew took the helm of Santa Cruz.

Morgan moved to the Pacific Northwest in 2001 and got married.

For years, she struggled to find a place to open a business like the one in Yuma.

Morgan had her eye on Country Village in Bothell as a site for a new Catholic store. With her husband’s support she opened a 550-square-feet business in 2008 at that location.

“I was her conscience,” John Morgan said. “We agreed to start on a small scale.”

But Morgan soon outgrew the space and while eating at a local restaurant with her husband she looked out the window and saw a “For Lease” sign.

“John said, ‘Its too expensive,’” Anita Morgan said.

She closed the store in Country Village and moved to the North Creek Business Park location. It wasn’t long before Anita Morgan

expanded the store and opened a second one in Kent.

Morgan’s vision for Alleluia Catholic Store is to eventually have a space where she has enough room for a larger children’s area and a bigger receiving area. She would also like an office instead of the converted bathroom she and her staff use.

Business at the store has increased, in terms of foot traffic, since opening in 2009. But the numbers are not up as much, Morgan said. She said she has faith in God and energy to see that her vision will grow and be a success.

And if customers can’t get to Alleluia Catholic Store, the store can get to them.

The Faithmobile is a long, red Catholic store on wheels that Morgan and her staff keep stocked up with items for those people in outlying parishes, city parishes, events and schools.

they see the Faithmobile, said Scott Paddock, business manager and Faithmobile coordinator.

“Everyone thinks it’s a brilliant idea,” Paddock said. “They want to know what they have to do to get it to their venue.”

The bus roams as far afield as Bremerton and other parts of Washington state as well as parking in Snohomish County for people to stop by and go inside to shop. Inside the spacious bus are items such as cards, artwork, rosaries

jewelry, and books. A television in the bus shows videos while people shop.

Morgan’s thinking behind the Faithmobile included the realization that if she were to rent a billboard for two years the message and advertising would be stagnant.

The Faithmobile reaches parishioners in outlying areas who can’t get to the Alleluia store. Churches in cities love the visits, too.

“We have a parish that wants us there very often in Seattle,” Morgan said.

Affholter picked for top post at Master Builders

EVERETT — Shannon Affholter didn’t earn a job leading the region’s largest homebuilders group through prowess with a nail gun or a circular saw, let alone making new subdivisions come to life.

It was the Everett city councilman’s government and business savvy that won over the Master Builders Association of King and Snohomish Counties.

When he started his new gig this month as the association’s executive director, Affholter crossed to the other side of a sometimes cozy, sometimes strained divide between the housing industry and local government. Those who know Affholter said they’re confident he has the skills to pull it off.

“They were looking for somebody who can handle a nonprofit organization, somebody who is outward-thinking and energetic,” said Lynn Eshleman of Pacific Ridge Homes, a member of the search committee that selected Affholter. “We had a list of qualities and experience that we were looking for and he fit those.”

The builders announced Affholter’s selection in early October after a fivemonth search that vetted more than 300 candidates.

“It’s a tremendous opportunity for me personally and professionally,” Affholter said.

The Master Builders Association is a federally registered nonprofit with annual revenues of more than $7 million. The group’s former executive director, Sam Anderson, earned a base salary of more than $200,000, before benefits. Its 3,000 members include multimillion-dollar corporations as well as one-man drywall businesses and smallscale remodelers.

The highest-profile part of the group’s mission involves representing the housing industry around Puget Sound by persuading governments to adopt growth-friendly policies.

The builders figured into one of the biggest controversies involving the administration of former Snohomish County Executive Aaron Reardon. In 2009, the county’s former planning director assaulted a female lobbyist for the association on a Redmond golf course, during an alcohol-fueled mixer for government planning officials and builders. As Affholter settles in, one priority for the organization is streamlining county and city building permits, Master Builders spokeswoman Allison Butcher said. The association also wants to work with local governments over the next year as they chart 20-year growth plans.

The group coordinates programs to help members pay for workers compensation, health insurance and special employee benefits. The association also stages home shows, engages in community service and helps train people for jobs in the construction trades.

“They’re more than a government affairs organization; they do a lot of great things in the region,” Affholter said.

The builders might be best known as a political powerhouse, with its members consistently among the biggest campaign donors in local politics. Affholter won’t be directly overseeing the group’s fundraising arm, which is governed by a separate board.

Affholter, in his 40s, is married with two children, who are in elementary and middle school.

He grew up in Toppenish, the son of a high school teacher. He said he learned about hard work on nearby farms.

“I’ve painted houses and I’ve built barns,” he said.

Affholter graduated from Pacific Lutheran University in 1991 with a bachelor’s degree in business administration, then went to work selling long-distance phone service. In 1996, he and his wife moved to Everett.

“We didn’t know a soul,” he said.

About 10 years later, he was mounting the first of two successful City Council campaigns.

Mayor Ray Stephanson called Affholter “someone of incredible integrity and honesty.”

“I think for the Master Builders and their board and their search process, they looked across the nation for their best candidate and they happened to find their best candidate from Everett,” Stephanson said.

“I think the world of Shannon, he’s a very bright guy who has a great background.”

Affholter’s professional resume includes stretches with Merck & Co., and Moss Adams LLP. Since early 2012, he has worked at Economic Alliance Snohomish County. He’s finishing up a master’s degree in business from Western Washington University.

“Of course he’ll be missed, but we wish him well. We’ll look forward to partnering with him in his new role,” said Troy McClelland, the Economic Alliance’s president and CEO.

ARLINGTON — The Angel of the Winds Casino, which drew more than 1 million visitors last year, has announced plans to add a $20 million, 125-room hotel.

Construction is scheduled to last 14 months.

“I would like to see a grand opening maybe on New Year’s Eve of 2014,” said Travis O’Neil, the casino’s general manager, on Oct. 23.

The casino, which opened in 2004 at 3438 Stoluckquamish Lane, is one of the last along the I-5 corridor to add a hotel, he said.

The five-story hotel will make the casino a destination rather than just a daytrip site, he said.

“It’s something the guests have been asking for quite a while.”

The project also will add more than 100,000 square feet onto the casino and include a new gift shop, smoke shop and drive-up entryway.

Bellingham-based Exxel Pacific has been selected as the project’s general contractor.

Plans for the hotel have been under con-

sideration for the past 18 months, O’Neil said. Casino staff went to members of the Stillaguamish Tribe to see “what we could do and what we could afford,” he said.

The hotel doesn’t aim to be a copy of the five-star, 370-room Tulalip Resort Casino, O’Neil said.

Instead, he said, it will fit the character of the casino, known by its advertising tagline, “The World’s Friendliest Casino.”

Room prices will be in the $100- to $120-a-night range with plans to offer promotional packages with discounts on those rates, O’Neil said.

A fence around the construction site has greatly reduced the parking on the south side of the casino, but parking on its north side hasn’t been affected.

Shuttles are available to help people navigate the area, O’Neil said.

The casino is expected to hire an additional 50 employees to work at the hotel. ”We are truly blessed to have an opportunity to add a hotel to our facility and provide more services to our guests,” Shawn Yanity, chairman of the Stillaguamish Tribe, said in a statement.

“Not only are we growing our tribal economy, but growing the local economy too by increasing job opportunities and tourism.”

Everett gives developer 1-year extension for hotel

EVERETT — A developer looking to build an eight-story hotel on a downtown parking lot will have up to an extra year to get the project under way, the City Council decided Oct. 23.

The estimated $27 million project is more than five years in the making.

Touchstone Corp. of Seattle already has failed to meet earlier construction timelines.

The extension will give Touchstone more time to line up financing, the main obstacle holding up progress. Authorization for the delay passed 4-1, with Councilman Ron Gipson opposed.

The developer can request up to four extensions, each lasting three months.

The first two carry a penalty of $25,000 each, the second two $50,000 each.

“Last week, I expressed concerns about Touchstone’s ability to obtain financing, particularly in light of another new hotel being constructed just a few blocks away,” Councilman Scott Murphy said.

Since then, Courtyard by Marriott has allayed some of those concerns with a letter stating that it remains committed to the project, Murphy said. When

the project is finished, the plan is for the 156-room hotel to fly the Marriott flag.

The city transferred ownership of the project site to Touchstone last winter.

The half-acre lot, long used for municipal parking, sits at the southeast corner of Colby Avenue and Wall Street.

Under the property deal, the city received no cash. Instead, Everett negotiated an easement valued at $1.1 million for parking space in the hotel’s future underground garage. Touchstone also agreed to strict project deadlines.

The developer in June met its obligation to secure $6 million in financing, but recently notified the city it would miss an Oct. 31 deadline to break ground because of difficulty lining up another $20 million.

If Touchstone fails to start the project within the next year, the city could claim $500,000 the developer was required to place in an escrow account. The city also could take back the property.

“I’m supportive of this amendment,” Councilman Scott Bader said. “I’m very anxious going forward and will obviously be eager, as we go quarter by quarter, to see Touchstone’s progress.

Obviously, they’ve been given many opportunities and extensions.”

A strike by thousands of workers at four major grocery chains was averted at the last minute when the two sides announced a tentative agreement on a new multi-year contract.

A day-long bargaining session culminated with a handshake at 5 p.m. on Oct. 21 to prevent the walkout by 21,000 employees of Safeway, Fred Meyer, QFC and Albertsons stores in Snohomish County and five other counties.

Checkers, baggers, meat cutters and other employees had earlier overwhelmingly endorsed launching the strike at 7 p.m. on that day had no deal been reached.

Many of those employees represented by the United Food and Commercial Workers regional locals 21 and 367 and Teamsters Local 38 in Everett had spent the days leading up to the deadline painting signs and preparing to walk a picket line. The total included 2,127 union workers in Snohomish County.

“Things have been intense for months. They were intense down to the wire,” said union spokesman Tom

Geiger. “The signs were in the trunks.

Things were as close as it can get.”

Instead, the two sides applauded the pact, which avoids the first grocery strike in the region since 1989. That walkout lasted 81 days. ”We are pleased to announce that we have reached a tentative settlement agreement with the unions that continues to preserve good wages, secure pensions and access to quality, affordable health care for our employees,” read a statement issued by Scott Powers, vice president of Allied Employers in Kirkland.

Powers served as lead negotiator for the grocers. Representatives of the unions and grocery store chains declined to discuss details of the deal.

Geiger said the contract language needs to be written up and then voted on by workers at yet-to-be-scheduled meetings.

Union leaders are unanimously recommending its ratification.

Grocery store workers across Snohomish, King, Kitsap and Pierce counties had been in contract negotiations since March with representatives of the four major grocers.

In late September, they voted to authorize a strike.

Everett firm’s owner indicted in federal bid-fraud case Associated Press and Herald Staff

The owner of an Everett aerospace-parts company is among those accused in a federal indictment of paying a former Boeing employee for historical bid and price information so they could win contracts to supply military aircraft parts.

Jeffrey Lavelle of Mukilteo, who founded and owns J.L. Manufacturing in Everett, was charged in the indictment along with Deon E. Anderson, from the St. Louis area; Robert “Bobby” Diaz Jr. of Alta Loma, Calif.; and William P. Boozer of Hacienda Heights, Calif.

The grand jury indictment was made public in early October in U.S. District Court in St. Louis. It charges Anderson and Lavelle with mail fraud and wire fraud, and Diaz and Boozer with fraud.

Anderson is a former procurement officer for the Boeing Co.’s Defense, Space and Security division, which is based in St. Louis. Lavelle and Diaz paid cash to Anderson for the non-public bid-history and pricing information, the indictment says.

Anderson allegedly provided the information without Boeing’s knowledge.

According to the indictment, Lavelle used the information from Anderson to prepare and submit about nine different

bids to Boeing on behalf of his company.

His company was awarded seven purchase orders to supply military aircraft parts to Boeing, totaling more than $2 million. The alleged fraud took place between May 2011 and last April.

Boozer owned Globe Dynamics International of Santa Ana, Calif., which also produced machined parts and assembled complex pieces for Boeing. Boozer submitted bids for about 16 different Boeing contracts, and Globe Dynamics was awarded seven purchase orders totaling more than $1.5 million.

Diaz owned Inland Empire and Associates of Las Vegas, a consultancy for defense manufacturers and parts suppliers. The indictment says he advised Lavelle.

Lavelle and Diaz paid cash to Anderson, the indictment says, at meetings in California or St. Louis, or Diaz would mail money orders from California.

The indictment does not state how much money changed hands between the defendants. But it states that three money orders, each worth $900 to $1,000, were seized from Anderson as well as $10,200 in cash.

J.L. Manufacturing’s facility at 12310 Evergreen Way in south Everett was raided by the FBI in May, but at the time the FBI would not discuss the case.

Store appeals ‘crazy fine’ for food assistance violations

A market in Lynnwood is facing a fine of more than $29,000 for letting undercover government workers use federal food assistance to buy items that aren’t eligible for the program.

To wit: a package of metal sieves, two mortarand-pestle sets, a box of henna and a teapot, all totaling less than $54.

In a lawsuit filed in federal court in Seattle in late October, JD’s Market argues that the $29,214 fine imposed by the U.S. Department of Agri-

culture violates the 8th Amendment of the U.S. Constitution, which prohibits excessive fines as well as cruel and unusual punishment. The amount of the fine is determined by federal regulations.

“We got a crazy fine on us,” Raja J. Javed, the husband of one of the

owners. “We had a couple of employees, they made a mistake.”

JD’s has been in business 12 years and caters to Muslim residents by selling items they can’t find elsewhere in the neighborhood, such as halal meat, he said.

in the Supplemental Nutrition Assistance Program, a federal program that provides millions of low-income individuals and families with electronic benefit cards they can use like debit cards to buy food. The store does half its business with program beneficiaries, he

From December 2012 to January 2013, the USDA’s Food and Nutrition Service conducted a “compliance check” at the market to see if the food assistance was being spent appropriately there.

Undercover personnel went into the store six times, and on five of those occasions, they used the benefit cards to buy “ineligible” items: an $11 teapot, mortar and pestle sets that cost $13 and $16, an $11 package of sieves, and a $2.49 box of henna.

On the other occasion, the undercover worker asked to get cash back on a benefit card purchase — which is barred by law — but the clerk refused.

A spokeswoman for the USDA did not immediately return an email seeking comment.

JD’s filed an administrative appeal of the fine, arguing that it was excessive for a first offense and noting that it had taken steps to make sure it wouldn’t happen again.

Those steps included firing the employees who allowed the sales, retraining its other workers and installing a new pointof-sale system designed to flag purchases barred by the food-assistance program.

A USDA review officer upheld the fine. She pointed out that federal law mandates that first-time offenses result in a six-month suspension of participation in the program. However, if officials determine that such a suspension would pose a hardship to low-income customers who rely on the store, the six-month suspension can be converted to a fine.

The amount of the fine was calculated based on how much business the store conducts through the food-assistance program, said the market’s lawyer, Kenneth Kagan of Seattle. The fine handed to JD’s was disproportionate to the offense, he said.

“It’s a lot of money. It would be devastating to my clients,” he said.

Foss Maritime parent firm buys K-C site

EVERETT — Kimberly-Clark Corp. has agreed to sell the site of its former waterfront mill to the Seattle-based parent company for Foss Maritime Co., representatives for both sides announced in early October.

The deal with Saltchuk Resources could close next spring, if all goes well.

Under the plan, some 250 skilled maritime employees would relocate to Everett from Foss’ current location along Seattle’s Ship Canal, near Lake Union.

The former mill site would become home to dry docks, cranes and painting facilities. It also would be the winter home of vessels working for mines and remote oil drilling in the Alaskan Arctic.

”This will transform the waterfront in a very significant way, with a company I think we all really respect,” Everett Mayor Ray Stephanson said.

The water-dependent uses Saltchuk plans for the former mill site do not allow for public access, Stephanson said.

Foss says it is the largest U.S. tug and barge company on the Pacific Rim. The company reports about $435 million in annual revenues. It owns about 180 vessels and maintains two shipyards.

In addition to its own tugs and barges, it also performs maintenance on fishing boats, yachts and ferries. ”We see tremendous opportunity and potential for further growth at the Everett site, a deep-water port with unrestricted

waterways,” Saltchuk Chairman Mark Tabbutt said. “And we believe the redevelopment of this site as a shipyard and maritime complex will contribute a vital economic base to the Everett community. ”The company’s current location inside the Ballard Locks is inaccessible to larger ships.”

This decreases the market that Foss has been able to pursue,” Tabbutt said.

The Everett site, company leaders said, gives the company immediate access to a deep, saltwater port. They also hope for long-term growth. ”Two-hundred and fifty is the starting number” of employees, Saltchuk President Tim Engle said.

“We don’t know what the end number will be 10 years from now.”

families whose employment at the mill went back generations.

A City Council majority early this year rezoned the property to ensure that the immediate waterfront remains dedicated to maritime industry, though other uses are allowed farther from shore.

Major demolition finished up this summer. ”This is in the sweet spot of what we want to do our economy, which is to diversify and create family-wage jobs,” said Troy McClelland, president and CEO of Economic Alliance Snohomish County.

The Port of Everett, where McClelland serves as a commissioner, had shown interest in the mill property, but is now out of the running.Foss’ operations also are thought to be compatible with the security concerns of Naval Station Everett. ”We look forward to working with Saltchuk and Foss Maritime,” said Capt. James Duke, the base’s commanding officer.

For now, the 66-acre site remains covered in crushed concrete debris.

The state Department of Ecology is working on a cleanup agreement for

the land, which includes petroleum pollution and elevated levels of arsenic and other heavy metals.

Kimberly-Clark will remain responsible for that work. How to remove pollution from the waterway has yet to be addressed. New construction on the land is expected to take place simultaneously with the cleanup.

Foss is one of five different industrial groups within Saltchuk. Others focus on shipping, air cargo, trucking and fuel.

Saltchuk is a secondgeneration family business founded in 1982 and is based out of an office on Seattle’s Lake Union.

The company’s name means “saltwater” in the trade language known as Chinook Jargon. It employs 6,500 people nationwide, 800 of them in the Puget Sound region.

The price of the Kimberly-Clark land deal has not been disclosed.

It’s been in the works for at least six months. A four-month due diligence period is set to end in mid-January, followed by final closing details.

will continue at that location over the next several years. Headquarters for Saltchuk, and Foss, will stay in Seattle.

Foss was founded in 1889 in Tacoma. From the 1950s until the late 1990s, Foss was active in Everett, hauling wood chips for Scott Paper Co. ”It’s not so much a story of Foss coming to Everett, but Foss returning to Everett,” Engle said.

Because the company has yet to develop a site plan, it’s unclear exactly when the employees would arrive in Everett.

Three years might be a realistic time frame, he said.

Many of the people who will be relocated to Everett already live in Snohomish County, said Paul Stevens, president and CEO for Foss.

If the deal goes through, it could breathe new life into an economic dead zone where Everett city leaders have pinned hopes of attracting future bluecollar jobs.

It was founded by Norwegian immigrant Thea Foss in Tacoma’s Commencement Bay in 1889. A venture that started with a single rowboat soon expanded into a fishing fleet, ferries and cargo boats, according to a history on the company’s website.

These days, Foss is headquartered in Seattle. The company maintains 180 tugs and barges, as well as two shipyards for new construction and repairs.

It boasts of innovations in alternative fuels, including the world’s first hybridpowered tug and other vessels that run on liquefied natural gas.

Annual revenues are reported at $435 million. Foss makes its current home port on Seattle’s Fremont Cut, inside the Ballard Locks.

The location has limited the size of

vessels it can build and repair. That was a big factor in the company’s announcement on Oct. 2 that it would relocate 250 employees to Everett’s waterfront, where Dallas-based Kimberly-Clark Co.’s pulp and paper mill once operated.

Principals for Foss’ parent company, Saltchuk Resources, believe Everett gives them their best chance for growing the business.

“We studied every ice-free port from Dutch Harbor (Alaska) to Olympia,” said Mark Tabbutt, Saltchuk’s chairman.

The Foss family no longer ran the business by the time Saltchuk bought it in 1987. The new owners, however, maintain local roots, with headquarters in Seattle.

Unusual in the maritime industry, they also have a history of female ownership.

Tabbutt, Saltchuk’s chairman, and Tim Engle, the company’s president, are married to two of the three sisters who own the company. The sisters are the daughters of Michael Garvey, one of Saltchuk’s founders.

Leaders warn of ‘arms race’ with other states

EVERETT — Matt Yerbic is bullish on aerospace in Washington, but that has not deterred people in other states from courting one of the owners of Everett-based Aviation Technical Services.

And the offers are pretty darn good.

“They say we will build you a building for nothing, we will train your workers for nothing,” said Yerbic, the firm’s chief executive officer, at the Governor’s Aerospace Summit in early October at Comcast Arena.

The 1,200 workers of ATS repair, maintain and overhaul jetliners at Paine Field and in Moses Lake.

“Every single region of the country is knocking on doors like ours to say, ‘Think about us,’” he said. “What we have seen, we were a little bit taken aback by.”

Other states and regions are aggressive, Yerbic surmised, because they want what Washington has: an industry of 1,350 companies in 36 of the state’s 39 counties employing 132,500 people. Collectively, the industry accounted for 11 percent of gross business income

in Washington in 2012, according to a statewide analysis released last month.

Yerbic’s comments didn’t surprise anyone.

Rather, he was one of many during the two-day conference who called for Washington’s elected leaders to realize that the

state must compete or risk seeing companies depart.

Not the least of those firms is the Boeing Co., which could, many fear, choose another state in which to design and build the next generation of the popular 777.

Linda Lanham, executive director of Aerospace Futures Alliance, which hosted the summit, began the day with a warning of sorts.

She said lawmakers need to push for transportation improvements, reform of worker compensation and unemployment insurance, and a resolution on water quality regulations tied to the amount of fish citizens consume.

If they don’t, she said, Washington will find itself in an “arms race” with other states for aerospace businesses. “If we are to be successful, we must face reality.”

Bob Drewel, outgoing executive director of the Puget Sound Regional Council and president of the Washington Aerospace Partnership, delivered the same message in a softer tone.

Industry, government and labor worked together to win the 787 program, the KC-35A aerial-refueling tanker contract for the Air Force and, most recently, the 737 MAX, which is to be built in Renton.

The “together quotient” needs to be as high as it’s ever been to sway Boeing to design and build the new plane, dubbed the 777X, in Washington, Drewel said.

He insisted it’s not about making a political case to the company.

“We are working hard, very, very hard, to make the business case that Washington is the best place to build the 777X,” Drewel said.

Boeing is expected to soon announce where it will design and assemble the jetliner.

The firm now builds the 777 at Paine Field, seemingly giving Washington an edge against other

states competing for the work.

But Boeing officials are concerned about the effect of pending regulatory changes here and are always looking to cut costs.

They could choose to do some or all of the work in South Carolina, where Boeing builds some 787s and has been buying up land in North Charleston.

In the keynote address at the conference, Gov. Jay Inslee said he’s committed to making a strong case for Washington.

“We need to do everything humanly possible to protect and grow our position in this competitive environment,” he said. “We’ll have a chance to test our mettle in the next few months.”

The first-term Democratic governor laid out steps he’s taken so far, such as ensuring permitting is fast-tracked should Boeing need to build more factory space, and announced other action he’s willing to take, including extending tax incentives that benefit the aerospace industry through 2034. Those breaks, which helped secure the 787, are set to expire in 2024.

“If Boeing makes that commitment to the people of Washington, then I believe the people of Washington would be willing to commit to another 10 years of the tax incentive,” he said.

Inslee tackled two topics on which he and Boeing officials have been at odds: worker-compensation reform and water quality standards based on fish consumption.

He asserted that businesses pay lower rates in Washington’s worker compensation program than in South Carolina or California. And the state is getting injured workers back on the job more quickly, he said. He gave no indication he thinks reform is needed.

Fish consumption has been a touchy subject, since before he took office.

Federal law requires that water discharged into rivers and Puget Sound be clean enough to support fish that are safe to eat.

Standards for each waterway are tied to how much residents consume.

Washington is under pressure from environmental groups to increase the consumption rate that is the basis of that determination, a rate which hasn’t changed since 1992. That would mean tougher standards, which could require Boeing to make millions of dollars of water-discharge

improvements.

“What I want to do is what’s right for our state,” Inslee said. “This is a big decision. I want to assure you we will not finalize any rules until will we get answers to all questions we have. I really get how important this is to our state.”

Small businesses need a solid cash flow model

M

ost entrepreneurs know that ineffective cash management is one of the leading causes of business failure. It is also often the cause of hasty decisions regarding equity and debt — decisions they will often come to regret.

In good economic times and bad, cash flow is almost always an issue with small to medium sized businesses. Recent changes in our economy — including collateral damage from the federal government budget battles — are raising it to major headache level. Beyond this temporary situation, though, smaller companies are routinely horsed around by big corporations and government when it comes to paying their bills on time.

If you haven’t used your cash flow model recently, it should be dusted off, updated, and re-validated. If you don’t have a working cash flow model at all, this would be a great time to prepare one.

There are two kinds of cash flow that you should know about; one deals with the past and the other with the future. The first, the Cash Flow Statement, is one of the three essential parts of your financial statement and addresses two questions about your business: Where did the money come from and what did you do with it?

The other cash flow report is a model that addresses a different set of questions: how much money do we need to make payroll and our other expenses next month? It allows you to forecast the cash needs for your company — daily,

weekly, or monthly, depending on your requirement.

Because of the coming economic pressures on cash, forecasting your future needs should be given a high priority on your “to James do” list.

The good news McCusker is that cash flow forecasts for smaller Business businesses are not 101 that demanding in terms of accounting or math skills, and, even better, they are both informative and kind of fun. If you have never done one before, the Small Business Administration (SBA), through their Service Corps of Retired Executives (SCORE), has some templates that you might find useful. Their 12-month cash flow forecast template may be found at www.score.org/sites/default/files/12_ Month_Cash_Flow_0.xls . Also, most accounting software packages for smaller businesses have a cash forecast report already built into their system and provide instructions on how to set it up.

The greatest value of a template, or a software package, is in getting you past the dreaded “Inertia of The Blank Page,” which often dooms projects undertaken by busy managers and entrepreneurs. As useful as they are, though, neither a template nor canned software will do your thinking

for you. There is no substitute for your knowledge of the business when it comes to cash forecasting.

It is probably best to start by taking a look at last month’s cash outlays. List the payments by type — suppliers, utilities, bank loans, taxes, payroll, and any other expenses that came up. You may find payments for non-expense items and for items paid for up front that are expensed over a longer time period. Use your common sense and your knowledge of the business when deciding which payments are onetime cash outflows and which ones come due periodically.

Your check register can be used to ensure that the cash outlays for the month, less the one-time payments, equals the amount shown in your cash flow statement. This validates your model initially and gives you a starting place for the forecast.

Using a spreadsheet such as Excel at this point will make the forecasting model easier to calculate as well as more useful.

Last month’s cash outlays become the first data column in your spreadsheet. You can organize it to fit your business and your forecasting needs, but initially, at least, you will find it useful to group your outlays into recurrent and non-recurrent payments.

You may find it useful to split up the recurrent expenses into monthly and nonmonthly. Some taxes, for example, are recurrent but come due quarterly rather than monthly. Others are due in a matter of days after payroll.

The good news is that cash flow forecasts for smaller businesses are not that demanding in terms of accounting or math skills, and, even better, they are both informative and kind of fun.

Taxes are often the source of cash flow problems for businesses, and making sure that they are included in your forecasting system can avoid a situation where you cannot make a payment on time. Unless you have borrowed money from the mob and can’t pay it back, nothing will get you into trouble faster than missing a payroll tax payment to the Internal Revenue Service.

Your knowledge of the business becomes they key to forecasting its cash needs.

That, along with the monthly, quarterly, and seasonal cycle information you can calculate from your payments history, will form a solid cash flow forecast. It is an important step in managing your business instead of your letting your business manage you — and it’s well worth the effort.

Lead generation success requires a formal process

I

n writing a monthly column about growth strategies, my focus is on revenue generation and related topics. The core fundamental of increasing top line revenue is lead generation.

Does your company have a formal process for lead generation?

When it comes to lead generation, most small to midsize businesses do not have a formalized process. Some statistics suggest that two-thirds do not. My guess is that some of those companies hope leads will come in. I advise my clients that “hope is not a strategy.”

Your company’s lead generation strategy (or strategies) will depend on your industry and target market. If you are a business selling to consumers (B2C), the marketing department takes the lead. If you are a business selling to businesses (B2B), more of the responsibility falls on your sales team.

That being said, there is a difference between inbound and outbound lead generation. Generating leads for a consumer segment usually requires an inbound approach — marketing designed to attract prospects to the product. Some marketers refer to this as a “pull” marketing strategy. Targeting business segments typically neces-

sitates an outbound approach — selling efforts to take the product to the prospects.

Outbound lead generation is also referred to as a “push” marketing strategy.

Inbound marketing (B2C) involves getting your message out through a variety of communication channels.

The top five are — in order of advertising spend — television, online, newspaper, radio and magazines. Among the online channels, the top five are — in order of advertising spend — email marketing, search engine marketing (paid search listings), social media marketing, business directory listings and display ads.

Outbound marketing (B2B), in

addition to and in support of sales activities, channels include — top five in priority order — in-house email marketing, search engine optimization (organic search listings), social media (not paid ads), tradeshows and events, and third-party lead generators (such as outsourced telemarketing providers). Another outbound success factor involves Customer Relationship Management (CRM) technology.

Based on your business (industry and target markets), you may have both inbound and outboard lead generation opportunities. To determine the best lead generation strategies for your business, evaluate your products and services, your target market segment(s), and the most appropriate communication channels.

I recommend you involve both marketing and sales team members in the evaluation, at a peer level. There is often some tension, mostly within midsize and larger companies, between the marketing and sales departments.

Here is where I part company with most professional marketing people and accepted practices. I believe that the sales department is an “internal customer” of the marketing department.

That being said, marketing does not report to sales; however, the marketing department should support the sales process through lead generation tools, technology and media.

After evaluating all of the potential communication channels, through the lens of your products and markets, determine the best mix of channels; then develop and implement your formalized lead generation plan.

The number of channels you employ is in direct relationship to the human and financial capital at your disposal, e.g. smaller companies (with relatively small marketing budgets) should use few channels to deliver their message.

Finally, with all marketing investments, be sure to measure the return on investment for every channel so you can adjust and optimize your mix of inbound and outboard lead generation activities.

Above all, formalize your process. It will pay off.

Authenticity a premium in today’s digital world

W

ho we are 24/7 — our true authentic selves — is the new discussion in organizational leadership. Our engagement in the digital world now has us intentionally or, in many cases, unintentionally exposing us to others in ways we never were before.

The blending of our personal lives and choices with the work we do is now fully meshed.

Advancement, opportunities, project assignments, and sales leads tend to go to those who earn and deserve them.

Leaders of organizations are challenged, therefore, with what to do if an employee reveals something compromising about their personal life through digital means. Such behavior was unknown to his clients, co-workers and boss before the digital era. Can he be entrusted with a lead or a project if he is viewed as having less than complete

character because of a curious picture or post somewhere? Where’s the line between work and play?

Can you keep a form of freedom you like to exercise hidden from your Tom boss, clients, or Hoban co-workers? How does an individual’s Realty personal brand effect the compaMarkets ny’s brand and its social media strategy? It’s nearly impossible to avoid the digital trail you leave in all areas of our lives, so we are forced to answer these questions and organize the meshing of our personal and professional lives. You

can’t avoid it. We’re in a digital world as much as we are breathing the air around us.

This meshing, though, becomes simpler to manage when people of high character are involved, placing a premium on authenticity. A young sales associate asked me recently what he could do to accelerate is life plans and professional goals. Should he blog, alter his personal brand, change his tweet narratives, post differently on his Facebook page and change his LinkedIn profile, he asked. He’s a wonderful young man, well-rounded, principled, thoughtful and hard-working. I’m fortunate to have him in my company.

Rather than point to a list of things he should do, I suggested he might just stay the course and pursue a last-manstanding approach. Character issues he suspects are an element of concern

with some of his competitors will reveal themselves somewhere, I suggested, so he may just be able to separate himself from them and win more market share as they drop out of favor in the marketplace. His authenticity in all areas of his life is, effectively, his competitive advantage.

Mark Twain said that if we tell the truth, we don’t need to remember anything. But the truth is, we can compartmentalize this a bit. We’re human, too.

Our frailties are real and we all share them. We compromise our own values from time to time. Viewed one way, we can feel hemmed in by this digital era.

Viewed another, authenticity wins out and a form of freedom and success tied to virtues prevails.

If done correctly, your logo should tell viewers what you do and how you do it. If it succeeds in doing this, then you’ve made all advertising and marketing much easier because wherever you put your logo, your overall message will go with it. Every time you put your logo on a banner or in a TV commercial, regardless of what else is on them, potential customers will have an understanding of your company.

Now, flying in the face of this basic strategy are companies like Coke and Nike. Their logos are very well known all over the world yet say very little about the virtues of either company.

They can do this because they have established “what you do” and “how you do it” through millions of dollars in advertising. They don’t need to put it into their logo. Their logos, simply

by association with all this advertising, give them that level of consumer recognition and understanding. I’m going to assume that you don’t have millions to spend on advertising, David which is certainly Cook understandable.

How can your logo embody all this in one simple little combination of graphics and typography? “What you do” simply demonstrates the service you provide or the product you sell. The easiest way to do this is to make sure it is in your name. For example, a business of lawyers called “Ernst & Crowley” doesn’t tell you what they do. They could be a funeral home or accountants.

There’s just no way of knowing. If we added “Legal Services” to the name, we have then explained what services they provide. As an option, you could also incorporate into the logo a graphic of legal symbolism. You could also include it in a tagline like “Affordable and effective legal services.” With this tagline, Ernst & Crowley have satisfied both of the requirements, although trying to satisfy these requirements by putting it all into a tagline carries risks. By doing this, they must always use the tagline as an integrated part of the logo. Without the tagline, the logo won’t carry the entire message and thus not bring the biggest return on investment.

“How you do it” is the way you go about your business. This is harder to demonstrate. First, it requires some soul-searching. What sort of business are you? What do you want to be known for? What’s the positioning that will garner the right type of customer?

By positioning themselves as “affordable and effective,” Ernst & Crowley will forever get clients with high

expectations and a desire to spend very little. I’m not so sure this is the best position for Ernst & Crowley to be in as attorneys. With that in mind, always choose carefully what you say about your business.

Some ways to define “how you do it” is in your selection of typestyle. There are thousands of typestyles available, each one with a different look. Take some time to see the subtle differences each one possesses. The use of color can go a long way in reinforcing the type of company you are. Blue and green are cool earth tones, reinforcing a calm demeanor and focus toward nature. Yellow and red are warm tones, depicting action and movement.

With a logo that demonstrates the principles of “what you do” and “how you do it,” you will be well on your way to having a successful brand.

Get the facts about durable power of attorney

A

durable power of attorney (DPOA) is a valuable tool for almost everyone. It ensures the continuity of your financial affairs if you become incapacitated. It’s best to prepare your DPOA in advance, even though you may never need it, but there are a few caveats to keep in mind. Let’s take a look.

The choice is yours In essence, a DPOA is a legal document that gives a person of your choosing the authority to act on your behalf if you are unable to take action on your own — if, for example, you experience a devastating illness, incapacity following a major surgery, a serious accident or the onset of dementia. Although these are unpleasant circumstances to contemplate, it’s important to remember that the inability to pay bills or sell assets could undermine the wisest financial planning.

While a court could appoint a guardian to act for you in the absence of a DPOA, that process can be costly, slow and traumatic. In most cases, creating

a DPOA does not involve the courts at all. You can make your agent’s powers as limited or broad as you wish, including the authority to buy property, invest, sign contracts, Erin engage in tax planEddings ning, make gifts and plan for govFinancial ernment benefits.

Well-Being You may cancel or change your DPOA as long as you are not incapacitated, and you can even name the party or parties who will decide whether you are or not.

How to choose Your agent — called an agent or attorney-in-fact, though they need not be an attorney — should be someone you trust to manage your affairs, protect your best interests, maintain accurate records and keep your property sepa-

rate from his or her own. Some states allow multiple agents, but this can cause conflicts if they disagree. However, it is a good idea to name at least one alternate in case your first choice is unable to assume the role.

Some states require your attorneyin-fact to be a state resident. Because your agent may not be recognized across state borders, you may wish to execute a DPOA in each state where you live or work.

Standing or springing DPOA A standing or standby DPOA becomes effective as soon as you sign it, which means that your agent has immediate power over your affairs. If you’re not comfortable with that, you may wish to create a springing DPOA, which “springs” into effect once you become incapacitated. This allows you to maintain control for as long as possible, but problems may arise if there is doubt or dispute about your incapacity.

re you short on time but long on tasks? I’m sure you are the expert in your field and it’s better to take on all of those tasks yourself. It will just be faster if you do it yourself, right?

Not so fast… Delegating tasks and duties can be one of the most powerful efficiency tools that you will add to your tool belt of good habits.

Our time and attention can be pulled away in countless ways from what matters the most in our businesses. There are times when it is appropriate to delegate so we can maintain our focus and reach our goals while keeping balance in our lives.

The following two questions will help you know when it’s appropriate to consider passing a task, project or duty over to someone else.

How much money is involved to complete the task? If you are making $60 per hour you should not be doing $10-per-hour tasks. Let someone else take on those tasks so you can focus your energy where you can make the most money. An assistant or virtual assistant can be worth their weight in gold.

Are you an expert in everything?

I’m guessing not so much. We all have unique talents and a passion for the work that we are meant to share with the world. I know in my own business, my strengths lie in organizing, motivating and training. My strengths are not in web design or IT issues, so I delegate those tasks. I could spend

hours and hours (plus a lot of stress) trying to do work that I don’t understand how to do, or I can let an expert take the reins.

Now that you are warming up Monika to the idea of Kristofferson passing along some of those tasks that you Office dread or don’t Efficiency excel in, you are ready for the five Cs of delegation. Follow these steps to make the process of delegation seamless: 1: Choose the correct person for the job. Look for someone who can do those tasks as well as you can or even better than you can. When you choose the right person for the job, it will come easily to them, they will enjoy the work and it will get done faster. A win for everyone.

2: Clarify what you want done.

Be clear with your instructions about what needs to be done to complete the task. If the other person doesn’t fully understand what is expected of them they may procrastinate or do the work incorrectly, which will waste valuable time.

3: Confirm that the other person understands your request. If you have kids, you know what I mean here. You tell your child to do some-

thing and two days later, when it’s not done, their excuse is that they didn’t hear you or they didn’t understand what they were supposed to do.

When you are delegating work, make sure the other party fully understands your request by having them summarize what you are asking them to do. Catch misunderstandings now to save time later.

4: Create a completion date. Be clear on due dates and deadlines so there’s no confusion about when the work should be completed. Factor in unexpected issues or delays to the best of your ability.

5: Create a checkpoint date.

Depending on the size of the project, you may need to check-in one time or you may need to check-in several times. Ensure that tasks are running on time, the other person is holding up their end of the bargain and nothing is slipping through the cracks with checkpoint dates. Determine your method of contact in advance. Will you make contact with a phone call, an email or a face-to-face meeting?

Don’t think of delegation as a shortcoming or failure on your part. You don’t have to take everything on your own shoulders and you shouldn’t. Use delegation as a way to manage your time efficiently by using the amazing talents and resources that you have available to you.

Spelling out the details While there are do-it-yourself DPOA forms available, an effective DPOA requires a thorough understanding of your state’s laws and other factors. For example, authorizing an agent to give away your wealth before you die may create tax advantages for your estate, but it can also be an invitation to fraud.

Additionally, some third parties such as banks or insurance companies may be reluctant to honor a DPOA or may require customized paperwork. For these and other reasons, it is advisable to consult an attorney and financial adviser when drawing up your DPOA. Love it or hate it, data mining is here to stay

’m sure you’ve heard the old saying: “just because you’re paranoid doesn’t mean someone’s not out to get you.”

In this digital age that is truer than ever. People seem to be freaking out about the NSA supposedly spying on our emails and Sven phone call. Personally, I think that’s the least of our Mogelgaard worries when it comes to Tech Talk privacy.

Just a couple of weeks ago I saw a segment on ABC news about how Google tracks the content of your email. They use the content of your email to deliver ads to your Google mail and other accounts. In the segment, two reporters exchanged emails using their Gmail accounts, and these emails contained references to an upcoming fishing trip. Soon discount airfare ads and ads for fishing related material start showing up in their Gmail window.

I’ve seen this myself on Facebook. Not too long ago I visited a website to get information about my Plantronics Bluetooth headset. Within hours I started seeing an ad for a top-of-the-line Plantronics Bluetooth headset on my Facebook newsfeed. Before that, I had been searching for Dragon Dictate for my Mac. around $200, and that was more than I wanted to pay. I searched for coupons, but didn’t find anything. But by the next day there was an ad in my Facebook feed for Dragon Dictate at $99.

Needless to say I jumped on that opportunity.

I can promise you that the Internet services you interact with are certainly using the information you enter into your search engine, email, or Facebook posts. This is how services such as Google, Gmail and Facebook

keep their sites free. Not only do they generate revenue from selling ads, they likely make money selling demographic information to other businesses.

Whether they are compiling information and selling it to other businesses, it’s pretty apparent that search engine, social media sites, and other Internet venues are collecting information about what we’re doing, what were buying, and what we are looking for, and then using this information to target advertisements to the masses that are using their services.

Is this a bad thing? For me, the jury is still out. It sure helped when I was looking for an afford-

able price on software. And I imagine if I were planning a trip, looking for household items, or just trying to find deals on products and services I would be happy to have targeted ads.

But many people may feel that having Internet sites collecting and mining the information from their subscribers is an invasion of privacy. It’s not hard to imagine that personal information is available. If you have a Facebook or other social media account, you have at least some information in your profile. And what did you see last time you Googled yourself? Yep, these people have lots of information about you. And they’re not afraid to use it.

But as a business person, the idea of the ad that I buy on Facebook or Google being presented to potentially qualified customers rather than just randomly to anyone appeals to me. I would much rather spend my money on an ad that has the highest probability of generating a click than to just have random exposure. I would be more inclined to give my money to any online service that would demonstrate a higher ratio of clicks to sales. I’m sure that’s what Facebook, Google, and the other online services are counting on. If you are a business owner, it would only make sense to buy into a service that provided targeted and why would you spend

your money any other way?

This data mining probably will expand greatly over the next few years. You may find this growing trend annoying. You may even find it a little bit creepy. For me, I look at the bright side. There are benefits to be found. Like any other technology, people will try (and often succeed) in using these technologies for their personal gain. All we can do is learn to love it and just use common sense.
