Terms and Conditions Placing an Order: To place an order please call, fax or email your sales representative, or call our Corporate Office TOLL FREE at 1-800-353-9029 or fax us at 1-626-401-1687 during our normal business hours M-F 9:00 AM - 5:00 PM. Pacific Standard Time (PST).

New Accounts: In order to be a qualified reseller of Forplay™ products you must have a valid Federal Tax ID number (for all U.S. based businesses), California, Florida, New York, and Texas-based businesses must include a copy of their Business License, and all California-based businesses must also submit a copy of a valid Sellers Permit. International businesses must provide appropriate business license documentation. Please go to the Sign Up page to complete a New Accounts Application.

Initial Order: Once your New Accounts Application has been received, a Forplay™ Account Executive will contact you within 48 hours to help activate your account. Initial (first-time) orders must be paid by credit card and we require a $400.00 minimum initial order, or a $200.00 minimum order for existing clients.

Payments: Forplay™ accepts the following payment methods: C.O.D. (cashier’s check or money order), credit cards (Visa, MasterCard, American Express, Discover, Diners Club, JCB), and electronic funds transfer. All COD customers will receive one phone call confirming the amount of the order, shipping date, and payment type (cashier’s check or money order). Any refused C.O.D. shipments will result in a 20% restocking charge.

Credit Terms: Forplay™ offers NET30 credit terms to qualified applicants (including C.O.D company check payments) to existing customers in good standing. To apply for credit terms please submit a Credit Application and allow 10-15 business days to process your request.

Shipping: Forplay™ uses FedEx shipping methods, please read the following FedEx specifications, as some shipping standards have changed: 1. Effective January 1, 2006 all FedEx packages, with the exception of Ground shipments, have been subject to rates based on package dimension and not solely based on weight: Size Minimum Weight 18 x 12 x 5 6 lbs 12 x 12 x 12 9 lbs 14 x 14 x 14 15 lbs 16 x 16 x 16 22 lbs 29 x 17 x 15 39 lbs 28 x 16 x 5 12 lbs 2. Effective January 1, 2006 FedEx will charge an additional $3.00 for any shipments that require a signature upon delivery. Please note that Forplay™ will not be held liable for any packages lost once package has been delivered to the designated address.

3. Effective January 1, 2006 FedEx charges an additional $7.00 for shipments made to home-based businesses.

All orders placed before 4:00 PM (PST) will be shipped within 3 business days. Forplay™ also offers shipping upgrades including “Express Saver”, “2nd Day” “Overnight”, and “Priority Overnight” delivery services upon request. Orders that require shipping upgrades must be submitted before 11:00 AM (PST). International accounts may provide additional freight services, if required.

Cancellations: Forplay™ allows cancellation within a 24 hours time period of the time the order was originally placed. Any cancellation after 24 hours of the time the order was placed will result in a 20% re-stocking fee, no exception.

Returned Checks and Shipments: There is a $25.00 service charge for all returned checks. Returned checks will be given a 5 business day grace period to resolve. If we do not receive a response within 5 business days, your account will be placed on hold until all payments are made and your account becomes current. If we receive more than 3 returned checks within a 6-month period your account will be put on a pre-paid basis until further notice. All refused shipments will result in a 20% restocking charge, and all future orders will he held until payment is made.

Forplay™ actively reports delinquent accounts to all business credit bureaus including Dun & Bradstreet, Equifax, and Experian. Outstanding payments not paid after the 91st day of the original invoice due date will be turned over to collections. All fees associated to collection, including all attorney fees and court costs will be considered recoverable by Forplay™.  A 3.5% shipping and handling charge will apply to all orders effective 9/1/10.

Merchandise Return Policy To be eligible for credit, all returns must meet the following conditions: 1.Merchandise was ordered directly from Forplay Inc. and is supported by a Forplay Inc. invoice.

2.A Return Authorization (RA) number from our Corporate Office. A Returns Authorization Form must be submitted for all returns. An RA will not be accepted for in-store damages. Strictly items from the current collection will be eligible for return. If article is not currently available in the Forplay collection it will not be accepted. Refused returns will be shipped back to sender at sender’s expense or destroyed.

3.Only items having been issued a Return Authorization (RA) number will be accepted. Any additional items or excess quantities which have not been issued an RA number will be refused without question.

4.Claims, Returns, Authorization, Inquiries and Shipping Errors must all be reported within thirty (30) business days of the invoice date. Merchandise must be returned within thirty (30) business days of the invoice date.

Returns after thirty (30) business days of the invoice date will result in a restock fee of up to 50% of the invoice value. No returned merchandise will be accepted after sixty (60) business days from the invoice date.

5.Merchandise is in the original packaging. Returns will NOT be accepted if the returned merchandise is not in its original packaging, or if the packaging bears any hand written marks such as style and/or sizing, prices or security sensors. All stickers or labeling applied to the packaging or the merchandise itself must be removed prior to returning without any residue; otherwise a 10% service charge will be assessed.

6.Merchandise must be clean, unused, and in salable condition.

7.Merchandise cannot originate from any of the Forplay Inc. “All Sales Final”; Clearance or Blowout offers. All sales are final.

8.All UPC codes must be legible and unobstructed.

To expedite the returns and exchange process, please print out our Return & Exchange Form and carefully follow the instructions. The invoice number must be included in the Return & Exchange form; no exceptions will be made.

Any damaged items submitted for a return, resulting from production, will be repaired, replaced, or exchanged (for an item of equal value). Write your RA number clearly on the outside of the package, or the package will be refused by the Returns Department. We will exchange returned merchandise or issue a Credit Memo for the dollar amount within 30 business days.

Backorders: Merchandise that is not in stock will be automatically cancelled from your order, unless advised otherwise. Please include any cancelled items with your next order.

Intellectual Properties: All images, works of authorship (copy), graphics, and artwork (collectively known as “Creative Elements”) found on our websites, catalogs, advertising, and promotional materials are exclusively owned intellectual properties of Forplay™ Inc., unless otherwise stated.The use of any of our Creative Elements requires authorization from our Corporate Office. Please contact our Corporate Office if you are interested in using our Creative Elements, a signed release form will be required.

The uses of our Creative Elements are for the exclusive purpose of promoting and selling Forplay™ products ONLY. We do not permit use of our Creative Elements to promote other business or for adult related websites.

Sale of any of our Creative Elements is strictly prohibited.

Disputes: These Terms and Conditions are governed by the laws of the State of California without reference to the principles of conflicts of laws thereof. Any dispute arising from these Terms and Conditions shall be resolved exclusively in the state and federal courts of the County of Los Angeles.

Clearance, Sale, Overstock Items: All sales of clearance, sale and overstock items are FINAL. Any and all items purchased while on clearance or on sale will NOT be accepted.
