Acquisition of 1542 Constance Street Recommendation: Administration recommends approval of the sale of OPSB property bounded by Constance and Orange Street for appraised value adjusted for the cost of remediation and with provision that OPSB receives indemnification from Kingsley House with respect to all environmental concerns. OFFER TO SELL / AGREEMENT TO PURCHASE 6767 Bundy Road New Orleans, Louisiana

The Orleans Parish School Board, or its assigns, ("Purchaser" and/or "OPSB") hereby agrees to purchase from 6767 Bundy Road, LLC ("Seller" and/or "Owner"), the property bearing the municipal address 6767 Bundy Road, located in the City of New Orleans, Parish of Orleans, State of Louisiana. Description of Property: The property is located at 6767 Bundy Rd., between Lake Forest Blvd. and the 1-10 Service Rd, New Orleans, Louisiana, in an area of the City more commonly known as New Orleans East. Said property is a 210,006 SF office complex consisting of a three (3) - story, 130,133 SF office building integrated with, and connected to a two (2) - story, 87,304 SF data center; and situated on approximately 10.7 acres. Said propeliy is more formerly outlined in the attached survey (Exhibit A). The purchase will include all land and improvements thereon. The purchase will take place under the following terms and conditions: 1. Political Subdivisions of the State of Louisiana/Purchase Price. In accordance with the laws of the State of Louisiana, property purchased by a political subdivision must be bought at or below appraised value. The OPSB is a political subdivision of the State of Louisiana, Parish of Orleans. As such, Purchaser and Seller hereby acknowledge and agree that the purchase price shall be: Three Million Eight Hundt'cd Forty-Five Thousand -----------------------------($3,845,000). The Purchaser and Owner hereby acknowledge and agree that the purchase price shall be determined by an appraisal conducted by MAl Appraiser, and such appraisal shall be the maximum allowable sales price for the property. Thoreen Hale appraised the property on behalf of Purchaser by appraisal dated Febl'Uary 22, 2013 in the amount of$3,270,000.00. Owner disagreed with such appraisal and engaged a second MAl Appraiser, at its sole cost, to reappraise the propeliy by appraisal dated March 19, 2013 in the amount of $4,430,000.00. The final purchase price listed above is based on a blended appraised value substantiated by MAl appraisal. The property is to be sold and purchased, subject to all title and zoning restrictions, servitudes of record, laws and/or ordinances affecting the property. There shall be no deposit under this Agreement. 2. Due Diligcnce. Upon acceptance, Purchaser shall have at their expense, thirty (30) days to conduct all necessary due diligence deemed necessary to determine propeliy feasibility. Upon completion of such inspections, if PURCHASER is not satisfied with the present condition of the buildings or the inspection, PURCHASER may elect to terminate the agreement.


Agent or agents are not responsible for any oral representations made to purchaser and PURCHASER acknowledges that he has had an opportunity to investigate all pertinent facts, inspect the property and to seek advice from any professionals deemed appropriate for this inspection. Within seven (7) days following execution of this Agreement, Seller shall provide Purchaser a copy of its existing title insurance policy, exception documents, legal description, building plans or sketches, leases, property tax bills, insurance policies (binder pages) in force, any contract service agreements, repOlls, appraisals, and surveys in file, if available, and a boundary line survey reflecting any servitudes, cross easements, and rights-of-ways. Seller declared and Purchaser acknowledged that no environmental audits (or Environmental Report), demolition estimates or Engineering RepOlls are available. Seller will also provide any notifications in file from any governmental or regulatory agencies regarding the property. During the Due Diligence Period, Purchaser shall order a title commitment and survey for the Propelly at Purchaser's expense. Purchaser shall have a period of seven (7) days following receipt of the updated survey and title within which to serve notice of any title objections upon Seller. Seller shall advise Purchaser of which, if any, title objections it will cure and if Purchaser is not satisfied with any objection which Seller elects not to cure, Purchaser shall have the right to terminate this Agreement. 3. Waiver of Redhibition. Purchaser expressly agrees that the Propelly and all improvements and component patls, electrical systems, mechanical equipment, heating and ail' conditioning systems, built-in appliances, and all of the items located thereon shall be conveyed by Seller and accepted by Purchaser "AS IS, WHERE IS" without any wan'anties of any kind whatsoever, even as to size, zoning, operation, or suitability of such hidden defects and with Purchaser's full and complete waiver of any and all rights for the return of all or any patl of the purchase price for any such defects. 4. Certain Conditions. This purchase shall be subject to satisfaction of the following conditions during the Due Diligence Period: a.

Review of the property's Environmental Report.

b.

Review of the propelly's Engineering Report.

c.

After the execution of this Agreement and in consideration of Purchaser's effOlls and expenditures during the Due Diligence Period, Seller shall NOT market, solicit or consider offers to purchase the property from any other source during the term of this Agreement and shall cooperate fully in Purchaser's Due Diligence efforts.

5. Fees and Expenses. Seller agrees to pay for Seller's closing costs and the broker's commission. The Purchaser shall pay for the cost of a standard owner's title


policy and due diligence related items including the boundary line survey and closing fee. Purchaser and Seller will each pay the fees of their respective attorney.

6. Agency. Seller and Purchaser hereby agree to and acknowledge that Latter & Blum, Inc. / Realtors (Paul Richard and Drew Morock) are representing the Purchaser; and Talbot Realty Group (Bobby Talbot), is representing the Seller in this transaction. 7. Real Estate Commission. If this offer is accepted and actually results in a closing and sale, Seller agrees to pay Latter & Blum a three percent (3 %) real estate commission and Talbot Realty Group a two percent (2%) real estate commission both payable at closing. In the event the parties fail to execute an Act of Sale by the date specified herein, and/or a dispute exists as to ownership of, or entitlement to the Deposit, Broker shall abide by the Rules and Regulations set forth by the Louisiana Real Estate Commission governing such matters. 8. 1031 Exchange. Either party will cooperate with the other in effecting an IRS Section 1031 Exchange, if either party so desires, providing the accommodating party does not assume any additional liability or cost; and fmiher that such cooperation will not delay the Closing. 9. Act of Sale. Closing shall occur within sixty (60) days following approval by the Orleans Parish School Board; and such closing shall be executed before the Purchaser's Notary at the law offices of Aaron, PLC. The outside date for closing shall be August 30, 2013 (the "Closing Deadline"). Purchaser's failure to close on or before the Closing Deadline shall cause this Agreement to become null and void and neither patiy shall have any further duty, responsibility or liability thereunder. At closing, Purchaser must provide "good funds" if required by La. R.S. 22:512, et seq. Security deposits, if any, are to be transferred to Purchaser at Act of Sale. Purchaser shall be given possession of the property at the Act of Sale. A failure on the part of Seller to transfer possession as specified will not make Seller a tenant of Purchaser, but in such event Seller shall pay to Purchaser $100.00 per day as damages for breach of contract and not as rent. All other remedies, which Purchaser may have under the laws are reserved to Purchaser. Merchantable Title/Cnrative WOI路k. The Seller shall deliver to the Purchaser a 10. merchantable title at Seller's costs. Seller's title shall be free of liens and encumbrances except those that can be satisfied at Act of Sale. All costs and fees required to make title merchantable shall be paid by Seller. Seller shall make good faith effOlis to deliver merchantable title. Seller's inability to deliver merchantable title within the time stipulated herein shall render this Agreement null and void, reserving unto Purchaser the right to demand the return of a Deposit, if any, and neither party shall have any further duty, responsibility or liability hereunder. However, in the event curative work in connection with the title to the Propetiy is required the Seller and Purchaser agree to and


do hereby agree to extend the date for passing the Act of Sale to a date not more than thirty (30) calendar days from the date of the Act of Sale stated herein.

11. Real Estate Taxes. Assessments and Adjustments. Seller is to pay for the fees for mortgage cancellation and any recording fees associated with the cancellation, and Seller's prorated pOltion of real estate taxes, unless otherwise stated herein. Purchaser is to pay all other closing costs, unless otherwise stated herein. Purchaser acknowledges that additional funds may be required to complete the sale of this property, including, but not limited to, other closing costs, pre-paid items, and other similar expenses. Purchaser represents the Purchaser has the funds necessary to satisfy Purchaser's obligations, including any down payment, under this Agreement. Real estate taxes, flood insurance premium if assumed, rents, assessments and the like for the current year are to be prorated tluough the date of the Act of Sale. All necessary tax, mOltgage, conveyance, release celtificates or cancellations, if any, shall be paid by Seller. Seller shall pay all previous years' taxes, assessments owed and the like. All special assessments bearing against the Propelty prior to Act of Sale, other than those to be assumed by written agreement as of the date of the Act of Sale are to be paid by Seller. 12. Default of Agreement by Either Party. In the event a default of this Agreement by either party, the non-defaulting party shall have the right to declare this Agreement null and void with no fulther demand, or to demand and/or sue for any of the following:

Termination of this Agreement; Specific performance; Termination of this Agreement and an amount equal to 10% of the Sale Price as stipulated damages.

FUlther, the non-defaulting patty shall be entitled to retain or return of the Deposit, if any. The prevailing party to any litigation brought to enforce any provision of this Agreement shall be awarded their attorney fees and costs.

13. Choice of Law. This Agreement shall be governed by and shall be interpreted in accordance with the laws of the State of Louisiana. 14. Risk of Loss. The risk of loss by destruction or damage to the property by fire or otherwise prior to the closing of the sale is that of the Seller. If all or a substantial portion of the improvements on the property are destroyed or damaged prior to the closing and transfer of title this agreement shall be voidable at Purchaser's option and in the event Purchaser elects to void this agreement the earnest money deposited shall be promptly refunded. 15. Confidentiality. This Agreement, its contents, and the fact that the patties are considering the possible transaction and all negotiations and discussions concerning the subject matter of this Agreement shall be considered confidential information and shall not be disclosed to anyone other than a patty's representative, agents, or lender, or to anyone to whom disclosure might be required by law.


16. Final Walk Through. Purchaser shall have the right to re-inspect the Property within five (5) days prior to the Act of Sale to determine if the Property is in the same or better condition as it was at the initial inspection(s) and to insure all agreed upon repairs, if any, have been completed. Entire Agreement. This Agreement constitutes the entire Agreement between 17. the Parties, and any other agreements not incorporated herein in writing are void and of no force and effect. 18.

TRAVELERS INSURANCE COMPANY – NATIONAL FLOOD INSURANCE PROGRAM CARRIER Requested by: Tracey Griffin-Robertson, Director – Risk Management, Retirement & Benefits Departments Background: Orleans Parish School Board has received the premium renewal request for flood insurance coverage through Travelers Insurance Company. The approved coverage period ends 05/22/2013. The district has profited greatly through the services provided by Travelers Insurance Company. I submit that the value OPSB receives in the relationship far exceeds the cost of the support, $137,807 per twelve month period. Attachment FEMA is responsible for operating the NFIP (National Flood Insurance Program). FEMA contracts with insurance carriers to distribute the flood product to the public. Rates are promulgated by FEMA and used by the contract carriers. It makes no difference who the carrier is with the NFIP program except for grandfathering status. If an entity allows their flood coverage to lapse or cancel, they are subject to the most current rules and regulations of NFIP. Some rules and regulations are grandfathered by policy inception date. Therefore a lapse or cancellation of coverage usually results in a loss of coverage or added cost due to loss of grandfathering status. Based on the information listed above, it is in the best interest of the Orleans Parish School Board to continue coverage with the current vendor, Travelers Insurance Company. March 2013 Program Update OPSB & RSD Phase I Projects Program Financial Status The RSD has $249 million in open contracts for the Phase 1 capital program projects after issuing no new contracts and $973.8 thousand in change orders and amendments in March. In addition, the total change orders to date, $5.1 million, accounts for approximately three percent (2.3%) of the total open Phase 1 construction contracts. Finally, RSD anticipates issuing no Phase 1 construction contracts and $123 thousand in professional services contracts/ amendments in April.

The OPSB has $168 million in open contracts for the Phase 1 capital program projects after issuing $55 million in new contracts and no change orders and amendments in February. In addition, the total change orders to date, $2.6 million, accounts for approximately two percent (1.71%) of the total open Phase 1 construction contracts.
