MEMORANDUM OF UNDERSTANDING REGARDING ASSIGNMENT OF ALLEN BUILDING TO LUSHER CHARTER SCHOOL This Memorandum of Understanding (“MOU”) sets forth the understanding and agreement between Advocates for Arts-Based Education Corporation, d/b/a Lusher Charter School (“Lusher”) and Orleans Parish School Board (“OPSB”) for the assignment of the Allen Building to Lusher after it is transferred to OPSB and vacated by the New Orleans Science and Math Charter High School. The Board of New Orleans Science and Math Charter High School is pursuing a new location and has indicated that the school does not plan to stay at the Allen site.

In early 2009, then RSD superintendent, Paul Vallas, met with Lusher representatives and stated RSD’s intention to lease the Allen Building to Lusher when the building became available.

At that time, RSD controlled the Allen Building. Lusher understands that RSD intends to transfer the Allen Building back to OPSB in the near future. In reliance on Mr. Vallas’ representations in 2009, the Lusher Board began making plans for expansion of its enrollment.

In the spring of 2010, Lusher received approval from OPSB to add two kindergarten classes to be temporarily housed at the Jewish Community Center (the “JCC”) as an additional site. The program at the JCC has grown to four classes -- two first grade and two second grade. This site was always deemed temporary because it can serve only four classes of students. Two new kindergarten classes were not added this year because of the lack of acceptable space.

Lusher plans to grow the program into an elementary program that feeds into the middle and high school program on Freret Street and complies with Lusher's current student enrollment limit. Assignment of the Allen Building to Lusher is logical and in the interest of students, faculty and staff in that the Allen Building is located directly behind and adjacent to the Lusher Freret Street campus, enabling Lusher to include the Allen Building within a contiguous campus.

Lusher MOU For Allen

The new elementary program will respond to increasing public demand to create more seats in high-performing New Orleans public schools. Lusher currently has long waiting lists at each grade level and is eager to respond to this demand. Lusher’s Board is aware that temporary sites will have to be used until the Allen Building is available.

To enable Lusher to permanently house the students temporarily located at the JCC and to move forward with its plans to meet public demand for increased enrollment, Lusher is requesting that OPSB sign this MOU confirming its intention and agreement to assign the Allen Building to Lusher once the building is transferred to OPSB and vacated by the New Orleans Science and Math Charter High School. Lusher’s current Facilities Lease will be amended to reflect that all of the terms, conditions, and provisions of said Facilities Lease will be applicable to the Allen Building.

Lusher understands that RSD must transfer the Allen Building to OPSB, and New Orleans Science and Math Charter High School must vacate the Allen Building, before the building can be assigned to Lusher. However, OPSB’s execution of this MOU with Lusher at the present time will better enable Lusher’s Board and staff to move forward with expansion plans and initiatives, including fundraising to support moving costs and future repairs and OPSBapproved improvements to the Allen Building, and related initiatives.

OPSB represents that the assignment of the Allen Building to Lusher is in compliance with the dictates of OPSB Policy No. F606.

Lusher greatly appreciates OPSB’s execution of this MOU, which will enable Lusher to continue to fulfill its mission of providing an arts-based program of educational excellence to the students and families of Orleans Parish.

At our third community meeting for the Lake Forest Elementary Project, held on September 24, 2012, both the Board Member for that District, and the community solicited the OPSB Administration to accommodate the Lake Forest Administration to provide clearing and fill, on the remaining 9 acres of undeveloped land at the Greater St. Stephen’s Site. Also the concession was made to add an additional 35 parking spaces above and beyond the standard set by the current building code for a new school.

The current funding available for construction is for this project is $22,567,408.00. By the additional cost of clearing and fill, with additional parking, this increases the current budget for this project to $23,597,871.00

Charter School Code Compliance and Maintenance Summit

BACKGROUND:

On November 14, 2012, the East‐bank Collaborative of Charter Schools and the Louisiana Association of Public Charter Schools, with the assistance of the OPSB Administration, hosted a Charter School Code Compliance and Maintenance Summit to provide an overview to charter operators on critical facility issues and responsibilities. Presentations and group discussions centered on the work that we do and the codes and requirements that keep our children healthy, safe and secure and protect our school physical assets.

The half‐day Summit was attended by about 40 charter principals, CFO/business managers, facility managers, and others. All of the OPSB charters were represented as well as representatives from New Beginnings, KIPP, Dr. Martin Luther King, Sophie B. Wright, and other RSD schools.

Presentations were made by Dr. Ken Ducote, Frank Goelz, Paul Lucius, Tracy Griffin‐Robertson, Allison Lewis (Gallagher), and Dr. Paul Lo (MMG). Topics included the following:

December 5, 2012 REAL ESTATE CONSULTING SERVICES Requestor: Stan Smith, Chief Financial Officer On December 14, 2010 the Orleans Parish School Board approved the awarding of the real estate consulting services contract to Latter & Blum, Limited. In accordance with article 3.1 of the contract, the initial contract period was for one (1) year with an option to extend the contract for two (2) additional years. The first option year of the contract will end on December 13, 2012.

Latter & Blum has performed satisfactorily during the initial year (see attached vendor evaluation form).

RECOMMENDATION:

That the Orleans Parish School Board accepts the Administration’s recommendation to renew the Latter & Blum, Limited contract for real estate consulting services for the second option year and authorize the OPSB General Counsel to prepare a contract amendment not to exceed $185,000.00, which amount includes reasonable costs and expenses related to marketing and sale of surplus properties.
