OESA has partnered with Foley & Lardner LLP to present the webinar, Export Controls on Russia and the Impact on Automotive Suppliers, on Tuesday, March 8, 2022 via Zoom.
Sweeping sanctions and export controls issued by the U.S. government and other nations have immediately transformed Russia into one of the most-heavily sanctioned countries in the world. Companies that operate in Russia, have Russian affiliates, or otherwise conduct business with Russian parties are encouraged to attend this event, as well as those that have concerns about the impact of government sanctions and export controls on Russia.
Ann Marie Uetz, Christopher Swift, and Mike Walsh, partners, Foley & Lardner, will discuss how Russia’s invasion on Ukraine is impacting the global automotive supply chain, export controls, and government-imposed sanctions. The Foley & Lardner team will also discuss how suppliers can assess the potential risks before conducting any new commercial and financial transactions with Russian parties.
The webinar will also help organizations understand new licensing requirements, new entity and territory restrictions, and new Foreign Direct Product Rules (FDPRs) that impact the sale of certain products manufactured outside the United States. Discussion topics also include the prohibition of financial transactions with many of Russia’s largest commercial banks and impacts of sanctioning Russian government officials and President Putin.

Breaking the Code: Software Ts and Cs
March 11 | 8:30 - 10:30 a.m. | Virtually via Zoom
Special Terms and Conditions (Ts and Cs) for software and related items are becoming more and more commonplace for OEM customers. Several OEMs have already added software-specific language to their general Ts and Cs. How suppliers should approach software issues differs greatly from how they approach goods and services in a contract.
Supplier professionals in sales, purchasing, engineering and legal functional roles are invited to gain insight on the 5 major issues regarding OEM Software Ts and Cs at the 2022 OESA Breaking the Code: Software Ts and Cs. Presented virtually by seasoned attorneys Jennifer Dukarski and Mitchell Zajac, Shareholders, from Butzel Long, the event will offer insights on:
• The Reality of Software Warranties: Duration, Cost, and Breadth of Commitments
• Ownership under Software Ts and Cs: When Derivatives and Uses Translate to “What’s Mine Is
Theirs”
• Regulatory Risk and Guidance: How NHTSA’s Guidelines and Possible Critical Infrastructure
Regulations Impact Security and Design
• The Risk of Open-Source Strategies: The Impact of Your Software Bill of Materials, Copyleft and
Cascading Rights Under the Ts and Cs
• The Most Critical Part of the Agreement: What’s in the Software Specifications and What Is a
Defect?
Each topic will be covered with an emphasis on the areas of greatest interest to attendees. Deep-dive topics will be selected by polling throughout the session.
Following the presentations will be an interactive Q&A session with the Butzel attorneys facilitated by Ginger Juncker, Vice President, Programming, OESA.
