UAE vs Saudi Arabia Company Setup 2026: Costs, Timelines and Requirements Compared By Fazal Hashmi, Sr. Business Consultant, and Ishita Roy, Business Consultant, Noble Core Ventures · Last reviewed 16 October 2026 Short answer: The UAE is usually the faster first base. Most activities allow 100% foreign ownership on the mainland and in free zones, and Corporate Tax is 0% on the first AED 375,000 of taxable income and 9% above it. Saudi Arabia takes more steps (MISA investor registration, then a Commercial Registration and a stack of government accounts), but it is the larger domestic market, and since 2025 the CR no longer expires. Many of the founders we work with end up needing both. We wrote this guide because the comparison founders usually see is a list of prices with no source behind them. We have taken the opposite approach. Every rule below links to the government page or law it comes from. Where an authority does not publish a fixed fee, we say so rather than guess. Setup costs depend on activity, free zone, office and visa count, and any single "starting from" figure hides more than it shows.

What are the steps to set up in the UAE? The UAE government portal sets out the mainland sequence (Steps to start a business on the mainland): 1. Choose the activity and licence type (commercial, industrial, professional and others). 2. Choose a legal form, such as an LLC or a sole establishment. 3. Reserve a trade name. 4. Get initial approval. 5. Sign the Memorandum of Association where required, and secure premises (Ejari in Dubai). 6. Get any external approvals your activity needs. 7. Submit documents, pay fees and collect the licence. Free zones follow a shorter route on paper: choose the zone and activity, pick an entity type (FZE, FZCO or FZ-LLC, depending on the zone), reserve a name and apply online (Starting a business in a free zone). Mainland or free zone? Our rule of thumb is simple. If most of your customers are inside the UAE, or you want government contracts, the mainland usually wins. If you trade internationally, hold assets, or want a lighter office requirement, a free zone often fits better. The trade-off is market access. Free zone entities generally need a mainland licence, branch or distributor to trade directly onshore. Ask your free zone in writing what your licence permits before you sign.

What are the steps to set up in Saudi Arabia? For a foreign-owned company the order is: 1. MISA registration. Under the updated Investment Law, which took effect in February 2025, the old foreign investment licence was replaced by a registration with the Ministry of Investment (MISA). The activity must be open to foreign investment. MISA's Investor Guide asks for the foreign parent's commercial register and latest financial statements, authenticated by the Saudi embassy, and sets activity-specific capital or Saudi-participation conditions (Investor Guide). Most founders still call this "the MISA licence", and so do we in conversation. 2. Articles of Association and Commercial Registration through the Saudi Business Center. Once fees are paid, the CR is issued and the company is registered automatically with the Ministry of Human Resources, ZATCA, GOSI, Saudi Post (National Address) and the Chamber of Commerce (National Platform).

3. Activate the stack: National Address, ZATCA, Qiwa, GOSI, a bank account, then Mudad for payroll. Our post-CR checklist on Medium walks through this order. 4. Sector licences where the activity is regulated (for example municipal permits). The new Commercial Register Law also removed the old city-by-city sub-registers: one CR now covers the whole Kingdom (Ministry of Commerce).

How much does it cost? What we can and cannot tell you This is where most comparison articles go wrong. Neither government publishes one allin "company setup fee", because the total is built from many parts: UAE: licensing authority fees (these vary by emirate, free zone and activity), trade name and initial approval, office or flexi-desk rent, the establishment card, visas, medical tests and Emirates ID per person, and bank minimum balances. Free zones publish their own package prices, and these change often. Saudi Arabia: MISA registration and annual fees, CR and Chamber fees, office lease, and government fees per expatriate employee (work permit and iqama), which the employer bears (MHRSD). We have not put a headline cost in this guide because we could not tie one to an official schedule that applies to every founder. For an indicative figure on your exact activity, our Dubai mainland cost breakdown and Saudi company formation cost guide give worked estimates, clearly marked as estimates. What does cost money if you get it wrong is better documented: Penalty or cost driver

How long does each take? Honestly, it depends on documents, not on the authority. UAE free zones commonly process applications quickly once the file is complete. The UAE portal describes licences commonly issued within around 14 working days (u.ae), and bank accounts then take as long as the bank's KYC takes. In Saudi Arabia, the step that usually drives the timeline is getting the foreign parent's documents attested for MISA. CR issuance itself is online. We don't quote a guaranteed number of days for either country, and we would be wary of anyone who does.

Which should you choose? From our desk, three patterns come up again and again: Service business selling across the region: start in a UAE free zone, then add a Saudi entity when Saudi revenue or tenders justify it. Saudi government and many large private buyers prefer a local CR. Company targeting Saudi government or giga-project work: go straight to MISA and a CR in Riyadh. A UAE company alone rarely gets you onto Saudi vendor lists. Holding or trading group: use the UAE for the holding layer and the Saudi entity for operations, and plan the tax position on both sides before money moves.

Illustrative scenario, not a client case: a Dubai software consultancy wins its first Riyadh contract. The quickest workable route is usually to register with MISA, issue the CR, and have Qiwa and GOSI live before the first Saudi hire, rather than sending UAE staff on repeated business visits.

Frequently asked questions Can a foreigner own 100% of a mainland UAE company? Yes, for most activities, since the Commercial Companies Law changes in 2021. A short list of strategic-impact activities still carries restrictions.

Is the MISA licence still required in Saudi Arabia? Since February 2025, foreign investors register with MISA under the updated Investment Law instead of obtaining the former licence. The registration is still a precondition for the CR. What is the corporate tax rate in the UAE vs Saudi Arabia? UAE: 0% up to AED 375,000 of taxable income, then 9%. Saudi Arabia: 20% income tax on the foreignowned share and Zakat on the Saudi/GCC share. Does a Saudi CR need to be renewed? No. Under the Commercial Register Law in force since April 2025, CRs have no expiry date, but the data must be confirmed every year. Which country has the higher VAT rate? Saudi Arabia, at 15%. The UAE charges 5%. Both use a mandatory registration threshold of 375,000 in local currency. Can one company operate in both countries? Not as a single legal entity. You need a UAE licence for UAE activity and a Saudi registration and CR for Saudi activity, although one group can own both.
