Winona Lakes Property Association is pleased to announce the results of the 2013 election for three positions on the Winona Lakes Board of Directors. Congratulations are given to Robert Fenlon, Janet Foster and Steven Potestio, whose terms commenced immediately following the announcement of the results. Each director will be serving a three year term. In addition, Connie Rogers will be assuming the role of Ombudsman.

A total of 325 voting ballots were received by the accounting firm of William Owens and Company.

There were 20 ballots disqualified due to being received after the deadline and 15 ballots were disqualified due to lack of signature. This left 290 voting ballots to be counted. There were seven candidates competing for three open seats on the board, as well as one candidate running unopposed for Ombudsman. The specific results of the election, which took place on October 19, 2013, are as follows:

Robert Fenlon, a founding member of Winona Lakes Home Owners for Reform, has stated that his top priorities as Director will focused on road maintenance, bylaw amendment protection and annual due reduction. “[The new Board of Directors] will reinstall honesty, transparency and integrity,” he said. “There is more to be done better and better days lie ahead.” Robert said that he is committed to end the last two years of corruption and bylaw violation.

Janet Foster, also a member of Winona Lakes Home Owners for Reform, feels that her voice will be a strong representation of the Winona Lakes community as a whole.

“I have watched our community over these 25 years go from despair to greatness and back to despair,” she said. “I believe in transparency because it promotes trust and honest behavior.” Janet, who describes herself as a former fly on the wall, vows C o n t i n u e d o n pag e 9

By Bob Fenlon An Editorial Opinion: I want to wish all of the Owner Members and their families a very Merry Christmas and a Happy New Year! This is certainly one of the more challenging addresses. First and foremost, I want to thank all of the Owner Members who voted in this recent election. I also want to thank my fellow Board members for their confidence in me to once again asking me to lead as your presiding officer. It is an honor for me to assume this responsibility and I will give it my best effort to meet the expectations of both the Membership and its elected Board of Directors.

Roads Without question the highest priority of our new administration. Over the past two years (1) road in the entire Association has been given any substantial repair or improvement. That is not good enough. We intend to work toward an approved road plan to eventually bring to the membership for a vote. We will be addressing this in a more detailed manner as soon as we can get our arms around how much money we actually have to work with, along with a projection for additional funds necessary to improve the condition of our roads.

The Credit Cards Our new Treasurer John Kobiela and I have addressed this issue immediately with the support of the new Board majority. We are committed to transparency in all financial matters and it will be our commitment to you that a detailed explanation of what has come to pass in the last two years in regard to this matter. A copy of the letter you will receive in the mail is printed below.

Skiing Operations Over the last two years there has been an ongoing effort by the previous Board majority to open skiing despite what can only be termed as an overwhelming opposition from the voting Owner Members.

Attempts to allocate funds in the annual budget to a non-functioning operation under the charade of the ski lift as a “Scenic Tours Ride” not only undermines the decision of the majority of the voting Owner Members for the past five years, it denies the use of those funds for much needed repairs and maintenance of the community’s infrastructure. The political strife within our community will not end until the permanent closure of the ski slope is a reality. This is not a mean spirited measure; it is an imperative financial decision to ensure we can survive as a viable healthy community. The new Board majority is committed to this position and will wage the effort with the help of the majority of the Owner members until this is accomplished.

We have scheduled an Information Session for the general membership for February 15, 2014, 10:00 a.m. at the Winona Lakes Clubhouse. Legal counsel for the Association will be present at this meeting to answer questions from the Owner Members in attendance. The Board of Directors have drafted and approved all documents necessary to do this, including a non- revocable vote for each lot. This will be an open- ended vote. There is no time limit to conclude this vote and we are going to make every effort to bring this to a satisfactory conclusion.

The CPI and our Annual Dues Our Bylaws mandate that the Board of Directors increase the annual dues in accordance with the Consumer Price Index with 1989 as the base year. According to that calculation as per the opinion of a highly respected CPA, they should be $710.89 not the current $767.32. Under the new provisions of our Bylaws, only the membership can vote for a change to the base rate of the annual dues. I will make the motion to reset the dues to the proper amount on February 15, 2014, at the regularly scheduled monthly meeting of the Board of Directors. The result of the motion will be posted on the association’s website. If approved , a vote by the membership is required to make the change to lower the dues per the parameters of the By-laws.

The Budget We have assembled a highly qualified team on our Finance Committee to re-evaluate the current budget based on the association’s current collection rate. The committee will be looking at ways to operate effectively within the financial constraints as stated in the By-laws.

The Collection of Owner Members Personal Information Many owner members were taken back by the personal information requested on the form that accompanied the 2013- 2014 billing statement. This was done without Board approval. At the December 19, 2013 meeting, the Board authorized our new Secretary, Steve Potestio, to purge and destroy all Association records that contain inappropriate information.

ADMINISTRATION Special Notice to the Membership: December 20, 2013 Dear Owner Members, As the Association President in conjunction with our new Treasurer John Kobiela, we feel it is both our duty and responsibility to inform the Membership of some very troubling and disturbing information that came to light immediately following the October 19, 2013 Board of Directors Election.

Following the Re-Organization, I was handed a credit card with the former president’s name on it to which I responded, what’s this? Two days later I was handed a second credit card with the name of a former Community Manager on it. I have served on the Board over the past six years and in the capacity of President for four of those years and hand no knowledge of the approval or use of any credit cards.

As your elected governing body, only the Board of Directors has the right to borrow funds or enter into any type of debt on behalf of the Association.

Speci a l Notice to the Membership On Saturday, February 15, 2014 at 10:00 a.m. an special Informational Session will be held for the W.L.P.O.A. Owner Members in regard to the permanent closure of the Ski Operations. Legal counsel for the Association will be present to answer all questions in regard to the matter. All Owner Members are encouraged to attend.

7.3 - The Board of Directors shall be vested with the duty and obligation of determining all matters of policy and decisions of the Association and such other duties as set forth by these Bylaws.

Subject to the restrictions of these Bylaws, the Board shall have these duties: (H) To borrow money, enter into contracts, issue notes or other evidence of debt, for money or labor done or money or property actually received, and to secure any of its obligation of mortgage, pledge security agreement or Deed of Trust to any of its property franchises and income.

I immediately conferred with our newly elected Treasurer John Kobiela, and the other Officers as well as the Association’s counsel. In addition, we consulted with an accredited forensic accountant.

We were all in agreement the matter was very serious and should be fully investigated. We obtained the entire 24 months of bank statement that the credit cards were active. The amount of monies involved is approximately $50,000 dollars.

We contacted our 2012 auditor. He had no knowledge of any credit card accounts and had been given nothing in regard to the matter during his audit.

On November 24, 2013, an Emergency Meeting was held at which time the Board of Directors approved a full forensic audit of the credit cards and all associated accounts. This action is currently underway as of the writing of this notice to the membership.

The Board of Directors is committed to honesty and transparency; we fully intend to provide to the membership all information pertaining to this issue in a responsible and ethical manner.

f) Winona Lakes Property Owners Association Code of Conduct Policy (First Reading): The board accepted the first reading of the Winona Lakes Property Owners Association Code of Conduct Policy.

Robert Fenlon moved to appeal the ruling of the Chairman that the motion regarding the Judge of Elections is out of order. Second by Oscar Woerlein. The roll call vote was as follows:

Motion failed 2-5-1. Jeff Reichl moved to approve proposed Operating Budget #2, as recommended by the finance committee, which does not include any increase to the annual dues. Seconded by Ken Anders. Motion failed 2-5-1.

*Note: Due to the fact that neither proposed operating budget was approved, the attorney advised the Board that last year’s budget would carry over. h) Judge of Elections for the Annual Election on October 19, 2013: Lou Seneca moved to resolve the item under New Business: Judge of Elections for the Annual Election on October 19, 2013. Seconded by Jeff Reichl. Motion carried 5-3-0. Robert Fenlon moved to approve the hiring of an attorney to serve as the Judge of Election for the October 19, 2013 Annual Election for the Board and Ombudsman’s position. The motion stated that the Judge of Election shall have no previous history with the W.L.P.O.A. or any of its current Board members. Seconded by John Kobiela.

Based on counsel’s advice at the meeting, the Chairman, Ken Anders, ruled the motion out of order because it conflicted with existing Bylaw requirements imposing many such functions on the Association’s auditor. Therefore no vote was taken. *Note: Attorney Young also advised the Board of Directors concerning the Special Meeting called for 7/21/2013 at 10:00am, reminding the Directors that the legal counsel has offered an opinion on the Judge of Elections motion to the

Owner-Member Photo ID Cards Photo ID cards are free to members; Replacement cards are $10 each. Four (4) guest passes are allotted to each voting member per lot owned, free of charge.

Replacement guest passes are $3 each.

Tenant Photo ID Cards

Property owners are required to register tenants as per the Tenant Rental Policy adopted by the Board of Directors on May 18, 2012. Tenant Photo ID cards will be issued as long as the tenant has been registered and the property owner has surrendered over his/her rights to the amenities. Tenant Photo IDs are limited to six (6) per household and cost $10 each. Tenants do not receive guest passes.

See them as they cascade down through chunks of frozen ice and snow. Dress warm, wear sturdy boots, and bring a camera! Call to reserve a seat in the van.

• Cross Country Skiing Saturday, Jan. 18, 25 (9:00-11:00am) and Sunday, Jan. 19, 26 (1:00-3:00pm) Cost: $20 adult / $10 child Enjoy the winter woods with beginner ski lessons.

Learn the basics of cross country skiing and practice on an old logging road loop. You decide how many loops to ski. Skis, poles & boots provided - register w/shoe size to guarantee a spot.

• Family Ice Fishing Saturday, January 18 1:00-3:30pm Cost: $10 child / $5 adult Learn the basics of ice fishing and try your luck on our ponds. We provide all of the equipment.

Dress in warm layers. No fishing licenses required.

• Animal Tracking Sunday, January 19 10:00am-12:00pm Cost: Free for members $5 for non-members Animals leave behind clues that give us glimpses into their lives. Explore our natural areas for tracks, trails, scat, territory marks, eat marks, and other signs that animals leave as they travel through the fields and forests of the Poconos.

Insurance One of the greatest responsibilities a Board is charged with is making sure that the Corporation is both properly and adequately insured. At the December 19, 2013 Regular Meeting, the Board voted to change carriers and remedy potential gaps in our coverage. The Association strongly recommends all property owners carry an additional loss assessment rider on their property.

Web Site We are going to be posting information and documents on our web site which are too voluminous to be printed in the WinonaGram and costly to be sent to you in the mail. We encourage everyone to check the website on a regular basis for updates. A listing of what has been posted will be in the WinonaGram.
