Minimum Pricing Policy for Online Retailers

Luchi LLC enforces a strict minimum advertised pricing (MAP) policy. We hope that by bringing this to your attention and asking that you adhere to the details described below, we may avoid the necessity of creating a legally enforceable contract. The goal with this is to ensure that our products continue to be highly valued and that our brand is not tarnished. We also feel that competing on price hurts all of our partners and supporters, especially ones that operate with tighter margins or more overhead.

TERMS OF POLICY:

• Maximum 10% discount off our MSRP is allowed to be displayed online. Please find addendum wholesale sheet which highlights this pricing.

• Coupon codes may be offered for additional discounts only via target marketing such as email, newsletter or upon customer registration (visible only when logged in).

• Quantity discounts may be offered and displayed online, but the total possible discount may not exceed 10%. For example, if a product is marked 5% off MSRP, then the maximum discount for quantity purchases (2 or more) that can be provided is an additional 5%.

• Any discount beyond the maximum discount outlined in this policy must have pre-approval from Luchi.

We will monitor all of our resellers to ensure that the terms of this policy are strictly followed. We will also abide by these same terms on our own retail website, www.SproutLiving.com. ------

Each person signing this Agreement represents and warrants that he or she is duly authorized and has legal capacity to execute and deliver this Agreement. Each party represents and warrants to the other that the execution and delivery of the Agreement and the performance of such party’s obligations hereunder have been duly authorized and that the Agreement is a valid and legal agreement binding on such party and enforceable in accordance with its terms.
