Memorandum of Understanding Between

National Council of La Raza and _____________________________________________ (insert member organization name here) This Memorandum of Understanding (MOU) is an agreement between the National Council of La Raza (“NCLR”) and _____________________________________________. (insert member organization name here) I.

MISSION

National Council of La Raza (“NCLR”) is a 501(c)(3) organization incorporated in the state of Arizona that is working with the Campaign for Community Change (“CCC”), a 501(c)(4) organization striving to build the power and capacity of low-income people, especially low-income people of color, to change their communities and public policies for the better.

CCC is working with a coalition of partners to conduct the campaign to Reform Immigration for America (“Campaign”) to ensure the passage of just and humane immigration reform. CCC is the organization in the coalition responsible for building an activists and supporters list for the Campaign. NCLR has agreed to reach out to its Member Organizations on behalf of CCC and the Campaign.

PURPOSE AND SCOPE

The purpose of the MOU is to create a framework of cooperation between NCLR and Member Organization to assist the Campaign list-building effort, which the parties to this MOU acknowledge will benefit each of them.

III.

RESPONSIBILITIES

Each party will appoint a person to serve as the official contact and coordinate the activities of each organization in carrying out this MOU. The initial appointees of the organization are:

The parties to this MOU agree as follows: During the Initial Term of this MOU, Member Organization shall send a minimum of three email messages to Member Organization’s list of supporters about the Campaign, directing supporters to the website of the Campaign (“Campaign Website”) using the materials and URL provided by NCLR. Those messages will be sent in coordination with the Campaign “take action moments,” which will be identified by communications from Campaign staff to NCLR and passed along to Member Organization. The messages will contain a URL to link to the Campaign Website that includes a unique partner-code provided to NCLR by CCC (“trackable URL”).

Member Organization shall publicize the following text-to-join information in both their online and print materials related to the Campaign: “Join the fight for humane immigration reform by texting ‘Justice’ to 69866”. If the Member Organization’s audience is primarily Spanish-speaking, the Member Organization agrees to publicize the Spanish version of the mobile list, which can be joined by texting “Justicia” to 69866.

Member Organization agrees to add a hyperlinked graphic (“image”) provided by NCLR to its website.

The image will link to the Campaign Website, directing website visitors who click on the image to a trackable URL. Member Organization agrees to allow the use of its name and logo on the Campaign Website for the noncommercial purpose of promoting the participants in the Campaign. If Member Organization objects or disapproves of the way in which its name or logo is used, Member Organization shall promptly notify NCLR and CCC in writing.

NCLR shall provide Member Organization with drafts of the mass-emails, including sample language, graphics, and any other information or materials required. Each such mass email shall include or provide a place for inserting a trackable URL. The Member Organization may edit the language and presentation of the mass-email(s) to as needed to suit their audience. No such emails provided by NCLR shall contain any attempt to influence the election of any candidate for public office or otherwise be prohibited communications for organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code (“IRC”). However, the emails may contain material that constitutes lobbying as defined under sections 501(h) and 4911 of the IRC. Nothing in this MOU shall require any party to take any action that the party determines could cause it to exceed its limitations on lobbying expenditures or otherwise jeopardize its tax-exempt status.

Member Organization reserves the right to compile and edit its lists of supporters who will be sent emails pursuant to this MOU and to give the recipients the right to “opt out” of receiving further emails from Member Organization about the Campaign.

Through a separate agreement with CCC, CCC shall provide NCLR with comma-separated text file (CSV) that includes the name and all contact information collected from people who sign on via Member Organization’s trackable URL, including any new supporters who may sign up, on a quarterly basis.

NCLR shall in turn provide that same data to Member Organization.

Except as provided herein, CCC shall also provide NCLR, quarterly, with the contact information of the Campaign supporters within a 25-mile radius of Member Organization’s headquarters that did not come in via any partner URL (“untagged supporters”). NCLR shall in turn provide that same data to Member Organization, provided that in the event of overlapping geographic territory, the list of untagged supporters from the area of overlap will be split equally between the overlapping member organizations.

Alternative arrangements may be agreed upon by CCC, NCLR, and the local organizations involved.

Through a separate agreement with CCC, NCLR shall arrange for CCC to use the Campaign supporters and activists list to support the local organizing efforts of the Member Organization by messaging geographically defined segments of the list about Member Organization events and activities, as 5020587

appropriate. Requests by the Member Organization to send messages to the campaign list must be made to CCC at least 24 hours in advance. Any such request should include both the text of the message (limit 160 characters) and a comma-delimited list of the zip codes of the target audience. There must be a minimum of 200 recipients in the target audience. CCC shall have the right to refuse to send a particular text message for any reason.

V.

TERM

The Initial Term of this MOU shall be from the date of execution through December 31, 2009. The Term may be extended upon written mutual agreement of NCLR and Member Organization.

VI.

MODIFICATION/TERMINATION

This MOU constitutes an agreement between the parties hereto. This MOU may be modified, altered, revised, extended or renewed only by mutual written consent of all parties. Nothing in or done pursuant to this MOU is intended to, or shall, make either party the agent, partner or joint venturer of the other.

Either party to this MOU may terminate their participation in this MOU by providing at least 30 days written notice of intent to terminate, unless a lesser notice period is necessary under the circumstances.

VII.

AUTHORIZATION

On behalf of the organization I represent, I agree to this MOU and commit the organization to using its best efforts to fulfill its obligations in support of the objectives stated here.
