Tips on Parliamentary Procedure and Protocol for Board Members and Chairpersons Roberts Rules of Order is specified as the parliamentary authority for the National Association of Real Estate Brokers, Inc® pursuant to Article VI, Section 2 of the NAREB Bylaws (amended March 3, 2021 ) which state, “Roberts Rules of Order, latest edition, shall be recognized as authority governing the meetings of NAREB®, its divisions and committees, when not in conflict with the Constitution and By‐Laws of the National Association of Real Estate Brokers, Incorporated®”. Robert’s Rules of Order, which is also widely known as parliamentary procedure, was developed to ensure that meetings are fair, efficient, democratic and orderly. A skilled chairperson allows all members to voice their opinions in an orderly manner so that everyone in the meeting can hear and be heard. The following tips and reminders will help chairpersons to run a successful and productive meeting without being run over or running over others. 

Follow the agenda to keep the group moving toward its goals.

Let the group do its own work; don’t over command.

Control the flow of the meeting recognizing members who ask to speak.

Members speak once before allowing anyone to speak a second time.

When discussions get off‐track, guide the group back to the agenda.

Model courtesy and respect and insist that others do the same.

Help to develop the board’s skills in parliamentary procedure by properly using motions and points of order.

Give each speaker your undivided attention.

Keep an emotional pulse on the discussions.

Allow a consensus to have the final authority of the group.

Procedural Best Practices for Electronic Virtual Committee Meetings Article V, Section 4 of the NAREB Constitution & Bylaws stipulates, “At least two meetings other than the Mid‐Winter and Annual Meetings may be held by conference telephone or other means of remote communication.” Best practices for conducting tele‐conference, electronic / virtual meetings include those recommendations noted in Robert’s Rules of Order as follows: 1.

2.

The Secretary sends email to every member of the committee at least ten (10) calendar days prior to the planned meeting that includes the following information:  Date and time of the meeting  Telephone numbers, URLs, ID numbers, passcodes for sign‐in meeting access beginning at least fifteen (15) minutes prior to scheduled start of the meeting For electronic ballot voting and file sharing , members must maintain connection to the internet during the meeting.

3.

Members will announce themselves at the first opportunity during telephone conference meetings without interrupting an active speaker.

4.

The presence of a quorum will be established by roll call at the beginning of the meeting and upon appropriate demand of any member during the meeting.

5.

To seek recognition by the chair, members should use the “raised hand” feature on the internet‐based system (if applicable); or member will address the chair and state his/her own name.

6.

Motions, reports, exhibits submitted in writing can be delivered to the chair by uploading them to the file‐hosting / screen sharing feature in the internet‐based system (if applicable), and providing the URL or download link needed to access the file(s). Page 84 of 153

7.

Voting – All votes should be taken by roll call unless required under the rules or ordered by the committee/Board to be taken by ballot. When a vote is taken by roll call, only the number of votes on each side and the number of members present but not voting shall be entered in the minutes. If voting is conducted electronically using “on‐line survey tools” the secretary should post the question under consideration and the chair should alert the members the polls are open for them to cast their votes online. The polls should be closed not less than two (2) minutes after being opened by the chair. Business may also be conducted by “Unanimous Consent.”

8.

Technical malfunctions – Each member is responsible for his or her connection to telephone conference calls and to the Internet; no action shall be invalidated on the grounds that the loss or, or poor quality of, a members individual connection prevented participation in the meeting.

9.

Forced disconnections – The chair may order the secretary to disconnect or mute a member’s connection if it is causing undue interference with the meeting. The chair’s decision to do so is subject to an undebatable appeal by any member, that shall be announced during the meeting and recorded in the minutes.

10.

Loss of meeting‐room connection – Any business transacted while the meeting‐room speaker phone is disconnected from the telephone conference call is null and void, except the members present in the meeting room at such a time may take those actions that are in order in the absence of a quorum.

(b) Giving gifts or leaving objects that are sexually suggestive, repeatedly making sexually suggestive gestures, making, or posting sexually demeaning or offensive pictures, cartoons, or other materials in the workplace. A victim of sexual harassment can be a man or a woman. The victim can be of the same sex.

NAREB'S RESPONSIBILITIES UNDER THIS POLICY If NAREB receives an allegation of sexual harassment, it will take the necessary steps to ensure that the matter is promptly investigated and addressed. If the allegation is determined to be credible, it will take immediate and effective measures to end the unwelcome behavior. NAREB Board of Directors is the main contact point for questions or concerns about sexual harassment. It has the responsibility for investigating and overseeing investigations of alleged sexual harassment. The association is committed to ensuring that all investigations of sexual harassment are conducted in a prompt, thorough, and impartial manner. Supervisors and other responsible officials who observe, are informed of, or reasonably suspect incidents of possible sexual harassment must immediately report such incidents to the Board of Directors, which will either initiate or oversee a prompt investigation. The Board will seek to protect the identities of the alleged victim and harasser, except as reasonably necessary (for example, to complete an investigation successfully). The Board will 22

also take the necessary steps to protect from retaliation those employees who in good faith report incidents of potential sexual harassment. It is a violation of both federal law and this policy to retaliate against someone who has reported possible sexual harassment. Violators may be subject to discipline and or removal. Employees' Rights and Responsibilities Under This Policy Any employee who believes he or she has been the target of sexual harassment is encouraged to inform the offending person orally or in writing that such conduct is unwelcome and offensive and must stop. Employees are encouraged to report the unwelcome conduct as soon as possible to a responsible officer. In addition to reporting sexual harassment concerns to a responsible officer, employees who believe they have been subjected to sexual harassment may elect to pursue resolution in several ways, including: Mediation: Mediation is an informal way to resolve office problems using a trained mediator who facilitates communication between the parties to the dispute. If an employee chooses to attempt resolution through mediation, management is obligated by policy to send a representative to the table. If a resolution is not reached, the parties may continue to pursue their rights in any other appropriate forum. Resources Managing #Meto‐Harvard Business Review. Any such controversies should be submitted in writing for arbitration in accordance with the regulations of the applicable Real Estate Board and not in an action at law. The decision in such arbitration should be accepted as final and binding. When a cooperating “REALTIST” accepts a listing from another Broker, the agency of the Broker who offers the listing should be respected until it has expired and the property has come to the attention of the cooperating “REALTIST” from a different source, or until the owner, without solicitation, offers to list with the cooperating REALTIST; furthermore, such a listing should not be passed on to a third Broker without the consent of the listing Broker. Negotiations concerning property, that is listed with one REALTIST exclusively, should be carried out with the listing Broker and not with the owner. A “REALTIST” shall not solicit the services of any employee in the organization of a fellow REALTIST without the express written consent of the employer. A “REALTIST” shall not place a sign on any Property offering it for sale or rent without the written consent of the owner or his/her authorized agent. All complaints against a member of NAREB, that have not been addressed at the local level by local board or affiliate organizations, may be submitted in writing to the Chairman of the Board of Directors, subject to the NAREB Bylaws. o NAREB encourages all professionals in the real estate industry to become members of a local Board. NAREB Boards are located in many states across the country. Legislative Initiatives Each Regional Vice President shall set up a Legislative Committee in their respective regions. Regional Committee Each Regional Vice President should form a committee composed of three members selected from the Local Board Presidents and Officers (State officers may be included if applicable/feasible). The committee should meet before and after each NAREB Directors’ meeting or at least 4 times per year. In addition, there will be advanced meetings called to discuss and bring forth recommendations to the National Board of Directors if any. The purpose of the committee is to make sure the aims and objectives of NAREB® are accepted and carried out at the local level. In addition, the committee acts as a "listener" for local programs and issues that should be brought to the attention of NAREB®. Following the NAREB Directors meeting, the Regional Vice President should schedule a meeting of the Regional committee to review what took place at the National meeting and to discuss plans to implement the action items. In addition, plans for the dissemination of information regarding the National meetings to members at the local level should be reviewed. Regional Caucus Meetings It is recommended that during the National Convention, each Regional Vice President hold and chair a caucus meeting for members from the states who are attending the conference. The purpose is to review important agenda items that will be discussed at the Directors’ meeting and to make recommendations and suggestions to the National Association on how activities might be improved or new ideas implemented. If the Regional Vice President does not have a parlor, where the meetings are generally held, contact NAREB meeting staff to request meeting room accommodations. Meeting room accommodation is not guaranteed. Committee of Regional Vice Presidents (CRVP) Current elected RVPs shall elect a Chairperson to serve as the spokesperson for all RVPs. The NAREB RVP Chair serves as Chair of the Committee who is elected by the Regional Vice Presidents at the Annual National Convention. A Secretary is also elected. The Chairperson shall coordinate and conduct regular meetings of the RVPs. 21 | P a g e

The purpose of the committee is to provide a forum for the RVP to exchange ideas, develop strategic programs to actualize NAREB policies, and develop actionoriented programs to promote NAREB. It also provides a forum for the Board and RVP to formulate policies and plans and discuss matters that are important to the association. Many of the items discussed at the Regional Vice President meeting are also passed on to members at the district caucus by the Regional Vice President to familiarize local directors in each district with important items that might be discussed at the Director meeting. RVPs desiring time on the NAREB Board agenda should notify the RVP Chair. In turn, the RVP Chair shall notify the NAREB Board Chair in order to reserve space on the agenda.

Orientation with Local Board Presidents You may be invited to attend a leadership conference/meeting for all incoming officers. The primary purpose of the meeting is to provide the State Association officers and/or Local Board Officers with an opportunity to acquaint member board presidents and officers and committee chairs with information on the operation of the Association and the manner in which the efforts of all can be coordinated. Installation of State and Local Board Officers of NAREB Member Boards are encouraged to call on the incoming Regional Vice President to install all new officers. This is standard practice each year and the installations normally take place during the months of December and January or in accordance with the local board’s constitution. If two Boards schedule their installation meeting on the same date, it is recommended that the outgoing Regional Vice President be called on to assist with the installation of officers. Regional Reporting The Regional Vice President shall prepare a written report for the National Officers to be presented at each Board of Directors meeting. The format for board reporting is as follows:

A major focus of the national association is to present sufficient economic opportunities and training that will enhance the ability of the local sales licensees to serve their communities well and to create an increase in their annual income. The National Association of Real Estate Brokers has traditionally been a real estate trade association dedicated to the development and enhancement of the licensed community. With the Board of Directors' approval, NAREB will increase membership through the development of Subscription members. The increased membership will create an economic base for NAREB to advocate for more creative programs and increase the necessity for more lender partnerships. The partnerships will bring more benefits for licensees and improved loan products for Subscribers. Thus, more African Americans and other minorities will be able to buy homes. NAREB Subscription Membership (Constitution and By-Laws Article 3 section 1i) The National Association of Real Estate Brokers has traditionally been a real estate trade association dedicated to the development and enhancement of the licensed community. However, with the advent of non-profit housing organizations expanding their efforts to conduct real estate sales activities, in competition with the real estate licensed community, and the increased efforts by institutional lenders to meet the consumer directly, with homebuyer education and counseling, conducted by its retail staff, it is evident that NAREB members add this category of members to its service base. The increased membership developed through the Subscription Membership will permit NAREB to have an ongoing stream of contacts on which they can base future business. In addition, the increased membership base numbers will create an economic base for NAREB to advocate for more creative programs and increase the necessity for more lender partnerships. Further, affinity programs offered by lender partnerships can result in ongoing relationships after the sale of the home. Products such as car rental, hotel discounts, timeshares, and automobile purchase discounts can create an excellent continuous relationship for NAREB.

Parliamentary Procedures Parliamentary Procedures Basic Parliamentary procedure is used by the Board. The sample Agenda is: ▪ ▪ ▪ ▪ ▪ ▪ ▪ ▪ ▪

Call to Order Roll Call Reading and Approval of Minutes Reports of Officers (President, & Vice Presidents), Board Chair and Standing Committees Reports of Special Committees New Business Announcements/ Program Adjourn

Robert’s Rule of Order Robert’s Rules of Order is America’s foremost guide to parliamentary procedure. It is used by more professional associations, fraternal organizations, and local governments than any other authority. Parliamentary procedures are to facilitate the transaction of business and to promote cooperation and harmony. All meetings shall be governed by Roberts Rules of Order. ⮚ All members have equal rights, privileges, and obligations. ⮚ The majority has the right to decide. ⮚ A quorum must be present for the meeting. ⮚ Full and free discussion of every motion considered is a basic right. ⮚ Only one question at a time can be considered at any given time. ⮚ Members have the right to know at all times what the immediately pending question is, and to have it restated before a vote is taken. ⮚ No member can speak until recognized by the chair. ⮚ No one can speak a second time on the same question as long as another wants to speak a first time. ⮚ The chair should be strictly impartial.

32 | P a g e

Making Committees Work A committee, as understood in parliamentary law, is a body of one or more persons, elected or appointed by an assembly to consider, investigate, or take action on certain matters or subjects, or to do all these. To function effectively, a committee, and especially its chair, needs to have ▪ A list of committee members. ▪ A copy of the motion or problem referred to the committee. ▪ Special instructions to the committee, if any. - These instructions should include a statement of exactly what the committee is expected to do, and whether the question is referred to it for discussion, study, hearings, investigations, recommendations, or action; to include measures of accountability. ▪ A statement of the powers and duties of the committee; each member. ▪ Copies of all papers or correspondence relating to the subject assigned to the committee. ▪ Copies of any rules, policies, or decisions of the organization relating to the subject. ▪ Information on the type of report desired and the date set for its presentation. ▪ Reports from committees should minimally contain ▪ A statement of the charge to the committee ▪ A statement of the methods employed by the committee in accomplishing its charge. ▪ A summary of information gathered or work done. ▪ A statement of conclusions or findings. ▪ A specific recommendation, together with a rationale for that recommendation. ▪ The names of the members on the committee.

33 | P a g e

Committee Reports By whom should the report be prepared? Usually a member of the committee (often the chair or a recorder, but it could be anyone) prepares a draft of the report. All members of the committee should be given the opportunity to review and revise the draft before it is submitted. It is not the drafter's work product, but the product of the entire committee. To whom should the report be made? In most cases the committee is addressed to the appointing or supervising authority. Occasionally, particularly at the direction of the authority, a report may go to other individuals or organizations. What form should the report take? There is no universally mandatory form, but some principles help guide us. Reports should go forward with a written and an oral report; both should be planned carefully to be effective. Exactly what goes into each depends on a large number of factors: the audience, the nature of the problem and the solution, the time available, how much information is needed by the higher authority for decision-making, and so forth. The report should be prepared and organized to accomplish two ends: (1) to persuade the higher authority to adopt the report & its recommendations and (2) to facilitate the decision-making of the higher authority. A report need not necessarily be long (being too long may discourage anyone from reading it) but needs to be long enough to competently and persuasively present the plan and justify it to the higher authority. Whatever format is decided upon, the report should meet high professional standards: typed, spelled and grammar checked, etc.; a computer and printer make this easier. What content should the reports contain? The report should be written to have an impact on those who read it. After reading the content, the reader must be convinced the conditions the proposal seeks to remedy are serious enough to justify action , understand the details of the proposal and how it will remedy the problem conditions, and be assured that the proposal is practical, reasonable, and will bring no undesirable side outcomes. The reader must also believe the proposal is the best alternative. Although the content and organization of the content is flexible and should be adapted to each situation, several content elements are usually "necessary" to fulfill the functions of a report:

34 | P a g e

Executive Summary: Especially in longer reports, it is a good idea to have an Executive Summary in which the whole report (including purpose, problem, solution, rationale, and recommendations) is summarized in a few paragraphs, not to exceed one page in length. Explain the purposes of the report. Is it an interim or final report? Is it to outline factual findings, conclusions, or recommendations? Is it to summarize the actions of the committee or does it propose a project or program in solution to a problem? Preamble. A preamble or introduction contains boilerplate information (such as the name of the committee and the names of the members), a statement of the charge or mission given to the committee (making the organizational context of the report clear), and a review of the procedures used in the problem-solving process. Background. The report should give the necessary background on the nature of the problem, indicating a need for a solution. Succinctly and objectively, the committee's factual findings and conclusions about the nature of the problem, its causes, its effects, and related matters should be presented. Appropriate documentation should be given. If there is a large amount of material as a result of the committee's work, often this material is best summarized briefly in the report with supporting documents placed in an appendix. Proposed solution. The report should give a detailed presentation of the solution to the problem, including an implementation plan, organizational chart, and budget. An implementation plan can include such things as: Goals and objectives. Goals point to the qualitative ideals or values the solution supports; they inspire motive and enable unity of action. Objectives are the statement of particular activities which, if achieved, result in the accomplishment of the goals. Statement of personnel. From goals and objectives, we derive particular tasks that can be done by particular individuals. Often an organization chart makes clear the various task roles and their interrelationships. Reports should make clear what people will be assigned to and which tasks and task roles.

35 | P a g e

Space, materials, and logistics. The proposal must make clear what resources are needed, including facilities, communications, computers, telephone, mailing, etc. Finances and budget. Linked to the above, the costs of the program (personnel, materials, mailing, gasoline, etc.) should be clearly and accurately projected. If possible, the plan should also indicate the source of funds. Time. The report should project a timetable for the accomplishment of the various objectives and tasks to facilitate the operation of the plan. ● Who is to do what by when? Evaluation and impact. Proposals are more likely to be approved if the higher authority has a clear idea of how to tell if the investment of time and money was worth it. Explain how to evaluate the success of the program. Specify who will be affected or inconvenienced by the new program. Rationale. The report should make an argued defense of the proposed solution, generally including (1) how the plan will meet the need; (2) why the plan is desirable in light of relevant absolute and/or relative criteria; and (3) why the plan has advantages and fewer disadvantages compared to alternative responses to the problem, including doing nothing. Recommendation. The report should clearly present a request for the higher authority to take some action on the work of the committee; sometimes this function is done in the Preamble. For example, if the committee's function is largely advisory, then the report should request that the committee be informed of actions or decisions on the matters covered in the report. If the committee's role was to provide information, then the request might be that the receipt of the information be acknowledged. If the committee's role was decision-making or action-taking, then the request should be for feedback to guide future work.

FAQ: Q&A (3-10 answers below are from Cagle's Parliamentary Procedure - John A Cagle, Professor, California State University) Hi. I'm a consultant and I've got a non-profit board of directors that is hung up on a particular decision. I am confused about which rules are dictated by the By-Laws of the agency and which by Robert's Rules of Order.

1.

Answer: The By-Laws of the agency would take precedence over Robert's Rules of Order Newly Revised. State and federal laws prevail over the bylaws. The By-Laws state that normally, a vote carries with a majority of those present provided that there is a quorum. However, for this particular vote -- one of the most important that the Board has to make -- a vote can only be carried with a majority of the full board -- not the majority of the quorum.

2.

Answer: By-laws often contain such provisions. The question is, can those board members who are absent submit their vote in advance in writing? The By-Laws do not mention this. Does RRR address this?

3.

Answer: The simple answer is no. Proxy voting is prohibited under Robert's Rules of Order Newly Revised (p. 421) unless the bylaws specifically provide for it (or some higher law requires it--which generally is not the case but could be for a state agency or board.) The board could pass a motion to have a mail ballot, which would enable those absent to cast a vote on an important question.

4.

Answer: This method is not a form of proxy voting, but a ballot procedure often used. The chair of the board is under the impression that the chairperson votes only in the case of a tie. The By-Laws do not address this. Your web page suggests that this is not true. Where and how is this specified?

5.

37 | P a g e

Answer: See Robert's Rules of Order Newly Revised, p. 476 ff., for special rules governing boards. “The chair can speak in discussion without rising or leaving the chair; and, subject to rule or custom within the particular board . . . he can usually make motions and usually votes on all questions." The rules for boards and committees concerning the chair are different from the rules for plenary bodies or assemblies. However, just because they are different doesn't mean people understand that they are different and know the "proper" rules. There is a widespread and popular belief (albeit incorrect) that no chair ever votes, whereas in fact, a chair has a right to vote and even debate on a board. Note the wise advice from the authorities who wrote the Newly Revised version of Robert's, "subject to rule or custom within the particular board." If the chair of a board has never voted and people believe he/she ought not to vote, then it is probably better to follow custom. My advice on this is generally for the chair to discuss this matter with the board in advance and at the beginning of his/her chair ship so that everyone will have the same understanding of the "rules" in an "issue-free" environment. When controversy has stirred emotions, people get mad when the chair says, "Well, take this and like it." Why does the Chair of the House of Representatives not vote unless there is a tie?

6.

Answer: Because the House of Representatives does not follow Robert's Rules of Order Newly Revised; it has its own rules. Beyond that, there is a general parliamentary practice using that as an informal rule: Although the chair can vote (actually, even in an assembly), it "preserves the impartiality of the chair" if the chair only votes which his/her vote would actually affect the outcome--that is, when the vote would have the effect of passing a motion or (when voting to create a tie) to defeat a motion. Each time the chair votes, it is sort of saying "Look which side I'm on." In any event, that practice is the custom in many groups and is occasionally built into law as part of the bylaws. My goal is to have this person vote because, with other members absent, it will be very difficult to get a majority of the Board to vote together on anything and we need all the votes we can get. Suggestions?

7.

Answer: Your rationale seems sensible to me. The clarification about the chair's voting prerogatives should be made as a general clarification and basis 38 | P a g e

for everyone understanding what the chair's role is on the board. It is inadvisable to in any way tie this to a political rationale of getting enough votes on any specific issue. Are there a few principles of parliamentary law and procedures that can be helpful?

8.

Answer: Yes, Only the members of the Board of Directors have a "right" to speak. Generally, you would be on secure ground to tell someone they are welcome as a guest to observe the meeting, but that they will be told to leave if they improperly disrupt the meeting. That is a clear principle, unless your organization says otherwise in its bylaws or state codes give members a right to speak on their boards. After warning someone they are indecorous and disrupting the meeting and that they will be asked to leave upon further behavior, a chair can order someone to leave the meeting, even a member of the Board of Directors itself. Depending on the laws of state and/or city ordinances, the police or sheriff's office can be called to report disorderly conduct, etc. Some organizations have a sergeant-at-arms or a security guard. The courts have upheld an organization’s right to do so, even in the case where the guard has hurt someone by evicting them from the meeting. (The standards of not using excessive force are serious and germane.) I would advise evicting someone only as a last resort and only when the disruption is serious. Another principle is that the agenda is important and defines what and when things may be talked about. The person (or people) who call the meeting and issue the agenda has a right to enforce it. For example, if a group of people in a neighborhood invites everyone in the neighborhood to help plan an effort to put speed bumps on their street, the meeting is "for" speed bumps and to develop a plan. No one in the neighborhood can insist on even debating the merits of the need for the plan, because the invitation made it clear that the meeting was to develop a plan to get the city to put in the speed bumps. In such meetings, people disrupting the purpose of the meeting may be evicted. If you have a real problem, there is no simple and obvious solution. You have to use your personality, use a “supportive communication style," and seek allies to try to influence the people you've been concerned about. For example, you could 39 | P a g e

ask someone who is popular in the organization and also a persuasive speaker to raise a point of order about the disruptions; sometimes a forceful speech by another member can quiet people down. (It doesn't always work out that way, however.) A final suggestion: One way to deal with such disruption is not to eliminate it but to re-direct it. For example, the Board could put an item on the agenda to hear complaints and concerns from members not on the Board. With that, you may be able to ask people to wait until that portion of the meeting.
