Terms and Conditions of Business - MX UK 2017 Receipt of your order means you accept the following conditions
1. DEFINITIONS “The Company” means MX UK Ltd. “The Customer” means the person, firm, company or organisation whose order for Goods is accepted by the company . 2. GENERAL All quotations and orders accepted by the company are subject to these terms and conditions of business. 3. PRICES (i) All previous price lists are cancelled.. (ii) Prices of equipment listed are inclusive of carriage to Customer premises within the UK mainland on orders over £1795 Retail. (iii) Prices of spare parts are normally ex works. (iv) Prices are exclusive of VAT and are recommended retail prices in £ sterling. (v) All equipment is supplied at the price ruling at the date of despatch. (vi) Minimum invoice charge £10. 4. VARIATIONS The company’s policy is one of continuous development and improvement. Accordingly specifications and prices may change without notice in which case the Customer shall accept goods so changed in fulfilment of the contract. No such variation shall vitiate the contract. 5. TITLE AND RISK 5.1 Property of the goods shall not pass to the Buyer until the price of the Goods and/or Services and every other sum whatsoever which is due from the Buyer to the Seller whether under this contract or otherwise howsoever have been received by the Seller in cash or cleared funds. This clause shall apply notwithstanding that the Goods have been affixed to or incorporated in real or other property. 5.2 Until the property in Goods delivered shall have passed to the Buyer in accordance with clause 5.1 the Buyer shall keep the Goods in a fiduciary capacity as bailee and shall store them in such a way that they are identifiable as the property of the Seller and are separate from all other goods in the possession of the Buyer. 5.3 Notwithstanding clause 5.1 the Buyer shall be entitled to use or sell the Goods in the normal course of the Buyer’s business but only on the following conditions. 5.3.1 If the Goods at the time of sale by the Buyer remain identifiable and unincorporated and unmixed with other goods then the Buyer shall sell the Goods on behalf of the Seller as owner thereof and the proceeds of sale shall be held in trust for the Seller in a separate identified account. 5.3.2 If the Goods are prior to sale by the Buyer made up or incorporated in or mixed with other goods then if they remain separately identifiable the Seller shall retain title thereto and if they do not remain separately identifiable the Seller shall become a joint owner of the goods in or with which the Goods are incorporated or mixed in such proportion as the value of the Goods bears to the value of the goods in which the Goods are so incorporated or mixed. 5.3.3 If the Buyer sells the Goods or goods in or with which the Goods have been incorporated or mixed the sale shall be on behalf of the Seller as joint owner thereof as the case may be and the proceeds of any such sale (or the Seller’s share thereof if the sale is of jointly owned property) shall be held in trust for the Seller and in a separate identified account. 5.4 At any time before the property in the Goods shall have passed to the Buyer in accordance herewith the Seller may be notice in writing to the Buyer determine the Buyer’s right to use or sell the Goods and the Buyer shall thereupon at his own cost return the Goods to the Seller and shall cease to be in possession of the Goods with the consent of the Seller. At any time after the giving of such notice the Seller may enter upon any premises where the Goods are or are reasonably believed to be and may remove the Goods. 5.5 Notwithstanding the foregoing: 5.5.1 the Goods are at the entire risk of the Buyer from the time of delivery: 5.5.2 the Buyer shall not be entitled to return the Goods or any part of them unless the Seller shall have given a notice pursuant to clause 5.4 above relating whether exclusively or not to the Goods. 5.6 Nothing in this clause shall in any way limit or modify the Buyer’s obligation to pay for the Goods in accordance with these Conditions. 6. DELIVERY Delivery dates specified in writing or verbally are approximate only. The Seller accepts no liability for delay in delivery of for the consequences of such delay, however caused, nor shall the customer be entitled to reject goods by reasons thereof. 7. RETURNS No goods will be accepted for credit by the company without prior permission in writing. Any goods that are accepted for credit shall be returned to the Company at the Customer’s expense and will be subject to a handling charge. 8. GUARANTEE All new equipment is warranted for a period of twelve months in accordance with the terms outlined in the Operators Manual. Our Guarantee does not apply to any parts which are not of our make unless covered by a manufacturers guarantee. Save to the extent covered by those terms, the company shall not be liable in any circumstances for any loss, injury or expense, whether direct or indirect, which may arise for any reason whatsoever from any defect in or otherwise in connection with any goods supplied or work done by the company.
