MPSFMA MISSION STATEMENT
To encourage the collection and dissemination of scientific, educational and applied knowledge through association with those persons engaged in, and who are concerned with, the construction, maintenance and use of park and sports field areas for high quality and safe playing conditions. To provide educational grants that promote the park and sports turf industries. To support research and development of superior playing surfaces for park and sports turf facilities. To promote the development, design and use of related materials and equipment for the park and sports field industries. To promote and assist the national governing body of the Sports Field Management Association (SFMA) to fulfill its mission, goals and objectives.
Article A - Name
Section 1
BY-LAWS
This organization shall be known as the Minnesota Park and Sports Field Management Association (hereinafter referred to as MPSFMA)
Article B - Location
Section 1
The location and post office address of the first resident office of the MPSFMA shall be determined by the Board of Directors.
Section 2
The records of the MPSFMA shall be kept at its resident office.
Section 3
MPSFMA shall keep a membership register, giving the names and addresses of its members.
Article C - Purpose
Section 1
This Association is organized exclusively for charitable, educational and scientific purposes including which shall be: (I) To provide an organization for the professional education and cooperation of the maintenance of parks, sports turf and related facilities in the State of Minnesota. (2)
To encourage applied knowledge through association with those persons engaged in and who are concerned with, the construction, maintenance and use of park and sports turf areas for high quality and safe playing conditions. (3) To engage in charitable and scientific activities related to such educational purposes. (4) To do all other things which may be necessary and proper to carry out any of the foregoing purposes for which the Corporation is organized.
Section 2
To provide educational grants that promote the park and sports field industry.
Section 3
To support research and development of superior playing surfaces for sports field facilities.
Section 4
To promote the development, design and use of related materials and equipment for the parks and sports turf industry.
Section 5
To promote and assist the national governing body of the Sports Field Management Association (hereinafter referred to as SFMA) to fulfill its mission, goals and objectives.
Article D - Members
Section 1
The members of the MPSFMA shall be approved by the Board of Directors of the Minnesota Park and Sports Field Management Association. (Continued on Page 11)

Section 2
General Membership: Persons involved or interested in the management, maintenance, research or education regarding sports turf, park maintenance or related areas and upon payment of dues and approval for membership, may become active voting members of MPSFMAand are eligible to hold elective office.
Section 3
Commercial Membership: Commercial members shall be any company or individual who have paid the dues prescribed by the Board of Directors of the Association and who are active in the sale of products or services that are of value to or used by members of MPSFMA. Upon payment of dues and approval for membership, Commercial members become active members of MPSTMA and are eligible to hold elective office other than president.
Section 4
Honorary Membership: Honorary members shall be those persons who have been approved for membership by the Board of Directors of the Association in recognition of the honorary members' past services above and beyond the normal call of duty in helping the Association organize, promote and expand its activities for the benefit of all of its members. Honorary members shall not be required to pay any dues but shall have all the voting rights and privileges of active members
Section 1
All meetings shall be announced and held at such place as may be designated by the Board of Directors or its duly appointed representative.
Section 2
The Annual Meeting of the members shall be held on the date, time and place as determined by the Board of Directors for the election of the Board of Directors and Officers and the transaction of such other business as may come before the membership.
Section 3
Special meetings of the members for any purpose may be called by the Board of Directors, or upon written request of 10% of the members. Business transacted at a special meeting shall be confined to the purpose stated in the call and notice thereof.
Section 4
Notice of each regular and special meeting of members stating the date, time and place thereof and the general nature of the business to be considered shall be given before the date of the meeting by whatever media the Board of Directors deems appropriate to each member at their address as it appears on the records of the MPSFMA.
Section 1
The business and affairs of the MPSFMA shall be managed under the direction of the Board of Directors. The Board of Directors shall consist of the President, 1st VicePresident, 2nd Vice-President, Past President, Treasurer, two (2) Minnesota Turf and Grounds Foundation (hereinafter MTGF) Representatives, and four (4) Directors: Two (2) General Membership Representatives and Two (2) Commercial Membership (Continued on Page 13)
Representatives. All officers shall be elected by means of written or electronic ballot by a majority of the members casting ballots. The President, 1st Vice-President, 2nd VicePresident and Past President serve three (3) one year terms. The Treasurer, MTGF Representatives, and Directors serve two year terms. All Board of Directors shall be elected by the members.
Section 2
All actions of the Board of Directors shall be by a simple majority vote of the members of the Board of Directors.
Section 3
Any member of the Board of Directors missing two (2) consecutive meetings without valid reason may be dismissed from the position as director and the vacancy filled in accordance with Article VI, Section 6.
Section 4
Meetings of the Board of Directors shall be held at such time and place as the president shall determine.
Section 5
From time to time the Board of Directors may create such standing and special committees as they may see fit and may designate the duties and powers of such committees, provided, however that no such committee shall be given authority to amend the Bylaws of the MPSFMA. Committee chairpersons and members shall be appointed by the president from active voting members of MPSFMA.
Section 6
Vacancies occurring in any position shall be filled by appointment by the president. Appointments shall be for the duration of the position vacated.
Article G - Officers
Section 1
The officers of the Association shall be President, 1st Vice-President, 2nd VicePresident, Past President, Treasurer, two (2) MTGF Representatives, four (4) Directors: two (2) General Membership Representatives and two (2) Commercial Representatives. All officers shall be elected by means of written ballot by a majority of the members casting ballots. The President, 1st Vice-President, 2nd Vice-President and Past President shall serve three (3) one year terms. The Treasurer, MTGF Representatives and Directors serve two year terms.
Section 2
Vacancies occurring in any office shall be filled by appointment by the President. Appointments shall be for the duration of the unexpired term of office vacated.
Section 3
The President shall be the Chief Executive Officer. The President shall preside at all meetings of the members and at meetings of the Board of Directors. The President shall have general charge, supervision and control of the business affairs of the MPSFMA under the direction of the Board of Directors.
Section 4
The 1st Vice-President shall preside at all meetings of the members and the Board of Directors in the absence of the President. In the event of the office of President shall become vacant, the 1st Vice-President shall perform all duties of the President until the annual election or until a successor can be duly elected. The President, 1st VicePresident and Past President shall coordinate all educational activities of the Association.

Section 5
The 2nd Vice-President shall presided at all meetings of the members and the Board of Directors in the absence of the President and Vice President. in the event of the office of President and Vice-President shall become vacant, the 2nd Vice-President wil lperform all duties of the President until the annual election or until a successor can be duly elected. The President, Vice-President and Immediated Past President shall coordinate all educational activities of the Association.
Section 6
The Treasurer shall monitor the financial affairs of the MPSFMA and provide a report of the financial condition to the Board of Directors at the regular meetings.
Section 7
The MTGF Representatives will attend all MTGF meetings and act as liaisons between the MPSFMA and the MTGF and coordinate all activities of the annual conference and trade show.
Section 8
The Directors will be assigned duties by the President (i.e. nomination committee, membership committee, etc.)
Section 9
The Past President is an officer that provides leadership and guidance to the Board of Directors and Officers of the MPSFMA.
Section 910
The Executive Secretary is a non-voting officer that reports to the Board of Directors. This position shall keep records of all votes and Minutes of the MPSFMA meetings and perform duties as assigned by the Board of Directors.
Section 11
Any Officer may be removed from office for cause by a unanimous vote of the remaining membership of the Board at any regular or special meeting thereof called for that purpose but with due notification of such action and the right to be heard thereon.
Section 1
This Association shall indemnify each Director, Officer, employee or agent of the MPSFMA against expenses, including attorney's fees, judgments, fines and amounts paid in settlement actually and reasonable incurred by them to the fullest extent to which officers and board of directors may be indemnified under the terms and conditions of the MPSFMA's directors and officers insurance.
Section 1
The membership dues amount shall be established by majority vote of the Board of Directors.

Article J - Fiscal Procedure
Section 1
The fiscal year of the MPSFMA shall begin on the first day of January in each year and shall coincide with the calendar year.
Section 2
The Board of Directors may authorize a duly designated representative or representatives to enter into contract or execute and deliver instruments in the name of, and on behalf of, the Association. Such authority may be general or confined to specific instances.
Section 3
No loans shall be contracted on behalf of the Association and no evidence of indebtedness shall be issued in its name unless authorized by the Board of Directors, such authority may be general or confined to specific instances.
Section 4
All checks, drafts or other orders for payment of money, notes or other evidence of indebtedness issued in the name of the MPSFMA shall be signed by such officer or officers, duly appointed representative or representatives of the Association and in such manner as determined by the Board of Directors.
Section 5
All funds of MPSFMA not otherwise employed shall be deposited in a timely manner to the credit of MPSFMA in such bank, trust companies or other depositories as the Board of Directors or duly appointed representative may select.
Section 6
The Board of Directors shall annually cause the books and accounts of MPSTMA to be audited by an independent certified public accountant and shall submit a financial statement to the members annually.
Article K - National Certification
Section 1
It is the intent of the MPSFMA to conform to all the requirements set forth by the national governing body of the SFMA for the purpose of maintaining affiliation and certification.
Article L - Amendments to the Bylaws
Section 1
Amendments of the Bylaws shall be proposed to the Board of Directors and shall be submitted to the membership by mail or electronic mail at the discretion of the President.
Section 2
The Bylaws may be amended by a majority of the member's casting votes by means of a mailed or e-mailed ballot.
