The City Administrator reminded Council that the Rib Dinner with Your Legislators is scheduled for tomorrow in Pierre, the District Meeting is scheduled for Wednesday, March 16th in Howard, and the Legislative Cracker-Barrel is scheduled for Saturday, February 6th, at 9:30 a.m. at the Crystal Theatre. After a brief discussion about refinancing the sales tax bonds, a motion was made by Pesall and seconded by Bjerke to proceed with the refinancing and have a resolution prepared for council to consider adopting at the next council meeting. City Attorney, Paul Lewis discussed a city employee he would like to see recognized for commendable service above and beyond the call of duty and requested council consider establishing an employee recognition policy to reward this individual. WHEREAS, the determined that it is in the best interest of the Borrower to enter into the transactions with CoBank, ACB (“Lender”) described in this Resolution. WHEREAS, all prerequisite acts and proceedings preliminary to the adoption of this Resolution have been taken and done in due and proper form, time and manner, with having full power and authority under the Organizational Documents to adopt this Resolution and legally bind the Borrower to the terms hereof. NOW, THEREFORE, BE IT RESOLVED, that each of the following persons or positions: Mayor and Finance Officer, (the “Authorized Signatories”) of the Borrower are hereby jointly authorized and empowered to obtain for and on behalf of the Borrower from time to time, from Lender, a loan or loans or other financial accommodations (including, without limitation, letters of credit, note purchase agreements and bankers acceptances) (each, a “Loan”) and for such purposes: (1) to execute and deliver such application or applications (including exhibits, amendments or notes thereto) as may be required for such Loan and all borrowings thereunder; (2) to obligate the Borrower to repay all amounts borrowed and pay such rate or rates of interest as shall deem proper, and in connection therewith to purchase such interest rate risk management products as may be offered from time to time by Lender; (3) to obligate the Borrower to such other terms and conditions as the Authorized Signatories so acting shall deem proper; (4) to execute and deliver to Lender or its nominee all such written loan agreements, and such other documents and instruments as may be required by Lender in regard to or as evidence of any Loan made pursuant to the terms of this Resolution, and such Loan Documents shall include the Borrower’s consent to suit for enforcement of the Loan Documents and all appropriate judicial remedies available at law or equity, even though sovereign immunity may otherwise bar such suit; (5) to pledge, grant a security interest or lien in, or assign property of the Borrower or property of others on which it is entitled to borrow, of any kind and in any amount as security for any or all obligations (past, present and/or future) of the Borrower to Lender, and to execute and deliver to Lender or its nominee all such security agreements, pledges, mortgages, deeds of trust, financing statements and other documents as may be required by Lender in connection therewith; (6) from time to time to extend, amend, renew or refinance any such Loan and to execute and deliver all agreements, notes, instruments and other documents as may be required in connection therewith; (7) to reborrow from time to time all or any part of the amounts repaid to Lender on any Loan made pursuant hereto (whether for the same or a different purpose); (8) to execute and deliver to Lender such agreements, addenda, documents or instruments as may be required by Lender in the event that the Borrower elects to use Lender’s electronic banking system (the “System”); (9) to execute and deliver to Lender any agreements, addenda, authorization forms and other documents or instruments as may be required by Lender in the event that the Borrower elects to use any services or products related to a Loan that are offered by Lender now or in the future, including without limitation an automated clearing house (ACH) service; (10) to direct and delegate to designated employees of the Borrower the authority to direct, by written or telephonic instructions or electronically, if the Borrower has agreed to use the System for such purpose, the disposition of the proceeds of any Loan authorized herein, and to direct Lender to deliver any property of the Borrower at any time held by Lender; and (11) to delegate to designated employees of the Borrower the authority to request by telephonic or written means or electronically, if the Borrower has agreed to use the System for such purpose, loan advances and/or other financial accommodations, and in connection therewith, to fix rates and agree to pay fees and to direct the proceeds of advances to authorized accounts. In the absence of any direction or delegation authorized in (10) or (11) above, all existing directions and/or delegations shall remain in full force and effect and shall be applicable to any Loan authorized herein. RESOLVED FURTHER, that the Authorized Signatories are hereby jointly authorized to: (1) establish a Cash Investment Services Account with Lender; (2) make such investments therein as any Authorized Signatory shall deem proper; (3) direct by written or telephonic instructions or electronically, if the Borrower has agreed to use the System for such purposes, the disposition of the proceeds therein; (4) delegate to designated employees of the Borrower the authority set forth in (2) and (3) above; and (5) execute and deliver all documents and agreements necessary to carry out this authority. RESOLVED FURTHER, that the Authorized Signatories are hereby jointly authorized and directed to do or cause to be done, from time to time, all things which may be necessary or proper to carry out the terms and intent of this Resolution. RESOLVED FURTHER, that every act and action of any person heretofore executing any document or instrument delivered to Lender or its designee or required to create, make, enter into, perform, amend or confirm any obligation of the Borrower to or in favor of Lender, is hereby ratified, approved, adopted and confirmed as if it had been validly and lawfully authorized upon and as of the date of such act or action, notwithstanding any invalidity, defect or insufficiency that may exist or may have existed in the power or authority of such person then executing such document or instrument, and every such person and each of the Authorized Signatories are hereby jointly and severally delegated all necessary power and authority to effect the foregoing. RESOLVED FURTHER, that this Resolution shall remain in full force and effect until a certified copy of a duly adopted resolution effecting a revocation or amendment, as the case may be, shall have been received by Lender; provided that no such revocation or amendment shall affect the validity of any action or actions made or taken in reliance on such resolution(s) prior to the effective date of revocation. In addition, all authorities herein granted shall apply with equal force and effect to the successors in office of the Authorized Signatories herein named. RESOLVED FURTHER, that effective on the date when this Resolution is delivered to Lender, any and all prior resolutions authorizing and empowering Authorized Signatories of the Borrower to take actions as described herein are hereby revoked; provided that no such revocation shall affect the validity of any action or actions made or taken by Lender prior to the effective date of revocation. RESOLVED FURTHER, that of the Borrower is hereby authorized and directed to certify to Lender a copy of this Resolution, the names and specimen signatures of the Authorized Signatories, and if and when any change is made in the personnel of any Authorized Signatories, the fact of such change and the name and specimen signatures of the new Authorized Signatories. Lender shall be entitled to rely on any such certification until a new certification is actually received by Lender. CERTIFICATE The undersigned, Authorized Signatory of the Borrower, hereby certifies that: (a) the Common Council of the Borrower, at a meeting duly called, noticed, convened and held on the 1st day of February, 2016, did adopt the foregoing resolutions in accordance with the Organizational Documents of the Borrower; (b) all approvals and authorizations required to effect the foregoing resolutions have been obtained and remain in full force and effect; and (c) said resolutions are in full force and effect on the date hereof and have not been revoked or amended in any way. RESOLUTION NO. 2016-01
A Resolution to Approve Amendment 5 to the S-1 Power Sale Agreement, and Missouri Basin Municipal Power Agency Power Sale Agreement (S-1) (as amended and restated effective January 2, 2017)
WHEREAS, the City Council of Flandreau (“City”), South Dakota is currently purchasing all electric power and energy it requires to meet the needs of its customers in excess of City’s firm power allocation from the Western Area Power Administration (“WAPA”) (“Supplemental Power”) from Missouri Basin Municipal Power Agency d/b/a Missouri River Energy Services (“MRES”), pursuant to the terms and conditions of the Power Sale Agreement (S-1) (“S-1 Agreement”) for a term extending through December 31, 2045; and WHEREAS, the S-1 Agreement requires that MRES physically deliver Supplemental Power to City over the Integrated System (“IS”) transmission facilities administered by WAPA; and WHEREAS, WAPA joined the Southwest Power Pool (“SPP”) Regional Transmission Organization (“RTO”) effective October 1, 2015, and the IS transmission facilities were moved into SPP (which now has functional control over those facilities) and, as a result, MRES can no longer physically deliver power and energy over the IS transmission facilities. Further, because all MRES members are now in the footprint of either the SPP market or the Midcontinent Independent System Operator, Inc. (“MISO”) market where power and energy are financial (and no longer physical) transactions, the S-1 Agreement no longer accurately reflects how power supply and the delivery of that power and energy are actually transacted in the RTOs. The RTOs, including SPP and MISO, operate energy markets and transmission networks that have fundamentally changed the way MRES provides power and energy to its Members under the S-1 Agreement; and WHEREAS, these market changes require that Supplemental Power must be separated from Transmission Service because all MRES Members are located in one of two different RTOs that operate markets for energy (and capacity), and the physical delivery of power and energy (i.e. transmission service) is now separate from those actual commodities; and WHEREAS, it is mutually beneficial to all parties that the base term of the S-1 Agreement which currently continues to 2046 be extended until 2057 to facilitate future financing of projects on the most advantageous terms and with the least impact on the wholesale power costs of City and other MRES Members; and WHEREAS, other changes proposed to the S-1 Agreement will enable MRES to meet the new transmission service and energy market demands of the changing electric utility industry in a way that enhances the ability of MRES to effectively and economically provide Supplemental Power and Transmission Service to City, will provide clarification to the existing obligations of the parties, will provide flexibility for City to provide for a limited amount of its customers’ needs from its own local renewable resources, and will address the privacy and security of information on individuals; and WHEREAS, the Flandreau City Council desires that MRES continue to plan for, provide, and arrange for delivery of all Supplemental Power and Transmission Service needed by City. NOW THEREFORE BE IT RESOLVED by the Flandreau City Council that: The “Amendment 5 to the Missouri Basin Municipal Power Agency Power Sale Agreement (S-1)” among MRES, Western Minnesota, and City is approved in the form presented; and The “Missouri Basin Municipal Power Agency Power Sale Agreement (S-1) (as amended and restated effective January 2, 2017)” and “Schedule A” among MRES, Western Minnesota, and the City are approved in the form presented. IT IS FURTHER RESOLVED that each of the Mayor and City Administrator shall be, and each of them acting individually hereby is, authorized and directed to execute and deliver to MRES each of the foregoing documents on behalf of the City Council, Flandreau, South Dakota. UNAPPROVED MINUTES OF JANUARY 25, 2016 The Moody County Commissioners met in
special session on Monday, January 25, 2016 in the County Commissioners' Room in the Courthouse at 9:00 AM, with the following members present: Jerry Doyle, Rick Veldkamp, Tom Ehrichs, Dan Miles, and Chuck Jones, with Kristina Krull, Auditor as Clerk of the Board. Also present Kay Peterson, Commission Assistant. Chairman Doyle called the meeting to order. Motion by Jones, seconded by Ehrichs to approve the agenda. All voted “aye”. Scott Lewis, Custodian met with the Board. Discussion was held on the ICAP fridge that is no longer working. Motion by Veldkamp, seconded by Miles to enter into executive session at 9:10 AM pursuant to SDCL 1-25-2. Reason: personnel. All voted “aye”. Motion by Ehrichs, seconded by Miles to resume regular session at 10:55 AM. All voted “aye”. Motion by Veldkamp, seconded by Jones to advertise for Commission Assistant/HR Director. All voted “aye”.
