A Marketing Guide for Notaries Public and Apostille Facilitators

Some may want a simple and quick courthouse wedding ceremony. Others may want the big, family wedding with hundreds of guests (big weddings always make me think of the movie, Steel Magnolias and the main character, Shelby’s “blush and bashful” wedding). However, they celebrate, it’s all about honoring love and commitment. Marketing directly to the wedding industry can be a lucrative opportunity for notaries public and Apostille facilitators.

Before you dive in, you need to familiarize yourself with the laws of your state to determine how you can help couples say, “I do!”

Now you’re probably wondering, how can notaries and Apostille facilitators provide value to the $28 BILLION wedding industry? Notaries public and Apostille facilitators can offer valuable services such as officiating weddings (if allowed in your state), certifying marriage licenses, and legalizing documents for destination weddings. There are 340,000 destination weddings annually and each one of those needs an Apostille facilitator! By understanding the pain points and requirements of couples planning their weddings, you can tailor your marketing message to resonate with them effectivel

Follow Up: Reach Out After Original Meeting Create Wedding-Focused Content: Develop content that speaks directly to couples planning their weddings. This could include blog posts, social media content, or informational guides that highlight the importance of legal documentation in the wedding process. Attend wedding industry events, network with vendors, and explore opportunities for collaboration or cross-promotion.

Offer to provide educational sessions or workshops for vendors to increase their understanding of the legal aspects of weddings.

Social Media: Create Wedding Content Optimize Online Presence for Wedding Keywords: Ensure that your website and online profiles are optimized for relevant wedding-related keywords. This includes terms such as "wedding officiant," "marriage license certification," "destination wedding documents," and "Apostille services for weddings." Use search engine optimization (SEO) techniques to improve your visibility in search engine results pages when couples are searching for weddingrelated services. Additionally, consider advertising on wedding-specific platforms or directories to increase your visibility among engaged couples.

Networking: Go To Wedding Industry Events Offer Specialized Wedding Packages or Discounts: Create specialized packages or discounts specifically tailored to couples planning their weddings. For example, you could offer a package that includes officiating services along with assistance in obtaining and certifying marriage licenses and other necessary documents. Providing bundled services can streamline the wedding planning process for couples while also showcasing the value of your expertise. Promote these packages through your marketing channels and highlight the convenience and peace of mind they offer to couples during an already hectic time.

I

n the last decade, the notary public (notary) industry has gone through tremendous shifts and evolutions. From the antiquated stationary notary at your local pharmacy to a mobile (in-person) notary service or a remote online notary service. Professionals within a rapidly changing notary industry have more access to developing pockets of opportunities, just as equally as falling into holes of liabilities.

With fees at the center of an unraveling journey for notaries as a whole, the case below illustrates some of the uncertainties of the notary office. Naturally, with any industry’s expansion driven by newly enacted legislation, challenges will reveal themselves.

A quiet storm of previously litigated legal issues under the repealed Pennsylvania Notary Public Law (as far back as 2004)[1] is re-emerging under the Revised Uniform Law on Notarial Acts (RULNA) in familiar battlegrounds, (Penn. Dist. Ct.) in the northeast region.[2] We’ll explore one recently decided case that might serve as a model defense case in posterity.

Issue(s): Whether RULNA provides a private right of action; Whether Radian engaged in Unjust Enrichment; and Whether Radian’s notary fee violates Pennsylvania’s Unfair Trade Practices and Consumer Protection law?

Overview:

The Smiths refinanced their mortgage secured by residential real estate in Pennsylvania in September 2022. The Smiths were provided with a Closing Disclosure (CD) that itemized the closing costs associated with the mortgage. Line 5 in Section B, designated as “services borrower did not shop for," shows that Radian charged the Smiths $225 as a notary fee and the Smiths paid the fee.[4] “A Closing Disclosure is a form issued by the Consumer Financial Protection Board, created by the Frank-Dodd Wall Street Reform and Consumer Protection Act.”[5] The Smiths alleged an overcharged fee of at least $215 in transactions involving one borrower or buyer and at least $205 in those involving two borrowers or buyers.[6] ⫪s claim, “the only notarial service performed by Radian’s notary public at the closing of a residential real estate purchase is the acknowledgment of the buyer’s signature on the mortgage and signature affidavit,”[7] no additional signatures during the closing were notarized.[8] Pennsylvania’s notary fees are governed by RULNA,[9] “[a] notary public may not charge or receive a notary public fee in excess of the fee fixed by the department [of state].”[10] “Notary public fees are fixed by law in Pennsylvania as follows: Executing affidavits (no matter how many signatures): $5. Executing acknowledgments: $5. In executing acknowledgments each additional name: $2. Executing certificates (per certified copy): $5. Administering oaths (per individual taking an oath): $5. Taking depositions, per page: $3.

Executing verifications: $5. Executing protests, per page: $3.”[11] s sought legal redress on behalf of themselves and others similarly situated with the filing of a Class Action Complaint against Defendants Radian Settlement Services Inc. and Shawn P. Murphy (CEO) on October 4, 2023.[12] In their Complaint, ⫪s brought claims under Pennsylvania’s RULNA (Count I), for unjust enrichment (Count II), and for Pennsylvania’s Unfair Trade Practices and Consumer Protection Law ([UTPCPL] Count III).

Radian asserted a dispositive motion and filed a Motion to Dismiss, or, in the alternative, to Strike the Class Action Allegations.[13] ⫪

Rule: Federal Rule of Civil Procedure “F.R.C.P.,” authorizes dismissal for “failure to state a claim upon which relief can be granted.”[14] In Connelly v. Lane Constr. Corp., the United States Court of Appeals for the Third (3rd) Circuit construed a standard under the Supreme Court of the United States for pleading sufficiency established in Bell Atlantic Corp. v. Twombly and Ashcroft v. Iqbal. The Court adopted a three-step test: (1) “take note of the elements the plaintiff must plead to state a claim”; (2) “identify allegations that, because they are no more than conclusions, are not entitled to the assumption of truth”; and (3) “assume the veracity” of all “well-pleaded factual allegations” and then “determine whether they give rise to an entitlement to relief.”[15]

Discussion: To determine the feasibility of ⫪s’ Count I claim, we must turn to whether Pennsylvania’s RULNA provides for a private right of action. The [District] Court(s) found no such provision(s) in RULNA nor its antecedent. RULNA replaced Pennsylvania’s Notary Public Law, “Act No. 373 of 1953, as amended by Act 151 of 2002.[16][17] During the life of Pennsylvania’s repealed notary public law, the court observed “[t]hese claims, taken as true as they must be in this stage of the proceedings, are not private [right of] action[s] under the Notary Public Law”[18] the Smiths similarly to concurrent pending actions, have also propounded to the Court to adopt Idaho Supreme Court’s opinion, which affirmed a grant of summary judgment claims brought under Idaho’s Uniform notarial Act.[19] “Statutes uniform with those of other states shall be interpreted and construed to effect their general purpose to make uniform the laws of those states which enacted them.”[20] “While it is a truism that decisions of sister states are not binding precedent on this Court, they may be persuasive authority, and are entitled to even greater deference where consistency and uniformity of application are essential elements of a comprehensive statutory scheme like that contemplated by the Uniform Commercial Code.”[21] “Although the private ⫪ there succeeded on a RULONA claim, the parties never disputed whether a right of action existed. The Idaho Supreme Court considered unrelated issues on appeal and offered no substantive analysis…”[22] “Even if the Court is inclined to look beyond the language of the statute, however, Pennsylvania-law-still does not support finding an implied private right of action for Plaintiffs to enforce the [RULNA].”[23] Where a statute does not expressly grant or deny a private cause of action, Pennsylvania courts employ” a three-prong test to determine whether a statute creates an implied private cause of action: “(1) whether the plaintiff is one of the class for whose especial benefit the statute was enacted: (2) whether there is any indication of legislative intent, explicit or implicit, either to create such a remedy or to deny one; and (3) whether it is consistent with the underlying purposes of the legislative scheme to imply such a remedy for the plaintiff.”[24]

The Court began by construing the second factor, legislative intent, being “recognized as the ‘central inquiry’ of the analysis.”[25] Accordingly, the Court considered several elements provided by Pennsylvania law, the General Assembly’s matters to consider in ascertaining intent: (1) The occasion and necessity for the statute, (2) the circumstances under which it was enacted, (3) the mischief to be remedied, (4) the object to be attained, (5) the former law, if any, including other statutes upon the same or similar subjects, (6) the contemporaneous legislative history.[26] The Court found no indication that the Pennsylvania General Assembly intended to create a private right of action.[27] Additionally, the Court reviewed Representative Glenn R. Grell, a sponsor of the House Bill that would become RULNA, he declared his intentions for his proposed legislation that it would improve the Pennsylvania Law in several respects, none of which include providing for a private right of action.[28] The Smiths argued that Grell’s statements —that RULNA would “help prevent fraudulent notarization practices”— inferred a private right of action.[29] The Court explained that fraud prevention laws are intended to deter a potential act rather than provide a right of action for victims of fraud seeking recovery for damages.[30] The Smiths attempted to support their inference of a private right of action from a warped reading, “the absence of a private cause of action in a statutory scheme is an indicator that the statute did not contemplate enforcement for individual harms.”[31] The courts resist the duty to find private rights of action where not explicitly provided for by the statute.[32] Moreover, “Courts will only recognize a private right of action where Congress has expressly provided for one or if "a review of the text and structure of a statute yield[s] a clear manifestation of congressional intent to create a private cause of action.”[33] Several states (Colorado, Oregon, West Virginia, New York, etc.) have enacted statutes that provide for legal redress under their notarial laws Pennsylvania’s RULNA fails to do the same.[34] However, RULNA does provide for “Other remedies—the authority of the department [of state] under this section does not prevent a person from seeking and obtaining other criminal or civil remedies provided by law.[35] The Smiths did not fall under the class for whose especial benefit the statute was enacted.[36] When determining whether a statute was enacted for the benefit of a class of people, the Court considered whether there existed a “foreseeable and identifiable class.[37] RULNA, “solely centers on regulating entities and empowering only the Pennsylvania Department of State with the authority to enforce the statute.”[38] As a result, the Court dismissed Count I with prejudice.

Voluntary Payment Doctrine: “Under the voluntary payment defense, 'one who has voluntarily paid money with full knowledge, or means of knowledge of all the facts, without any fraud having been practiced upon him . . . cannot recover it back by reason of the payment having been made under a mistake or error as to the applicable rules of law.'”[39] (i.e., once a person has issued payment having received full disclosure and knowledge of service fees, with no fraudulent attempts nor the appearance thereof, payment issued for services requested are not a misrepresentation of service fees). “The voluntary payment doctrine is not properly considered at the motion to dismiss stage when the factual record is insufficient to determine its viability.”[40] “The court may dismiss claims based on an affirmative defense if the affirmative defense is obvious from the face of the complaint,”[41] the Court has regarded this case as such.

Evidenced by the CD provided to the Smiths, Radian charged a notary fee of $225, the Complaint further alleged that the Smiths were aware that the notary service rendered by Radian were “typical” for real estate (mortgage) closings[42]. The Smiths did not assert any misrepresentation of fees by Radian in connection with the residential real estate closing.[43] Hence, “money paid voluntarily, although under a mistake or ignorance of law……. cannot be recovered.[44] Where, under a mistake of law, one voluntarily and without fraud or duress pays money to another with full knowledge of the facts, the money paid cannot be recovered.[45] Although the Smiths were required by residential mortgage lenders to use the services of a notary public,[46] the Smiths had the option to decline the residential mortgage service after being presented with the closing fees. Subsequently, as of 2.16.24, the Court dismissed Counts II and III without prejudice, providing that the UTPCPL claim is also subject to the voluntary payment doctrine. ⫪s may attempt to amend their complaint without the creative re- stating of facts already alleged. If there are no new facts or existing facts to be alleged more thoroughly, then amendment is not advised by the Court.[47] However, on 3.13.24, the Court issued an ORDER DISMISSING CASE with prejudice on Counts II and III for failure to Amend the Complaint.[48]

Conclusion: The legal team on the offense has a common factor among the pending and recently decided actions revolving around notarial fees for residential mortgage closings: attorneys D. Aaron Rihn, Esq. and Jonathan F. Andres, Esq. It seems that in none of the lawsuits, a private right of action would be feasible to survive a Motion to Dismiss.

Additionally, in Seplow (action pending), for ⫪s to prevail on an unjust enrichment claim, ⫪s must show that:

(1) the plaintiff conferred a benefit on the ∆s, (2) the ∆s received the benefit, and (3) the ∆s accepted the benefit under circumstances that make it inequitable for the defendant to retain the benefit without paying value for it.[49] “Unjust enrichment claims are often brought ‘as an alternative to a breach of contract claim,’[50] [but] they can also be brought based on unlawful or improper conduct established by an underlying claim, such as fraud.”[51] The UTPCPL generally prohibits “fraudulent or deceptive conduct which creates a likelihood of confusion or of misunderstanding.[52] Radian in this case was transparent about all fees via the CD, and therefore Motion to Dismiss, Granted.

One under-toned matter that was not in dispute in this case nor any of the pending (parallel) actions is the notary public outlier's role as an independent contractor or an employee. The bulk of mobile notaries are independent contractors and the others would fall in a vague category of in-house stationary notaries. The latter would be akin to the Smith et. al. case, where Radian established notarial fees. The fees posted on the CD are not necessarily designated strictly to the service (notary) provider. Those fees could be shared with the intermediary, who negotiates fees for facilitating and coordinating the closing between the notary and the borrowers, buyers, or sellers. When the notary acquires the lead directly and provides service, although service fees are presented and typically accepted as a flat bundle fee, best practices would be to itemize all services within the issued invoice and, most importantly, adhere to statutory/regulatory notarial fees. General service charges include clerical, administrative, time and travel, or document preparation, and troubleshooting technology, among the many enumerated services.

The notary industry has morphed in conformity with technology and thus lines have been blurred between archaic regulatory frameworks and newly enacted legislation on both the state and federal levels. Ultimately, how will the notary landscape be shaped by in-person notaries and remote online notaries? A notary’s main function is to safeguard against fraudulent activities, a tremendous responsibility that is not reciprocated through compensation. The office of a notary is integral in both public and private sector transactions; however, the responsibility of the office is not balanced with the compensation of the office. Valid points for or against notarial fees have been made, yet the service provider is left out of the conversation. The floodgates are now open for legal redress against excessive notarial fees. As notaries to provide service to clients/signers nationwide and qualified signers situated abroad and how notaries re-imagine and adapt to emerging processes, we must ask ourselves the following: Do your state notary laws provide for a private right of action for overcharging? Elevating Your Notary Business Through Exceptional Customer Experience

id you read the title of this article with the thought that it was supposed to say Customer Service instead of Customer Experience? The two terms are related but focus on different facets of the customer/business relationship.

Customer Service addresses specific issues or questions customers may have before, during, and after an appointment or business deal.

Questions get answered, and problems get resolved so the customer will be satisfied.

Customer Experience, now often referred to as “CX,” encompasses more than just the notary meeting where the documents get stamped. It refers to a customer's complete journey with the notary from beginning to end and includes the emotions and perceptions a customer receives as they go through that journey.

The purpose of thinking in terms of CX is to ensure the customer has a positive experience, beginning with the inquiring e-mail or conversation up to and including the completion, which could be writing a review or extending a referral to someone for your notary services.

Understanding and prioritizing CX is vital to the success of a notary business for many reasons. Prioritizing the customer will give any business a competitive edge, one edge being positive word-of-mouth referrals. A notary business will have a difficult time growing to success without referrals. A positive customer experience will contribute to a positive brand reputation. A reputable business attracts new customers and keeps old ones.

Emphasizing CX will ensure that notary processes are accurate and consistent and follow all relevant regulations, instilling customer confidence and loyalty. Following up with customers after the notarization process will provide satisfaction and address concerns, enhancing the overall experience

Now let’s turn to how the notary can accomplish exceptional Customer Experience.

Clear communication is one of the notary’s most effective tools. Its importance cannot be over-emphasized. An essential component of communication is Active Listening. This is a skill that involves entirely focusing, comprehending, and responding to a customer in a conversation. The notary should put aside distractions, like cell phones, and give undivided attention to the customer and focus on their words. Ask for additional information to help clarify the customer's thoughts and intentions. Do not form opinions while they are still talking. That is a quick way to misunderstand a situation. Build empathy by acknowledging their emotions, which will, in turn, also build trust.

When thinking of clear communication, the notary needs to consider how to communicate what some customers may consider complex legal language in a customer-friendly manner to ensure comprehension. Many customers will not know what “jurat” or “acknowledgment” means. They may ask what “affiant” or “apostille” means. If you are a Loan Signing Agent, stand ready to explain the meaning of “APR.” There may be other terms they do not understand, and the notary needs to ensure the signer understands what they are signing.

Accessibility of the notary is a crucial aspect of the customer experience. If a customer must make three or four or more phone calls to find one available notary, then CX has already been negatively impacted at the onset. If that customer has an urgent or time-sensitive document that needs notarization, they may feel stress at the beginning of their search. Finding an available notary with one phone call will quickly lower their tension and create a positive experience. The notary may be viewed as a hero to the customer.

An ardent notary will use technology to boost their availability and response time. Using an online scheduling system will allow customers to book appointments conveniently, adding to a positive customer experience. Calendly is a widely used scheduling tool. With a Google My Business page, a notary can accept full or partial payments for a customer to secure their appointment. Other scheduling systems with different options to accommodate various needs can be found with some research.

Using online notarizations in jurisdictions that permit it is an intelligent tool that will add to a positive customer experience.

The convenience of customers being able to handle their notary needs from almost any and everywhere will bring a smile to their faces. This will also expand the reach of the notary past their local surroundings, thus increasing their business and bottom line.

Setting and managing client expectations for a smoother client experience will form a basis for a positive notary-client relationship. This helps to prevent misunderstanding for both parties, which could lead to wasted time and energy and a less-thanideal experience. Here, we once again turn to clear communication, as mentioned above. Have a checklist prepared for the initial contact with a potential customer. Ask questions such as “Do you have the needed documents already?” and “Do your documents require any witnesses?”

A crucial one to the list is to remind the customer not to add their signature to any document until they’re in the notary’s presence, whether in-person or online. These small steps can save a notary time and money, and the customer will benefit from a smoother experience.

While there are many additional avenues to creating an exceptional customer experience, just two more will be added here, and they are vital to business success.

That is learning to resolve problems and handle challenging situations gracefully and professionally.

Notaries are rarely involved in problem resolution related to the content or terms of the documents they notarize.

That is the responsibility of the party that wrote the document or the signer of the document.

The notary may need to handle issues regarding the notarization process itself. It may include any actions the notary took, the validity of the notarized document, or anything else that is the direct responsibility of the notary. Knowing beforehand how to handle such issues will enable the notary to act expeditiously in creating a resolution. Solving problems is part of customer service, but you now know that excellent customer

service leads to a great customer experience, which is what the customer-centric notary wants to strive for The notary must stay calm and composed when a challenging situation arises, like a family dispute during the signing. The appearance of stability will be reassuring to those involved. A notary must always remain impartial and refrain from expressing a personal opinion. Explain to the individual or group the notary's role, which is to witness and verify signatures. A notary must always adhere to legal standards and not offer what may be seen as legal advice.

Diplomacy helps tremendously during challenging situations, leading us to talk about clear communication again. Practical communication skills are an invaluable tool for a notary. This includes written communication skills. Document any challenging situation in the notary journal at the time of occurrence, including any details that may lead to the notary needing to decline a notarization. The written pieces can be referred to later, should the need arise.

Customers should be encouraged to provide

feedback before the conclusion of the customer experience.

Ask if they would be willing to give the review. The information they provide will enable the notary to implement changes and refine their service. Build channels to make feedback easy. If a Google My Business page or online webpage has been established, provide the customer with the web address or QR code for easy access.

The information provided is invaluable as CX has a tremendous impact on the reputation of the notary business.

ew York Notary Alliance has launched an advocacy campaign to get the Notary Fee raised from $2 to $5. Senate Bill S4166 and Assembly Bill 2023 A9294 are currently in committee to discuss raising the notarial fee from the current $2 to a proposed $5.

At New York Notary Alliance, we strongly advocating for the passing of this bill. Notaries in New York have not had a fee increase since 1991. We feel there are several reasons why a raise is necessary.

Many notarial acts occur at the convenience of the signer, such as nights and weekends when the typical "free" notary is unavailable.

Maintaining and keeping a journal, a needed addition, is more work and responsibility for a notary.

Notaries face full and unlimited liability whether the error is intentional or inadvertent.

Several notaries waive their fees entirely for charitable organizations, military members, the elderly, impoverished at their discretion as a public service.

If notaries are essential to society, keeping in mind we are there for milestones such as starting a business, getting married, getting divorced, adoption, etc., shouldn't the pay reflect that?

The importance of the work we do is trivialized by a $2 fee.

The advocacy campaign includes a petition, of which 501 signatures have been collected so far. We ask that anyone who believes that NY notaries deserve a raise sign the petition. NYNA has a schedule of events for notaries in NY to get involved in. Writing letters, sending emails, making phone calls, and sharing social media campaigns are all scheduled on the legislation page of the NY site, along with sample letters, phone scripts, social media graphics and more. There are lawn signs, tshirts and ball caps that can be ordered to help support the cause.

There is a monthly Advocacy meeting with updates and calls to action. Log in information can be found on the legislation page.

Help NYNA #RaisetheNotaryFeeNY. Although $5 is a minimal raise and not nearly as high as it could be, this is what is proposed in the bill. Our legislators aren’t concerned about raising the Notary Fee because the notaries have not demonstrated their concern in over thirty years. It is time to make our voices known.

The more involved we get now, the easier it will be to advocate for even bigger concerns in the future.
