Being the Catalyst, Leading the Charge THIS YEAR MARKED THE 20TH ANNIVERSARY of MCCA’s founding. Much has changed since 1997, but our mission has not: to advance the hiring, retention and promotion of diverse attorneys in corporate law departments and the law firms that serve them. With that mission in mind, we release the results of our 18th Annual General Counsel Survey.

This year’s results illustrate the progress we have been working toward, particularly for women, who now hold three times as many general counsel positions than when we started the survey in 1999. However, improvement continues to lag for minority attorneys, particularly women of color. This issue goes beyond the release of our survey results. We want to stimulate a discussion about where the industry has made strides, where it is behind, and what we must do to move the needle forward. We profiled five industry leading general counsel, to hear their perspective on what it takes to become a successful general counsel, how to build a strong department, and what an individual can do to ensure they are on the right career path. The change we are dedicated to achieving must begin at the top, and the leaders we spoke with exemplify that change.

One of the general counsel we feature, Duane Holloway of Ascena Retail Group Inc., is also an MCCA board member who leads an extraordinary department that reflects our shared vision for diversity and inclusion. Duane’s department is majority female, and it outpaces the average of the Fortune 500 company in minority representation.

Duane is responsible for diversity, inclusion and social responsibility for his company, and his department sets an example of what all departments must become — an honest reflection of the people in our profession and society at large.

Like Duane, MCCA has ambitious goals it would like to achieve: to create representation at the top and in the boardrooms where decisions

are made for those who have been historically under-represented. In 2016, MCCA began our C-Suite Leadership Institute to tackle those goals by providing training and access to information to 13 brightest senior in-house lawyers, to help them prepare for their next big step. One of the attorneys who attended the program and credits MCCA for her current success is Lanesha Minnix, now the General Counsel of BMC Stock Holdings, a Fortune 1000 company. You can read about Lanesha’s journey from associate to 2007 MCCA Rising Star to general counsel in our next issue. The investment in Lanesha’s potential paid dividends and this is how MCCA will move the needle forward to achieve our vision to make the next generation of legal leaders as diverse as the world we live in.

One Woman at a Time Fortune® 500 than ever before. This year 132 women lead the legal departments of the biggest corporations in the country. And that number has gone up nearly every year since 1999, the first year we published the MCCA Gener-

al Counsel Survey. Among these women, more than two dozen are new GCs at their respective companies. Some held the role at other companies and a few were promoted from within. a male-dominated industry. According to the Bureau of Labor Statistics, in 2016, 64.3 percent of U.S. lawyers were men. The numbers should start shifting if the current crop of law students join the ranks of practicing lawyers. Last year the American Bar Association reported that for the first time, women are now more than 50 percent of law school students at accredited institutions.

Some legal departments are very diverse and have had women at the helm for years.

The most well-known example is Louise Parent who had a long and storied career at American Express for 37 years, including 10 years as GC and 11 years as deputy GC,

This year our survey includes the usual list of minorities and women general counsel in the Fortune® 500 and 1000, and it also features charts that show the numbers over time and examines the percentage of minorities and women by race. You can see the steady progress of women over the years.

Progress has certainly occurred since our first survey when there were only 11 minorities who were general counsel. In 2000, 43 women held the GC title. Nearly two decades later, 57 minorities and 132 women now hold the top legal position.

Though women have advanced more than minorities, the legal profession remains

before she retired from the company in 2014. Her successor at American Express (86), Laureen Seeger, former general counsel of McKesson Corporation, is profiled on page 33.

Before Wanji Walcott became general counsel of PayPal (264) earlier this year, she spent more than a dozen years at American Express with Parent and then Seeger at the helm of the legal department, holding various titles, including chief technology counsel and managing counsel. Though the financial services industry has long held a reputation of being male-dominated, that’s not the case with these two companies.

“Louise Parent was very deliberate in building a diverse law department and the role we can all play in diversity in

the legal profession,” says Walcott. “Throughout my entire tenure under her leadership, she was very serious about that, ensuring that there was always a diverse slate of candidates when we hired new lawyers, thinking through how we hired outside counsel, and thinking about how diversity and inclusion can lead to better outcomes.”

Walcott was hired in 2015 as PayPal’s vice president of legal product and was promoted to general counsel when Louise Pentland became chief business affairs and legal officer at the online payments company. “At PayPal, we have a strong focus on succession planning, hiring and promotion and on having a strong pipeline of talent,” says Walcott.

“Being hand-picked by my predecessor is fantastic.”

“I’ve never known anything else,” says Treadway, who was formerly an attorney at Weil, Gotshal & Manges. “I consider it to be part of the world. At J.C. Penney it’s something we strive for. We seek to attract the best candidates and value diversity. We have a successful track record of attracting both women and minority candidates to the legal department.”

When Walcott has open positions, she wants to “hire the best person for the role.” As a company, she says PayPal is focused on diversity and it’s a focus for her beyond the company. “I’m doing what I can as an in-house lawyer,” says Walcott who also serves as executive sponsor of PayPal’s women’s employee network. “I’m in the best position to influence that at majority firms or in finding opportunities for women and minorities to do work for us.”

At J.C. Penney (221) the legal department is more than 60 percent female. Brandy Treadway was promoted to general counsel of J.C Penney last August. Over the past six years, she has held the roles of senior counsel, senior managing counsel, assistant GC and associate GC at the de-

of the company. “J.C. Penney as a whole has always valued diversity,” says Treadway who notes that J.C. Penney CEO Marvin Ellison is one of five African Americans leading a Fortune® 500 company. “Eighty percent of our company are women, 50 percent are minorities.”

But Treadway’s experience is far from common. As this year’s numbers will attest, minorities still lag far behind women and minority women are even further behind, making up less than 5 percent of Fortune® 500 GCs and less than 4 percent of the Fortune® 1000.

The numbers for women and minorities at the Fortune® 1000 are consistently lower than the Fortune® 500. Just look at the numbers in chart 4A on page 22, which starts in 2004, the year MCCA began including Fortune® 1000 GCs. Of this group, 119 are women, 36 are minorities (13 women and 23 men). The breakouts by race are 12 African-American, 16 Asian Pacific American, which includes two South Asians, 7 Hispanics, and 1 multiethnic (see chart 3A on page 21).

Overall, the numbers for women and minorities are higher than last year: 20 more women, the biggest increase since MCCA began tracking this number, and two more GCs of color.

It’s tough to say whether these numbers indicate a trend in the Fortune® 1000 because this year’s list also includes

62 companies that were not previously listed or have returned to the list. The Fortune® 1000 list typically varies from year to year because of company growth as well as mergers and acquisitions.

Progress Remain Slow for Minorities

Compared to the gains made by women, the path for minority general counsel has been much slower, and in some years, flatlined. This year the number of minority GCs in the Fortune® 500 increased by one to 57 (see chart 2 on page 17).. However, there is a shift in gender with an uptick for women. A year ago there were 34 men and 22 women.

Now there are two more women, which unfortunately, means one less man (see chart 4 on page 22).

The racial breakdown is 31 African-Americans, 9 Hispanics, 16 Asian-Pacific Islanders (one of whom is South Asian) and one Native American. That’s three more African-Americans, one more Asian-Pacific Islander, and 4 fewer Hispanics than last year (see chart 3 on page 21).

Of the minority women who are new to Fortune® 500 this year, three have never held the role before: Wanji Walcott of PayPal, Savelle Sims of media company Discovery Communications (412) and Lola Lin of chemicals distributor Airgas (489).

—Jean Lee Why is the progress of minorities so slow compared to women in the Fortune® 500? “Without specific focus, it’s hard to make change happen,” says Walcott. “When you have a succession plan with diverse candidates in that plan, we will begin to see more what we are seeing with women.”

“That’s the big diversity question,” says Kristin Coleman, who became general counsel of U.S. Foods (124) this year, replacing Juliette Pryor who is now GC at Cox Enterprises. “I don’t know if I have the answer to that $50,000 question. Achieving a diverse workforce requires energy, focus and attention.”

“I was fortunate to inherit an extremely diverse legal department,” says Coleman who doesn’t have a formal policy regarding diversity, but she says “we certainly seek to have a diverse team.”

the least diverse. He believes the profession needs to address three fundamental issues: implicit bias, the lack of mentors and the pipeline problem. “There is a fair amount of implicit bias among the profession,” says Alderoty, who is profiled on page 27. “There is a lack of mentors and role models for people of color who want to become lawyers.

It’s a very formidable profession from outside looking in.

If you don’t have a mentor even as a student, how do you conceptualize the idea [of becoming a lawyer]?”

“I don’t think the legal profession is welcoming to minority candidates,” says Deborah Steiner, who was promoted from associate general counsel to GC at R.R. Donnelley (388) in October 2016. “Law firms are bad at retaining minority lawyers. In my experience, large Fortune® 500 companies are doing a better job at that.”

“The country is not over its race issue,” says Steiner whose U.S. legal department is more than 50 percent women. “Advocacy is the way to get this done.”

She began her in-house career in 2003 as deputy general counsel at Brunswick Corporation and was eventually promoted to general counsel in 2009. Sears Holdings Corporation hired her in 2014 to be its GC. She also served as corporate secretary at both Sears and Brunswick and currently holds the role at U.S. Foods.

“Based on my experience, companies are looking for someone with the experience to more smoothly step into the GC role,” says Coleman who was approached by a headhunter about the U.S. Foods opening because she had experience in the boardroom as an in-house counsel and in leading an in-house law department. U.S. Foods was going public and the company wanted to build an independent

board. Her other titles at U.S. Foods are executive vice president and chief compliance officer.

“I see more people being promoted from within,” says Coleman. “They are people who have put in the time to develop within that environment. It’s important in that scenario to have a GC who believes in people development.”

Walcott says that when corporations are focused on hiring people who are sitting general counsels, that creates a “vicious cycle” and leaves out people who could step into the role. “I’d like to see a break away from that trend,” says Walcott. “It makes the pool smaller and potentially counter to getting the best possible candidate and to increasing diversity. I understand that people want to hire people with some experience but I would encourage people to think more broadly.”

Women Fortune® 501–1000

For lawyers who want to be a GC, Walcott’s advice is to “never waiver from your goal, even if you come across people who are skeptical. Once you are firm in your goal, tell people. But do it with style and grace so you don’t put them off.”

“The first GC job is the hardest one,” notes Coleman.

“Not everyone has the skill, talent or desire to do that job.

But you see women step up in that role and as they succeed, they will get more opportunities.”

“No one was born a general counsel,” says Walcott. “Everyone has their first general counsel position. I couldn’t have possibly prepared for everything that happened. But the reality is that you will be ready to take advantage of the opportunity.” ■

“When you interview a diverse slate, hopefully that will lead to more diverse hiring decisions,” says Alderoty. “I saw that over the course of six years at HSBC.” Alderoty is very aware of the barriers that people of color face in entering the legal profession. “It’s a very formidable profession from the outside looking in,” says Alderoty.

“Neither of my parents graduated from high school. I did it.”

He wants to see more diverse people enter the profession. “There’s been enough time for talking,” says Alderoty.

“Now we have to come up with very tactical solutions.”

tuart Alderoty has spent about half of his legal career in private practice as a litigator before landing his first in-house counsel position at American Express. “My aspiration was always to be a general counsel,” says Alderoty whose last firm was LeBouef, Lamb, Green and MacRae in New York.

“It’s a tough life at a big law firm,” says Alderoty who grew up in New Jersey. “In 2001, it was particularly grueling. I had a jury trial that ran the last two-and-a-half weeks of August. The jury came back after Labor Day. Then I rolled right into a federal bench trial.”

Then the 9/11 terrorist attacks occurred. “The day after the airports opened, I was on a plane to Oklahoma to visit a client,” says Alderoty. “There were only two of us on the plane.”

So when a search firm contacted Alderoty about a new position opening up at American Express, the timing was right. He was ready to try something new. As the company’s first chief litigation counsel, his job was focused on consolidating the management of its litigation. As his responsibilities broadened and his role evolved, he was promoted to managing counsel and he also became a member of the leadership team of the U.S. consumer business division.

After nine years at American Express, a search firm once again contacted Alderoty. This time he was offered a GC position at HBSC North America, which had 80 U.S. lawyers.

He says that at HBSC, he was “more of a generalist and a people leader,” with responsibilities similar to running a law firm and paying attention to succession planning.

Last year Stuart Alderoty left HBSC to be GC of CIT, a financial holding company. He wanted “the opportunity to be general counsel of a standalone company, not layered in an affiliate position.”

At CIT Alderoty leads a legal department of 38 lawyers, which he says is roughly “35 percent female and 18 percent nonwhite right now.” He notes that there is a good tone set by the board of directors, of which “39 percent are women and 54 percent are diverse.”

When it comes to hiring, he says he will make sure that they consider a diverse slate of candidates at the application and interview stage. “It may sound easy,” says Alderoty

hen Kirkland Hicks left private practice in 2000 to join the legal team at Watson Wyatt, he was the seventh lawyer in the legal department in Washington, D.C. That year the $700 million global consulting firm was in the process of becoming a public company. I worked on everything,” recalls Hicks. “Litigation, employment, securities – it was great training for becoming a general counsel.”

At that time, Hicks says, an in-house career let you have more control over your work life. He was going through a divorce and wanted to spend time with his young children.

He thrived at the company and his career took off. Because the Watson Wyatt legal team was small, he says he fielded “questions on anything” and learned not to be afraid.

In-house, you had to find the answers, which gave him courage and confidence.

The first thing is to have intellectual curiosity. People who want to advance put their hands in the air beyond what they do on a daily basis. They look for opportunities to raise their internal profiles and hone their communications skills. They are looking to work with other teams in legal. They take an interest in a particular business unit and go to their leadership meetings. I like to see that active interest and willingness and ability to increase their responsibilities. They are involved in activities outside of the company – my two chief counsels are well-recognized for expertise outside of their subject area.

did,” says Hicks, who was also secretary to the executive committee, which gave him a first-hand look at how the company was run. During his 15-year tenure, the company merged in 2010 with Towers Perrin to form Towers Watson and he became general counsel two years after the merger.

He also served as chairman of its diversity and inclusion council of the Americas.

What made him stay so long? “The people I was working with,” says Hicks. “And I continued to get new experiences and new challenges.”

Hicks also did a lot of international travel and fielded emails around the clock because he had lawyers all around the world. When Towers Perrin announced a merger with Willis Group in 2015, recruiters began contacting him with general counsel opportunities. “It was a great position to be in,” says Hicks who chose Lincoln Financial (207), which is based in Radnor, Pennsylvania, about 30 minutes west of Philadelphia. He was familiar with the company and its CEO Dennis Glass served on the same board at Duke University School of Law. (Hicks as an alumni and Glass as a parent.)

Hicks had remarried and once again had two young children. By working for a U.S. company, he could see more of his kids. He would also be working for a Fortune 500 company with significantly higher revenue.

“I wanted to stay in the game at a very high level,” says Hicks. “It’s a big company, bigger platform in many ways [than Towers]. At Lincoln, he leads a legal department of 250 people, including eight lawyers who report directly to him.

“My quality of life has improved,” notes Hicks. “I don’t find myself responding to emails at all hours of the night.”

became part of his litigation strategy. “I always thought we got better results with diverse counsel,” says Holloway, who also serves on MCCA’s board. At Ascena, he requires law firms who submit RFPs to “show a demonstrated commitment to diversity and inclusion.” He also says that Ascena “looks to retain law firms that are MWBEs (certified minority or women-owned business enterprise).”

“I don’t have a typical day and that’s one reason why I love my job [at Ascena],” says Holloway. “On any given day I’ll have a number of meetings set to discuss legal and business issues but invariably issues arise from the board, senior leadership team or the internal leadership team that takes me on a tangent that I did not expect.”

Advice for Aspiring GCs

It’s important to acquire broad and deep experience, which will provide the best opportunity for ascension. Furthermore, it’s important to demonstrate top-notch judgment in business and legal issues involving high-risk matters, and to communicate clearly with others in the C-suite.

For larger general counsel positions, which involve teams of professionals, you need to effectively delegate, which is often toughest aspect to being a general counsel.

The book Boards That Lead: When to Take Charge, When to Partner, and When to Stay Out of the Way, by Ram Charan, Michael Useem and Dennis Carey, is extremely helpful in understanding best practices and what not to do. It’s helpful in advising boards of directors.

uane Holloway’s corporate counsel career began a dozen years ago as a staff attorney at Caesars Entertainment, the Las Vegas-based gaming, hotels and resort company. “I started there at the lowest rung of staff attorney and was able to cut my teeth as a general operations lawyer,” says Holloway who rose through the ranks to become senior vice president and chief counsel.

“My goal was to be a general counsel,” says Holloway, who left Caesars in 2014 to be deputy general counsel at financial and real estate data company CoreLogic in Irvine, California. “I went to CoreLogic because they were looking for someone to be the successor to the general counsel within a relatively short timeframe. I was interested in a different industry and looking for a new challenge in a leading B2B business.”

Holloway enjoyed his time at CoreLogic, but eventually realized that he “missed the issues inherent in a B2C business.” At Caesars he ran the litigation and labor and employment team when the company had more than 25,000 unionized employees and more than 1,000 ongoing litigation matters.

“I wasn’t looking for an opportunity when I got the call from Ascena,” recalls Holloway about his conversation with the apparel retailer, which has 64,000 employees and operates 4,800 stores across the country, including the brands Ann Taylor, Lane Bryant and Dress Barn. “I thought, ‘I could really thrive and make a truly meaningful impact.’ ” Holloway moved to the East Coast for the GC post and now commutes from Connecticut to work in either the New York or New Jersey office of Ascena. “There are a lot of similarities between Ascena and Caesars,” says Holloway, such as the “sheer number of consumers touched by both companies.”

His legal department is 70 percent female and 20 percent minority and five of his six direct reports are women.

At Ascena, which made its debut this year on the Fortune 500 list at no. 384, Holloway also oversees diversity and inclusion as well as corporate social responsibility for the entire company. Taking on these roles is familiar to him.

henever an opportunity presented itself, even if it was a risky career move, John Kuo didn’t hesitate to say yes – even when it meant relocating to another country. He says that each of those opportunities allowed him to grow as a lawyer, eventually leading him to his position today as general counsel of Varian Medical Systems.

Kuo’s in-house career began in 1992 when he left his job as a fourth-year associate at Fulbright & Jaworski to join the legal department of a Houston oil company, Baroid Corporation. “You work with people from all over the world because oil field production is worldwide,” notes Kuo. “As a consequence, it’s a pretty diverse set of people that work in that area.”

After less than a year, Baroid acquired a new company headquartered in Scotland. The general counsel asked Kuo to relocate to Aberdeen to establish a legal department in Europe and help integrate the company. “I didn’t know the law there,” says Kuo. “People told me it was a recipe for failure but I accepted the role and it was the first of my formative experiences.”

In Scotland he learned about doing business globally, opting to leave in 1993, when Baroid was acquired. He headed to California where he held stints as an associate at Gray Cary Ware & Freidenrich and as an attorney for computer company Acer before he got the opportunity

Advice for Lawyers Who Want to Work In-house

Don’t be afraid of risk. Moving to an in-house position is going to be scary in and of itself. It’s a different environment and it may be different than what you’re used to. So don’t be afraid of that. Don’t be afraid of change. Corporations evolve and you have to keep up with learning and be agile or you’ll become irrelevant.

to establish the legal department for computer network company 3Com in the Asia Pacific region.

“It was a risky move because I’m about a tenth-year lawyer at the time,” recalls Kuo. “I asked people if I should take a position in Singapore for four or five years.” They said, “You’re no longer a young lawyer. You’ll lose your contacts in Bay Area when you come back.”

“It was a terrific learning environment,” says Kuo who returned to the U.S. when he was promoted in 2000 to associate general counsel. Though he was next in line for the top legal post, he departed after two years to be GC of enterprise software company BroadVision. After less than a year, he realized it wasn’t the right fit and left without another job lined up. Eventually he heard that Varian was looking for a senior counsel.

“I took a pay cut and two title cuts,” says Kuo who took the job in 2003 because he liked the company, the people and Varian’s mission – making equipment that treats cancer. Two years later, Varian’s general counsel retired and Kuo was offered the job. When he became GC, the company had about $1 billion in revenues and five lawyers in its Palo Alto headquarters. Today it has about $3 billion in revenues and a legal department of 30 lawyers, including lawyers in Europe, Asia and Latin America. “45 percent of my lawyers are women,” says Kuo. “In the U.S., 45 to 50 percent of my lawyers are minorities.”

Kuo has now been Varian’s GC for a dozen years. What keeps him there? “Being part of a world industry that is directly impacting people’s lives, people’s health,” says Kuo. “Working to help treat cancer is something that’s very powerful. It gives you purpose and inspiration.”

When asked whether gender is a factor in hiring inhouse counsel, Seeger notes that at McKesson she replaced a man and at American Express, she replaced a woman, and that both had been in the role for 20 years. She doesn’t believe her gender was a significant factor in being offered the job. “I’d say the same thing happened when I was replaced by a woman at McKesson, Lori Schechter,” says Seeger. “Lori was picked as the top candidate without respect to being a female.

“The trend is that there are more women today than there were in the past that are ready willing and capable of doing this role.”

Advice for Aspiring GCs

Be willing to move to lateral jobs in the law department.

Take on new challenges. Try not to be too fixed in the job you’re doing today. If you are willing to take chances and help out when needed, you will learn and grow.

Make sure that you have spent enough time in working in the law, learning as many areas of the law so you have a higher trajectory in-house. I wouldn’t recommend that you leave too soon. The experience you get in a firm is very valuable. Make sure you spent enough time to be ready for all the different challenges that come your way when you have less time to research.

hen Laureen Seeger became general counsel of American Express in 2014, she had 14 years of in-house experience working at San Francisco-based McKesson Corporation, the largest health care services company in the country. Recruited by a head hunter, Seeger says she was drawn to the opportunity to work in another “heavily regulated industry with a talented business team” and to live in New York.

“It’s been terrific and exciting” says Seeger. “It’s not easy to change industries, but that’s what drew me.”

Before she launched her in-house career in 2000 as general counsel of McKesson’s technology division, Seeger had been chair of the technology litigation practice of Atlanta-based Morris, Manning & Martin. When she joined McKesson, the company was in the midst of tremendous change in the wake of its accounting restatement after it acquired HBOC in 1999. “The leadership team was changing,” recalls Seeger. “I had the opportunity to be a lawyer at a Fortune 50 company. The division completely turned around from a scandal to a very well-running profitable company.”

Seeger says her initial GC job was a rare opportunity to “build a law department within the information technology division from the ground up. ”The first year or so was like “drinking from a fire hose,” says Seeger who replaced Ivan Meyerson, who had been in the role for 20 years. “The work involved a lot of litigation, travel, recruiting talent, adjusting to new leadership, and putting policies and procedures in place.“ “It was probably one of the busiest years of my life,” notes Seeger, who was promoted in 2006 to vice president, general counsel and chief compliance officer of McKesson.

During her long tenure at McKesson, she says the range of work was “incredibly interesting” because the company was “very acquisitive” and growing. In addition, the health care industry was undergoing many changes.

In comparison to her first years at McKesson, her transition to American Express was a lot smoother but there was still a learning curve because she switched industries.

“I definitely needed time to learn business and know the talent,” says Seeger, who succeeded AmEx’s longtime GC Louise Parent.
