You will find several documents enclosed in this packet including the statement of commitment and responsibilities, conflict of interest form, bylaws, five-point structure and committee list, contact information for the DCA staff, meeting and event schedule for the year and the current downtown guide.

We ask after reviewing the information and you agree with the guidelines outlined in the statement of commitment and responsibilities, sign and return the commitment document to us no later than January 31, 2021. If you have any questions about the DCA, or the responsibilities of DCA board members, please do not hesitate to contact either one of us as we will be happy to answer your questions.

Downtown Carlisle Association Conflict of Interest Policy Article I

Purpose

The purpose of the conflict of interest policy is to protect the Downtown Carlisle Association’s interest when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of the Downtown Carlisle Association (DCA) or might result in a possible excess benefit transaction. This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations.

Article II

Definitions

1. Interested Person: Any director, principal officer, or member of a committee with DCA Board delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person.

2. Financial Interest: A person has a financial interest if the person has, directly or indirectly, through business, investment, or family: a. An ownership or investment interest in any entity with which the DCA has a transaction or arrangement, b. A compensation arrangement with the DCA or with any entity or individual with which the DCA has a transaction or arrangement, or c. A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which the DCA is negotiating a transaction or arrangement.

Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial.

A financial interest is not necessarily a conflict of interest. Under Article III, Section 2, a person who has a financial interest may have a conflict of interest only if the appropriate governing board or committee decides that a conflict of interest exists.

Article III

Procedures

1. Duty to Disclose: In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with DCA Board delegated powers considering the proposed transaction or arrangement.

2. Determining Whether a Conflict of Interest Exists: After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and 1 Policy Adopted on

Downtown Carlisle Association Conflict of Interest Policy voted upon. The remaining board or committee members shall decide if a conflict of interest exists.

3. Procedures for Addressing the Conflict of Interest a. An interested person may make a presentation at the DCA Board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. b. The Chairperson of the Board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. c. After exercising due diligence, the Board or committee shall determine whether the DCA can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. d. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the DCA Board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the DCA’s best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

4. Violations of the Conflicts of Interest Policy a. If the DCA Board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. b. If, after hearing the member’s response and after making further investigation as warranted by the circumstances, the DCA Board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Article IV

Records of Proceedings

The minutes of the DCA Board and all committees with board delegated powers shall contain: a. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, 2 Policy Adopted on

Downtown Carlisle Association Conflict of Interest Policy and the DCA Board’s or committee’s decision as to whether a conflict of interest in fact existed. b. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings.

Article V

Compensation

a. A voting member of the DCA Board who receives compensation, directly or indirectly, from the DCA for services is precluded from voting on matters pertaining to that member’s compensation. b. A voting member of any committee whose jurisdiction includes compensation matters and who receives compensation, directly or indirectly, from the DCA for services is precluded from voting on matters pertaining to that member’s compensation. c. No voting member of the DCA Board or any committee whose jurisdiction includes compensation matters and who receives compensation, directly or indirectly, from the DCA, either individually or collectively, is prohibited from providing information to any committee regarding compensation.

Article VI

Annual Statements

Each director, principal officer and member of a committee with DCA Board delegated powers shall annually sign a statement which affirms such person: a. Has received a copy of the conflicts of interest policy, b. Has read and understands the policy, c. Has agreed to comply with the policy, and d. Understands the DCA is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

Article VII

Periodic Reviews

To ensure the DCA operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted. The periodic reviews shall, at a minimum, include the following subjects:

Whether compensation arrangements and benefits are reasonable, based on competent survey information and the result of arm’s length bargaining. b. Whether partnerships, joint ventures, and arrangements with management organizations conform to the DCA’s written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess benefit transaction.

Article VIII Use of Outside Experts When conducting the periodic reviews as provided for in Article VII, the DCA may, but need not, use outside advisors. If outside experts are used, their use shall not relieve the governing board of its responsibility for ensuring periodic reviews are conducted.

The Downtown Carlisle Association will improve the quality of the downtown by increasing business, tourism, education, and economic development opportunities.

DCA Monthly Meeting Schedule Board Meetings – Second Friday of every month at 8am in bottom floor of the Borough Building at the DCA offices located at 53 West South Street. Meetings last about 1 ½ hours. Coffee provided. A reminder email comes out the week before the meeting. We have several Liaisons from area organizations that attend.

Promotions Committee Meetings – First Wednesday of every month at 9:00am at Market Cross Pub located at 113 North Hanover Street. The Promotions Committee plans all of the DCA Events and specials.

Design Committee Meetings – First Thursday of every month at 8:30 am at Helena’s Café located at 36 West High Street. The Design Committee focuses on the beautification of the downtown such as planters, cleanliness, banners, flags, Christmas lights etc.

Business Development Committee Meetings – Third Tuesday of every month at 9 am. This group focuses on bringing new businesses to the downtown district.

Organizational Committee Meetings – Fourth Friday of every month at 9 am in the bottom floor of the Borough Building at the DCA offices. This consists of Board Officers and a few key Liaisons that are invited to attend.

Statement of Commitment & Responsibilities Board of Directors The mission of the Downtown Carlisle Association (DCA) is to market the assets of Carlisle, thus improving the quality of life and increasing downtown business, tourism and economic development opportunities. To that end, upon election, members of the DCA Board of Directors are expected to lead the organization in attaining this mission through team effort and support of the Executive Director. With this commitment come certain responsibilities and expectations, which are listed below:           

Organization means getting everyone working towards common goals. The common-sense formula of a volunteer-driven program and an organizational structure of board and committees assisting professional management can ease the difficult work of building consensus and cooperation among the varied groups that have a stake in the district.

Design means getting Main Street into top physical shape. Capitalizing on its best assets such as historic buildings and the traditional downtown layout is just part of the story.

Design activities also include instilling good maintenance practices in the commercial district, enhancing the district's physical appearance through the rehabilitation of historic buildings, encouraging appropriate new construction, developing sensitive design management systems, educating business and property owners about design quality, and long-term planning. An inviting atmosphere can be created through window displays, parking areas, signs, sidewalks, street lights, and landscaping; good design conveys a visual message about what Main Street is and what it has to offer.

Economic restructuring strengthens your community's existing economic assets while diversifying its economic base. This is accomplished by retaining and expanding successful businesses to provide a balanced commercial mix, sharpenng the competitiveness and merchandising skills of business owners, and attracting new businesses that the market can support.

Converting unused or underused commercial space into economically productive property also helps boost the profitability of the district.

The goal is to build a commercial district that responds to the needs of today's consumers.

Promotion means selling the image and promise of Main Street to all prospects. By marketing the district's unique characteristics through advertising, retail promotional activities, special events, and marketing campaigns an effective promotion strategy forges a positive image to shoppers, investors, new businesses and visitors.

Residential Committee was created to bridge DNC / Elm Street and DCA resources. Elm Street strengthens our older historic neighborhoods that characterize countless commonwealth communities. Today, these neighborhoods are too often beset by low property values, a negative image, and perceptions of poor public safety.

1 BYLAWS OF DOWNTOWN CARLISLE ASSOCIATION (A Pennsylvania Nonprofit Corporation)

ARTICLE I GENERAL Section 1.

Registered Office/Name.

The name of this corporation shall be Downtown Carlisle Association (hereinafter “DCA” or “Corporation”). The registered office of the DCA shall be 53 W. South Street, Carlisle, Pennsylvania 17013, until otherwise established by a vote of the majority of the Board of Directors in office (hereinafter the “Board”), and a statement of such change is filed with the Department of State; or until changed by an appropriate amendment of the Articles of Incorporation. The Board is granted full power and authority to change the registered office from one location to another location in the C1 District, Carlisle Borough.

Section 2.

Purpose

Purpose/Vision/Mission

The Downtown Carlisle Association is a downtown revitalization and historic preservation organization which implements efforts through the nationally proven Main Street ® 4 point approach.

Vision The Downtown Carlisle Association will be a community partnership of public and private leaders, residents, and stakeholders who will achieve the common goals of downtown Carlisle growth. Specifically, the Downtown Carlisle Association will: • • • •

Mission The Downtown Carlisle Association will improve the quality of the downtown by increasing business, tourism, education, and economic development opportunities.

Section 3.

Membership.

All having contributed the minimum membership fee to the annual membership campaign shall be members of the DCA for a period of one (1) year following the campaign.

Membership fees will be determined by the Board of Directors.

2 ARTICLE II TAX EXEMPT STATUS AND DISSOLUTION Section 1.

Organizational Purpose.

The Corporation is exclusively organized for charitable purposes, as such purposes are defined by 501(c)(3) of the Internal Revenue Code of 1986, as amended, (or the corresponding provisions of any future Internal Revenue Law of the United States)(“Code�), including, for such purposes, making the distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Code.

Section 2.

Net Earnings.

No part of the net earnings of the Corporation shall inure to the benefit of, or be distributable to, any member, director, officer, employee of the Corporation or other private persons, and no member, director, officer, employee of the Corporation shall receive any pecuniary benefits of any kind, except that the Corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distribution in the furtherance of the purposes set forth above.

Section 3.

Activities.

Notwithstanding anything to the contrary herein contained, the Corporation shall not carry on any other activities not permitted to be carried on by a corporation exempt from Federal Income Tax under Section 501(c)(3) of the Code, and no substantial part of the activities of the Corporation shall consist of carrying on propaganda or otherwise attempting to influence legislation, nor shall the Corporation participate or intervene in (including the publishing or distributing of statements) any political campaign on behalf of any candidate for public office.

Section 4.

Dissolution.

In the event of dissolution or final liquidation of the Corporation, the governing board shall, after paying or making provision for the payment of all lawful debts and liabilities of the Corporation, distribute all the assets of the Corporation to one or more of the following categories of recipients, as the governing board of the Corporation shall determine: (i) A nonprofit organization or organizations which may have been created to succeed the Corporation, as long as such organization or each of such organizations shall then qualify as a governmental unit under Section 170(c) of the Code, or as an organization exempt from federal income taxation under Section 501(a) of the Code as an organization described in Section 501(c)(3) of the Code; and/or (ii) A nonprofit organization or organizations having similar aims and objects as the Corporation and which may be selected as an appropriate recipient of such assets, as long as such organization or each of such organizations shall then qualify as a governmental unit under Section 170(c) of the Code or as an organization exempt from federal income taxation under

3 Section 501(a) of such Code as an organization described in Section 501(c)(3) of the Code.

Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the County in which the principal office of the Corporation is then located as said Court shall determine, exclusively for such purposes or to such organization or organizations which are exclusively organized and operate for such purposes.

ARTICLE III BOARD OF DIRECTORS Section 1.

Composition.

A.

Board of Directors 1.

The governing and policy-making responsibilities of the Downtown Carlisle Association shall be vested in the Board of Directors, which shall control its property, be responsible for its finances and direct its affairs.

2.

The Board shall consist of not less than fifteen (15) nor more than twenty (20) directors (herein, “Director” or “Elected Director”).

3.

The Executive Director (a/k/a Main Street Manager) of the DCA shall attend all Board meetings and be a member of the Executive Committee, but shall sit as a non-voting Director in all matters.

4.

In the absence of a Carlisle Borough Council Elected Director, the appointed Carlisle Borough liaison shall act as a voting member.

5.

Each Elected Director shall be elected for a three (3) year first term, with an option for nomination and reelection to a second two (2) year term.

6.

After an Elected Director has been elected to serve his second term, he is ineligible to be nominated to another term on the Board until 3 years after his last day of the elected 5th year.

7.

A Director who has been elected to fill a vacancy shall be considered to have been elected to serve two consecutive terms only if he or she was elected to fill a vacancy with an unexpired term exceeding one year.

B.

Liaisons 1.

In addition to the aforementioned Elected Directors, a representative (herein, “Liaison”) from each of the organizations listed in Section 3 may be appointed to the Board, upon majority vote of the Board, and shall serve annual terms without restriction .

Liaisons shall serve in an advisory and informational capacity only; shall have no voting power or authority on the Board; shall be ineligible to be Officers under Article IV; and shall not be included for purposes of determining whether a quorum is present.

3.

The following is a list of organizations from which liaisons should be solicited. Other groups can be added to this list without Board approval or bylaws amendment. i. ii. iii. iv. v. vi. vii. viii. ix. x. xi. xii. xiii. xiv. xv.

Section 2.

Carlisle Borough; Cumberland County Redevelopment Authority; Carlisle Chamber of Commerce; Leadership Cumberland Cumberland County Historical Society; U.S. Army War College/Carlisle Barracks; Carlisle Theatre; Carlisle Arts Learning Center (CALC); Cumberland Valley Visitors Bureau; U.S. Army Heritage & Education Center; Cumberland Valley Lodging Association; Carlisle Events; and Cumberland County Penn State Dickinson Law School Carlisle Downtown Clergy

Board Classifications.

It is preferred that at least one Director shall be elected from the following classifications.

A. Downtown merchant B. Downtown service C. Financial institution D. Legal professional E. Health services F. Real estate G. School district H. Major industry I. Downtown property owner/resident J. Downtown hotelier K. Tourism-related representative K. Restaurant owner L. Borough Council member M. Accounting Professional N. Clergy Member O. Dickinson College Executive

Section 3.

Nominating Committee.

A nominating committee, consisting of three members, shall be appointed by the President as needed when vacancies occur at least one (1) month before the Annual Meeting and the Committee shall draw up a list of nominees for directors and officers to be presented for approval at the Annual Meeting.

Section 4.

Vacancies.

A. Vacancies resulting from resignation, removal or abandonment of position in the Board of Directors may be filled by a majority vote of the remaining Board members at any meeting called for the purpose of filling such vacancies before and after they occur.

B. The new Director shall be elected to serve the unexpired portion of the vacant term.

Section 5.

Voting: Conflicts.

Each member of the Board shall be entitled to one vote, and any act of a majority of the directors present and voting at a meeting shall constitute the action of the Board.

No member of the Board shall vote on any matter in which he or she shall have financial interest, either directly or indirectly, and said member shall abstain from such vote. Provided, however, that said member shall be counted as present for the purposes of determination of quorum at such meeting, but shall not be counted for purposes of determination of majority vote to carry such motion.

Furthermore, no member of the Board shall vote on any matter in which he or she shall have a relationship or interest involving a relative, spouse or spouse's relative, either directly or indirectly, and said member shall abstain from such vote. Provided, however, that said member shall be counted as present for the purposes of determination of quorum at such meeting, but shall not be counted for purposes of determination of majority vote to carry such motion.

Section 6.

Resignation / Abandonment of Seat: Removal.

Any director may resign at any time by giving written notice of such resignation to the President of the Board.

Upon the affirmative vote of a majority of members of the Board, at a regular or special meeting of the Board, any Board member may be removed for cause.

Moreover, the Board may declare vacant the office or seat of a director who has been judicially declared of unsound mind; been convicted of an offense punishable by imprisonment The Board will consider any seat vacant by abandonment if all of the following occurs:

6 1. an elected board member misses two general monthly board meetings, 2. If no response is received after a minimum of 30 calendar days after the first written correspondence or telecommunications by the President of the Board.

Section 7.

Powers and Duties.

Unless otherwise provided by statute all powers vested by law in the Corporation shall be exercised by or under the authority of, and the business and affairs of the Corporation shall be managed under the direction of, the Board, including but not limited to the power to: A. B. C.

Adopt rules, regulations, and by-laws consistent with the purpose of this Corporation.

Arrange for the appointment of necessary committees.

Receive and disburse funds; accept and dispose of property; apply for and accept credit and take on debt; utilize and pledge collateral; and related financial matters.

Employ, review, and set compensation for Executive Director.

Each Board member shall actively serve on at least one committee.

A director shall stand in a fiduciary relation to the Corporation and shall perform his or her duties as director, including duties as a member of any committee of the Board upon which the director may serve, in good faith, in a manner the director reasonably believes to be in the best interests of the Corporation and with such care, including reasonable inquiry, skill and diligence, as a person of ordinary prudence would use under similar circumstances. In performing his or her duties, a director shall be entitled to rely in good faith on information, opinions, reports or statements, including financial statements and other financial data, in each case prepared or presented by any of the following: (1) One or more officers or employees of the Corporation whom the director reasonably believes to be reliable and competent in the matters presented.

(2) Counsel, public accountants or other persons as to matters, which the director reasonably believes to be within the professional or expert competence of such person.

(3) A committee of the Board upon which the director does not serve, duly designated in accordance with law, as to matters within its designated authority, which committee the director reasonably believes to merit confidence.

A director shall not be considered to be acting in good faith if the director has knowledge concerning the matter in question that would cause his or her reliance to be unwarranted.

Absent breach of fiduciary duty, lack of good faith or self-dealing, actions taken as a director or any failure to take any action shall be presumed to be in the best interests of the Corporation.

Section 8.

Board Absences.

A Director who is absent from three (3) consecutive Board meetings or who is absent from one-half of the scheduled Board meetings during the fiscal year without prior approval of the President may be dismissed from the Board only by the affirmative vote of a majority of members of the Board at a regular or special meeting of the Board. When a Director is within one absence of meeting the requirements of this section, the President shall notify the Director of these attendance requirements and shall consult with the Director regarding his or her commitment to Board membership.

Section 9.

Compensation.

Directors shall serve without compensation.

Section 10.

Board Membership.

Except as provided herein, each voting member of the Board must hold current membership in the DCA or be serving on the Board as a representative for a business, organization, or institution, which holds a current membership in the DCA. .

ARTICLE IV EXECUTIVE OFFICERS Section 1.

Election and Term.

(A) The officers of the DCA shall be elected to one-year terms by the Board at its Annual Meeting and shall be a President, one or more Vice-Presidents, a Secretary. all of whom shall be elected by the Board from among its members. The position of Treasurer shall be elected to a two (2) year term in even-numbered calendar years. The Board may also elect such other officers and appoint such agents, as it shall deem necessary, who shall hold their offices for such terms, having such authority and perform such duties, as may from time to time be prescribed by the Board.

Section 2.

President.

The President shall be the chief executive officer of the DCA; shall preside at all meetings of the members and directors; shall have general management of the affairs of the DCA; shall see that all orders and resolutions of the Board are put into effect, subject, however, to the right of the Board to delegate any specific powers, except such as may be by statute exclusively conferred on the President, to any other officer or officers of the DCA. Section 3.

Vice-President.

In the absence or disability of the President, the Vice-President shall perform the duties and exercise the powers of the President, or the Board of Directors as assigned. The Vice-

8 President shall nominate, populate and manage the Board approved committees of the DCA. Section 4.

Secretary.

The Secretary shall attend the meetings of the Board and maintain all order and procedures governed by the By-Laws of the Corporation and ensure validity of meeting procedure designated through Roberts Rules of Order. The Secretary shall validate and ratify all votes by the Board and shall perform such other duties as may be assigned to him or her by the Board or the President.

Section 5.

Treasurer.

The Treasurer shall have administrative oversight of the corporate funds; shall verify and manage the proper deposit and accounting of all monies and other valuable effects in the name and to the credit of the DCA in such depositories as shall be designated by the Board; shall create and manage annual budgets and quarterly revenue projections illustrating the financial health of the organization, shall render to the President and Directors, at regular meetings of the Board, or whenever they may require it, an account of all his or her transactions as Treasurer and of the financial condition of the DCA. Section 6.

At Large Executive Position

The at large member of the executive committee shall attend all executive sessions and shall be available to act in the position of Vice President, Secretary or Treasurer in the event any officer is unable to fulfill the duties of that position. In the event the position is vacated for the remainder of the term, the at large member will be considered first in the nomination for the opening.

Section 7.

Executive Director The Executive Director is a compensated employee of the Association hired and managed by the Board and charged with the daily implementation and management of Board policies and procedures, and management of office personnel.

The Executive Director and DCA staff will manage Committee Development, assists in developing and implementing Committee work plans, supports fundraising, newsletter, volunteer communications, financial systems, volunteer management, provide technical information, professional opinions, strategy, and solutions in the fulfillment of the Mission.

9 ARTICLE V MEETINGS Section 1.

Annual Meeting.

The Annual Meeting of the Board shall be held each December during the fiscal year of the Corporation.

The meeting shall be open to all membership.

The President and Executive Director will determine the date, time and place of the meeting and shall notify the membership by mail, in person, by telephone, by facsimile or email at least ten (10) days prior to the meeting.

The purpose of the meeting, among other items of business, shall be to elect officers and directors of the Board, allow members to voice any issues and/or concerns for the Board to consider, provide information to members regarding events, initiatives and projects of the DCA, and provide the annual financial report to the membership for review.

Section 2.

Regular Meetings.

The Board shall meet regularly on the second Friday of every month at a place and time to be determined by the Board.

Section 3.

Membership Meetings.

In addition to the Annual Meeting provided in Article V, Section 1 herein, general membership meetings may be called by the President at any time or by written request of at least 10% of the membership.

Notice of the meeting shall be provided to the membership at least ten (10) days in advance.

The Board shall determine the place, date and time of the meeting.

A quorum of membership shall be attained with ten (10) percent of the membership present.

Section 4.

Special Board Meetings.

Special meetings of the Board may be called by the President or Vice-President with three (3) days notice to each director.

A statement as to the notification of the meeting shall include the purpose of the meeting and the general nature of the business to be conducted.

Special meetings may be called by the President or Secretary in like manner and on like notice upon the written request of two directors.

10 Section 5.

Committee Meetings.

Meetings of any committees may be called by the President, the respective committee Chairperson or the committee Vice-Chairperson.

The date, time and place of such meeting(s) shall be determined by the committee Chairperson or by the person calling the meeting.

A majority of the members of the committee shall constitute a quorum.

Section 6.

Notice of Meetings.

The Board shall provide notice of annual or special meetings at least ten (10) days in advance.

Such notice shall be writing and presented in person, by telephone, by facsimile or by email.

The entire membership shall receive notification of the annual meetings.

The Board shall be notified of all meetings.

Whenever any written notice is required to be given under the provisions of the Nonprofit Corporation Law of 1988, as amended (“Nonprofit Law�), the articles or these bylaws, a waiver thereof in writing, signed by the person or persons entitled to the notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of the notice. Except as otherwise required by this paragraph, neither the business to be transacted at, nor the purpose of, a meeting need be specified in the waiver of notice of the meeting. In the case of a special meeting of members, the waiver of notice shall specify the general nature of the business to be transacted.

Section 7.

Quorums.

One half of the Board as constituted on the date of the meeting shall constitute a quorum for the transaction of business.

The act of the majority of the directors present at the meeting at which a quorum is present shall be the acts of the Board.

Board members may attend the meeting either in person or via conference call providing that all parties can communicate.

Section 8.

Minutes.

Minutes shall be taken of all regular Board and annual meetings and distributed to the respective members no later than the next regular meeting.

ARTICLE VI COMMITTEES Section 1.

Standing Committees.

The Board may, by resolution adopted by the majority of directors in office, arrange for the following standing committees to consist of one or more directors, and set forth the powers, duties, terms of service and governing rules of such committees. The President shall designate the Chairperson of the committee from among members of the Board. The Vice-President shall work with each Chairperson to populate the committee from Board members and relevant community members at large. Each committee should have no more than 8 voting members appointed by the Vice-President and Chairperson. Each committee of the Board shall serve at the pleasure of the Board. Committee members are to be appointed or re-appointed each year after the Annual Meeting. Chairpersons cannot be appointed as chair or remain in one committee for longer than 2 terms.

Ad Hoc Committees.

The Board may appoint such ad hoc committees and their leaders as deemed necessary to carry out the purpose of the organization.

Such appointments shall be at the will of the Chairperson, with Board approval, and shall serve concurrent with the term of the appointing Chairperson, unless otherwise determined by the Board.

Ad-hoc Committees should be for limited life projects and shall be disbanded after 6 months of Board approval or completion of project, whichever comes first.

12 Section 3.

Limitation of Authority.

No action of any committee shall be binding upon or constitute an expression of the policy of the DCA until it shall have been approved by the Board.

Committees shall be discharged by the Chairperson upon recommendation and approval by the Board for such discontinuance.

Section 4.

Committee Process.

A majority of the membership of each of the standing or ad hoc committees shall constitute a quorum for transacting business at any meeting of the committee. All Chairpersons shall be appointed from the Board by the President. Committee members shall be appointed as prescribed by the bylaws and in consultation with the respective Chairperson.

ARTICLE VII LIMITATION OF PERSONAL LIABILITY OF DIRECTORS; INDEMNIFICATION OF DIRECTORS, OFFICERS, AND OTHER AUTHORIZED REPRESENTATIVES Section 1.

Limitation of Personal Liability of Directors.

A Director of the Corporation shall not be personally liable for monetary damages as such for any action taken, or any failure to take any action, unless: (1) the Director has breached or failed to perform the duties of his or her office as defined in Section 2 below; and (2) the breach or failure to perform constitutes self dealing, willful misconduct, or recklessness.

The provisions of this Section shall not apply to (a) the responsibility or liability of a Director pursuant to any criminal statute; or (b) the liability of a Director for the payment of taxes pursuant to local, state, or federal law.

Section 2.

Standard of Care and Justifiable Reliance.

(A) A Director of the Corporation shall stand in a fiduciary relationship to the Corporation, and shall perform his or her duties as a Director, including his or her duties as a member of any committee of the Board upon which he or she may serve, in good faith, in a manner he or she reasonability believes to be in the best interests of the Corporation, and with such care, including reasonable inquiry, skill and diligence, as a person of ordinary prudence would use under similar circumstances. In performing his or her duties, a Director shall be entitled to reply in good faith on information, opinions, reports, or statements, including financial statements and other financial data, in each case prepared or presented by any of the following:

(i) One or more Officers or employees of the Corporation whom the Director reasonably believes to be reliable and competent in the matters presented; (ii) Counsel, public accountants, or other persons as to matters which the Director reasonably believes to be within the professional or expert competence of such person; (iii) A committee of the Board upon which he or she does not serve, duly designated in accordance with law, as to matters within its designated authority, which committee the Director reasonably believes to merit confidence.

A Director shall not be considered to be acting in good faith if he or she has knowledge concerning the matter in question that would cause his or her reliance to be compromised.

(B) In discharging the duties of their respective positions, the Board, committees of the Board, and individual Directors may, in considering the best interest of the Corporation, consider the effects of any action upon employees, upon persons with whom the Corporation has business and other relations, and upon communities which the offices or other establishments of or related to the Corporation are located, and all other pertinent factors. The consideration of those factors shall not constitute a violation of subsection (A) of this Section.

(C) Absent breach of fiduciary duty, lack of good faith, or self-dealing, actions taken as a Director or any failure to take any action shall be presumed to be in the best interests of the Corporation.

Section 3.

Indemnification in Third Party Proceedings.

The Corporation shall indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending, or completed action, suit, or proceeding, whether civil, criminal, administrative, or investigative (other than an action by or in the right of the Corporation) by reason of the fact that he or she is or was a representative of the Corporation, or is or was serving at the request of the Corporation as a representative of another corporation, partnership, joint venture, trust, or other enterprise, against expenses (including attorney’s fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by him or her in connection with such action, suit, or proceeding if he or she acted in good faith and in a manner reasonably believed to be in, or not opposed to, the best interests of the Corporation, and, with respect to any criminal action or proceeding, had no reasonable cause to believe his or her conduct was unlawful. The termination or any action, suit, or proceeding by judgment, order, settlement, conviction, or upon a plea of nolo contendere or its equivalent, shall not of itself create a presumption that the person did not act in good faith and in a manner which he or she reasonably believed to be in, or not opposed to, the best interests of the Corporation, and, with respect to any criminal action or proceeding, had reasonable cause to believe that his or her conduct was unlawful.

14 Section 4.

Indemnification in Derivative Actions.

The Corporation shall indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending, or completed action or suit by or in the right of the Corporation to procure a judgment in its favor by reason of the fact that he or she is or was a representative of the Corporation, or is or was serving at the request of the Corporation as a representative of another Corporation, partnership, joint venture, trust or other enterprise against expenses (including attorneys’ fees) actually and reasonably incurred in connection with the defense or settlement of such action or suit if he or she acted in good faith and in a manner he or she reasonably believed to be in, or not opposed to, the best interests of the Corporation and except that no indemnification shall be made in respect of any claim, issue, or matter as to which such person shall have been adjudged to be liable for negligence or misconduct in the performance of his or her duty to the Corporation unless and only to the extent that the Court of Common Pleas of Cumberland County or the court in which such action or suit was brought shall determine upon application that, despite the adjudication of liability but in view of all the circumstances of the case, such person is fairly and reasonably entitled to indemnity for such expenses which the Court of Common Pleas or such other court shall deem proper.

Section 5.

Mandatory Indemnification.

Notwithstanding any contrary provision of the articles or these Bylaws, to the extent that a representative of the Corporation has been successful on the merits or otherwise in defense of any action, suit or proceeding referred to in either Section 3 or Section 4 above, he or she shall be indemnified against expenses (including attorney’s fees) actually and reasonably incurred by him or her in connection therewith.

Section 6.

Determination of Entitlement to Indemnification.

Unless ordered by a court, any indemnification under Section 3 or Section 4 above shall be made by the Corporation only as authorized in the specific case upon determination that indemnification of the representative is proper in the circumstances because he or she has met the applicable standard of conduct set forth in such paragraph. Such determination shall be made: (a) by the Board by a majority vote of a quorum consisting of Directors who were not parties to such action, suit, or proceeding; or (b) if such quorum is not obtainable, or even if obtainable, a majority vote of a quorum of disinterested Directors so directs, by independent legal counsel in a written opinion.

Advancing Expenses.

Section 7.

Expenses incurred in defending a civil or criminal action, suit, or proceeding may be paid by the Corporation in advance of the final disposition of such action, suit or proceeding as authorized by the Board in a specific case upon receipt of an undertaking by or on behalf of the representative to repay such amount unless it shall ultimately be determined that he is entitled to be indemnified by the Corporation as authorized in Sections 3 and 4 above.

15 Section 8.

Indemnification of Former Representatives.

Each such indemnity may continue as to a person who has ceased to be a representative of the Corporation and may inure to the benefit of the heirs, executors, and administrators of such person.

Section 9.

Insurance.

The Corporation shall have the power to purchase and maintain insurance on behalf of any person who is or was a Director, Officer, employee or agent of the Corporation or is or was serving at the request of the Corporation as a Director, Officer, employee or agent of another corporation, partnership, joint venture, trust, or other enterprise against any liability asserted against such person and incurred by such person in any capacity or arising out of such person’s status as such, whether or not the Corporation would otherwise have the power to indemnify such person against such liability.

Section 10.

Reliance on Provisions.

Each person who shall act as an authorized representative of the Corporation shall be deemed to be doing so in reliance upon the rights of indemnification provided by this Article. As used throughout these bylaws, the term “representative” shall include any and all persons serving on committee(s) of the Board, regardless of that person’s status as a Director or non-Director of the Corporation.

ARTICLE VIII FINANCES Section 1.

Fiscal Year.

The fiscal year of the DCA shall be from January 1 to December 31. The Board may, from time to time, adopt resolutions relating to the finances of the DCA such as, but not limited to, the adoption of a budget for the DCA. Section 2.

Books and Accounts.

Books and accounts of the corporation shall be kept under the direction of the Treasurer of the DCA and the financial condition and results of operation shall be audited not less than annually by an independent firm of certified public accountants.

Section 3.

Charitable Contributions.

The Board shall not grant monetary contributions to charitable organizations. In lieu of such contributions, where consistent with the mission of the DCA and in accordance with the resources available, the DCA may provide technical, promotional, administrative and/or nonmonetary support to charitable organizations.

16 Section 4.

Purchasing

The Executive Director has the authority to approve purchase and sign up to $500 in accordance to a pre-approved Board budget.

Any check over $ $500 excluding payroll and tax expenditures shall require needs signatures from Executive Director and President or Treasurer.

Executive Director cannot enter into any multi-year purchase / lease contract or services agreement without approval of two (2) members of the Executive Committee.

ARTICLE IX GENERAL CORPORATE MATTERS Section 1.

Corporate Seal.

The Corporation shall have a corporate seal in the form of a circle containing the name of the Corporation, the year of incorporation, and such other details as may be approved by the Board.

Section 2.

Checks and Commercial Documents.

All checks, notes, bills of exchange or other orders or commercial documents in writing shall be signed by such person or persons as the Board may from time to time designate.

Section 3.

Contracts.

Except as otherwise provided in these Bylaws, the Board may authorize any Officer or Officers, agent or agents, to enter into any contract or to execute or deliver any instrument on behalf of the Corporation, and such authority may be general or confined to specific instances.

Any note, mortgage, evidence of indebtedness, contract or other document, or any assignment or endorsement thereof, executed or entered into between the Corporation and any other person, when signed by one or more Officers or agents having actual or apparent authority to sign it, or by the President or Vice-President and Secretary or Treasurer of the Corporation, shall be held to have been properly executed for and in behalf of the Corporation, without prejudice to the rights of the Corporation against any person who shall have executed the instrument in excess of his or her actual authority.

Section 4.

Deposits.

All funds of the Corporation shall be deposited from time to time to the credit of the Corporation in such banks, trust companies, or other depositories as the Board may approve or designate, and all such funds of the Corporation shall be withdrawn only upon check signed be two (2) Directors, or one Director and the Executive Director.

Section 5.

Annual Report of the Board.

The Board shall direct the President and Treasurer to present at the annual meeting of the Board a report showing, in appropriate detail, the following: (1) The assets and liabilities, including the trust funds, if any, of the Corporation as of the end of the fiscal year immediately preceding the date of the report.

(2) The principal changes in assets and liabilities, including trust funds, if any, during the year immediately preceding the date of the report.

(3) The revenue or receipts of the Corporation, both unrestricted and restricted to particular purposes, for the year immediately preceding the date of the report, including separate date with respect to each trust fund held by of for the Corporation, if any.

(4) The expenses or disbursements of the Corporation, for both general and restricted purposes, during the year immediately preceding the date of the report, including separate data with respect to each trust fund held by or for the Corporation, if any.

The annual report of the Board shall be filed within the minutes of the Annual Meeting of the Board.

Section 6.

Construction and Definitions.

Unless the context requires otherwise, the general provisions, rules of construction, and definitions in the Nonprofit Law shall govern the construction of these Bylaws. Without limiting the generality of this provision, the singular number includes the plural, the plural number includes the singular, and the term “person� includes both a corporation and a natural person.

ARTICLE X AMENDMENTS These bylaws may be amended or repealed, or new bylaws may be adopted only by the affirmative vote of a majority of the Board at any meeting called for such purpose.

As President of the DCA, the undersigned hereby confirms that these Bylaws were adopted by a majority of the Board of Directors then serving on February 8, 2013.

2020 Year in Review 2020 Mission Accomplishments of Carlisle’s Main Street Organization

Dear Carlisle Community Since 1981, the Downtown Carlisle Association has been striving to enhance the civic, cultural and economic vitality of the downtown Carlisle’s retail, service, academic, government and industry. Currently in our 39th year, the DCA has the distinction of being one of the longest, continuous running Main Street based programs in the Commonwealth. We could not have reached this important milestone without the continued financial support and partnership of the Borough of Carlisle, Dickinson College, downtown and regional supporters.

Our mission and programs are solely crafted and dedicated to the implementation of various aspects of the Borough of Carlisle’s Comprehensive Plan, various studies, and the observed need of downtown business owners and stakeholders.

With oversight from a communitybased volunteer board of downtown

merchants, directors, regional liaisons, volunteers and borough leadership, the DCA provides an array of programs dedicated to achieving the common goals of Carlisle, using the managerial structure provided through Main Street America’s economy building revitalization model.

We note our accomplishments of 2020 in this report and look ahead, with great anticipation, to 2021, DCA’S 40th Anniversary, It is an exicting time to be in Carlisle. We are fortunate to work with a talented and dedicated board of directors, staff, and committed community entrepreneurs and volunteers.

Downtown Wayfinding and Beautification Initiative Over 10 years ago the DCA created and produced banners for the downtown wayfinding and beatification initiative. Over the years these banners have become a part of the overall downtown branding and are beloved by those who visit. In 2020, we sold 2 banners to former Carlisle resident Vera McClure of Fort Myers, Florida who has them displayed in her home.

About the DCA

The Downtown Carlisle Association is a non-for-profit, 501 (c) 3 organization created and charged to administer economy building programs for the benefit of downtown Carlisle through the Main Street America revitilization model.

We are funded through grants from the Borough of Carlisle and Dickinson College, sponsorships from private businesses and corporations, and donations from the community.

Our mission is to improve the quality of downtown by increasing business, tourism, education, and economic development opportunities.

Located in the C-1 district, the DCA was organized in 1981 to address many issues in a struggling downtown including blight, safety, beautification, and branding. The DCA’s district boundaries are from Penn Street to South Street, West Street to Bedford, concentrating mostly on the commercial cores.

In 2006, a group of community leaders, lead by Bill Durden,

President of Dickinson College, addressed downtown vitality through a renewed urban and retail study called the ERA merchandising mix study. From this study, the DCA hired a retail recruiter to advocate for and recruit businesses to downtown Carlisle. This position was later teamed with Cumberland County Housing and Redevelopment Authority’s retail recruiter to much success.

As the DCA administers the Main Street program, LoveCarlisle.com, is the brand channel through which all marketing, promotions, and social media and events are delivered.

The DCA and LoveCarlisle. com work with the business community, government and academic stakeholders to add viability and vitality to their investment in downtown.

Through advanced marketing, partnerships, trainings, and programming, we strive to place the Carlisle brand “top-of-mind” for those wishing to shop, play, dine, live, visit, and work.

COVID-19 Unlike any disaster we could have imagined or planned for, the COVID-19 crisis has taken everyone by surprise. This catastrophic event has affected everyone in downtown. As we worked with the recovery team, educated ourselves and waited on local, state and federal disaster relief approvals, we know the disaster is not yet over. Nor are we unique in the need, aid and programs needed for recovery.

While we try to find new ways of promotion, downtown event production, economic development and design tactics to lure people into downtown, we have also supported and encouraged businesses to keep evolving their way of doing business.

As we do not know when and how this will end, we are adapting the way we administer our Main Street efforts and will continue to help market downtown and assist individual businesses to evolve in this new marketplace. Staff has evolved from working from home with daily meetings to working 3 days a week in the office and 2 from home. We have purchased the ZOOM teleconferencing software and have kept up with revitilization efforts and meetings virturally throughout the pandemic.

The DCA board laid out the following as our high-level responsibilities in responding to this situation: Gain insight; listen + understand member impacts and impacts to downtown • Every week we have called, emailed or visited downtown businesses to check-in on needs and concerns. While many businesses are closed, we are rely on all of our methods of communication to connect. • Our Facebook page and Downtown Merchant Facebook Group have been very active with questions, comments and requests. • We have been monitoring the timeline of economic impact with other downtowns across the country. We are observing those more mature in the crisis to see how they are handling it, and what benefits are being extending.

Give voice to the importance of economic relief • We are actively engaged in daily calls with other local resources equipped and authorized to aid in daily relief and administer aid currently and in the future.

• Provide resources to streamline business in the red stages and when we moved forward from yellow to green phases.

• Administered various surveys that kept track of loss and needs of our downtown businesses.

Help downtown members understand resources available • The LoveCarlisle.com page was re-tooled to offer information and resources on COVID-19 and the resources as they evolved.

• In consideration for the common communication good we linked, copied and shared information from other groups.

Support economic recovery of downtown • We joined with the Carlisle Area Chamber of Commerce team to assist with resources, marketing, disaster relief education, and anything else needed. This allowed us to not have to be educated twice from SBA and DCED, and we can relay these benefits to nonchamber members downtown.

Post-Outbreak Recovery Promotion: We have continued to plan our annual promotional events and campaigns planning for immediate implementation after this disruption. We keep teaming with the chamber marketing team to ensure consistent messaging locally and with the state and national Main Street organization to carry that national message. We know there are many great ideas out there, please contact us to share ideas and programs that you feel could help the collective downtown.

In early summer of 2020, the DCA board adopted a customized recovery action plan developed by staff. The plan was derived from best practices from across the country along with feedback from local merchants and area market knowledge from staff.

The recovery action plan is a volunteer driven plan and asks the community to do their part, as stated in the plan or what they believe to be necessary, to assist downtown’s recovery.

In April 2020, Executive Director, Glenn White was appointed to the Pennsylvania Downtown Center’s Recovery and Resillency Task Force.

Downtown Director Assigned to State COVID-19 Recovery Task Force

The Pennsylvania Downtown Center partners with the Department of Community and Economic Development to administer the state’s Keystone Communities Program. The Downtown Carlisle Association follows certain state mandated downtown development criteria to be an affiliate member of the organization. The Main Street approach is governed by the National Main Street association which this task force will be drawing a lot of resources and connections to nation-wide programs.

Carlisle, PA - The Downtown Carlisle Association announced today that Executive Director Glenn White has been assigned to the Pennsylvania Downtown Center’s Recovery & Resiliency Task Force. The task force is populated with a large group of individuals from around the commonwealth including Main Street directors along with additional state agencies and partners.

While the nation is still in crisis management mode, the DCA and other state and national downtown Main Street and shopping districts are beginning to look up at the recovery efforts. “This is an unprecedented disaster that the final scope of recovery is yet to be known. But as the certified downtown merchant and development group, we want to hit the ground running when this is over” stated Glenn White, executive director of the DCA. “Since this is a multi-pronged issue, impacting community health, economics and social behavior and social interaction, we will be identifying a multitude of areas where this impacts our communities.” stated Julie Fitzpatrick, Executive Director of the Pennsylvania Downtown Center.

The Pennsylvania Downtown Center partners with the Department of Community and Economic Development to administer the state’s Keystone Communities Program. The Downtown Carlisle Association follows certain state mandated downtown development criteria to be an affiliate member of the organization. The Main Street approach is governed by the National Main Street association which this task force will be drawing a lot of resources and connections to nation-wide programs.

Currently the DCA has been working directly with the Carlisle Area Chamber of Commerce, Borough of Carlisle, Dickinson College and state and federal elected officials in managing and distributing information on the various aid packages, working with officials on additional aid packages, connecting with individual downtown merchants to answer questions, surveying downtown businesses to measure impact and developing recovery concepts for the future.

The first meeting of the state task force will be on April 22nd.

The Downtown Carlisle Association is the borough’s certified downtown Main Street development program. They coordinate merchants and stakeholders to develop economic development programs that benefit downtown Carlisle, which benefits the borough and region.

OPEN & TOGETHER As we continue to work with the Carlisle Area Chamber of Commere, Dickinson College and other area institutions, we have developed a message of safety and reassurance for downtown visitiation and shopping. The Open & Together message came from a team marketing meeting and has been adopted by downtown Carlisle and other area downtowns. Posters, social media campaigns, videos and postcards have all been distributed to get the message out that our Cumberland Valley downtowns are Open and Together we are working to keep you safe.

CONSUMER MARKETING AND EVENTS While we consider and respect the loss we are all facing, we are balancing the need to manage this crisis, but still plan for the end. With that we are preparing for annual promotional events, projects, advertising and expanded revitalization efforts as soon as possible. Promotional events take months to plan and implement, we cannot be caught without a plan for bringing customers back into Carlisle as soon as this is over. Like our merchants who are adapting their business models, we will adapt these promotions to be the best they can under whatever circumstances surround us.

The DCA sells the image and promise of Main Street to all prospects. By marketing the district’s unique characteristics through advertising, retail promotional activities, special events, and marketing campaigns an effective promotion strategy forges a positive image to shoppers, investors, new businesses and visitors.

Dickinson College student to write content and a local designer to layout the book. Distribution has always been an issue, therefore we are planning on fewer places to pick up the guide but purchasing racks in which to display the issues and restock when necessary.

LOVECARLISLE.COM WEBSITE The LoveCarlisle.com website is the most active promotional tool for the DCA and was renewed in 2020.

With over 90,000 pageviews annually, it is the one-stop shop for finding out information, or easily linking to other Cariisle area organizations.

All downtown businesses are listed on the site, along with events, news and other Carlisle promotional items.

A virtual guide was also created.

ICE ART FEST Designed as an event to draw customers in a slower time of year, the Ice Art Fest boasts over 20,000 in downtown over a weekend in February.

CANCELLATIONS Unfortunately, out of an abundance of caution, many downtown events were cancelled for 2020. These events will be postponed and rescheduled for 2021.

Events cancelled in 2020 were: Taste of Carlisle Ford Parade Corvette Parade USWAC Welcome Jam Harvest of the Arts Christmas Parade

FIRST FRIDAY SERIES We provide this event as a retail event to garner support and attention for after 5 pm shopping and dining in downtown Carlisle. This event not only provides the vehicle to convince various downtown establishments to stay open, but also the advertising tool to convince customers to come downtown.

This event is being expanded to be a year

round project. This event requires committee development, knowledge of annual retail trends, bi-monthly meetings on the 1st and 3rd Mondays, partnership sales, and graphic design, and distribution of programs and posters, and creative and media buys.

COMMUNITY PARTNERSHIPS The DCA partners with various non-profits and groups to offer a managed fiscal and operational resources, allowing them to concentrate on their mission, and making downtown Carlisle better.

Farmer’s on the Square The DCA has partnered with the Farmer’s on the Square to administer their weekly market permit with the Borough.

NEW in 2020, the DCA created an shared employee agreement where the we hire and pay the FOTS market manager, saving the market money and resources by not having to manage a payroll system

Color Carlisle The DCA partnered with the Color Carlisle Mural Project to aid in financial management and fundraising as they plan their efforts of producing murals on designated downtown and boroughwide walls.

Cat-Nip Fund Working with the East Side Neighbors, this program funds the spaying of 92 feral cats in Carlisle this year. This humane and effective approach for stray and feral cats improves the life of the feral cats, improves relationships with the people who live near them, and decreases the size of colonies over time.

2020 ACCOMPLISHMENTS

Economic Development Economic development strengthens our community’s existing economic assets while diversifying its economic base. This is accomplished by retaining and expanding successful businesses to provide a balanced commercial mix, sharpenng the competitiveness and merchandising skills of business owners, and attracting new businesses that the market can support. Converting unused or underused commercial space into economically productive property also helps boost the profitability of the district. This program has been copied in various downtowns across state. Held in June and September, this is an open-house of available downtown properties. We had over 12 properties on the tour with 10 potenital entrepueneurs.

Working with Leadership Cumberland, the DCA asked for a zip code survey to be done to ensure the current information given by the Gibb’s study.

SMALL BUSINESS SATURDAY What is the largest shopping day in downtown Carlisle, the DCA has annually worked with American Express to be the Local Neighborhood Champion, by receiving and distributing promotional materials and developing a marketing campaign to further the impact and profitability of the day.

RECRUITMENT & RETENTION The DCA addresses downtown retail vacancies by actively targeting businesses outside of Cumberland County to consider Carlisle for expansion. Mindful of the merchandising mix identified in the Gibbs Study we regularly visit over 30 downtowns and maintain lists of potential clients. Retention includes weekly visits to local businesses to gauge how they are doing and what the DCA can do to help them be successful.

The DCA's Small Business Saturday campaign, "LOVE LOCAL" has been recognized by the Main Street A merica for winning the Small Business Saturday Neighborhood Champion Innovation Contest. Our goal was for your customers to get to know the story behind the business and its owner. Thank you all for sharing your stories and helping us win this recognition. Thanks also to Chad Kimmel of Grand Illusion Hard Cider for partnering with us on this great project.

2020 CARLISLE EVENT CALENDAR RELEASED Each year the Downtown Carlisle A ssociation distributes the attached annual event calendar for the new year. This annual calendar collects events and large gatherings of area academic, government, Main Street, and event producers that bring over 250 into Carlisle at one time. Combined with the calendar holiday schedule, this community event calendar is to inform the public, public service and safety agencies and businesses on when to expect a larger volume of visitors in Carlisle.

DCA produces a monthly email and print publication for C1 business owners to inform and update about upcoming events, TWO NEW BUSINESSES SLATED TO OPEN committee projects and what’s bringing residents and visitors into downtown Carlisle.

Mark Your Calendar The 10th annual calendar is attached for your convenience. A s with many things, the calendar is subject to change. A new calendar will be issued and promoted when edits are made.

Two new businesses will be opening this month, Anahata Yoga at 2 East Liberty A venue and Nothing Sweeter at 10 West Pomfret Street. Watch your email for grand opening dates and more about these two new businesses and their owners. A lso stay tuned for information on the grand opening date for The Carlisle Antique Mall located at 164 North Hanover Street that opened in December.

January 13: Penn State Dickinson Law School is back in session.

January 20: Dickinson Students return for their spring semester. Watch for increased activity in town the weekend prior as parents bring students back to Carlisle.

The SBDC invited the DCA to discuss our vision and implementation this year at Shippensburg University.

The Design Committee focuses on maintaining and improving the appeal of downtown with beautification projects, banners, downtown clean-ups, flowers and streetscape projects.

We encourage every business owner to meet with us first to ensure a smooth opening.

The Promotions Committee develops events and promotions designed to "put feet on the street" and re-discover what makes our downtown special. The committee plans the

larger Main Street events like First Friday's,out Taste ofto Carlisle, Harvest of the Arts and more.

This newsletter goes over 500 people Looking at ways to promote Main Street to locals and visitors is also a task of this committee. each month.

We manage over 500 mid-atlantic downtown business names, and contacts .

BLOOMIN’ CARLISLE Through our design committee, we have improved the visual attractiveness of Carlisle by implementing fresh flower programs, such as Bloomin’ Carlisle that started in 2013, that placed an additional 52 flower pots onto downtown streets.

Today we place 88 flowerpots in downtown and have expanded that into the winter with winter greens that are placed from November through March.

Along with the downtown flowerpots, we secure additional grant funding to pay for the watering of the downtown Rotary hanging flower baskets. This five month long project commits personnel to do daily waterings of over 166 flower baskets per day. Rotary volunteers do it once per weekend.

DESIGN

Design means getting Main Street into top physical shape. Instilling good maintenance practices in the commercial district, enhancing the district’s physical appearance through the rehabilitation of historic buildings, encouraging appropriate new construction, developing sensitive design management systems, educating business and property owners about design quality, and long-term planning. An inviting atmosphere can be created through window displays, parking areas, signs, sidewalks, street lights, and landscaping; good design conveys a visual message about what Main Street is and what it has to offer.

Annual downtown clean-up Held in conjunction with Earth Day, The DCA calls for volunteers to take on the task of readying downtown for the spring & summer. Winter can be had on a downtown, stones, trash, debris, has all shown up from melted snowbanks. We also take in inventory of graffiti, broken meters, sidewalk repairs and other hazards. With teams of volunteers, bags and blowers we get downtown cleaned-up and ready for a new year!

We collect 20 bags of trash and debris annually during the clean-up.

Downtown holiday lights

In a true community effort, the pride of downtown has been the hanging flower baskets. Paid for and hung by Rotary, the DCA gets a sponsor to pay for the watering throughout the summer and fall.

The DCA owns and manages the downtown holiday lights. Each year volunteers will test over 20,000 lights, ensuring each will lite. 22 volunteers restrung over 100 yards of lights in Veteran’s Court yard in 2020.

The watering person will water over 100 baskets and planters per day taking approximately 3 hours.

Over 60 gallons of water is needed to water the flowers and planters.

Over 100 strands of garland and 40 metal set pieces are checked each October.

ORGANIZATION Organization means getting everyone working towards common goals. The common-sense formula of a volunteer-driven program and an organizational structure of board and committees assisting professional management can ease the difficult work of building consensus and cooperation among the varied groups that have a stake in the district.treet lights, and landscaping; good design conveys a visual message about what Main Street is and what it has to offer.

Corporate & Public Engagement Main Street runs on partnerships with corporate community. Those willing to commit time and money to support their downtown.

Volunteerism Volunteers make revitilization happen.

Our events and projects can require from 2 to 80 volunteers to ensure a quality project.

An additional 200 hours of corporate volunteerism was given to downtown projects and events.

We use memberships to area chambers to stay engaged with area business community.

Some events require 80 volunteers, some only 2, we love our volunteers!

Visioning The DCA began the process of a crafting a new vision for downtown Carlisle. This community-led exercise will examine the opportiniies, threats, strengths, and weaknesses facing downtown, and will set programs and goals to address and further the vitality of the C-1 District.

A new perception survey has been written to gauge thoughts on downtown.

On behalf of the Board of Directors of the Downtown Carlisle Association (DCA), I would like to thank the borough for continued partnership.

Please note that you play a vital role in the continuation of the Downtown Carlisle Association’s and Dickinson College’s initiatives in moving forward, and maintaining success, with the Downtown Improvement Plan.

With continued funding, we concentrate on specific projects that have been long-standing community projects, and that fulfill objectives in Carlisle’s Comprehensive Plan, Downtown Improvement District Plan, ERA Merchandising Mix Study, Gibb’s Study among other annual projects as assigned by the Borough, County or other partner agencies.

The DCA administers and produces these projects to benefit Carlisle, and therefore, Dickinson College, with combined public and private financial partnerships. Using professionally trained staff and a community volunteer base, the revitalization efforts of the DCA have been documented and lauded throughout the Commonwealth.
