Summary of Executive Benefits Package for Equity Owners
This memo provides a summary of the Executive Benefits that we provide to our Equity Owners. Additional information is available from Human Resources.
The benefit levels are as follows:
Equity Owners who are divesting their shares/units will be able to retain their benefits in the table above (based on their ownership level at the time the divesting begins), provided they continue to perform in their same capacity and work a minimum of 40 hours per week. These benefits would then continue through the completion of divestiture. If their work schedule is reduced to below 40 hours per week, their benefits will be prorated in accordance with their new schedule. After divestiture, for those who enter into an employment agreement, benefits will be addressed separately.
LIFE INSURANCE STIPEND
In addition to the group life insurance benefit that Equity Owners receive as employees of Langan (coverage amount of 2.5 times base salary up to $500,000), an additional life insurance stipend will be issued annually each July. The stipend is an amount that is reasonable to secure life insurance policies targeted at $500,000. In some cases, individuals may need to supplement this stipend to procure the target coverage. In other cases, individuals may be able to procure the target coverage for a lesser amount. The stipends are taxable and will show up on your W-2.
Note: This benefit is a “stipend benefit” and not a “coverage benefit.” The stipend may be used to purchase a new life insurance policy or to pay for an existing personal policy. No proof of purchase will be required.

LONG-TERM CARE
Equity Owners are eligible to receive long-term care coverage, which varies according to executive level. Principals, Senior Principals, and Managing Principals may also have coverage for their spouse/partner. Buy-up options are available. Plan benefits and coverage are as follows:
Note: Those who do not qualify due to health issues will be provided with an additional $2,000 in their Executive Health Reimbursement account as a replacement.
EXECUTIVE PHYSICAL PROGRAM
Equity Owners will be reimbursed for annual Executive Physicals conducted as part of a formal Executive Physical program through a hospital, longevity center, or similar facility. An executive physical is a comprehensive exam that can include a variety of tests and assessments to evaluate a person's health and identify potential issues early. If applicable, Executive Physicals should be run through insurance first, and reimbursement will be limited to out-of-pocket expenses, not to exceed the benefit level maximum. A portion of Executive Physical reimbursements may be taxed in accordance with IRS guidelines.
VACATION
Equity Owners will earn one additional half-day of vacation for each year of Langan service from twenty years to thirty years. At thirty years’ service, the Owner will accrue five weeks’ vacation.

As a new Equity Owner of the firm, I am pleased to inform you of Langan’s Executive Long-Term Care Plan that is offered to Principals of the firm. Long-term care provides a very significant benefit at relatively low cost to the company.
Long-term care planning has become increasingly important in the United States. This benefit will provide your family or loved ones with a tool to care for you better and longer should you become ill due to sickness or accident, or if you require assistance due to old age and frailty. Attached to this memo is a brochure that describes the plan’s benefits and the many advantages of having this protection. It is recommended that you review the brochure with your spouse or domestic partner before making your plan choices. The information below outlines the plan benefits and implementation timeline.
Plan Benefit & Coverage
The attached plan overviews outline the basic coverage and optional buy-ups.
Eligibility
Eligible employees must hold the position of Principal at Langan or be a spouse or domestic partner of these employees. Plans 1 and 2 for Principals include coverage for spouses/partners. Plan 3 for Associate Principals could include coverage for spouses/partners, subject to a buy-up expense. Note: Domestic partner eligibility is determined by criteria developed by Mutual of Omaha Insurance Company.
Each employee, spouse, or domestic partner applying for Plans 1, 2, or 3 will be required to complete a health enrollment form and undergo a modified physical to determine coverage eligibility.
Plan Alternatives
In the event an employee does not qualify for coverage, Langan will provide the employee a dollar amount equal to the long-term care coverage premium projected, which will be applied to the employee’s Medical Reimbursement Plan.
When an Associate Principal is promoted to the Principal level, their spouse or domestic partner will be eligible for coverage paid by the firm (Plan 2). When this occurs, we will start the process to purchase a policy for the Principal’s spouse or domestic partner.
When a Principal is promoted to the Senior or Managing Principal level, the coverage per individual increases, and the Shared Care option is added. When this occurs, we will start the process to purchase the additional coverage for you and your spouse/domestic partner.
You will be contacted by Mike Minton, our representative for Mutual of Omaha, within the next couple of weeks. Mike will schedule an appointment with you to review the benefit, determine individual needs, and develop a plan design. If you’re like most people, you probably know someone who’s needed long-term care services. Maybe you’ve been a caregiver yourself, and that has you wondering how you’ll handle your own long-term care needs. Will your family take care of you? Will you be able to stay in your home? How will the need for care impact your retirement nest egg? We can help you find answers to the questions that keep you up at night. We’ll start by listening to your concerns. We’ll get to know you so we understand your specific situation. Then together, we’ll find a long-term care solution that’s right for you.
How Long-Term Care Insurance Works
When the need for care first arises, you’ll probably turn to family members or friends. However, your needs may go beyond their ability to help – whether physically or financially. That’s where a long-term care insurance policy comes in. Long-term care insurance allows you to get the care you need in the setting that’s right for you.
At Home
Many people prefer to remain at home as long as possible. Your policy provides benefits to help you get the care you need in the comfort of your own home.
In a Care Facility
Sometimes, more care is needed than can be provided at home. Should that happen, your policy also covers care you receive in an assisted living facility or nursing home.
How You Become Eligible for Benefits
You’re eligible to receive benefits from your policy if you are chronically ill and a licensed health care practitioner submits a plan of care prescribing longterm care services. That means you must need help with at least two of the six activities of daily living (bathing, dressing, eating, transferring, toileting and continence) for at least 90 consecutive days. You’re also eligible to receive policy benefits if you’re certified to need continual supervision due to a severe cognitive impairment.
Your Policy’s Waiting Period
Once you become eligible for benefits, your policy’s elimination period begins. This is the waiting period before benefits are payable to you.
• The elimination period starts on the first day you are deemed to be chronically ill and you receive a covered service
• Once the elimination period has been satisfied, benefits for covered services are paid to you each month, up to the maximum monthly benefit you select
• As long as you remain eligible, benefits for covered services will be paid to you until your policy limit is reached
Your Benefit Payment Options
You have two options when it comes to receiving policy benefits – cash or reimbursement. You also have the flexibility to switch between payment options, which means you can select a cash benefit one month and reimbursement the next. Just keep in mind you can’t receive both cash and reimbursement benefits at the same time.
Cash Benefit
Gives you the flexibility to pay for any service that supports your plan of care.
• The cash benefit pays 25 percent of the policy’s home health care benefit, up to an initial maximum of $2,000 each month
• There’s no elimination period to satisfy before receiving the cash benefit
Reimbursement Benefit
Reimburses you for actual long-term care expenses you incur.
• The reimbursement benefit pays up to the policy’s maximum monthly benefit amount
• The policy’s elimination period must be satisfied before reimbursement benefits begin
Note: Days in which you receive a cash benefit don’t count toward satisfying the policy’s elimination period for reimbursement benefits.
Customizing Your Policy
Your MutualCare® Secure Solution policy can be tailored to meet your needs and fit your budget. When determining how much coverage you may need, here are some things to consider:
• The cost of long-term care services in your area
• The amount you can afford to contribute to the cost of your care
• How much you’ll need in benefits each month
• How long you think you may need long-term care services
• How long you’re willing to wait before policy benefits begin
Select a Benefit Multiplier
This is the initial amount of time your policy will pay benefits.
Select a Monthly Benefit Amount
This is the initial maximum dollar amount your policy will pay each month.
Calculate Your Policy Limit
This is the initial maximum amount payable over the life of your policy.
Choose an Elimination Period
This is the calendar-day waiting period before policy benefits begin.
Consider Adding Inflation Protection
This optional benefit allows your policy benefits to grow over time to keep up with the rising cost of long-term care services.

Monthly benefit options include:
• $1,500 to $10,000
(Subject to monthly benefit and policy limit combinations.)

Benefits Included in Your Policy
Your MutualCare® Secure Solution policy includes these built-in benefits that give you the flexibility to get the care you need.
Cash Benefit*
Pays 25 percent of the policy’s home health care benefit, up to an initial maximum of $2,000 each month.
Home Health Care
Pays up to 100 percent of the policy’s monthly benefit for:
• Personal care services to assist with the activities of daily living
• Homemaker services to help with housekeeping, grocery shopping and meal preparation
• Professional services of a nurse, home health aide or therapist
• Adult day care
Care Coordination*
Includes the services of a licensed health care professional who will assess your needs, develop an individualized plan of care and help you arrange for services. In addition, the use of a care coordinator makes you eligible for additional benefits designed to help you remain safely in your home.
Facility Care
Pays up to 100 percent of the policy’s monthly benefit for care received in an assisted living facility or nursing home.
Respite Care*
Pays to hire a temporary caregiver up to one month per calendar year to give your unpaid caregiver a needed break.
Hospice Care*
Pays for hospice care services in any setting.
International Benefit
Pays up to the policy’s maximum monthly benefit for up to 12 months should you need covered services while traveling outside the United States, Canada or the United Kingdom.
Waiver of Premium
Waives your premium payment while you are receiving benefits for covered services at home, in an assisted living facility or in a nursing home.
Alternate Care
May provide coverage for qualified treatments or services not specifically listed in the policy when recommended by a care coordinator.
*There’s no elimination period to satisfy to be eligible for these benefits.
How You Can Save on Your Premium
We want to help you keep your premium payments as low as possible, so we offer three ways to save. You may qualify for one or more of these premium allowances.
Partner
Both Policies Issued
15 percent savings when the same policy form is issued to both you and your partner.
Partner
One Policy Issued
5 percent savings if you are married but a policy is not issued to your partner.
Preferred
15 percent savings if you are in good health.
Partner means one person who is your spouse to whom you are legally married; or your registered domestic partner or civil union partner; or an adult person with whom you share a serious and committed personal relationship that is intended to be lifelong and with whom you have shared a common permanent residence on a continuous basis for the most recent three years.
Your Benefit Options
These benefits can be added to your MutualCare® Secure Solution policy for an additional cost, allowing you to customize your coverage to meet your specific needs.
Inflation Protection
Allows your policy benefits to grow over time to keep up with the rising cost of long-term care services. Inflation protection options include:
• Lifetime: 3, 4 or 5 percent compound
• 20-Year: 3 or 5 percent compound
A 5 percent compound inflation protection option is required to be offered to all applicants.
Shared Care
Allows you to access benefits under your partner’s identical policy should you run out of benefits but still need long-term care services.
Security Benefit
Provides an additional 60 percent of your monthly reimbursement benefit that can be used to pay for care or living expenses for your uninsured partner while you receive long-term care services.
Reduced Benefit for Home Health Care and/or Assisted Living
Reduces the amount the policy pays for home health care and assisted living services. Reduced benefit options include:
• 50 percent of the maximum monthly benefit
• 75 percent of the maximum monthly benefit
Waiver of Elimination Period for Home Health Care
Allows you to begin receiving benefits for home health care services immediately with no elimination period to satisfy.
Days in which you receive home health care benefits may be used to satisfy the elimination period for assisted living and nursing home care.
Return of Premium Three Times Monthly Maximum
Upon your death, returns premiums you paid, up to three times the initial monthly benefit of your policy, excluding any benefit payments you received.
The policy must be in force for 10 years. Excludes any inflation increases. If coverage is decreased, premium returned will be based on the decreased amount.
Nonforfeiture Shortened Benefit Period
Allows your policy to continue on a reduced basis should you stop paying premiums for any reason.
Feel Confident in Your Decision
If for any reason, you decide a long-term care insurance policy isn’t right for you, return it to us within 30 days for a full refund of any premium you paid.

The Johns Hopkins Executive & Preventive Health Program provides busy executives with an efficient way to receive a confidential, comprehensive, headto-toe health assessment from one of the world’s leading institutions in diagnostic medicine, biomedical discovery and personalized care.

We understand that executives who work long hours and are juggling countless priorities may find it challenging to make time for their personal health. The Johns Hopkins Executive & Preventive Health Program offers a solution: a one-day experience designed with health, wellness and comfort in mind.
You will be greeted upon arrival by one of our patient navigators and then introduced to your personal physician, who will conduct a complete medical history assessment and physical examination. A series of standardized screenings will be conducted, including:

Between examinations, you will have access to our multizoned lounge, complete with private meeting rooms, telephone and internet access, business services, and interpreter services, if needed. We also provide continental breakfast and lunch, private bathrooms and locker rooms, and an on-site gym.

Personalizing Your Services
Your day-long visit will be tailored to meet your individual health needs, based on personal preferences and your Health History questionnaire.
The standard executive and preventive health visit
Medical History Review and Physical Examination – A thorough medical history is the cornerstone for effective assessment of your health. We will discuss any health concerns you may have along with your past medical issues, identify susceptibilities based on your personal and family background, as well as your current lifestyle and habits.
Comprehensive Laboratory Screenings and Urinalysis – These detect indicators of anemia, diabetes, thyroid disease, liver and kidney disease, and include a lipid panel to assess cardiac and stroke risk factors. A Prostate Specific Antigen (PSA) screening is included for men beginning at age 40; HIV test, with your consent, is performed for those under age 65.
Resting Electrocardiogram (EKG) – Detects changes in the heart’s electrical activity. Patterns seen in the tracing indicate where tissue may have been damaged, if coronary arteries may be blocked, or if irregular beats occur frequently.
Audiogram – A hearing test performed by an audiologist who makes recommendations to help preserve hearing or may suggest sound amplification. This should be obtained during your initial visit and subsequent studies will be determined based your need.
Eye Examination – Performed at the Wilmer Eye Institute by an optometrist and includes the external eye structures, pupils, eye muscle function, internal pressure, visual fields, and visual acuity.
*Contact lens fitting is notincluded during this exam.
Skin Cancer Screening– This screening includes a head to toe assessment by a dermatologist to detect skin cancer through visual inspection. The dermatologist will inspect the skin for concerning lesions and will ask that you point out any spots that have been changing, growing, bleeding or are of concern. This evaluation does not include a diagnostic evaluation and management of any new or chronic conditions (ie. rashes, acne, rosacea or cosmetic issues).
Immunization review and Administration –Your immunizations will be reviewed with the physician, and if any need to be updated, they will be administered during your visit.
Summary Conference – At the end of your visit you will meet with your Executive Health physician to review all test results, determine if additional testing or follow up care is needed, and determine what lifestyle changes are ideal in order to improve your overall health. A written summary of your results will be available to you following your visit. At your request, we will provide a copy of your results to your primary care physician.
Optional services
Treadmill Tests – one or the other may be performed, but not both
1.Exercise Stress Test – This treadmill test evaluates how your heart responds to physical activity. The test consists of walking and/or running on a treadmill while the speed and incline are gradually increased. Your electrocardiogram and blood pressure are monitored for any indications of cardiovascular disease. A baseline test is
recommended beginning at age 45 (men)/ 50 (women) for patients with risk factors for premature arteriosclerosis - diabetes, cigarette smoking, significant hypercholesterolemia and family history of heart attacks at a young age. This test is also useful if you are beginning a fitness program. Others begin at age 50. Whether it should be repeated requires individualized review with your physician.
2. Metabolic Stress Test – Thistreadmill test is used to measure the performanceof your heart and lungs, particularly while they areunder greater physical demand. This test is the goldstandard for functional/aerobic capacity testing.These tests consists of walking and/or running on atreadmill while you are breathing into amouthpiece. The speed and incline of the treadmillare gradually increased throughout the test. All ofthe air you breathe in and out during the test isanalyzed. Your electrocardiogram and bloodpressure are monitored to ensure safetythroughout the test.
Exercise Counseling – An Exercise Physiologist will work with you to create an individualized exercise program and provide guidance on incorporating exercise and fitness in to daily life. Exercise guidelines, program progression, and proper technique are reinforced during session. This is recommended for patients who plan to start a regular exercise regimen or significantly change their existing fitness routine. Counseling is done in conjunction with the exercise stress test.
Fitness Assessment – You will work with an Exercise Physiologist to assess your level of overall fitness. This hands-on assessment includes testing of muscular strength/endurance, flexibility and body composition. This is recommended if you plan to start a regular exercise regimen to identify baseline strengths and weaknesses. The assessment can be performed annually to determine the efficacy of an exercise program or to monitor progress.
Body Fat Analysis – Measurements are taken to estimate your overall body fat and determine if your body mass index (BMI) presents risks for medical conditions such as diabetes, heart disease, sleep apnea and certain cancers.
Calcium score – a CT scan of your heart to assess the severity of coronary artery disease. Specifically it looks for calcium deposits in the coronary arteries that can narrow and increase the risk of a heart attack; this one-time is recommended if you have a family history of heart disease or are at significant risk for heart disease. This scan does result in radiation exposure.
Abdominal Aortic Duplex Scan (AAA) – a noninvasive procedure that looks at images of the aorta, the main blood vessel leading away from the heart. This scan can diagnose aneurysms that develop in the abdominal aorta; recommended if you are over age 65 and have ever smoked. This scan does not result in radiation exposure
Low Dose CT – a specialized x-ray that will take multiple pictures of your lungs as you lie on a table that slides through the CT machine. A computer then combines the images in to a detailed picture of yourlungs for the radiologist to review. This is recommended annually if you are a current or former smoker over the age of 55. This scan does result in radiation exposure
Brain Health Check - A 90 minute screening designed to evaluate memory and other cognitive functions as they affect occupational and personal functioning, to assess emotion regulation and stress management andto evaluate and encourage health-affirmingbehaviors.The assessment consists of a briefinterview, testing of memory, executive functioning and psychomotorspeed; pencil and paper questionnaires are used toassess mood and personality with interpretation andrecommendation by a neuropsychologist.
Women’s services
3D Mammogram – the most modern screening and diagnostic tool available for early detection of breast cancer. It is used to detect changes in breast tissue in women who have no signs or symptoms of breast cancer. Annual screening mammograms are recommended by The American College of Radiology for women age 40 and over. This scan does result in radiation exposure.
PAP Smear – A screening procedure for cervical cancer that tests for the presence of precancerous or cancerous cells on the cervix; this procedure is performed by the internist. This should be performed mid-cycle, not while menstrating.
DEXA Bone Density Scan – used to measure bone mineral content and mass and can detect the depletion of bone calcium and protein, which increases your fracture risk. The scan typically measures the density of the spine, pelvis, lower arm and thigh; recommended if you are a female over age 65 or if you have risk factors for bone loss. This scan does result in radiation exposure.

Who we serve
We serve CEOs, presidents, founders, managing directors, managing partners, C-suite executives, and other business leaders. When you apply to our program, you’ll answer questions about your work status, business title, and company before being invited to be part of the program.
Most executives visit our program annually, but feel free to talk with your Mayo Clinic Executive Health physician about the right cadence based on your age and health status. To remain an active part of our program, executives must be seen by their Executive Health physician at least every three years.

One of the strengths and differentiators of Mayo Clinic’s program is our customized, in-depth appointments — every executive’s appointment can be unique based on their specific needs, concerns, and interests.
Our standard protocol of services — personalized by gender, age, and visit — serves as the foundation to every appointment. But our physician can also leverage the full depth of expertise at Mayo Clinic by ordering additional tests, screenings, or specialist consults based on each executive’s symptoms, conditions, personal and family history, and other risk factors. In addition, executives can choose to add optional services including predictive genomics, a multi-cancer early detection test, stress management and resiliency training, wellness coaching, and more. Appointments are often two days — sometimes one, and sometimes three.
What you can expect from your visits
· Unhurried time with your personal Executive Health physician at the beginning and at the end of your appointment to review your test results, address your questions, and prepare a strategy to optimize your health.
· Preventive health assessment including a comprehensive medical history review and physical exam performed by your personal Executive Health physician.
· Cutting-edge testing and technology combined with Mayo Clinic interpretation and insights.
· Review and update of medications and immunizations, including those needed for international travel.
· Lifestyle assessment covering nutrition, physical activity, stress management, sleep, alcohol and tobacco use, personal safety, and other indicators of disease risk.
· Access to other Mayo Clinic specialists, as needed.

Pricing
Services in the Mayo Clinic Executive Health program are based on an evidence-based standard protocol of preventive health tests and assessments.
The initial visit, which is more comprehensive and provides a baseline for future visits, typically takes more time and is more costly than subsequent visits. Recommended tests and assessments increase with age and vary by gender.
Total cost will also vary with additional testing or specialty consults the physician may order based on the executive’s conditions, symptoms, personal and family history, and risk factors, as well as optional services the executive may add such as genetic testing, multi-cancer early detection test, stress management and resiliency training, and wellness coaching.
We can bill through your insurance. Estimated costs before insurance for an appointment consisting of our standard protocol of services are:
The price estimates above include an Executive Services fee. This fee is for non-clinical services, so is not billed through insurance, and includes consolidation of your appointment schedule, fast-tracking lab results, prioritization of specialist consults, the executive lounge, snacks and beverages, lockers, private office space, our expert speaker series, and the added level of service that helps make this an executive experience. The Executive Services fee varies by campus: Minnesota $1,620; Arizona $1,570; Florida $1,500.
Protocol and pricing are typically reviewed and updated annually effective with the new year.
A $1,000 cancellation fee will be charged to patients who request to cancel or reschedule within 14 days of a scheduled face-to-face Executive Health medical exam, or who fail to attend this confirmed appointment. Patients who request to cancel or reschedule a confirmed face-to-face appointment within 15–30 days will be subject to a $500 cancellation fee.
