Wir begeben uns auf eine Reise. Das Ziel: neue Erlebniswelten.

Unsere Namensquelle ist eine sagenhafte Stadt: Xanadu oder auch Shangdu, die Sommerresidenz des mongolischen Kaisers Kubla Khan im alten China.

Marco Polo überlieferte uns die faszinierenden Reichtümer des alten Chinas. Wir lernten Seide, Gewürze, Edelsteine und Porzellan kennen. In der Überlieferung entstand die Stadt Xanadu – heute Metapher für Prunk und Wohlstand.

We are embarking on a journey. Our destination: new worlds of experience. The origin of our name is a legendary city: Xanadu, also called Shangdu, the summer capital of the Mongolian emperor Kublai Khan in ancient China.

Marco Polo delivered the fascinating treasures of ancient China to us. We learned about silk, spices, jewels, and porcelain. Legend created the city of Xanadu – today a metaphor for splendour and prosperity.

Mit XANADOO haben wir uns viel vorgenommen. Unsere Mission ist es, eine Plattform für faszinierende Geschenkideen zu schaffen. Die Roboclock-Familie bezeichnet eine neue Reihe von Alarm-Weckern im Look der Transformers. Ausgestattet mit hochwertigen Uhrwerken, die unabhängig geprüft und getestet wurden. Zudem mit einer Alarmfunktion in Sound und Licht. Mit einer Größe von ca. 10 cm und ca. 45 cm sind diese Wecker ein echtes Highlight in jedem Raum, ein Eyecatcher der “besonderen Art”. Dabei sind sie individuell formbar und in verschiedene Positionen zu verstellen. Die Zangenhände erlauben zudem die Nutzung als Notizzettel- oder Bilderhalter.

The Roboclock Family refers to a new line of Transformers-style alarm clocks. Equipped with high-quality movement that has been independently tried and tested. Moreover, they feature alarm functions with sound and light. Measuring ca. 10 cm and ca. 45 cm, these alarm clocks are a real highlight in any space, a special kind of eye-catcher. Unsere transparenten Polyresinfrüchte sind neu und mit ihrer neuartigem Material auch bislang unbekannt. Leuchtende Farben und tolle ichteffekte resultieren auch der Materialstruktur und geben eine ganz aussergewöhnliche Note. Für alle, die es nicht im Mainstream, sondern aussergewöhnlich wollen. Ein Hingucker, der ganz hervorragend auch als Arrangement harmoniert. In den Größen 10 cm, 14,cm und 16 cm erhältlich. als Apfel oder Kirsche haben wir diese Früchte für Ihr Heim gestalten lassen. Die langen Stiele geben eine edle Note und unterstreichen das Aussergewöhnlche dieser neuen Xanadoo-Früchte.

Verkaufs- und Lieferbedingungen

Gefahrübergang

Die nachfolgenden Verkaufs- und Lieferbedingungen gelten für alle Verträge über Lieferungen, die von uns (XANADOO gifts and presents GmbH) bewirkt werden, es sei denn, dass im jeweiligen Einzelfall besondere Vereinbarungen getrof-fen werden. Ergänzend gelten die gesetzlichen Vorschriften.

Die Gefahr geht im Falle der Abholung der verkauften Ware bei uns mit der Übergabe über. Versenden wir die Ware auf Verlangen des Käufers von unserem Sitz oder vom Lager an den Käufer, so geht die Gefahr auf ihn mit der Übergabe an den Spediteur oder Frachtführer, spätestens jedoch mit dem Verlassen unseres Lagers, auf den Käufer über. Die Ware wird auf Wunsch und Kosten des Käufers versichert.

Abweichende allgemeine Geschäftsbedingungen des Käufers gelten nur, wenn wir ihre Geltung im Einzelfall ausdrück-lich bestätigen.

Angebote Unsere Angebote sind stets freibleibend. Bestellungen, Vertragsabschlüsse und sonstige Abreden werden erst durch unsere schriftliche Bestätigung für uns verbindlich. Vertragsbedingungen in unseren Auftragsbestätigungen, denen der Käufer nicht ausdrücklich schriftlich widerspricht, gelten als anerkannt.

Wir behalten uns vor, die Annahme und Ausführung von Bestellungen von der Vorauszahlung des Kaufpreises durch den Käufer abhängig zu machen oder den Kaufpreis per Nachnahme zu erheben. Eine entsprechende Zahlungsbedingung wird in unsere Auftragsbestätigung aufgenommen und mit Zugang beim Besteller rechtsverbindlich vorbehaltlich des Rechts des Bestellers, innerhalb einer Woche nach Zugang wegen dieser Zahlungsbedingung von der Bestellung zurückzutreten.

Erhalten wir nach Absendung der Auftragsbestätigung Kenntnis davon, dass die finanzielle Lage des Käufers die vertragsgemäße Erfüllung seiner Zahlungspflichten uns gegenüber nicht oder nicht mehr, ganz oder teilweise, als sichergestellt erscheinen lässt, so sind wir ebenfalls berechtigt, die Lieferung von der Vorauszahlung des Kaufpreises abhängig zu machen oder den Kaufpreis per Nachahme zu erheben und – soweit die Zahlung nicht erfolgt – vom Vertrag zurücktreten.

Liefertermine, Lieferumfang und Lieferverzögerung

Wird die Ware am Liefertermin vom Käufer nicht übernommen und/oder der Versand auf seine Veranlassung oder aus sonstigen Gründen, die im Bereich des Käufers liegen, verzögert, so lagert die Ware bei uns auf Gefahr und Kosten des Käufers. Unsere Anzeige der Versandbereitschaft steht in diesem Fall der Versendung der Ware gleich.

Verpackung Die Verpackung wird von uns, soweit keine andere vertragliche Vereinbarung erfolgt, gesondert berechnet, und zwar sowohl die Verpackung des einzelnen Kaufgegenstandes als auch die Sammelverpackung.

Preise Unsere Preise verstehen sich zuzüglich der jeweils gültigen Mehrwertsteuer und – soweit nicht ein anderes vereinbart ist – zuzüglich Verpackung und Versendung.

Zahlung Mangels anderweitiger Vereinbarung sind unsere Rechnungen innerhalb von 14 Tagen mit 2 % Skonto oder innerhalb von 30 Tagen nach Rechnungsdatum rein netto zahlbar; sonstige Abzüge sind ausgeschlossen.

Kann die bestellte oder verkaufte Ware infolge von Umständen, die wir nicht zu vertreten haben (z.B. bei Streik, Lieferschwierigkeiten des Produzenten oder sonstige Fälle höherer Gewalt), nicht zu dem vereinbarten Termin versandt bzw. ausgeliefert werden, so verlängert sich die Lieferfrist entsprechend. Dies gilt auch dann, wenn die Umstände bei Vorlieferanten bzw. Materiallieferanten von uns eintreten. Wir werden den Käufer unverzüglich über den Eintritt der Verzögerung und deren Ende unterrichten.

Wechsel oder Schecks werden von uns nur bei besonderer Vereinbarung zahlungshalber angenommen. Nicht diskontfähige Wechsel oder Schecks kommen auch in diesem Fall nicht in Betracht.

Teillieferungen sind im zumutbaren Umfang zulässig.

Unsere Reisenden oder sonstige Vertreter sind zur Entgegennahme jeder Form von Zahlungs- oder Ersatzzahlungsmit-teln nur insoweit befugt, als Ihnen Inkassovollmacht schriftlich erteilt ist; der Käufer muss sich die Inkassovollmacht vorlegen lassen.

Eine Mehr- oder Minderlieferung von 10% ist zulässig, wobei die effektiv gelieferte Menge in Rechnung gestellt wird.

Eine Minderlieferung im vorstehenden Sinn gibt dem Käufer keine Ansprüche wegen Nichterfüllung, Verzugs oder aus sonstigen rechtlichen Gesichtspunkten.

Das Überschreiten vereinbarter Lieferfristen und -termine entbindet den Käufer nicht davon, uns eine angemessene Nachfrist zur Erbringung der Leistung zu setzen mit der Erklärung, dass er die Lieferung nach Ablauf dieser Nachfrist ablehnen werde, wenn er vom Vertrag zurücktreten oder Schadensersatz wegen Nichterfüllung verlangen will.

Wir kommen nicht in Verzug, und die vereinbarten Lieferfristen verlängern sich entsprechend, wenn und solange der Käufer mit ihm obliegenden Gegenleistungen, Mitwirkungspflichten und/oder Zulieferungen in Verzug ist.

Art und Weise der Versendung, insbesondere die Wahl des Versendungsweges und deren Versendungsmittel, stehen in unserer Wahl, wenn nichts anderes ausdrücklich vereinbart ist.

Wechsel und Schecks werden in jedem Fall vorbehaltlich endgültiger Gutschrift angenommen. Alle Kosten und Spesen der Diskontierung von Wechsel sowie die Kosten der Einziehung einer Wechsel- und Scheckforderung trägt der Käufer.

Bei Zahlungsverzug des Käufers haben wir Anspruch auf Zahlung von Verzugszinsen in der Höhe der von uns zu zah-lenden Zinsen für Kontokorrentkredite, jedenfalls aber in der gesetzlichen Höhe. Die Geltendmachung eines weiteren Schadens behalten wir uns vor.

Die Aufrechnung mit Gegenansprüchen des Käufers und die Geltendmachung eines Zurückbehaltungsrechtes wegen solcher Gegenansprüche sind ausgeschlossen, es sei denn, dass die Gegenansprüche rechtskräftig festgestellt oder von uns ausdrücklich und schriftlich anerkannt sind.

Eigentumsvorbehalt Bis zur vollständigen Bezahlung des Kaufpreises und aller weiteren, aus der Geschäftsverbindung entstandenen, im Zeitpunkt der Lieferung noch offenstehenden Rechnungsbeträge, bei Annahme von Wechseln, Schecks oder ähnlichen Zahlungsmitteln bis zu deren endgültiger Gutschrift, bleiben die gelieferten Waren unser Eigentum. Dasselbe gilt für nachträglich uns entstehende Zahlungsansprüche aus anderen Lieferungen und Leistungen, die mit der vorangegangenen Leistung im Zusammenhang stehen, soweit im Zeitpunkt dieser Lieferungen oder Leistungen die Bezahlung der vorangegangenen Lieferung noch nicht oder nicht vollständig erfolgt ist. Dies gilt auch, wenn einzelne oder sämtliche Forderungen, die uns zustehen, in eine laufende Rechnung aufgenommen wurden und der Saldo gezogen und anerkannt ist.

Der Käufer ist berechtigt die Ware im ordentlichen Geschäftsgang zu veräußern. Er tritt uns jedoch bereits jetzt alle Forderungen ab, die ihm aus der Weiterveräußerung gegen seinen Abnehmer oder gegen Dritte erwachsen, und zwar gleichgültig, ob die von uns gelieferten Waren ohne oder nach Be- oder Verarbeitung weiterveräußert werden. Zur Einziehung dieser Forderung ist der Käufer auch nach der Abtretung ermächtigt. Unsere Befugnis, die Forderung selbst einzuziehen, bleibt hiervon unberührt. Wir verpflichten uns jedoch, die Forderung nicht einzuziehen, solange der Käufer seinen Zahlungsverpflichtungen uns gegenüber ordnungsgemäß nachkommt.

Eigenschaften unter Ausschluss weiterer Gewährleistungsansprüche des Käufers Gewähr im Wege der Nacherfüllung in der Weise, dass wir – nach unserer Wahl – den Mangel beseitigen oder eine mangelfreie Sache liefern. Zur Mängel-beseitigung hat der Käufer uns die nach billigem Ermessen erforderliche Zeit und Gelegenheit zu geben und uns die beanstandete Ware zur Verfügung zu stellen; andernfalls entfällt der Gewährleistungsanspruch.

Unwesentliche zumutbare Abweichungen in Qualität, Ausstattung und/oder Farbe berechtigen nicht zu Mängelrügen, es sei denn, dass ausdrücklich etwas anderes vereinbart ist. Im Übrigen gelten die Bestimmungen des § 439 Abs. 3 BGB für die Verweigerung der Nacherfüllung entsprechend.

Die Gewährleistungsfrist (Verjährungsfrist) beträgt 2 Jahre und beginnt mit der Ablieferung der Ware. Für Ersatzlieferungen und Nachbesserungen haften wir im gleichen Umfang wie für den ursprünglichen Liefergegenstand; die Gewährleistungsfrist (Verjährungsfrist) bei Ersatzlieferungen beträgt 1 Jahr, für Nachbesserungen 6 Monate; die Gewährleistungsfrist läuft jedoch mindestens bis zum Ablauf der Gewährleistungsfrist für die ursprünglichen Liefergegenstände.

Bei Fehlschlagen der Nachbesserung oder Ersatzlieferung trotz Setzung einer angemessenen Nachfrist bleibt dem Käufer vorbehalten, Rückgängigmachung des Vertrags bezüglich der mangelhaften Lieferung Liefergegenstände zu verlangen.

Auf entgangenen Gewinn haften wir nicht.

Wir haben das Recht zu verlangen, dass der Käufer uns die abgetretenen Forderungen und deren Schuldner bekannt gibt, alle zum Einzug erforderlichen Angaben macht, die dazugehörigen Unterlagen aushändigt und den Schuldnern die Abtretung mitteilt. Werden die Waren zusammen mit anderen, die nicht in unserem Eigentum stehen, weiterveräußert, so gilt die Forderung des Käufers gegen seinen Abnehmer in Höhe des zwischen uns und dem Käufer vereinbarten Lieferpreises als abgetreten. Wir verpflichten uns, die uns zustehenden Sicherungen insoweit freizugeben, als ihr Wert die zu sichernden Forderungen, soweit diese noch nicht beglichen sind, um 20% oder mehr übersteigt.

Bei vertragswidrigem Verhalten des Käufers, insbesondere bei Zahlungsverzug, sind wir berechtigt, die Herausgabe der gelieferten Ware zu verlangen, ohne vom Vertrag zurückzutreten, soweit nicht zwingende gesetzliche Regelungen entgegenstehen. In der Rücknahme der Ware liegt ein Rücktritt vom Vertrag nur dann vor, wenn wir dies schriftlich erklären.

Der Käufer verpflichtet sich, uns bei Pfändungen oder sonstigen Eingriffen Dritter unverzüglich zu benachrichtigen und den die Pfändung betreibenden oder die Eingriffe vornehmenden Personen und Vollstreckungsbeamten auf unser Eigentum hinzuweisen.

Gewährleistung und Mängel Für Mängel der gelieferten Waren haften wir unter Ausschluss jeglicher weiterer Ansprüche wie folgt: Der Käufer hat die Ware unmittelbar nach Empfang auf Beschaffenheit, Mängel und Menge zu untersuchen und prüfen.

Soweit sich ein Mangel in Bezug auf Beschaffenheit einschließlich zugesicherter Eigenschaften und/oder eine Mengenabweichung ergibt, hat der Käufer uns unverzüglich Anzeige zu machen. Offensichtliche Mängel sind innerhalb einer Woche durch schriftliche Anzeige zu rügen.

Bei Empfang nicht erkennbarer Mängel müssen unverzüglich nach der Entdeckung, spätestens innerhalb der gesetz-lichen Gewährleistungspflicht schriftlich gerügt werden, es sei denn, es liegt ein Fall des § 444 BGB bzw. des § 377 Abs. 5 HGB vor.

Sonderanfertigung und Entwürfe Entwürfe, die wir für Entwicklung eines neuen Artikels für den Käufer oder im Zusammenhang mit der Herstellung von Sonderserien für den Käufer (Abwandlung von regulärer Handelsware) fertigen, bleiben unser Eigentum, auch wenn sie auf Wunsch des Käufer von uns gefertigt wurden. Sie sind uns, soweit sie dem Käufer überlassen wurden, unverzüglich zurückzugeben, sobald die endgültige Ausführung der betreffenden Artikel festgelegt ist. Kommt es aus Gründen nicht zur Bestellung sind unsere Entwürfe und Muster spätestens innerhalb von 2 Wochen nach Ablehnung der Ausführung durch uns oder den Käufer zurückzugeben.

Wir behalten uns bezüglich unserer Entwürfe sämtliche Rechte, insbesondere das Urheberrecht sowie Verwertungs-rechte vor.

Haftungsbeschränkung Schadensersatzansprüche aus Unmöglichkeit der Leistung, aus Verzug, aus positiver Vertragsverletzung, aus Verschul-den bei Vertragsabschluss und aus unerlaubter Handlung sowie aus sonstigen rechtlichen Gründen gegen uns und/oder unsere Erfüllungs- bzw. Verrichtungsgehilfen sind ausgeschlossen, es sei denn, sie beruhen auf Vorsatz oder grober Fahrlässigkeit.

Wir haften nur für den unmittelbaren Schaden. Die Haftung für darüber hinausgehende Ansprüche, insbesondere mittelbare Schäden, Folgeschäden und entgangenen Gewinn ist ausgeschlossen, soweit gesetzlich zulässig. Im Fall grob fahrlässigen Handels unsererseits verjähren Ansprüche des Käufers, soweit solche bestehen, 1 Jahr nach Übergang der Gefahr auf ihn.

Erfüllungsort, Gerichtsstand Erfüllungsort für unsere Leistungen und die des Käufers, insbesondere für Zahlungen des Käufers einschließlich Scheckund Wechselklage, ist Köln.

Unter dem vorstehenden Vorbehalt leisten wir für mangelhafte Liefergegenstände oder bei fehlenden zugesicherten

Gerichtsstand für sämtliche zwischen den Parteien sich ergebenen Streitigkeiten ist, soweit der Käufer Vollkaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen ist Köln.

Anzuwendendes Recht, Wirksamkeitsklausel, Datenverwendung Für die Beziehungen zwischen den Parteien findet ausschließlich das Recht der Bundesrepublik Deutschland Anwendung unter Ausschluss des Haager Kaufrechts.

Sollten einzelne Bestimmungen dieser Bedingungen oder des Liefergeschäftes nichtig sein oder unwirksam werden, so wird dadurch die Wirksamkeit der übrigen Bestimmungen und des Liefergeschäftes nicht berührt. Die richtige oder un¬wirksame Regelung ist von den Parteien unverzüglich durch eine solche wirksame zu ersetzen, die dem wirtschaftlichen Zweck der nichtigen bzw. unwirksamen Regelung am nächsten kommt.

Sie sind damit einverstanden, dass Daten, die das Vertragsverhältnis betreffen, im Rahmen dieses Vertrages auf Datenträger gespeichert und verarbeitet werden. Wir verpflichten uns, bei der Verarbeitung der Daten die Bestimmungen des Bundesdatenschutzgesetzes einzuhalten.

Conditions of sale and supply The following conditions of sale and supply shall apply to all contracts for deliveries operated by us (XANADOO gifts and presents GmbH) except where special agreements are made in a particular individual case. In addition, statutory provisions shall apply.

Differing general business terms of the purchaser shall only apply if their validity is expressly confirmed in each case by us.

Quotations Our quotations are always without obligation. Orders, conclusion of contracts and other agreements are only binding for us after confirmation in writing by us. The terms of the contract in our order confirmations which are not expressly objected to in writing by the purchaser are deemed to be accepted.

We reserve the right to make the acceptance and delivery of orders dependent on advance payment of the purchasing price by the purchaser or to impose cash on delivery of the purchasing price. The relevant payment terms shall be contained in our order confirmation and, upon receipt by the purchaser, shall be legally binding subject to the right of the purchaser to withdraw from the order within one week of receipt on the grounds of these payment terms.

from our place of business or from the warehouse to the purchaser on his request, then the risk shall be transferred to the purchaser at handover to the carrier or forwarding agent or at the latest on leaving our warehouse. The goods shall be insured at the request of and cost to the purchaser.

The manner of dispatch, in particular the choice of dispatch method and its means of dispatch, shall be at our option should nothing further have been expressly agreed.

Should the goods not be accepted by the purchaser at the agreed delivery date and/or the dispatch is delayed at the instigation of the purchaser or for any other reason which falls within the remit of the purchaser, the goods shall be stored at the purchaser’s risk and expense. In this case, notice that the goods are ready to be dispatched shall be equivalent to the actual dispatch of the goods.

Packaging Unless any other contractual agreement is in place, the packaging shall be calculated separately by us including the packaging of the individual objects of purchase and the case packaging.

Prices Our prices shall include the relevant current VAT and, unless otherwise agreed, postage and packaging.

Should we, after confirmation of order, become aware that the financial position of the purchaser to fulfil the contractual payment obligations towards us, either wholly or partially, does not or no longer seems guaranteed, then we are likewise entitled to make the supply dependent on advance payment of the purchase price or to impose cash on delivery of the purchase price and - where the payment is not forthcoming - to withdraw from the contract.

Delivery dates, scope of supply and delivery delays Should the ordered or sold goods not be dispatched or delivered by the agreed deadline as a result of circumstances which have not been caused by us (e.g. strike, supply difficulties of the manufacturer or other cases beyond our control) then the delivery deadline shall be extended accordingly. This shall also apply if the circumstances of our suppliers affect us. We shall immediately inform the purchaser of an instance of delay and its conclusion.

Payment Without other agreement, our invoices are payable within 14 days with a 2 % discount or net within 30 days of invoice date; any other deductions are excluded.

Bills of exchange or cheques as payment are only accepted by us by special agreement. Non-discountable bills of exchange or cheques may also not be considered in this case.

In each case, bills of exchange and cheques shall be accepted subject to successful credit. All costs and expenses related to discounting of bills of exchange as well as the costs of collection of the bill of exchange and cheque receivables are borne by the purchaser.

Partial deliveries shall be permissible to a reasonable extent.

An excess or short delivery of 10% shall be permissible whereupon the actual delivered quantity shall be invoiced. A short delivery in the aforementioned sense shall not give the purchaser any rights on grounds of non-fulfilment, delay or from any other legal perspectives.

Exceeding the agreed delivery dates and deadlines shall not preclude the purchaser from setting an appropriate extension of time in which to provide the service with the declaration that the purchaser shall cancel the order at the end of this period should he withdraw from the contract or should he want to claim compensation on grounds of non-fulfilment. We shall not be in delay, and the agreed delivery deadlines shall be extended accordingly if, and so long as, the purchaser is in default with return services, duties to cooperate and/or supplies incumbent upon him.

Passing of risk In the case of collection of the purchased goods from us, the risk shall be passed on at handover. If we dispatch the goods

Our travelling salesmen or any other representatives shall be authorised to accept methods of payment or substitute methods of payment only insofar as collection authorisation has been issued; the purchaser must be presented with the collection authorisation.

In the case of a default in payment by the purchaser we shall have the right to payment of default interest to the amount of interest payable by us on overdrafts, in any case to the legal level. We reserve the right to enforcement of further claims.

Compensation with counterclaims by the purchaser and the enforcement of a right of retention on the grounds of such counterclaims are excluded unless the counterclaims are legally justified or acknowledged expressly and in writing by us.

Reservation of proprietary rights We shall retain title to all the delivered goods until the full payment of the purchase price and all further open invoice amounts originating from the business relationship at the time of delivery and, in the case of acceptance of bills of

exchange, cheques or similar payment methods, up until their final credit. This shall apply likewise for retrospectively arising claims for payment from other deliveries and services which are related to the preceding service provided that the payment of the previous delivery at the time of these deliveries or services is not yet or not fully issued. This shall apply likewise for individual or all outstanding debts due to us that have been incorporated into a running account and the balance has been drawn and accepted.

The purchaser shall be entitled to sell the goods in the normal course of business. He shall, however, immediately assign to us all accounts receivables generated by this resale to clients or third parties irrespective of whether the goods are being sold before or after handling or processing. The purchaser shall still be entitled to claim these accounts receiv-ables even after they have been assigned. Our authority to claim the accounts receivables ourselves remains unaffected hereof.

Nevertheless, we are obliged to refrain from doing so provided that the purchaser correctly fulfils his payment obligations.

We have the right to demand that the purchaser notifies us of the assigned accounts receivables and the debtors and details necessary for recovering the debt and passes on the relevant documentation and informs the debtors of the assignment. Should the goods be sold on together with others for which we have no title, the purchaser’s accounts receivable against his buyer shall be assigned to us to the purchase price amount agreed between us and the purchaser.

We undertake to release the securities due to us insofar as their value exceeds the accounts receivables to be secured, provided that these have not yet been settled, by 20% or more.

In the event of actions in breach of the contract by the purchaser, especially concerning delayed payment, we shall be entitled to demand the surrender of the delivered goods without withdrawing from the contract provided that no mandatory statutory regulations exist. The return of the goods shall only entail the withdrawal from the contract if this is explained in writing by us.

The purchaser shall undertake to inform us without delay of any seizure of goods or any other interventions by third parties and to inform the persons conducting the seizure or interventions and the enforcement officials of our title.

Guarantees and defects We shall be liable for defects in the goods supplied excluding any other demands as follows: The purchaser shall check the goods immediately upon receipt for condition, defects and quantity.

Where a defect arises in relation to condition, including warranted characteristics and/or a deviation in quantity, the purchaser shall undertake to inform us of this immediately. Obvious defects are to be reported to us in writing within one week.

Defects not obvious at the time of receipt are to be reported in writing immediately upon discovery, at the latest within the legal warranty period except in the case of § 444 BGB [German civil code] or of § 377 section 5 HGB [German commercial code].

Subject to the aforementioned, we guarantee defective articles of sale or cases of failure to meet guaranteed characteristics, at the exclusion of further warranty claims by the purchaser, by way of subsequent fulfilment in such a way that we rectify the defect, at our option, or supply an item free of defect. In order to rectify the defects, the purchaser shall give us sufficient time and opportunity and shall provide us with the rejected goods; otherwise the warranty claims shall be void.

Insignificant reasonable deviations in quality, configuration and/or colour do not qualify for notification of defects unless something other has been expressly agreed. In addition, the provisions of § 439 section 3 BGB [German civil code] apply to the refusal of subsequent fulfilment accordingly.

TThe warranty period (statutory period) is 2 years and begins with the delivery of the goods. We shall be liable for replacements and rectifications to the same extent as for the original article of sale; the warranty period (statutory period) for replacement items is one year and for rectifications 6 months; however, the warranty period runs at least until the expiry date of warranty period of the article of sale originally supplied.

If the rectification of defects or replacement delivery should fail despite setting an appropriate period of grace, the purchaser has the right to demand a cancellation of the contract with reference to the defective delivery of articles of sale.

We shall not be liable for loss of profits.

Custom-made products and designs Designs that we produce for the development of a new article for the purchaser or in relation to the manufacture of a custom series for the purchaser (variations to regular trade goods) remain our title even when they have been produced at the request of the purchaser. Where they have been handed over to the purchaser, they are to be handed back without delay as soon as the final design of the article has been established. If for any reason an order is not placed, our designs and samples are to be returned to us at the latest two weeks after rejection of the design by us or the purchaser.

We reserve all rights relating to our designs, in particular the copyright and the patent rights.

Limitation of liability Claims against us and/or our auxiliary or assistant personnel for damages from impossibility of performance, delay, positive breach of contract, negligence when entering into the contract and from unauthorised action as well as on any other legal grounds shall be excluded unless they are due to wilful intent or gross negligence.

Our liabilities shall be limited to the direct damages. Liability for claims beyond that, in particular indirect damages, consequential damages and loss of profit is excluded to the extent permitted by law. In the case of actions of gross negligence on our part, claims by the purchaser, where such exist, shall lapse 1 year after the transfer of the risk to him.

Place of fulfilment and jurisdiction Place of fulfilment of our services and those of the purchaser, in particular for payments by the purchaser including claims relating to cheques and bills of exchange, is Cologne.

Place of jurisdiction for all disputes arising between the parties shall be Cologne provided that the purchaser is a general merchant, public legal entity or special fund under public law.

Applicable law, effectiveness clause, use of data For relationships between the parties, the law of the Federal Republic of Germany shall exclusively apply to the exclusion of the Hague Convention on the International Sale of Goods.

If individual provisions of these terms or of the delivery transaction are void or become ineffective, the effectiveness of the remaining provisions and the delivery transactions will not be affected thereby. The void or ineffective provision shall be replaced by the parties without delay by an effective one which serves the economic purpose of the void or ineffective provision as closely as possible.

You consent to data relating to the contractual relationship under this agreement to be stored and processed on a data storage device. When processing data, we undertake to abide by the provisions of the Federal data protection act.
