Treasurer’s Letter by Walt Diercks
It has been a very busy and productive three months in the financial life of LOWA. Here are the highlights: The results for the first nine months of our current fiscal year, which ends April 30, are in. Our amenities as a group – the Fitness Center, the Clubhouse and Fareways - continue to experience substantial negative variances from the budget due to the ongoing impact of COVID-19 restrictions. Despite these budget variances, LOWA’s overall financial position is solid. This is due to very careful management of expenses, over $837,000 received from COVID-19 relief programs, and greater than budgeted New Construction and Renovation fees received from Member home construction projects. The Board voted final approval of the fiscal year 2021-22 budget at its Feb. 17 meeting. The approved budget met the Board goal set last September of keeping the assessment increase under 3 percent at a time filled with COVID-19 challenges. This year there were only two minor budget amendments offered by directors, both of which were adopted unanimously. In comparison, two years ago there were 21 amendments offered by directors. Many thanks to the LOWA staff, committees, and the Board for all their hard work which got us to a final budget without a lot of drama this year. In January, the Small Business Administration forgave all the principal and interest, totaling over $780,000, from LOWA’s Paycheck Protection Program loan. This infusion of PPP cash, together with over $55,000 in funding from the CARES Act, and very prudent cash management and spending, has enabled us to overcome the severe amenity operations revenue shortfalls and financial challenges created by the COVID-19 pandemic, and to partially fund our operations in the upcoming fiscal year, during which we expect significant lingering adverse effects from the pandemic. While it may have looked like LOWA has effortlessly navigated the operational and financial COVID-19 storm, it has taken a huge effort (and some sleepless nights) to get us to where we are today. The proceeds from the waived PPP loan are shown separately on the Statement of Revenue and Expense (Page 8) in the section entitled Operations Center Revenue – Other Income.

LOWA Sets Sept. 4 for Annual Fireworks Show LOWA will host the annual fireworks show from Veterans Dam on Saturday, Sept. 4, during the 2021 Labor Day Weekend. This is a change from the tradition of having fireworks in July on the Saturday nearest Independence Day. The deciding factor was the availability of the COVID-19 vaccine. Waiting until September gives the community longer to get the vaccine so that we can have a large community gathering. If we are unable to host the show in September, we will postpone to 2022. Perhaps then we can return to our traditional fireworks show in July. American Fireworks puts on an excellent show enjoyed by thousands of members and their guests. We are cautiously optimistic we can come together as a community in September to observe Patriot’s Day and the last days of the pandemic.

I am sitting looking out our glass door as I write. It is completely white, and not just with snow. Ice. I am grateful we did not lose electricity during the icy conditions. Spring is just around the corner, however. The daffodils are pushing their way up despite the snow and ice. I’ve even spotted a robin or two. The Board adopted the FY 2021-2022 budget at our Feb. 17 meeting. The new annual assessment of $1,739 met our number one Board goal, which was to keep the annual assessment from exceeding 3%, despite our loss in amenity revenue. This is in large part due to our being eligible for the Paycheck Protection Plan and to an increase in New Construction and Renovation fees. Have you noticed all the new homes being built in LOWA? New homes mean more NCR funds for LOWA. The Board understands that revenue from NCR fees will decrease as we near build out. A future Board will be considering ways to compensate for a decrease in NCR funds. This Board will continue to be frugal with your assessment payments, while being mindful of the effects of COVID on our members. Many of you may have already registered for the COVID vaccine. If you have not, please go to vaccinate.virginia.gov and sign up. We are all looking forward to the great thaw. In the meantime, stay healthy and warm.

Winter is here! As I write, LOW is getting a taste of the Polar Vortex cold that is gripping the U.S. mid-south region. Hurray for our Maintenance employees who keep the roads, parking lots, mail station lots, and sidewalks clear for members, guests, and staff to use. During big weather events such as Feb. 18-19, the Roads and Grounds crews work 24/7 on 12-hour shifts. They use a priority list to decide what gets done first, starting with the Main Gate, Back Gate, LOW Fire & Rescue, Lakeview Parkway, and so forth down the list. The crews count on our mechanics to keep the fleet rolling. Our lake dredge operator and our Buildings crew push snow, too. The Buildings crew is checking the Clubhouse, Woods Center, and other LOW buildings to make sure systems are operating and there are no problems. Meanwhile, LOW Security is another set of eyes in the storm. Road Patrol is out in the inclement weather identifying road and parking lot issues and radioing them to the Maintenance crews. Meanwhile, Members are calling in trouble spots to the Security Access Control to pass along to Maintenance. The snow and ice removal system works well. So when you see a crew member plowing and shoveling snow and ice, give them a big thumbs up and a hearty thank you for keeping LOWA moving forward! Amenity Registration. Get ready for early boat and amenity registration March 15. On Feb. 17, the LOWA Board of Directors adopted the new budget and set the new annual assessment and amenity fees. By registering early, you can avoid delays in the days leading up to the May 1 assessment payment deadline. Watch for announcements in this and the next Lake Currents edition as well as LOWA.Org. If you registered your boat last year or have an annual membership, we will try to reach you by email prior to March 15. Treasurer's Letter from p. 1 Earlier in February, we also completed an effort to refinance the CARC project loan. The original loan had an interest rate of 5.15% with a loan payoff date of June 2026. Our new loan has an interest rate of 2.75% with a loan payoff date of February 2025. I want to emphasize that 100 percent of the $191 per year CARC portion of the annual assessment has been – and continues to be – applied to pay for the construction of the CARC project and to servicing the debt. None of the CARC portion of the assessment has been used for any other purpose. You can find the accounting for, and the current balance of, the funds collected for the CARC project on the Reserve Analysis FY 2020/2021 (Page 8) in the section entitled Clubhouse Area Recreation Complex (CARC) Project. As noted, the CARC loan will be paid off more than a year earlier than originally planned. As a result, we anticipate that we will be able to reduce the FY 2024-25 additional assessment from $191 to $106 and that the CARC portion of the assessment will be $0 for all later fiscal years. Hard work, prudent cash management, and our taking advantage of unusually low interest rates have paid off for LOWA and our members.

February 6 Board Minutes from p. 3 4. PRESENTATION Automating Annual Assessment Payments and Amenity Payments (Board Goal #7) Director of Finance Charles Maneval gave a comprehensive slide presentation on progress made toward implementing Board Goal #7 to automate assessment and amenity fee payments. Staff is working to activate a new online payment processing system on March 15, 2021. This will provide more efficient payment options for assessments, fees and memberships, and reduce staff time needed to process payments and maintain member accounts. This will be a phased implementation approach as processing systems for some fees and charges will be added later. The traditional payment methods will still be available to members. 5. REPORTS 5.1 Report from Orange County Supervisor Supervisor Lee Frame reported the Supervisors held their reorganizational meeting in January. Jim Crozier will serve as Chair and Mark Johnson as Vice Chair for the next year. At their next meeting they will consider five candidates to serve as District 3 Supervisor. RSA will continue work on replacing and upgrading 60-year-old sewer and water lines inside LOW. RSA received $68k for utility cost assistance for those in need. Residents who want to schedule an appointment for the COVID vaccination should sign-up with the Rappahannock-Rapidan Health District website online. There is an open seat on the Community Services Board and interested residents are encouraged to apply. The Virginia General Assembly approved bonuses for law enforcement officers. Orange County approved also giving bonuses to all County essential workers for service during the pandemic. 5.2 Report from Orange County Sheriff: No report available. 5.3 Report from Allied Universal Security Chief Scott Walker reported January was a low-activity month with no reports of theft, vandalism or other criminal activity. There were 13 animal complaints and 5 motor vehicle accidents among the 151 calls for service. A total of 132 traffic summonses were issued. About 75% of the security force has been vaccinated for Covid-19, with second doses scheduled for February. Chief Walker met with the Finance Director to explore possible ways to consolidate our security systems and identify potential cost savings. 5.4 Report from LOW Volunteer Fire & Rescue, Inc. President Leibold submitted a written report to the Board. January messaging addressed winter weather preparedness and COVID topics. February will have messaging on American Heart Month and Burn Awareness Week. In January, the Fire Department responded to 46 calls, 19 inside LOW and 27 outside. The Rescue Squad had 37 calls, 9 inside LOW and 28 outside. 5.5 Report from Orange County Schools: No report available. 5.6 Reports of Officers The President, Vice President and Secretary had no report. Treasurer Diercks reported that our Paycheck Protection Plan loan of $782k has been forgiven by the Small Business Association. Refinancing of the CARC loan on the Agenda today will save LOWA about $100,000. A. Executive Session Actions: None. B. Referendum Update Secretary Vickery reported that to date we have received 2226 Referendum ballots, one more than her last report. Ballots cast by members who have since moved away have had to be dropped from the ballot count. Conversely, the President will use e-mail and letters to contact new members who have moved into LOW since the Referendum began to solicit their votes. 5.7 Report from the General Manager, Phil Rodenberg A. Coronavirus Status of LOWA Amenities, Events, Meetings and Offices No changes have been made to the Coronavirus status of facilities and amenities since last month. On January 27, LOWA employees participated in a Q&A discussion with Dr. Stephen Mandell, Medical Director for Mary Washington Healthcare. It is anticipated vaccines will be available to LOWA employees in February in cooperation with CVS Pharmacy in Locust Grove. An informative video is available to residents on Orange County’s YouTube Channel.
B. Lakes Management Report In January, LOWA staff completed the Cornwallis and Cumberland Beach erosion and sediment projects. C. Other Business Members are encouraged to take advantage of early amenity Registration in March which offers two months free before the usual May 1 amenity year kicks in. The Board agreed by consensus to consider changes to the proposed transient Campground fees and effective date at their next Board meeting on February 17th. FEMA has notified Orange County that it has accepted the revisions to LOW lake flood elevations as recommended by A. Morton Thomas engineers and will be modifying their flood insurance maps accordingly. Changes to the drainage configuration at the 10th Fairway have been successful in eliminating the wet area. 5.8 Committee Reports: None. 6. UNFINISHED BUSINESS 6.1 Discussion of Woods Center Walk-in Cooler/Freezer Project. Deferred to later discussion of Budget Amendments in Item 7.2. 6.2 Consideration of Ranking FY2020-21 and FY2021-22 New Asset and Improvement Reserve Projects. (D-21-11) Motion by Diercks, passed unanimously, that the Board approve the ranking of the FY2020-21 and FY2021-22 New Asset and Improvement Reserve projects as presented. 6.3 Consideration of Approving a 48-month Golf Cart Lease with Capitol Golf Cars for 55 Club Car Carts. (D-21-12) Motion by H. Brown that the Board approve a 48-month golf cart lease with Capitol Golf Cars for 55 Club Car carts in the amount of $56,331 per year. Vote: Yea: P. Brown, Vickery, Diercks, Wilks and Zukowski. Nay: H. Brown. Motion passed 5 to 1. 6.4 Consideration of Publishing in Lake Currents for Member Comment Proposed Amendments to Regulations X.A.1.s, X.A.2.d., X.A.5.a-e, X.A.6., X.A.7. a and b, and X.A.11, Regarding Changing the Time Water Activities on the Lakes Must Cease from Sunset to 30 minutes after Sunset. Motion by P. Brown that the Board approve publishing in Lake Currents for member comment proposed amendments to Regulations X.A.1.s, X.A.2.d., X.A.5.a-e, X.A.6., X.A.7. a and b, and X.A.11, regarding changing the time water activities on the Lakes must cease from sunset to 30 minutes after sunset. Vote: Yea: H. Brown, P. Brown and Wilks. Nay: Vickery, Diercks and Zukowski. Motion failed 3-3. Without objection, it was agreed the General Manager will update the LOWA Regulation references to use the name “Virginia Department of Wildlife Resources” in place of its former name “Virginia Department of Game and Inland Fisheries.” 7. NEW BUSINESS 7.1 Consideration of LOWA Amenities, Events, Meetings and Offices Coronavirus Status. No new actions were taken by the Board. 7.2 Consideration of General Manager’s Revised LOWA FY2021-22 Budget and Budget Amendments. (D-21-13) The General Manager requested the Board offer any changes they would like to make to the proposed budget prior to final approval and adoption at the February 17, 2021 Board meeting. Motion by Diercks, passed unanimously, that the Board amend the Fee Schedule to increase New Construction and Renovation Fees to reflect an inflation rate of 5.5%. by John Farrell, Volunteer Firefighter, LOW F&R Company Your Lake of the Woods Volunteer Fire & Rescue Company wants to remind everyone that the threat of fires and emergencies during the winter is real. • 890 people die and $2 billion in property loss occurs each year from winter home fires. • Winter home fires account for only 8 percent of the total number of U.S. fires, but result in 30 percent of all fire deaths. • Cooking is the leading cause of winter home fires; 5 to 8 PM is the most common time for winter home fires. During winter, we tend to spend more time at home with our family and loved ones. Protect them by making sure your home is protected from fire hazards. Have your furnace checked. Check your chimneys and vents. o Fireplaces can produce creosote, which has the capability of being ignited. If you light the fireplace often, have an annual chimney inspection to make sure that there are no hazards capable of starting a fire. Test smoke and carbon monoxide alarms o Check that alarms are working, and that batteries will last through the winter. Always place smoke alarms in the kitchen, bedrooms, and the laundry room. Cover your fireplace with a screen. o Either a metal or tempered glass screen will prevent sparks from leaving the fireplace. Beware of lit candles. o Blow them out whenever you leave the room. Beware of space heaters. o Avoid placing heaters near curtains, tablecloths, or other flapping fabrics, and make sure your heater has an automatic high heat shut off switch. Each household should have a fire emergency plan including fire drills practiced by all residents at least twice a year. Your local volunteers are looking for community partners to help spread the word and reduce the risk to winter fires. Can you help us?

Coronavirus and LOWA Community Activities and Business Operations The GM reported there have been no changes on the status of LOWA community activities and business operations since February 6. CVS Pharmacy notified us there will be no special vaccination clinic for LOWA employees. All county residents must now sign up online through the Commonwealth’s statewide pre-registration system at vaccinate.virginia.gov in order to get in the queue for a vaccination appointment.

To say that this has been a tough year would be quite an understatement. Not only for all of us and our families, but also for the Lake of the Woods Association. The latest estimates suggest that revenue for the current fiscal year ending in April will be down about 7 percent compared with what was assumed in the budget, a difference of about $790,000. Although revenue from assessments has been close to expectations, proceeds from the amenities, not surprisingly, have fallen sharply. The Clubhouse, Fareways, and the Fitness Center have been particularly hard-hit. With the amenities running at less than normal levels, there has also been a reduction in operating expenses, which are expected to finish the year about 2 ½ percent lower than budgeted, leading to a saving of about $260,000. The budget has also been supported by a surge in fees for New Construction and Renovation, which were nearly $600,000 by the end of January, already well above the $315,000 that was assumed for the entire year, and we expect to receive a substantial further amount by the end of the fiscal year. Even so, there would still have been a significant hole in the current fiscal year budget without the loan we received under the Paycheck Protection Program. Thanks to quick work by our Finance Director, Charlie Maneval, we were able to secure a loan of $782,100 from this program. Proceeds from the loan that are spent on specific categories, including payroll, utilities, and mortgage payments, do not have to be repaid. The staff has worked diligently on documenting how the loan has been allocated, and the end result is that we will not have to repay any of it. These funds, as well as carryover of a portion of this year’s substantial NCR fees, will also help to support next year’s budget until we can, hopefully, return to something closer to normal amenity operations later in this and next fiscal years. Nevertheless, next year’s budget incorporates an increase in the assessment fee of about $50 per lot. Although the budget is very conservative, with overall expenditures estimated to be down nearly 5 percent from the current fiscal year, revenue from amenities is expected to pick back up only gradually as more people are vaccinated and amenity usage slowly returns to pre-pandemic levels. The Finance Committee has looked at the budget very carefully. We have been very impressed with how well the staff has managed both this year’s expenditures as well as the difficult task of creating a responsible budget for next year during this very trying period. We support the proposed increase in the assessment, which is necessary to keep the amenities operating until we all feel safe going back out again. I suspect that those of us who do not yet feel comfortable dining indoors or going to the Fitness Center or the pools want those services to be there when we are ready. Thanks to the excellent staff work on the budget, they will be.

February 17 Board Minutes from p. 7
Motion by Wilks, passed unanimously, that the Board declare that a continuing violation of the Restrictive Covenants exists on the lot in Case #21-0217-02, and the Board suspend the voting rights and the use of the recreational amenities, including the Main and Back automatic gates, until the violation is corrected, in accordance with Section 12.G.b of the Restrictive Covenants, effective March 4, 2021; I further move the Board authorize Management to send a legal demand letter to bring the lot into compliance. Motion by Wilks, passed unanimously, that the Board approve entry to the lots in Case #21-0217-03, Case #21-0217-04 and Case #21-0217-05 on or after February 24, 2021 to perform maintenance as stipulated in the letter from the Stormwater Inspector and ECC Chair to the individual lot owner, and that the properties be billed for the cost related to such work in accordance with Paragraph 14 of the Restrictive Covenants. 6.3 Consideration of Amending the Fee Schedule Regarding Weekly and Daily Campground Fees. (D-21-23) Motion by P. Brown, passed unanimously, that the Board amend the FY2020-21 Fee Schedule regarding weekly and daily campground fees to take effect March 1, 2021.
B. January Financials In January, we collected $165,188 in current year lot assessments, for a total of $6,748,264, or 93.7% of the total lot assessments billed. As of January 31, the Unaudited Income Statement Budget-to-Actual Comparison Study showed a favorable variance of $1,012,633. This is primarily the result of the Paycheck Protection Program loan waiver and strong revenues from the New Construction and Renovation fees, tempered by lower restaurant operations income and the CARC loan interest expense. Delinquency rate as of December 31 was 5.1%. Director of Finance Charles Maneval updated the Board on the Association’s financial position and steps taken to continue to conduct business. Briefly, LOWA’s financial position remains solid. LOWA has received $837,694 in grant funding that has helped offset the negative impact of decreased revenues in several areas of operations. With refinancing of the CARC loan, management anticipates we will be able to reduce the FY2024/25 additional assessment amount from $191 to $106, after which the additional assessment will expire. The current forecast is that LOWA will end the fiscal year with an Unrestricted Operating Cash Surplus of $370,000. C. Other Business Engineering service proposals to update the Lakes and Stormwater Management Plan are due on March 5. Six contractors attended a pre-bid meeting on February 9 on the Clubhouse Roof Replacement project. An IFB (Invitation For Bids) is scheduled to be released on February 26th for installation of the cooler/freezer at Fareways. Cost estimates are being solicited for HVAC duct cleaning at the Woods Center, Clubhouse and Holcomb building. 4.3 Committee Liaison Reports Secretar Vickery reported the Communications Committee will meet with Committee Chairs next week to try to organize a virtual Committee Fair to replace the one that was planned last year that had to be cancelled. 4.4 Committee Reports: None.

Director Comments Directors commented on how to sign up for the Covid vaccine, the exceptionally smooth budget process this year, management’s success in keeping the Assessment increase under 3%, and appreciation of the LOWA Grounds crew for clearing our roads during snow/ice storms. 8. (Resolution 2021-5) (D-21-20) Motion by Wilks, passed unanimously, that the Board accept the additional language on political signs, flags and banners from the LOWA Attorney and approve publishing in Lake Currents for member comment the modified amendment to Regulation V.H.: Use of Individually-owned Property, regarding political signs, flags and banners.

Lieutenant Governor Candidate to Address Democrats

The use of video technology has enabled the LOW Democratic Club to invite candidates for statewide office to attend our meetings to introduce themselves, share their experience and platform, and take our questions. Our next guest is Delegate Sam Rasoul of Roanoke, a candidate for lieutenant governor, who will attend our online meeting at 7 PM, Wednesday, March 10 via the online meeting app Zoom. Rasoul has represented Virginia’s 11th House of Delegates District in the General Assembly since 2014. He has emerged as a leader in our party’s crowded field for lieutenant ul governor, raising more than double what some of so the other candidates raised. a R Rasoul, the first Muslim member of Virginia’s am S e legislature, is one of the more progressive members of the D ele g at House. He grew up in Roanoke, received his bachelor’s degree from Roanoke College in Salem, and then earned a master’s degree in business administration from Hawaii Pacific University in Honolulu. He is a member of the Legislative Black Caucus and the Rural Caucus in the House of Delegates. Rasoul was born in Warren, Ohio, in 1981, the son of Palestinian immigrants.He and his wife Layaly have three children. Democrats will choose their nominees in a June 8 state-run primary. The competition will be individual net score and flighted based on the number of entrants. The LOW Garden Club is a member of both the Virginia and National Federations of Garden Clubs.
I mentioned in my last article that the Board of Supervisors would be appointing an interim replacement for District 3 Supervisor. At the Feb. 9 meeting we interviewed five interested candidates, all of whom had the background and motivation to well serve the citizens of District 3. We selected Keith Marshall. Keith is a long-time resident of Orange County and runs an organic dairy farm in Unionville. We look forward to working with Keith, who will serve until Nov. 2, when the citizens of District 3 will elect his replacement. The Comprehensive Annual Financial Report for Fiscal Year 2020 (July 2019 to June 2020) was recently published. It contains a significant amount of financial, and some interesting statistical, information. The introduction contains a good summary of facts about the county and its governance that would be of interest to anyone wanting to know more about the county they live in. It is about 10 pages long and covers historical, economic, financial, governing, and other information. As you read the report, recognize that it is somewhat dated, in that it ends in June of 2020. This report is available on the county website under Financial Reports. The Supervisors have approved the design for new signs at the various entrances to the county. The new signs should start appearing next year. The Supervisors recently approved a contract for architectural and engineering services to renovate a county-owned building. The scope of the work is to develop the building into a vocational technical center. This will provide class spaces for auto body, cosmetology, trade skills, nursing, culinary arts, and other programs for the Orange County Public School System. The county and school staff will work together in the development of the plans for this facility to ensure that objectives of both organizations are met. Of the 5.3% Virginia sales tax, 1% comes back to the county. The revenue from this tax source has been climbing steadily since 2012 due to population growth. The last few years’ revenue has been boosted by collection of sales tax from internet sales. From the point of county sales tax revenue, the coronavirus pandemic has been helpful. More people are buying online, instead of going to stores in Fredericksburg or Culpeper and since the 1% locality sales tax is originating in our county, Orange County now gets that revenue. This year’s sales tax revenue has increased by 16% over last year. It is rare that an ill wind does not bring some benefit, even if small. One of the ongoing projects that the LOW Garden Club enthusiastically supports is the Penny Pines Project. A jar passed at each meeting collects change to purchase plantations (seedlings to replace trees lost thru fire, drought, or disease in our national forests). We presented Debbie Hein with a certificate for the club plantation planted in her honor to thank her for her outstanding contributions to our club while serving as vice president for programs. Juggling programs indoors and out thru the pandemic, she cheerfully added other projects to her accomplishments. She chaired the Gardening Guru Event, well attended by the public as well as members, chaired a committee entering a decorated Photo provided Christmas tree for the charity auction for Debbie Hein the Living Water Clinic, and has done sweat work helping maintain the Wilderness Library gardens. What can we do for trees? Trees add tremendous value to our environment and wildlife. Trees, not lawns, add the most value to your property, so trees deserve a lot more consideration and attention. Here are some tips to help protect this most valuable and precious asset. • Spread mulch. Grass competes for nutrients and moisture underneath trees. Remove it and instead spread 2-4 inches of mulch (or better, leave the leaves) to insulate tree roots and help prevent dry soil. • Protect the bark. Keep power tools such as lawnmowers and string trimmers from striking the tree, damaging its bark and roots. • Stay off the roots. Don’t park cars or pile heavy loads over the roots of trees! When the soil is packed down around tree roots, they can’t absorb the water and air they need. • Don’t hang things from trees. Ropes used to suspend a tire swing from a branch can quickly wear away the protective bark and damage vital tissue. • Hire a certified arborist when assessing the health or safety of a tree. The LOW Arts group celebrated all things hearts and love during our February Facebook challenge, From the Heart. BJ is a selftaught artist who started with quilting and has branched out from there in the folk-art tradition to include painting, papier mache and other mixed media art. Her quilts are in the collections of the Chester Cathedral in Chester, England, and the Photo provided Museum of the American Society of Bleeding Heart Flowers, painted Quilters in Paducah, Kentucky. We look forward to learning more about by Lisa Spencer Ballard. her artistic development and projects underway.
