LOWA Zoom Background Photo Contest We are excited to announce the LOWA Zoom Background Photo Contest. We are looking for great photographs that showcase our community and amenities.

Perhaps you have already taken some fantastic shots, or maybe you want to explore LOW and take some now.

Photos should not feature people. Photos may be landscapes, abstracts or architectural. They may be taken from a serious or humorous perspective but should be appropriate for use on a work Zoom conference call.

Any type of camera may be used to take the photo. Got your cell phone handy? Then snap a great shot and send it to us!

Winners will receive LOWA Gift Certificates (no cash value) and will be announced on social media. LOWA Gift Certificates will be awarded as follows: first place $50, second place $25, third place $10.

Winners will be selected by the LOWA Communications Staff. All decisions are final, including any disqualification due to contest rule violations. Please see below for contest rules & entry instructions. All eligible entries will be uploaded to LOWA.org on May 22 for members to view.

Photos must be submitted by Monday, May 18, to LakeCurrents@LOWA.org.

Contest Rules  All members and tenants are welcome to participate. LOWA employees are not eligible to participate.  Limit one photo submission per person.  Photo entry email must include photographer’s (member’s) name and lot and section and phone number.  Photos cannot include watermarks or text. Photos will be watermarked with the LOWA logo.  All photos must be received by email and timestamped by Monday, May 18, 5 PM.  Photos that feature illegal activities or violations of LOW regulations will be disqualified.  Individual submitting the photo warrants that it is his or her original work.  By submitting a photo for the contest, the photographer grants Lake of the Woods Association the right to publish the photo on all forms of media including but not limited to LOWA.org, Lake Currents, and LOWA Social Media.  Final photos will be posted on Flickr and Facebook at the “No Rights Reserved” or “Creative Commons” license level so that people may download them and use them for zoom meetings.

Meet Your Member Services Team

Today we spotlight Debbie Paxton from our Member Services Team. Debbie is the newest member of the team, joining us in August 2019. She has quickly become a key member of our team.

Debbie bought her house here at the Lake in October 2018. Before joining the LOWA Team, she worked as a Certified Pharmacy Technician at Kroger Pharmacy, where she served the residents of a small town in southwest Virginia. Her skills acquired working in this capacity prepared her well to work for us, especially during the Assessment period.

Debbie enjoys working in Member Services and meeting everyone. Living and working at LOW provides her the opportunity to serve her neighbors while learning about life in a gated community. She Debbie Paxton appreciates living among like-minded neighbors who are quick to offer support, producing a strong sense of belonging. She encourages everyone to be patient when calling the Member Services area over the next couple of weeks as we work to get the thousands of stickers, decals, and barcodes out to everyone as quickly as possible.

President’s Message

At the May 2 Board meeting, we reviewed the actions taken by the staff concerning operations, given the COVID-19 pandemic. Those actions are updated on the April 24, as of 12 PM, report. The report can be seen on the LOWA.org website. hƩps://www.lowa.org/CoronavirusPrevenƟon These are the updates: On the Golf Course, Course Marshals will enforce social distancing.

LOWA Committee Meetings are canceled through June 10 except for Environmental Control Committee, Legal and Compliance Committee, Investment Committee, and Rules Committee. Other committee meetings may be added as deemed essential with the approval of the LOWA Vice President. The Governor’s Stay at Home Order precludes Members from physically attending Committee Meetings. Committee members, Staff, ECC Applicants and LCC Defendants must keep six-foot social distancing and comply with the 10-person limit. Zoom capability is available for committee meetings.

LOWA Security encourages use of TEKControl.

LOWA Parks and Recreation: there are beach sand restrictions in place limiting the numbers of individuals on the sand.

Loyalty Points Program points earned before April 30, 2020 are carried over until July 31, 2020.

Community Wide Events in May and June may need to be delayed or rescheduled. The GM will announce the tentative schedule for community wide events by May 8. The GM will also announce if LOWA will phase in other amenities such as the fitness center, playgrounds, ballfields, courts, and campgrounds. LOWA may use a phased approach to offering events and opening amenities based on the Governor’s announcement.

We on the Board are getting accustomed to virtual meetings and have found that meetings have tended to be shorter in duration. Nonetheless, all scheduled business is being accomplished.

4. REPORTS 4.1 Report from Orange County Board of Supervisors Supervisor Lee Frame reported there were two public hearings last month, both addressing taxation topics. Given the downturn in the economic outlook, the Board decided against any tax increase for the

SUP The sun finally broke through the clouds last Sunday, so I decided to take my standup paddleboard on the Main Lake. I put in at the floating dock at Sailboat Beach near the Clubhouse and worked my way south along the eastern side of the No Wake Zone to Birchside Cove and back. The water was choppy heading out and I saw lots of members making waves and enjoying skiing, tubing, and fishing. Thank you to the many boaters using the ski flags to signal nearby boaters of a skier or tuber either preparing to ski or who has just fallen. Please remember to follow the Boat Responsibly Guidelines (see www.lowa.org/boatresponsibly ) during COVID-19, including limiting your boat to your family and not others. I saw one of the white swans just cruising along, seemingly unaffected by everyone making waves. When I reached Birchside Cove, I saw several turtles just right under the surface. I called Faye Mohler, the LCC Clerk from my office, and got a chance to visit (while social distancing) with Faye, her husband Bill Holt, and their Yellow Labrador Maisy at their dock.

Faye has been working from home to during the pandemic to help keep the Holcomb Building population to 10 persons.

Apparently, I was there on the dock long enough to wait out the choppiness of the lake. My trip back along the inside of the No Wake Zone buoys was smoother. I saw a LOWA buoy out of place and contacted Environmental Resources Manager Bobby Jones who reset it on Monday. Back on dry land I passed the Clubhouse Pool and saw Tanner Kelson from Swim Club Management Group hard at work preparing for the opening of the pools.

SCMG will be ready to open when LOWA says open.

At this writing all of us at LOWA are anxious to hear what Governor Northam will say about opening public and private facilities, with an eye toward getting our amenities open once it is safe to do so. Even then, we may need to tighten back up if social distancing guidelines are not followed. I will put out an announcement on May 8 about amenities and events.  We are preparing to open the Fitness Center in the late May timeframe, with a limit of 10 persons allowed under Phase I in Virginia.

Possibly May 15. At that time, we will only allow Annual Fitness Center members to access the facility. No daily members and no guests.

We will use a reservation “tee time” system for checking in. Some equipment will be tagged out to create spacing. We will tag out every other treadmill and relocate stationary bikes, for example.

Board Seeks Member Input on Amending Regulation III, Registered Tenants Regarding Tenant Check Out Form and Tenant Fee Refund The Board of Directors is seeking member comment regarding proposed amendments to Regulation III, Registered Tenants Regarding Tenant Check Out Form and Tenant Fee Refund. Members who wish to provide comment or feedback should email the Board at Board@LOWA.org by 5 PM, Friday, May 22.

What is proposed? Why? The amendment defines a hard deadline for Members renting their properties to return a Tenant Check Out Form and request a Tenant Fee refund for the unused months. Delays in checking out tenants could mean former tenants still have active LOWA ID Cards and barcodes and are able to come into the community and access the facilities and amenities. The proposed amendments help achieve Board Goal #8: Preventing Amenity Use by Uninvited Guests and help to improve administrative efficiencies in the Finance Department’s ability to forecast revenues and expenditures more accurately.

Who proposed it? The GM and Director of Finance proposed the amendments to gain administrative efficiencies. The primary change sought is an amendment to require Members who rent their properties to return the Tenant Check Out Form and make their Tenant Fee refund request within 30 days of when the tenancy relationship ends. The Board discussed the proposal and then referred it to the Rules Committee and the LOWA Attorney.

What is the effect? Members who choose to rent their property will need to pay the LOWA Tenant Fee upfront, in its entirety. Members may then submit the Tenant Check Out Form and request a refund of the unused portion within 30 days of when the tenancy relationship ends. To punctuate the urgency to turn in the form and make the refund request once the tenancy relationship is at its end, the amendments will limit the refund of the unused fee to no more than one full month prior to the date of the refund request, plus the remaining full months before May 1.

The proposed amendments to the regulations are highlighted in bold and reads as follows: III. REGISTERED TENANTS A. GENERAL 1.

LOWA is a community comprised of single family residence dwellings. A Tenant is a Non-Member residing in a home in LOWA where the homeowner does not reside, regardless of whether any money or in-kind consideration is exchanged with the homeowner. The exception is the homeowner’s parents, children, brothers and sisters.

2.

All Tenants (including Short-Term Tenants, who are deemed to be Tenants registered for thirty (30) days or less) must be registered by Members. A Registered Tenant is anyone who (1) meets the Tenant requirements in Subsection A.1, (2) has a properly executed Tenant Information and Acknowledgement Form on file with LOWA documenting the Tenant/Member relationship, including a listing and contact information of all occupants of the property and acknowledgement and consent to LOWA’s rules and regulations, and (3) has Tenant Fees paid by the Member in advance of occupancy, and if applicable, annually thereafter. Short-Term Tenants shall be registered through Member Services or entered into the Visitor Management System with LOWA Security.

Members with Tenants (including Short-Term Tenants) must pay LOWA the Tenant Fee for all of their Tenants. The Tenant Fee is a fee charged to Members who make arrangements with Non-Members to allow them to occupy their homes, in accordance with Paragraph 12.D of their Section’s Declaration. (See Regulation III.B). The purpose of the Fee is to compensate LOWA for the management and use of amenities and for the wear and tear on LOWA streets, parks, recreational amenities, assets, and resources by Tenants residing in the community. The Tenant Fee will be charged to the Member for each tenancy. The amount of the Tenant Fee will be set by the Board of Directors annually and will run in LOWA’s fiscal year from May 1 to April 30 of the following year. For purposes of measuring the length of any tenancy, one day of Tenant occupancy in a calendar month will be deemed as Tenant occupancy for that entire month.

4. Registered Tenants will be authorized to use LOWA amenities upon payment of applicable fees set forth in the Board Adopted Fee Schedule for such use.

B. RENTAL LIMITATIONS SET BY DECLARATIONS OF RESTRICTION Lake of the Woods Declarations of Restrictions Section 4.B. states as follows: “Homeowners may rent up to two homes within Lake of the Woods to tenants who will comply with all Lake of the Woods Covenants and regulations. This provision applies to every lease application submitted to LOWA on or after March 8, 1998.” (Referendum August 1996).

Lake of the Woods Declarations of Restrictions Section 12.D, states in part as follows (except for Declarations for LOWA Sections 5, 9, 10, 12 and 18): “Additionally, the Association shall have the power to levy a tenant fee in an amount not to exceed the current annual charge upon the owners of lots occupied by other than the lot owners.” (Referendum August 2014) C. MEMBER RESPONSIBILITIES 1.

Members who wish to lease their homes to Non-Members (Tenants) must complete a properly executed Tenant Form prior to Tenant occupancy and pay all Tenant Fees in advance.

2.

Members will be responsible for the actions of their Tenants, including charges and summons for each occupant of the household as well as all guests the Tenant authorizes to have access to the community. (See Regulation I.G.) 3.

3. The Member’s account will be billed for all Tenant Fees and any other charges levied against the property, and the Member will be responsible for making payment, or assuring that such charges and fees are paid timely.

4. The Member will complete and submit the Tenant Check Out Form in a timely manner, but no more than thirty (30) days of when the Tenancy relationship terminates. Delays in submission may impact the total amount of Member refund.

D. TENANT RESPONSIBILITIES Tenants must sign the Tenant Form which will require acknowledgement of and consent to any LOWA Rules and Regulations.

E. ADMINISTRATION 1.

LOWA will process Tenant Forms within five (5) days of receipt and will issue up to two (2) Tenant ID cards.

The ID card authorizes admittance to LOWA and all amenities.

All other authorized occupants must be issued other types of ID cards or guest passes.

The Tenant Form must be complete in all respects including the names and contact information and vehicle information for the Tenants and all authorized occupants who will reside in the home and their relationship to the Tenant. The Tenant Form will include the tenant’s acknowledgment of and consent to LOWA rules and regulations. In addition, LOWA will communicate any issues with respect to a Tenant-occupied home to the Member and the Tenant in a timely manner regarding violations of LOWA rules and regulations, charges, summons, etc.

If a Tenant Form is submitted by a Member’s agent, a copy of the agency agreement, or a signed statement by the Member and agent that the agent is authorized to act on behalf of the Member must accompany the Tenant form. LOWA will only communicate with a Member’s agent if a copy of the agency agreement or written statement is on file with LOWA. 4.

LOWA will process the Tenant Check Out Form within seven (7) days of receipt and a refund of unused Tenant Fees will be issued. Tenant Fees for Annual tenancies terminating early will qualify for refunds based upon the amount of months left in the fiscal year (May 1 through April 30).

Such refund will comprise prorated amounts representing all full months remaining under the lease term up through April 30 beginning with the full month on which the date the Tenant Fee refund request is submitted in writing to the Finance Department.

LOWA reserves the right to request from the Member or Agent a copy of the lease agreement with the Tenant.

F. LOWA will accept a Tenant Form to sublease a property for single family dwelling use only.

G. UNREGISTERED TENANTS Members who allow unregistered Tenants to occupy their homes will be issued a summons and must appear before the Legal and Compliance Committee for adjudication. If found guilty, the Member will be required to contact the Finance Department and register the Tenant in accordance with the requirements of this regulation and bring the account with LOWA to current status, including the payment of the summons and Tenant Fees in arrears.

Board Amends Regulation V, Regarding No Trespassing Signs on Private Lots The Board of Directors, at its May 2 meeting, approved an amendment to Regulation V, regarding No Trespassing Signs on Private Lots. This amendment was a revision to the one that was approved on Feb. 1 (see the Feb. 14 issue of Lake Currents to view the full approved amendment). The regulation needed to be further amended because the 3-inch lettering height is too big for the 16 inch by 9 inch sign.

What is the effect? Signs will now be required to use 2 ½ inch lettering for “NO” and 1 ¾ inch lettering for “TRESPASSING.”

 We are targeting June 13 as a possible opening of the Clubhouse and Sweetbriar Pools, with the thinking that is when Virginia goes into Phase II for gatherings of 50 people.  Because it is such a large gathering, the Independence Day Celebration including fireworks for July 3 will almost certainly be postponed until Saturday, Sept. 5.  The May 23 Concert on the Point will likely be rescheduled to later in the summer or cancelled.  Clubhouse and Fareways will continue with carryout and delivery only until we get to the Phase II 50-person limit.

We are anxious to get our amenities open to members, but we must be smart about it. There are two important questions regarding opening the amenities: “Can we open?” and “Should we open?” In almost every instance the answer is yes, we can be ready to open with new social distancing and cleaning requirements. But the answer to the second question must be weighed carefully. Our demographics tell us we have several vulnerable people living in our community. And so, choosing the right time to open facilities such as the pool, fitness center, and the outdoor playgrounds and courts is no small matter.

There are a few things to remember while living on the course: 1. The white stakes are out of bounds markers for golfers. The stakes do not represent one’s property line. When doing work in your back yard, please visit ECC to check your property plat that marks your corners.

2. When clearing your yard of debris, do not pile it on the golf course property. You must take your debris to 9.9. Golf maintenance will maintain, if possible, to the property line. If you place debris on the golf course property, it will be moved back in your yard.

3. Do not walk your dog on the golf course. Per LOW Regulation IX.2.c, domesticated animals are not permitted on the golf course.

4. Golfers are not permitted on your property. The Golf Pro Shop directs golfers to stay out of property owners’ yards. However, if a golfer comes into your yard to retrieve a ball, you may report the incident, with cart number, to Security.

5. The golfer is responsible for any damage to one’s property. If a window gets broken, the golfer knows to contact the property owner. If the golfer does not contact you, then please get the cart number and report the incident to Security and Golf Pro Shop.

Board Seeks Member Input on Amending Bylaws Article X, Committees, Regarding Formation and Responsibilities of Subcommittees, Virtual Meetings The Board of Directors is seeking member comment regarding proposed amendments to Bylaws Article X, Committees, Regarding Formation and Responsibilities of Subcommittees, Virtual Meetings. Members who wish to provide comment or feedback should email the Board at Board@LOWA.org by 5 PM, Friday, May 22.

What is proposed? Why? The amendment authorizes committees to form subcommittees to help with the performance of committee charters and defines the limitations of those subcommittees. The amendment was proposed in response to a request from the Clubhouse Committee to form a subcommittee; upon reviewing the request it became apparent that the Bylaws were unclear about whether committees have the authority to do so.

A secondary amendment, to Subsection 8.2, is also proposed. In response to new practices that have been put into place due to the COVID-19 pandemic, there is also a need for the Bylaws to better define the requirements for committees to hold a virtual meeting Who proposed it? The GM consulted with the LOWA Attorney who recommended the Board amend the Bylaws if the Board wishes to give committees this authority. The President and the GM collaborated on the amendment to Article X, Committees, so that there will be uniformity among the committees.

The President proposed the additional language for the Virtual Meetings.

What is the effect? The amendment spells out the subcommittee appointments, responsibilities, membership, renewal, coordination with the Vice President, and subcommittee recommendation review process.

Members of a subcommittee shall be comprised of the voting members of the primary committee.

The proposed amendments to the regulations are highlighted in bold and read as follows: ARTICLE X. COMMITTEES Section 1. General. The overall mission of Lake of the Woods Committees is to add value to the Association by advising and assisting the Board of Directors and the General Manager in carrying out their responsibilities to the Association. Their specific responsibilities and special characteristics or exceptions, if any, shall be delineated in their respective charters and approved by the Board of Directors. The Board may appoint or dissolve any committee as it deems in the best interest of the Association, except that the committees contemplated by Article II.6 of the Articles of Incorporation, shall be required.

Section 2. Types of Committees. There shall be three types of committees: Required Committees, Standing Committees and Special (also known as Ad Hoc) Committees. a. Required Committees.

The following committees shall be required: 1.Environmental Control Committee 2.Finance Committee 3.Legal and Compliance Committee 4.Maintenance and Ecology Committee (i) Environmental Control Committee (ECC). The ECC is the only committee whose specific powers and duties are granted and set forth in the Declaration, as amended. In addition, the Board may assign other duties and procedures to the committee which, in the opinion of the Board, will benefit the Association.

Composition: The committee shall be composed of not more than seven (7) members but not less than three (3) members in good standing appointed by the Board of Directors for three-year staggered terms. A quorum for ECC shall be three (3) members.

After completing one three-year term, a member may be reappointed for a second three-year term, but may not thereafter be re-appointed again until after the lapse of one year. However, a member appointed to fill an unexpired term may then be appointed and/or re-appointed to serve two consecutive terms. Any vacancy on the committee shall be filled through appointment by the Board to serve out the unexpired term. (ii) Finance Committee. The purpose of the Finance Committee is to advise the Board on financial management and policy issues, and to provide to the Board financial analyses and projections to aid the Board in managing the efficient and effective use of the members’ assessments and the other fees paid by the members of the Association. (iii) Legal and Compliance Committee (LCC). The LCC functions as the regulation enforcement arm of the Board. The LCC holds hearings

and resolves allegations of violations of the Declaration and Rules and Regulations established by the Association. (iv.) Maintenance and Ecology Committee (M&E). The M & E Committee assists the Director of Facilities and the General Manager in evaluating the physical condition of all Association-owned facilities, grounds and equipment. The committee monitors current operations and assists with long-term planning. b. Standing Committees. In addition to the required committees, the Board may establish and appoint members to Standing Committees to accomplish its work. Standing committees perform a continuing function and provide advice and assistance over a broad range of issues of an operation. c. Special (Ad Hoc) Committees. From time to time the Board may establish and appoint special (or ad hoc) committees to advise the Board on specific projects, needs or issues. The Board may appoint as many members in good standing to serve on a Special Committee as it deems necessary. The Board may also appoint the General Manager and key Management staff to serve as nonvoting members. In establishing a Special Committee, the Board shall state the Special Committee’s assignment and an expected end date to complete the assignment. In any event, the Board shall have the authority to change the Special Committee’s assignment and/or dissolve the Special Committee at any time. The Special Committee shall remain established until dissolved by the Board. The Board shall also have the authority to remove and/or replace Special Committee members at any time.

Section 3. Authority. Unless otherwise provided in the Declarations or as required by law, all committees function as advisors to the Board and have only that specific authority granted to it by the Board as outlined in the Committee Responsibility Section of its charter. Under no circumstances shall the committee Chair or any other committee member give direction to any LOWA personnel in dealing with committee matters except as approved by the General Manager. Additionally, no personal financial gain shall accrue from service on a LOWA Committee, except that requests for reimbursement of direct expenses, with receipts attached, may be submitted to the GM with the approval of the committee Chair.

Section 4. Reporting Responsibility. The committees report to the Board. In addition to committee meeting minutes, oral and written reports shall be given periodically at the Board’s monthly meeting at least as often as specified in the committee charter. When a committee approves a motion requesting Board action, that motion will be forwarded in writing to the Board with a copy to the General Manager. A brief annual report of the committee’s activities during the preceding year shall be submitted to the Board by August 1 of each year, using a Board approved format.

Section 5. Composition. Unless otherwise provided in the Declarations or as required by law, the provisions of this Section 5 shall apply to all committees except Special (Ad Hoc) Committees.

All committee members shall be appointed by the Board from LOWA members in good standing. The Board in its sole discretion may remove a committee member with or without cause. Unless otherwise set forth by the Board in the committee charter, each committee shall be composed of not less than seven (7) voting members appointed for three-year staggered terms. A committee may have as many alternates and advisors as needed to perform committee activities, as requested by the Committee Chair, and as approved by the Board. Any voting member vacancy whether by term expiration, resignation, or removal shall be filled through appointment by the Board with the Chair’s recommendation. Family members occupying the same LOWA household may not serve on the same committee during the same time period. The Board may also grant exceptions to the number of voting members who may serve on a committee at any given time, based on the needs of that committee to carry out its mission. Such exceptions shall be stated under “Special Characteristics” of the respective Committee Charter.

A member of the Board may serve as liaison to a committee as a non-voting member.

Section 6. Organization. Each committee (with the exception of the Special (Ad Hoc) Committees) will elect the following officers from its committee members during its first meeting in September of each year for a one (1) year term and forward its new structure to the Vice President of the Board with a copy to the General Manager: a. Chairperson (Chair). The Chair is responsible for calling and conducting meetings, setting and submitting the agenda, and periodically, providing written and oral reports on committee activities to the Board and community as specified in the committee charter.

The Chair must be a voting member of the committee. b. Vice Chairperson (Vice-Chair). In the absence of the Chair, the Vice-Chair performs all the duties of the Chair. Vice-Chair must be a voting member of the committee. c. Secretary. To be elected by the voting members of the Committee,

Section 8. Meetings. The following apply to all meetings of the LOWA committees and subcommittees: a. Open Meetings. Subject to Section 55-510.1 of the VPOAA, all committee and subcommittee meetings shall be open to all members. Minutes shall be recorded and shall be available to all association members. b. Executive Sessions. Committees and subcommittees may convene in executive session for a period during any meeting in accordance with Section 55-510.1 of the VPOAA. c. Notice of Meetings. Notice of the time, date and place of each meeting of a committee and subcommittee shall be published at least three (3) business days in advance in a manner where it is reasonably calculated to be available to a majority of the Lot Owners. d. Agenda. The Committee shall provide a designated period of time during a meeting to allow members an opportunity to comment first on the committee’s business agenda and at the end of the meeting on any matter relating to the committee. The committee’s agenda must be posted three business days in advance of the meeting on the Association website. The Committee Chair is responsible for sending the agenda to the Communications Manager in a timely manner. During a meeting at which the agenda is limited to specific topics the comments of members may be limited to the topics listed on the meeting agenda. e. Electronic Participation. Committee and subcommittee members may elect to participate in meetings via telephonic, video conference, or other electronic means, including entirely virtual meetings, subject to the availability of conferencing equipment or software by LOWA. If the meeting place is a physical location, then two (2) committee or subcommittee (for subcommittee meetings) members must be physically present at the meeting place included in the notice. If the meeting place is a virtual conferencing platform, then such platform is the meeting place for notice purposes. All virtual meetings must be coordinated through the General Manager for time, date, and committee support. LOWA is not responsible for providing equipment to individual committee members to facilitate their participation f. Order and Decorum at Meetings. All meetings of the Association shall be conducted in accordance with Robert’s Rules of Order, Newly Revised, or other widely recognized rules governing order and decorum in meetings.

Section 9. Voting. A quorum, or simple majority, of voting members needs to be present in order for a committee or subcommittee to vote on any motions presented at the committee or subcommittee meeting.

Alternates, beginning with the alternate with the most longevity, shall be considered voting members when a quorum is not present. Any voting member, including the Chair, of a committee may present a motion for consideration by their respective committee and may vote in the same manner as other committee members.

Only in Legal and Compliance Committee hearings in the event of a three-way tie on the matter of the amount of a monetary penalty, the Chair’s vote shall constitute the deciding vote. Advisers have no voting privileges.

Voting by secret or written ballot is prohibited in any open committee meeting, except for the Legal and Compliance Committee. Absentee or proxy voting is not permitted.

Section 10. Tenure. This Section applies to Committee members only. When a voting member’s term expires, resigns, or the member is removed from the committee the Board shall fill the vacancy, considering the Chair’s recommendations. The term begins at date of appointment as a voting member and ends three years after that date. After serving two three-year terms and at the sole discretion of the Board of Directors, a committee member may be reappointed for any additional period as determined by the Board at that time to ensure that a committee has a quorum of members or for any reason in the best interest of the Association.

Once a Committee member’s tenure expires, they need wait for a one-year period before rejoining the same Committee. (Amended August 15, 2018)

Section 7. Subcommittees.

At a duly noticed open Committee meeting, a Committee may vote to appoint a subcommittee to assist the Committee in carrying out its duties and functions, subject to the following requirements and subject to the approval, further requirements, and/or further conditions of the Board of Directors, in its discretion: Subcommittees shall be comprised of no more than 3 members, all of whom must be voting members of the appointing Committee.

Subcommittees shall be tasked only with those specific responsibilities set forth in the appointing Committee Charter as approved by the Board of Directors.

Subcommittees shall be approved each calendar year at the appointing Committee organization meeting in September.

The Vice-President of the Board shall be notified in writing by the Committee Chair of the appointment of any subcommittees, the members thereof, and purpose(s) of such subcommittee.

Subcommittee recommendations shall be made to the appointing Committee, and only those recommendations duly approved by a majority of the appointing Committee members in a duly noticed open Committee meeting may be presented to the Board of Directors.

Section 11. Communication. a. Information Gathering. Committee and subcommittee members must have prior approval of the General Manager to contact third parties as necessary to gather information to carry out committee or subcommittee responsibilities. b. LOWA Legal Counsel and/or Government Representatives. Committee and subcommittee members must have prior approval of the General Manager to initiate contact with LOWA Counsel and/or Government Representatives on official LOWA business. c. Media. If approved by the General Manager and the committee Chair, committee and subcommittee members may inform local news media of LOWA-scheduled events and LOWA participation in outside events.

All other contacts with the media on official LOWA matters will be conducted through the General Manager.

Section 12. Liability Insurance Policy. The members and former members of the ECC, as required in the Articles of Incorporation, as well as the members and former members of all other committees and subcommittees, shall be indemnified, at Association expense, to the extent of coverage under the Association’s Directors and Officers Liability Policy, against expenses actually and reasonably incurred by them in connection with the defense of any claim, action, suit or proceeding against them by reason of being or having been such member.

The Board shall have full authority and discretion to affirm, reverse or revise, in whole or in part, the decision of the Committee. The Board shall have no time deadline during which to decide an appeal, but the Board shall make reasonable efforts to make such determination at a Board meeting within thirty (30) days after an appeal has been submitted to the Board.

The Owner will be invited to speak at the meeting during the Board’s consideration of the Owner’s appeal, unless the Board determines, in its own discretion, that the circumstances of the appeal warrant immediate consideration by the Board, irrespective of the Owner’s attendance at the meeting. Any decision or determination by the Board of an appeal shall be provided in writing to the submitting Owner and shall be final.

The Board shall have authority to adopt and publish reasonable rules, regulations and procedures pertaining to appeals of disapprovals or denials of the Committee to the Board.

6. SIZE AND PLACEMENT OF RESIDENCES AND STRUCTURES C. The Committee shall have the authority to set up propose regulations to the Board of Directors pertaining to the height and size requirements for all other types of buildings and structures, including fences, walls, copings, etc. Any such proposed regulations shall require the approval of the Board of Directors.

The purpose of this meeting is to vote on each of the two separate and independent proposed Amendments to the Declarations of Restrictions which would (1) amend Section 5, subsections B, D and E and Section 6, subsection C of the Declarations to clarify ECC quorum and establish an Environmental Control Committee (ECC) appeal to the Board of Directors, and (2) amend Section 12 of the Declarations to add a new subsection H to establish Board authority to assess charges for violations of the Restrictive Covenants (Declarations), Rules and Regulations.

By vote at the Membership Meeting of March 3, 2020, the meeting was recessed and continued to June 3, 2020.

AMENDMENT #2.

Each Amendment is provided below. Language being removed will be shown with strikethrough, new language is shown in bold italics.

AMENDMENT #1.

5. ENVIRONMENTAL CONTROL COMMITTEE B. The Committee shall be composed of not more than seven (7) members, nor less than three (3) members, with staggered terms, and shall be appointed by the Board of Directors. Committee members shall be subject to removal by the Board of Directors and any vacancies existing from time to time shall be filled by appointment.

A quorum for this Committee shall be three (3) members. (Ref. Mar 1990) A quorum for this Committee shall be a majority of Committee members.

Any such violation charges assessed against an Owner shall be collectible as an assessment, including but not limited to constituting a lien against such Owner’s Lot and being the personal obligation of such Owner.

Vote.Now.Com, LOWA’s trusted agent, mailed on July 12, 2019 and emailed on July 15, 2019 proxy ballots, according to preference, to the Membership and emailed reminders with a link to the voting site. Vote.Now.Com sent email reminders on several occasions since then to the Members who have not yet returned proxy ballots. The proxy ballots include an “Approve” or “Disapprove” vote on EACH of the proposed amendments, above.

5. ENVIRONMENTAL CONTROL COMMITTEE D. The Committee shall approve or disapprove plans, specifications and details within thirty (30) days from the receipt thereof. One (1) set of said plans and specifications and details with the approval or disapproval endorsed thereon, shall be returned to the person submitting them and the other copy thereof shall be retained by the Committee for its permanent files. of completed plans, specifications, and/or details in accordance with this Section 5 and Section XVI of the Rules and Regulations, as determined by the Committee.

5. ENVIRONMENTAL CONTROL COMMITTEE E. The Committee shall have the right to disapprove any plans, specifications or details submitted to it in the event the same are not in accordance with all of the provisions of these Restrictions; if the design or color scheme of the proposed building or other structure is not in harmony with the general surroundings of such lot or with the adjacent buildings or structures; if the plans and specifications are incomplete; or in the event the Committee deems the plans, specifications or details, or any part thereof to be contrary to the interests, welfare or rights of all or any part of the real property subject hereto, or the owners thereof.

The decisions of the Committee with respect to plans, specifications, or details thereof shall be final. (Referendum Aug 1996) In the event that the Committee disapproves or denies the plans, specifications and/or details submitted, the Committee shall do so in writing to the submitting Owner, providing the date of the disapproval or denial and the Committee’s basis for the disapproval or denial, which shall include any provisions of the Declaration (i.e., recorded covenants), Bylaws, Rules and Regulations (hereafter “Governing Documents”) which the Committee deems applicable and/or supportive of its disapproval or denial.

With the nation in hibernation, the Veterans Club would like to remind residents of the important historical days in May. Victory in Europe - VE Day - on May 8; Armed Forces Day on May 16; and Memorial Day on May 25.

Today, the 75th anniversary of the World War II Allied victory in Europe, was supposed to be a three-day ceremony in the nation’s capital. The planned ceremony was cancelled; however, the pageant committee is encouraging all residents to undertake a national toast to the heroes of WWII at 3 PM on May 8 by standing up, raising a glass, and making the following toast: “To those who gave so much, we thank you.”

Armed Forces Day is celebrated each year on the third Saturday in May. President Truman, in 1949, declared it a day to pay special tribute to the men and women of the Armed Forces. He led the effort to establish a holiday for citizens to unite and honor our military heroes for their patriotic service.

The first official Armed Forces Day took place on May 20, 1950. In honor of the special day, B-36 bombers flew over state capitals. In 1961, President Kennedy declared Armed Forces Day as a national holiday. In addition, Armed Forces Day plays an important part in educating society and expanding knowledge of the military and the role they play in the community.

Memorial Day is a federal holiday observed on the last Monday in May to honor the men and women who have died while serving in the military. This year on May 25, the nation will reflect and remember the veterans who made the ultimate sacrifice for their country. The nation honors those who lost their lives and did not come home, reflecting on their service, and why we have the luxury and freedom that we enjoy today.

With the hard work of Childhelp Founders Yvonne Fedderson and Sara O’Meara, April was designated National Child Abuse Prevention Month in 1979 by President Carter. If you are catching up on movies these days, one not to miss is Lifetime’s For the Love of a Child, available on Prime. It’s the true story of the two actresses on Asian USO-type tours in late 50’s rescuing homeless mixed-race orphans- the beginnings of Childhelp.

Instead of our annual Day of Hope Luncheon, Childhelp brought all chapters together for a video conference. The event provided an opportunity to assess what needed to be done in view of recent circumstances when large scale fundraisers are canceled across the country. So, at this time when we are distancing from the children, we engaged in contacting Congress, - Senators Warner and Kaine and Congresswomen Spanberger - informing them that Childhelp, too, needs funding, and requested consideration in relief bills.

On a smaller scale, our member Barbara Robinson, known for her exquisite quilts, has been making hundreds of masks for people in our community, raising over $1,400 for the Village.

These days, we offer appreciation to our donors who have supported us through the years. The idea (thanks to Barbara and Leslie) is when we order and pick up our take-out, we drop off an Auxiliary card to let them know we are here for them now. Please stop by Leslie’s house for your packet of cards (including list of restaurants). No need to call Leslie since packets are available in a basket on her front porch. Help yourself!

The Aging Together staff delivered 25 of her masks and a thank you sign to the Rappahannock Rapidan Community Aging Services kitchen staff. CK Catering has been making meals for over 1,200 seniors each week; volunteers are delivering them to isolated older adults, through the Home Delivered Meals program (throughout the five-county region). AARP Chapter 5239 held a “spur of the moment” food drive for the Wilderness Food Bank on Friday, April 17. This was done with an email blast to all our members. Pam and Garry Archer, along with Carolyn Durphy, loaded up their pickup in their driveway from 10 AM to 3 PM. Our members were quick to respond. It was a great day and, in the end, we took in about 1,200 pounds of food stuffs and $1,900 in checks. We delivered it to the Wilderness Food Pantry on Route 20, where Stan Lasover and John Beisheim received it off the truck. Thank you to everyone who turned out to respond to our request.

coming year. Broadband initiatives are continuing, although no grants have been forthcoming for the project. Dogwood Village Senior Living and Nursing Home has been COVID-19 free so far. The Board is preparing for the possible lifting of restrictions on public activities in June. There are 36 reported cases of COVID-19 virus in the County, but it is not known if any are residents of LOW. 4.2 Report from Orange County Sheriff: No report.

4.3 Report from Allied-Universal Security Chief Scott Walker reported that calls from Neighborhood Watch members have increased, as have complaint calls due to more members staying home. There has been an obvious reduction in front gate traffic and incoming guest traffic. Lake patrols have started. May 15th has been designated “Wear It Out Campaign Day” to raise member awareness to wear life jackets when out on the lake. Security staff will be wearing life vests on their work shifts that day.

4.4 Report from LOW Volunteer Fire & Rescue, Inc. President Jeff Liebold could not attend the meeting but submitted a written report which was accepted by the Board. In April, there were 22 calls to the Fire Department, 9 inside LOW and 13 outside. Rescue received 11 calls, 5 inside LOW and 6 outside. Community Risk Reduction messaging continued throughout April. May messaging will focus on preparing boaters for an on-board fire.

4.5 Report from Orange County School Board: Representative Jim Hopkins reported that the School Board is meeting regularly but taking recommended social precautions in the name of safety. Schools are closed but teachers are working. Modifications are being prepared for commencement exercises to accommodate safe social practices and will be employed as recommended at that time.

4.6 Reports of Officers: President Wilks thanked the Community for cooperating with social distancing recommendations during the pandemic and for the caring spirit of many members who are helping others in the community.

The Vice President, Secretary and Treasurer had no report.

A. Executive Session Actions: None.

B. Committee Liaison Reports: President Wilks reported that the Rules Committee continues to meet using Zoom distancing technology and will meet again in May. Most Committee meetings have been cancelled indefinitely, with the exception of those deemed essential, such as LCC and ECC. C. Committee Changes Motion by P. Brown, passed unanimously, that the Board approve the Committee changes as presented in the Committee Change List dated May 2, 2020: (D-20-44) Name Action Committee Teri Vickery Resigned Nominating Committee D. Referendum Update Secretary Philip Brown reported that 2090 Referendum ballots have

been returned, 1408 electronic and 682 paper. A reminder to vote was sent with the Assessment billings resulting in an increase in ballot returns. The next Meeting of the Membership to determine the status of the Referendum is scheduled for Wednesday, June 3, 2020 at 6:00 p.m. in the Community Center. This will be a “virtual meeting” as a quorum exists by virtue of the number of proxy ballots already cast.

4.7 Report from the General Manager A. Coronavirus and LOWA Community Activities and Business Operations The GM updated the Board on the current status of LOWA community activities and business operations, and potential event delays affecting the opening of the pools and fitness center. By May 8, a decision will be made on whether Independence Day events scheduled for July 3 will go ahead or be postponed until Labor Day weekend.

LOWA will phase-in opening of the playgrounds, ballfields and courts as restrictions ease. The “use by” date for Loyalty Plan dollars has been extended to July 31st.

B. March Financials In March we collected $66,328 in current year lot assessments, for a total of $6,764,259, or 97.3% of the FY2019-20 lot assessments billed.

As of March 31, the Unaudited Income Statement of Budget-to-Actual Comparison Summary showed an unfavorable variance of $56,591.

There is no expectation this variance will turn positive by the end of April. Our focus will be to minimize costs and manage resources to mitigate the financial impacts caused by the COVID-19 pandemic. The delinquency rate as of March 31 was 2.7%. FY2020-21 assessment billings were mailed on March 27th. Members who may be experiencing financial issues are encouraged to contact the Finance Department to discuss payment options. As of today, we have collected 65% of the total amount budgeted for the 2020/21 fiscal year.

C. Lakes Management Report Construction contractor Docks of the Bay has substantially completed work on the Flat Run Forebay. On April 23, Spotswood Contracting installed the fountain in the 14th pond.

D. Other Business LOWA’s Road Department completed improvements to the RV/Boat Storage Lot. Internet connections supporting communications between our main facilities were upgraded and Wi-Fi access points re-set. A new Jonas module was installed and is being evaluated. If results are good, members will be able to place Clubhouse and Fareways orders online for pickup or delivery.

All canoe/kayak storage racks will be replaced in June/July by the Buildings Department, and an additional 36 racks will be added for distribution at several lake access locations.

The Clubhouse is offering Mother’s Day takeout dinner specials for pickup or delivery.

May 2 Board Minutes from p. 12 4.8 Committee Reports Elections Committee: Chair Lisa McKinney reported the Referendum still has not quite met its goal of 2600 ballots. Sixty-two more ballots not previously cast were received from six mobile voting station events, but future station voting had to be discontinued due to close personal contact.

The Committee is looking at a way to set up a “drive-thru” paper ballot drop off. Interested members are encouraged to join the Elections Committee to help handle the Referendum and upcoming Director elections. Members are encouraged to suggest questions for the Director candidates this year for the Channel 18 interview.

6. NEW BUSINESS 6.1 Consideration of Actions Related to COVID-19 LOWA Community Activities and Business Operations.

A. Fitness Center Closing Review No action taken. Re-opening of the Fitness Center will be considered again at the May 20th Board meeting and again in June as pandemic conditions evolve.

B. Financial Position and Operations, and Capital Outlook Director of Finance Charles Maneval summarized key information on LOWA’s current financial position, operations and capital spending outlook for the remainder of the current fiscal year, and for the first quarter of the next fiscal year. Updates will be provided to the Board on May 8 and June 10 based on feedback provided by government authorities.

Strategies to optimize our financial status include application for a forgivable loan through the Payroll Protection Program (PPP) to support employee retention; adopting a temporary hiring freeze and eliminating overtime except in emergencies; ongoing reviews of operation centers to forecast cash flow and resumption of key operations, and delaying purchases and major operating expenses.

The PPP “forgivable” loan has been approved by the Small Business Administration, but will require a vote by the LOWA Board to accept it. It is forecast there will be sufficient revenues to support all operations thru the end of July 2020, and overall LOWA remains financially healthy.

6.2 Consideration of Entering Lots for Maintenance. (D-20-47) Motion by H. Brown, passed unanimously, that the Board approve entry to the lots in Case Nos. 20-0502-01, 20-0502-02 and 20-0502-04 on or after May 2, 2020 to perform maintenance as stipulated in the ECC Chair’s letters to the individual lot owners, and that the properties be billed for the cost related to such work in accordance with Paragraph 14 of the Restrictive Covenants.

(D-20-46) Motion by P. Brown that the Board approve publishing in Lake Currents for member comment the proposed amendments to LOWA Bylaw Article X: Committees, regarding formation and responsibilities of subcommittees.

Motion by Wilks, passed unanimously, that the Board amend the proposed version to be published in Lake Currents by substituting the following language for Item 8.e: “8.e. Electronic Participation. In the event it is impractical or unsafe to assemble in a single location as determined by the General Manager, Committee and subcommittee members may, if authorized by the General Manager meet in an entirely virtual platform via telephonic, video conference, or other electronic means, including entirely virtual meetings, subject to the availability of conferencing equipment or software by LOWA. If the meeting will be entirely virtual, in such circumstances the Committee or sub- committee must give notice of the entirely virtual meeting to LOWA members contemporaneously with notice provided to the Committee or subcommittee members, using the best available method given the nature of the impractical or unsafe circumstances, and the Committee or subcommittee must make arrangement for LOWA members to have access to the meeting through telephonic, video conference or other electronic means. All virtual meetings must be coordinated through the General Manager

for time, date, and Committee or subcommittee support. LOWA is not responsible for providing equipment to individual Committee members, subcommittee members, or LOWA members to facilitate their participation. Most of us think of writing as work. We write on deadline, for a grade, to compete or publish. But what if writing is play? What if writing brings pleasure, satisfaction and meaning? What if the act of writing makes blood pressure go down, not up?

Nancy Pierce Morgan, Director Emeritus of the Arts an or g and Humanities Program at the Georgetown Lombardi Cancer Nancy M Center, has devoted her career to helping people over the “I hate writing” threshold to – ‘Hey, this is fun!’ Through practice and research, she has contributed to evidence that suggests writing might be just what is needed to feel better.

LOWLINC is offering her program on May 13. Learn how expressive writing--the simple act of writing thoughts and feelings--contributes to health and wellbeing.

On April 21, the Supervisors held the Public Hearings on next fiscal year’s taxes and budget. This was held using Zoom and was simulcast on You-Tube for public participation. Usually members of the public are present at these hearings and provide input about taxes or the budget. Since the public did not have the opportunity to comment in person, the public hearing was held open for a week so that citizens could provide written comments by regular mail or by email. Those comments were reviewed at the April 28 meeting, and then the public hearings were closed. The Supervisors then voted on the taxes and budget for the next fiscal year.

The tax rate on real estate properties was affected by the recent reassessment of properties in the county. Virginia statutes do not allow the county to increase its revenues due to higher assessments by more than 1% without a public hearing on the increase. The previous tax rate was $0.804/$100 of assessed value, but because the total assessed value in the county increased by 13%, an equalized tax rate would be $0.72/$100 assessed value. Although the county originally advertised a real estate tax rate increase, the Supervisors felt that raising taxes during the financial crisis caused by the COVID-19 pandemic was not appropriate. As a result, some budget items like pay increases were cancelled. Even with the equalized tax rate, some property owners will see an increase in taxes if their property was reassessed at more than 13% above the previous assessment. Others whose assessment increased by less that 13% will see a tax decrease. All other taxes remained the same as last year.

One item of note is that the real estate taxes are divided into two different segments now. Since fire and rescue service makes up such a significant portion of the budget, that service has a separate tax rate of $0.11/$100 assessed value and the regular real estate tax is $0.61/$100 assessed value.

The total is still the previously discussed equalized tax rate.

Normally, the county ordinance on receipt of taxes requires the first installment of real estate taxes to be paid by June 5. Because of the ongoing COVID-19 pandemic, the ordinance due date was changed to June 20. Also, the ordinance was changed to allow payments as late as July 20 without penalty or interest. This is a one-time change and has no effect on future tax due dates.

The budget for the next fiscal year is about $124 million. About 35% of that comes from local taxes including real estate, personal property and others. Some 27% comes from the state, mostly for education, constitutional officers and children’s services. For just the next fiscal year, about 13%, or $15 million, will come from financing for major projects including landfill expansion, broadband initiative, rehabilitating the Blue Bell Building for vocational-technical training and an addition and a new roof for the Gordon Barbour Elementary School. Federal aid and other local revenue make up most of the rest of revenue.

Major expenses include school operations (38%), debt service (19%) and public safety (11%). With the school portion of debt service, schools are over 50% of county expenses. Other expense items include public works (8%), general government (6%) health and human services (6%), community development (3%), judicial administration (3%) and other categories totaling about 5%. The General Assembly took action to eliminate the local share of state recordation tax in FY21, resulting in a loss of $174,431 in our proposed FY21 budget. We had to make an adjustment in the budget after the Public Hearing to deal with the decrease.
