Any offerings made directly or through our sales representatives are considered subject to change, insofar as nothing to the contrary has been agreed to in writing and accordingly confirmed by us – in terms of price as well as quantities and delivery periods. All concluded sales transactions are only binding to us when confirmed by us in writing. Any and all oral ancillary agreements are excluded. The purchase order for this contract which has been accordingly sent to you is only valid in terms of its indicated number of pairs and possibility of delivery (availability) is only valid insofar as we are able to provide all required raw and finished materials. Difficulties in the procurement of raw materials release us from our supply obligation; price increases in raw materials entitle us to price increases following the acceptance of the contract. All prices – insofar as no confirmation to the contrary has been issued from GEKA Sport GmbH or Brütting & Co. EB-Sport International GmbH are considered ex storehouse Küps (regarding GEKA Sport GmH) respectively ex storehouse Lichtenfels (regarding Brütting & Co. EB-Sport International GmbH), including packaging. The consignments are always at the expense and risk of the recipient and are only insured upon the explicit written request of the buyer / recipient. For deliveries to Germany and Austria carriage is paid if contact value is above 350 EUR per delivery date and per company. Other countries upon request. For orders below € 100.00, a mark up of € 10.00 for small-volume purchases will be added. In the event of delivery-scheduling notices received late based on the deadline in the agreement or upon request, we expressly reserve the right to supply different articles ands offer different delivery options. We are entitled to handle all concluded transactions and contracts by supplying partial quantities. The delivery times specified by us are non-binding. Events of force majeure release us from the obligation of compliance with delivery periods – however, do not entitle the ordering parties to withdraw from the purchase. The right on the part of the buyer to withdrawal from the purchase contract only takes effect if he notifies the seller in writing of an appropriate grace period (which must include at least 14 days) and the compliance with which was once again acknowledged by the seller but nevertheless neglected. In the event of justified complaints, the seller is entitled to the right to send replacement pairs as quickly as possible which are free of defects. Justified complaints must be made immediately following the receipt of the goods. Following the elapse of three (3) days from the receipt of the goods, complaints are no longer permitted. The delivery note must be enclosed with the notification of the complaint(s). The goods subject to the complaint may only be returned upon the seller‘s consent. Price reduction or damages compensation, offsetting and assertion of lien and withholding rights toward us are prohi- bited. We do not cover any claims for damages compensation which arise from failure to deliver or delay in delivery, or on any other grounds. Liability due to malicious intent or gross negligence remains unaffected. Payment conditions are duly noted under „Proposals“ and „Invoices“. Payments – insofar as nothing to the contrary has been agreed – must be made upon issuance of the invoice, prior to shipment of the goods. Otherwise, our invoices are payable – if we have convenient information – 10 days of the invoice net. All invoices are due following the elap- se of this deadline and thereupon subject to suit. The buyer is obligated to – in the event of a delay in payment – pay penalty interest in the amount of 9% above the basic interest rate stipulated by the German Federal Bank (in accor- dance with § 288 (2) BGB). The Brütting & Co. EB-Sport International GmbH and/or. GEKA Sport GmbH further reser- ves the right to the assertion of any additional claims due to delayed payment. The buyers is considered in arrears if he fails to pay even following a reprimand issued by Brütting & Co. EB-Sport International GmbH or GEKA Sport GmbH issued following the fruitless elapse of the due date. Regardless of this, the buyer is in arrears when he fails to make payments by a given deadline as stipulated by Brütting & Co. EB-Sport International GmbH or GEKA Sport GmbH in a contract or an invoice. The legal rule according to which the buyer also falls into arrears after (30) days following the receipt of an invoice remains hereby unaffected. The receipt of an invoice is presumed no later than three (3) days following the delivery of the invoice. 10.

15. The provisions applicable at the time of payment apply accordingly to the acceptance of such payments. Permissible means of payment are bank wire transfers and nationally-issued cheques which may not be pre-dated. Cheques shall only be credited with correct receipt reserved, and only become valid as payment following their endorsement. Until the purchase price is paid in full by the buyer and/or debited to the buyer as a current-account balance or by the cheque remitted for this purpose, the goods remain our property. You may only sell these goods in regular business transactions – and hereby assign to us all outstanding payments to which you are entitled from such transactions. You are authorised to collect outstanding payments as long as you properly comply with your payment obligations to us. Any goods taken back shall be valuated according to the actual value at the time of return – according to the given product line, changes in fashion trends and the degree of wear which has ensued due to storage or multiple fittings. Invoices can be sent by post or e-mail at our discretion. The buyer agrees to receive invoices electronically. Electronic invoices are sent to the customer by e-mail in PDF format to the e-mail address provided. At the express request of the customer, the sending of invoices can also be switched to postal delivery at any time. For this, administration costs of 2.95 euros per invoice are charged. By the issuance of the contract, the buyer acknowledges these conditions as exclusively material. These are binding, primarily for all subsequent orders; this provision does not require specific notice. Any other conditions, regardless of their form, set forth e.g. by buyers on their own order forms or in any other manner, are excluded. Insofar as the buyer is a merchant or legal entity subject to public law – or special assets subject to public law are hereby affected – our business headquarters is the applicable legal venue. Insofar as nothing to the contrary results from the Purchase Order, our business headquarters is the place of fulfilment. a) This contract is subject to the laws of the Federal Republic of Germany, under the exclusion of the United Nations Convention on Contracts for the International Sale of Goods, CISG). b) The legal successors of both contractual partners are likewise bound to the obligations arising from contracts concluded based on these Terms and Conditions. c) Any amendments and supplements to this contract require the written form. The waiver of the written form can itself only be made in writing. If any one of these aforementioned provisions should be ineffective or invalid, it shall be replaced by a corresponding legally-effective rule which most closely approximates the intended commercial purpose of the ineffective rule. This cir- cumstance has no impact on the effectiveness of the remaining provisions.
