BRAZIL

Koppert Brazil seeks new partner for expansion

Koppert Brazil is looking for a new investor willing to contribute € 100 million (about R$ 620 million) to the company’s expansion project. The process, conducted by Itaú BBA, should be concluded by July 2026, with the expectation of receiving the first nonbinding proposals still in December. Gustavo Herrmann, Commercial Director of Koppert South America

In an interview with press agencies, Gustavo Herrmann, Commercial Director of Koppert South America, explained that the search for a minority partner represents the biggest transformation of Koppert in Brazil since its arrival. The goal is to achieve financial self-sufficiency for the local operation.

Governance and Structure The operation will be structured as private equity, with the investor acquiring a minority stake — estimated at 30%, keeping the Dutch with 70%. With this, Herrmann and Pedrazzoli will become coCEOs of Koppert. A board of directors will be constituted, including space for the new investor and an independent counselor.

“Brazil has grown and needs a capital structure commensurate with this growth. [...] From this fundraising, we start to structure our growth with local capital and credit, preserving the strategic alignment with the Netherlands, but gaining decisionmaking and execution speed,” stated Herrmann. With the new capital, Koppert intends to expand the fungi factory, build a new bacteria unit, and internalize the production of nematodes and entomopathogens, reducing dependence on imports. The company will also resume acquisitions in the bioinputs market. “These three plants will allow us not only to grow in volume but to raise the technical

4

level of our operation, with greater traceability, productive efficiency, and response capacity to the customer,” said Danilo Pedrazolli, Industrial Director of Koppert South America.

Operational autonomy will be total, however, the headquarters in the Netherlands will continue to approve acquisitions, sales, and high-value investments. Furthermore, the business model allows for a future IPO — the process of opening a company’s capital on the Stock Exchange.

WOMEN IN AGRO

Female force transforming agriculture The Communications Manager of Koppert South America, Jaqueline Antonio, was one of the protagonists of the 10th edition of the National Congress of Women in Agribusiness (CNMA), considered the largest female gathering of the sector in Latin America. The event took place in the city of São Paulo, on October 23rd. Jaqueline highlighted the fundamental role of education for the expansion of biological management in Brazilian agriculture during her speech on the panel “Os Pilares que vão Desenvolver as Mulheres do Futuro” [The Pillars that will Develop the Women of the Future] “We have to make people influencers, train them so they take this message regionally, to all farmers, and do it technically [...] It is a great challenge, it

continues to be, but education changes everything,” she said. In an exclusive interview for the program “A Protagonista”, on Canal Rural, the specialist highlighted the work done with Koppert Academy, a project created to bring knowledge to farmers, consultants, and distributors, which already totals 7,000 trained students. Jaqueline also spoke about the concern in using this more educational tone in the company’s communication and marketing, in order to demystify the new technology and bring it closer to the target audience. “We have a creative hub dedicated solely to this today,” she proudly says.

INTERNACIONAL STUDY

Trichoderma increases corn productivity by 60% under drought, study reveals

An international study led by the Universidade Tecnológica Federal do Paraná (UTFPR) revealed that the use of the Trichoderma harzianum ESALQ 1306 strain in corn plantations increased productivity by up to 60%, even under water stress. A great relief for Brazilian farmers who, from time to time, suffer from drought and increasing climate changes in cultivation. The study, titled “Mitigating drought effects in maize with Trichoderma harzianum (strain ESALQ 1306): a bioinoculant for sustainable agriculture”, had the support of seven other institutions: Universidade Estadual do Mato Grosso do Sul (UEMS), Universidade Estadual Paulista (Unesp), Embrapa, University of Antwerp in Belgium, and Princess Nourah University in Saudi Arabia. The explanation for such a result is simple: When applied, the ESALQ 1306 strain stimulates root growth allowing the plant to absorb more water and nutrients, becoming more resistant to the lack of rain. Furthermore, it protects the crop against nematodes and soil pathogens. For the farmer, this means more health and productivity in cultivation and, mainly, security even in the face

12

of an unpredictable climate scenario. More uniform and stable crops, over the years, guarantee a much more solid and predictable ROI. In other words, Trichoderma harzianum ESALQ 1306 is a rare combination between biostimulation and biocontrol in a single living organism. Developed in partnership with the Escola Superior de Agricultura “Luiz de Queiroz” (ESALQ/USP), the Trichoderma harzianum ESALQ 1306 strain integrates the Koppert Brazil portfolio and is aligned with consolidated agricultural management practices, accelerating the transition to a more productive, sustainable, and profitable agriculture. The article is signed by important names. The first author of the study, Renato Lustosa Sobrinho, is a technician at

From niche to must-have: Biologicals advance towards massive adoption in Latin America

Latin America is living a decisive moment for bioinputs. Although the number of registrations grows rapidly, adoption in the field still advances unevenly. The theme was highlighted in the Chinese magazine Agro Pages, of worldwide circulation, which gathered ten leaders of the bioinputs segment, among them Gustavo Herrmann, Commercial Director of Koppert South America. In his analysis for the vehicle, Herrmann pointed out the regulatory disparity between countries as one of the main obstacles to the massive adoption of biologicals, in addition to the need for greater technical training in the use of products more sensitive than chemicals. Added to this is the complex logistics of biologicals and the expansion of on-farm biofactories, which expand access but require sanitary rigor.

global biofungicide and bionematicide exclusive for seed treatment, which already raises productivity in crops such as soy and corn. For him, the rapid acceptance of the solution by Brazilian agribusiness reveals the pillars for the expansion of biologicals: Applicable innovation, operational integration, field evidence, and sustainability.

throughout Latin America,” he stated. “To advance, it is fundamental to invest in technical infrastructure, harmonize regulations, and offer training that guarantees the safe and efficient use of biologicals in the field,” completed Herrmann.

“The challenges exist, but the interest of farmers in more sustainable technologies and the speed of innovation indicate that biologicals should grow consistently

Brazil stands out as a model to be followed, driven by high pest pressure and strong cooperation between researchers, regulators, and the private initiative. Replicating this ecosystem, however, runs into less challenging climates, slower regulatory processes, and more conservative agricultural cultures. Among the success cases, Herrmann highlighted Trichodermil FS® (Trichoderma asperelloides ESALQ 1306), the first

COP30

Koppert reinforces and proves the importance of bioinputs in global carbon reduction Koppert Brazil marked a strong presence at COP 30, one of the most important world events on sustainability and climate change. With active participation in three high-level panels at AgriZone Embrapa, the company demonstrated how bioinputs are indispensable protagonists in the transition to low-carbon, more productive, and profitable agriculture. Currently, 23% of global greenhouse gas emissions originate in the agricultural sector and land use. Using more sustainable practices is urgent and Koppert showed that it is viable: With the use of biological solutions, crops cease to be emission sources and become carbon sinks — natural reservoirs that filter CO₂ from the atmosphere. Brazil leads this movement. About 61% of Brazilian producers regularly use bioinputs, a rate four times higher than the global average! In the last three years, the sector registered impressive growth of 22%, signaling a real transformation in the field.

16

Bioinputs are moving from a “nice to have” role to a strategic protagonist. Gustavo Herrmann Commercial Director of Koppert South America

Biological always and chemical when necessary The R&D Manager of Koppert Brazil, Thiago Castro, reinforced that sustainable agriculture is, fundamentally, about restoring soil life through biological control. By introducing natural enemies into ecosystems, in addition to combating pests, the biological web is strengthened, thus improving soil structure and reducing the need for more aggressive interventions. “It is nature itself working in our favor,” he stated. The partnership between Koppert Brazil and the French company Tereos proves these results in practice. In just one year, almost 50% of the chemical control area in sugarcane fields was replaced by biological solutions, with emphasis on Terranem®. The Commercial Manager of the Sugarcane Division, Vinícius Lopes, highlighted that the initiative exceeded expectations and advanced: There are plans

The Commercial Director of Koppert South America, Gustavo Herrmann, summarized the transformation underway: Bioinputs leave the role of “nice to have” to become a strategic protagonist. He further stated that, with the Bioinputs Law — the most modern in the world —, Brazil creates a favorable environment for exponential growth in the coming years, potentially reaching 50%. AgriZone Embrapa at COP30 validated the crucial role of agribusiness in climate discussions, demystifying its image and consolidating Koppert as a driving force of this transformation.

AGRO BIOINPUTS FORUM

Koppert leads innovation and drives science at the 2nd Agro Bioinputs Forum The 2nd Agro Bioinputs Forum consolidated bioinputs as a strategic priority for Brazilian agribusiness. With wide repercussions in the national media, the meeting gathered authorities, researchers, and executives from the sector and consolidated bioinputs as a strategic priority for gains in productivity, sustainability, and international competitiveness. Koppert Brazil was at the center of the discussions. In the panel “Prioridades para o Desenvolvimento Sustentável” [Priorities for Sustainable Development], Felipe Itihara, Innovation Manager of the company, defended the need for structured investments to accelerate innovation in the segment, reduce technological risk, and attract capital for new formulations and microbial platforms. “We need financing and promotion lines that support the continuous evolution of

18

the sector and the development of new formulations. Without this support, we run the risk of losing competitiveness and missing opportunities that the global market is offering,” stated Itihara. The data presented dimension the opportunity: Bioinputs are growing above 30% in cooperatives, but still represent only 3% of the inputs used. The potential is ample, provided there is predictability in the regulatory and financial environment so that companies like Koppert can invest with legal security and long-term planning, as reinforced by the specialists. Koppert Brazil’s participation in the forum highlights our commitment to the transformation of the agro sector: Innovative products and strategic articulation between public policies, science, and the market.

With stable regulation and continuous investment in research, the country strategically places itself in the leadership of the global bioinputs revolution.

We need financing and promotion lines that support the continuous evolution of the sector and the development of new formulations.

PIONEERING

Spraying in Meiosi: Natutec® by Koppert launches unprecedented service in Brazil Natutec® by Koppert announces the unprecedented launch in Brazil of a directed spraying service by drone for the Meiosi planting system in sugarcane fields. In the final phase of approval, the solution reaches the market later this year, solving one of the biggest bottlenecks in the reform of sugarcane areas: The application of pesticides and bioinputs in the sugarcane lines without damage to intercalary crops, such as soybeans and peanuts. The Meiosi system (Inter-rotational Method Occurring Simultaneously) is an intelligent and economical strategy for the sugar-energy sector. It is based on the planting of mother lines of sugarcane,

20

intercalated with legumes that contribute to the recovery of soil degraded by intensive cultivation. In addition to improving the physical, chemical, and biological conditions of the soil, these crops generate extra revenue with grains and, after harvest, the mother lines unfold to form a new sugarcane field. However, traditional spraying methods present important limitations. Spraying by agricultural aircraft requires high operational investment and lacks precision for localized treatments, while ground machines promote soil compaction and can cause damage to developing crops.

BioJournal | Year 12 | Edition 04 | QUARTERLY 2025

Exclusive Drones Spraying via drone is already known in agribusiness, but the technology developed by Natutec® raises the standard. The solution employs exclusive drones, equipped with an RTK system for centimeter precision and automatic curvilinear trajectories, capable of adapting to the terrain in real time and following the sugarcane lines in curves with precision, ensuring coverage in the mother lines without damage to the intercalary crops.

Total Regulation All operations of Natutec® by Koppert are 100% regulated by MAPA, ANAC, and state Plant Defenses. With the launch of the service, sugarcane producers gain a weighty tool to scale Meiosi with efficiency and safety.

Innovation in biological management with drones Koppert Chile, in partnership with Taxma (Chile) and XFLY Tecnologia (Brazil), began the season of biological management of the spider mite in fruit trees. The strategy includes the release of the predatory mite Neoseiulus californicus by drones, a technology that Koppert has been developing for years in fruit and vegetable orchards worldwide. Preventive management is essential to protect productivity and ensure sustainable agriculture.

PERU AND BOLIVIA

New registrations: Koppert advances in South America This year, Koppert achieved two historic regulatory milestones in South America, consolidating its leadership in bioinputs and the regional market. Boveril® (Beauveria bassiana) was registered in Peru, and Octane® (Cordyceps javanica) in Bolivia, marking significant advances for the company’s expansion in the region. These registrations strengthen the strategy initiated in 2024, when Koppert Brazil assumed operations in Chile, Peru, Colombia, and Ecuador, adding to Argentina, Uruguay, and Paraguay

(integrated since 2019). In Bolivia, Octane® becomes the first Koppert bioinput officially registered in the country. The recent regulatory approval reflects the expertise of our Regulatory Affairs department, which overcame complex processes to make innovative and highperformance biological solutions viable for farmers, with gains in productivity and sustainability.
