Letter From Our Managing Partner It’s been another year of positive growth and change for KMK Law. KMK continues to provide world-class legal services in traditional practice areas and multidisciplinary niche practices. Cintas Corporation KMK represented Cintas Corporation in its joint venture with Shred-it International, which combined the second and fourth largest shredding companies in the United States to create the world’s largest document destruction company, with $600 million in combined revenues and operations in 18 countries. KMK represented Cintas in all facets of its joint venture transaction, including M&A, securities, labor, real estate, employee benefits, and environmental. Stikeman Elliott (Toronto) represented Shred-it. KMK also represented Cintas Corporation in the subsequent sale of its investment in Shred-it International to Stericycle, Inc. for $2.3 billion. Shred-it was represented by Stikeman Elliot (Toronto), and Stericycle was represented by Sidley Austin (Chicago). KMK represented Cintas Corporation in its purchase of Zee Medical from McKesson Corporation for approximately $130 million. Morrison & Foerster (San Francisco) represented McKesson.

Multi-Color Corporation KMK represented Multi-Color Corporation in its acquisition of Graphic Packaging International, Inc.’s heat transfer label business for consideration of $80.7 million cash. Alston & Bird (Atlanta) represented the Seller. KMK represented Multi-Color Corporation in its acquisition of Super Enterprise Holdings Berhad (Super Label) by a tender offer for its publicly traded shares. Super Label was formerly a publicly listed company on the Bursa Malaysia stock exchange and has operations in Malaysia, Indonesia, Philippines, Thailand and China.

AtriCure, Inc. KMK represented AtriCure in primary and secondary public equity securities offerings underwritten by Piper Jaffray, having an aggregate value of approximately $90 million. KMK’s representation of the NASDAQ-listed company included filing the shelf registration statement pursuant to which shares of common stock and other securities were registered. Piper Jaffray was represented by Goodwin Procter LLP (New York).

KMK also represented AtriCure in its acquisition of nContact Surgical, Inc. for $100 million closing consideration payable in AtriCure common stock, with up to $150 million in additional consideration possible. KMK represented AtriCure in all facets of the triangular merger transaction, including securities and M&A. The Seller was represented by Wyrick Robbins (Raleigh).

Divisions, Inc. and Affiliated Entities KMK represented Divisions, Inc. and its affiliated entities, New FM Acquisition Company, LLC, Divisions Holding Corporation, and Divisions International LLC, in connection with its Stock Purchase Agreement, Investment Agreement, and restructuring of revolving and term loan facilities and in all facets of the transaction, including tax and M&A. Details include $28.8 million payable in cash; investment of $16 million into Divisions by Caltius Partners IV, LP and Caltius Partners Executive IV, LP in exchange for Senior Subordinated Notes; and $21.5 million revolving and term loan facilities. Caltius Partners IV, LP and Caltius Partners Executive IV, LP were represented by DLA Piper LLP (Washington, D.C.); PNC Bank, National Association (lender) was represented by Frost Brown Todd LLP; certain existing shareholders of Divisions were represented by Frost Brown Todd LLP and Katz Teller Brant & Hild. Divisions was successfully recapitalized in a leveraged recapitalization in November 2014 in which KMK represented Divisions.

Orchard Holdings Group LLC KMK represented Orchard Holdings Group LLC in the acquisition of capital stock of LAI Holdings II Inc. d/b/a The Lucas Group from LAI Holdings I Inc. The Seller was represented by Goodwin Procter (Boston). KMK represented Orchard Holdings Group LLC in the acquisition of capital stock of Messenger Holding Corp. The Seller was represented by Katten Muchin Rosenman LLP (Chicago). KMK represented Orchard Holdings Group LLC in the acquisition of the capital stock of Bock & Clark Corporation and the financing related to such acquisition and ongoing operational needs. The Seller was represented by Katten Muchin Rosenman LLP (Chicago).

American Financial Group, Inc. KMK represented American Financial Group in various debt offerings over the past few years, including two underwritten debt offerings of $150 million of subordinated debt securities and an underwritten debt offering of $125 million of senior debt securities. The lead underwriters in each offering included Bank of America Merrill Lynch and Wells Fargo, among others. The underwriting syndicates were represented by Sidley Austin (New York).

COMMERCIAL FINANCE & REORGANIZATION KMK attorneys actively work with the region’s largest banks, insurance companies, debt and equity funds, and other financial institutions assisting with the documentation of secured and unsecured commercial loan and leasing transactions. Following the closing and funding of a transaction, we advise our clients throughout the life of the financing agreement, including through any necessary loan restructuring and work-out. In addition, we are active in our representation of borrowers for all aspects of their financing needs.

KMK represented Multi-Color Corporation, Collotype International Holdings Pty Limited, and certain other subsidiaries in connection with the amendment and restatement of its $500 million in aggregate of senior revolving credit facilities with various lenders, including Bank of America, N.A. as Administrative Agent, Swing Line Lender, and U.S. L/C Issuer, and Westpac Banking Corporation as Australian Administrative Agent and Australian L/C Issuer. KMK’s representation included preparation of the Amended and Restated Credit Agreement, U.S. and Australian security documents, and other related transaction documents for such facilities. The consortium of lenders was represented by McGuireWoods LLP.

Commercial Finance Transactions Recent representations for our clients include:

American Money Management Corporation (AMMC) KMK represented AMMC as Collateral Manager and the Co-Issuers in respect of a $510.8 million collateralized loan obligation transaction whereby Jefferies, LLC acted as Initial Purchaser. KMK’s representation included preparation of the Offering Circular and Indenture and related transaction documents for AMMC. Initial Purchaser was represented by K&L Gates LLP. KMK represented AMMC as Collateral Manager in respect of a $357.75 million collateralized loan obligation transaction whereby Mitsubishi UFJ Securities (USA), Inc. acted as Initial Purchaser. KMK’s representation included preparation of the Offering Circular and Indenture and related transaction documents for AMMC. Initial Purchaser was represented by Dechert LLP.

Fifth Third Bank KMK’s representation of Fifth Third Bank — a regional bank with $117 billion in assets — included preparation and negotiation of loan documentation and related fund diligence, for $30 million revolving credit facilities for two funds managed by Fund Evaluation Group. Fund Evaluation Group was represented by Drinker Biddle & Reath (Philadelphia).

Multi-Color Corporation KMK represented Multi-Color Corporation (NASDAQ: LABL) as Issuer in respect of $250 million aggregate principal amount of its 6.125% senior notes due 2022 in a Rule 144A private offering whereby the Initial Purchasers included Merrill Lynch, Pierce, Fenner & Smith Incorporated, J.P. Morgan Securities LLC, BMO Capital Markets Corp., Rabo Securities USA, Inc., and KeyBanc Capital Markets Inc. KMK’s representation included preparation of the Offering Circular and Indenture and related transaction documents for the offering. Initial Purchasers were represented by Cahill Gordon & Reindel LLP.

Jewelry Television KMK represented Multimedia Commerce Group, Inc., the parent company of Jewelry Television, in connection with its asset-based revolving credit facility and each of its related term loans with JPMorgan Chase Bank, N.A. KMK’s representation included negotiation of the initial Credit Agreement and other related transaction documents as well as amendments to the Credit Agreement to allow for ongoing adjustments to Multimedia Commerce Group’s ongoing credit needs. KMK further represented America’s Collectibles Network, Inc., a subsidiary of Multimedia Commerce Group, in connection with its related equipment financing with JPMorgan Chase Bank, N.A. JPMorgan Chase Bank, N.A. was represented by Bass, Berry & Sims PLC.

Orchard Holdings Group LLC and Messenger Acquisition Corporation KMK represented Orchard Holdings Group LLC and Messenger Acquisition Corporation in connection with the simultaneous acquisition of Messenger, LLC and its parent, Messenger Holding Corp. (collectively, “Messenger”), and the amendment and restatement of Messenger’s credit facility with Freeport Financial Partners LLC and Main Street Capital Corporation. KMK’s representation included preparation and negotiation of the Amended and Restated Credit Agreement and other related transaction documents related to Messenger’s revolving credit facility and term loan. The Agents and Lenders were represented by Goldberg Kohn.

First Financial Bank KMK represented First Financial Bank in numerous loan workouts and enforcement matters including the negotiation and confirmation of a creditor’s plan of reorganization in the Chapter 11 case of a real estate developer in Dayton, Ohio.


Confidential Client KMK recently documented and closed the restructuring of a defaulted loan from an investor client to a fast-growing national retailer.

Confidential Client KMK orchestrated the loan purchase of a defaulted loan and restructuring of the secured debt and investor obligations of a clientowned manufacturing concern.

CYBERSECURITY & PRIVACY TEAM Protecting company and customer data from cybersecurity threats is one of the most important and challenging strategic initiatives companies face. Corporate risk managers and business owners are challenged with reviewing, updating, and implementing written procedures, developing a cybersecurity framework, and ensuring that they have a response team and plan in place in the event of a data breach or cybersecurity attack. Special Recognition KMK Law Recipient of the DePaul Cristo Rey Corporate Partner of Excellence Award I n October of 2015, KMK received the DePaul Cristo Rey Corporate Partner of Excellence Award as a Pioneer Partner in the school’s Corporate Work Study Program. DePaul Cristo Rey High School (DPCR) opened in June 2011 as part of the national Cristo Rey Network to serve those families who want a private, college preparatory education for their children but cannot afford it without significant financial assistance. Through the school’s work study program, KMK has sponsored four DPCR students each year since the school’s inception.

Recipient of the John L. Muething Lifetime Achievement in Law Award Timothy A. (Tim) Garry, a Senior Partner with KMK Law, received the John L. Muething Lifetime Achievement in Law Award from the Cincinnati Bar Foundation on October 21, 2015. The award, named after KMK Law’s Founding Partner, is presented for 50 years of exemplary service as a lawyer. The honoree must demonstrate the highest principles and traditions of the legal profession through his or her distinguished career. Tim earned his A.B. from Xavier University in 1957, and his J.D. from Case Western Reserve University Law School in 1961. He served as a Captain in the United States Army and started his career doing a bit of everything from real estate and wills to criminal law and business law. Eventually Tim became a trusted advisor to many businesses including The Cincinnati Enquirer, Fenton Rigging, and American Financial Group. Tim is a well-respected attorney who is held in high regard by his partners at KMK Law and his peers in the Cincinnati legal community. He has been named to Cincy Leading Lawyers (2008-2013) and to Ohio Super Lawyers (2004, 2005, 2007). In addition to his devotion to his late wife, his five children, fifteen grandchildren, and his legal profession, Tim dedicated countless hours to lead and support a variety of organizations in the community. As a member of the Cincinnati Bar Association, Tim served as President (1987-1988) and Executive Committee Member (1974-1976, 1982-1988). He served as a Charter Member of the Black Lawyers Association of Cincinnati — Cincinnati Bar Association Roundtable (1986-1998). In addition, Tim served on the Gender Fairness Task Force (1993-1994), the Publications Committee (Chairman, 1974), the Practical Law Institute (Chairman), the Judicial Selection Committee, and the Labor Law Committee. Tim also served the Cincinnati Bar Foundation in a number of capacities over the years. He served as President (1979-1983), as a member of the Board of Trustees (1986-1989, 1996-1999), and on the Development Committee (1994-1999). Tim is also a member of the Ohio State Bar Association, the American Bar Association, and the American Arbitration Association. Tim has been a long-standing and dedicated contributor to the region’s justice system. Tim proudly served as Counsel to the Fraternal Order of Police and made many lifetime friends among the uniformed officers. Tim served on the Ohio State Public Defender Commission (1976-1982). He served on the Cincinnati-Hamilton County Criminal Justice Regional Planning Unit, Supervisory Commission (1980-1983), and the Cincinnati Economic Development Committee (1983). Tim was a Trustee for The Hundred Club of Cincinnati (19831985), a non-profit organization that helps families of emergency services personnel killed in the line of duty. Tim served on the Mayor’s Economic Development Task Force in 1982. He served on Cincinnati City Council (1971), and he served as Chairman of the Law Enforcement and Crime Prevention Committee. In addition, he served on the Cincinnati Air Pollution Control Board (1969-1971). Tim has served his community as a Founding Member of the Pleasant Ridge Community Council and Founding Member of the Pleasant Ridge Redevelopment Corporation. He served on the Cincinnati School Superintendent Search Committee in 1976.

Special Recognition Tim’s life has been guided by the Jesuit education he received at St. Ignatius High School in his hometown of Cleveland and Xavier University in Cincinnati. Tim has embodied the motto attributed to the founder of the Jesuits, St. Ignatius of Loyola: Ad majorem Dei gloriam inque hominum salute which translates to mean “For the greater glory of God and salvation of man.” Tim has served Xavier University as a member of the President’s Alumni Council and as a member of the Presidential Advisory Council for the College of Arts and Sciences (1993-1999). He served as a member of the Advisory Council for Xavier University Entrepreneurial Center (1985-1998), and he is a member of the Xavier University Alumni Association. In 1999, Tim was honored as the recipient of the Xavier University Distinguished Alumnus Award. In addition to serving Xavier University, Tim has served as a member of the Board of Regents at St. Ignatius High School. Tim served on the Board of Trustees for Ursuline Academy of Cincinnati and The Friars Club, a non-profit social organization serving the needs of Cincinnati’s at risk children. He also served on the Advisory Board for Joseph House, an organization dedicated to helping homeless veterans in our community. In addition to his work in the legal community and public service, Tim has been involved in the business community in Greater Cincinnati, serving on the Greater Cincinnati Chamber of Commerce as the Entrepreneurship Committee Chair and on the Cincinnati Venture Capital Formation Committee. Tim has served his religious community as a member of the Nativity Parish Education Commission and as a member of Nativity Parish Council. Tim has been involved with the Catholic Campus Ministry Association, and he was the honored recipient of the Catholic Campus Ministry Association’s Archbishop Paul Hallinan Award in 2005. Tim is a lifelong member of the Friendly Sons of St. Patrick and was a member of the featured choir for many years.

Donald P. Klekamp Recipient of the 2015 Leader of Vision Award I n November of 2015, Donald P. Klekamp was recognized by the Cincinnati Eye Institute Foundation as its 2015 Leader of Vision honoree. As a director of The CEI Foundation, Don Klekamp supports the work of The CEI Foundation as his way to give back to an organization that provides eye care to the most vulnerable in our community. Each year, The CEI Foundation serves thousands of individuals through its free eye clinics, its educational programs, and its support of ophthalmic research. Don’s older brother, Robert, became blind from macular degeneration before his death, and — as a patient with macular degeneration himself — Don sees his service to The Foundation as a way to honor his brother’s memory while helping others.
