PRESIDENTS REPORTS
BOARD OF
DIRECTORS
Welcome to our first edition of the Burst for 2019, this year is shaping another special one for Kingsgrove RSL members and their guests with the Club looking to further enhance the ambience and facilities and provide more reasons to make Kingsgrove RSL Club your choice to spend leisure time. I am pleased to report that the Club has traded strongly, posting a profit after taxation of $611,304 for the year, this is an excellent result. My thanks to you the members for your continued patronage and support. The Club’s two very popular food offerings Rations Café and Jade Palace Restaurant are providing great meals at real value for money with their advertised lunch and dinner specials, come along and try the food you will not be disappointed. There are no Club Elections this year however the Annual General Meeting (AGM) will be held at 7.00pm on Tuesday the 26th March, I urge all members to attend as this is your opportunity to tell the Board and Management what else you would like to see at the Club.
Alan Barnes PRESIDENT
As this is the first issue of the Burst for the year, I will take this opportunity to thank the Board Members for all their input it was a very busy year for them, with the good mix of older and younger Board Members we have been setting up strategies that will guide the Club to an exciting future. The Board recently put out an announcement that the Kingsgrove RSL Club Ltd and Bexley RSL Club Ltd have agreed to enter exclusive discussions on the merger of the two registered clubs to ensure the long-term viability and sustainability of each club. The full statement is on the Club website. The Board is of the opinion that if this merger goes ahead it will lead to a greater offering of services and facilities to the members of both clubs. The Board has decided, based on the successful trial of the courtesy bus that the Club will purchase our own bus and will continue to provide a pick up and drop off service every Friday, Saturday and Sunday. The Club has approached Bayside Council in relation to having a deck area in front of the verandah (non-smoking area) and in addition erect a new children’s play area on the lower level of the park.
John Graham SNR VICE PRESIDENT
Heather Shepherd VICE PRESIDENT
The Board has allocated another $30,000 to improve the facilities at the Club's Shoal Haven Heads units, we have employed a caretaker (Neil Unicomb) for the units and he will ensure the units are clean and maintained. Thanks to General Manager Ian Todd, the Management team and the staff for all their hard work during 2018, they are all committed to ensure that a member’s visit to the Club is a positive experience. The Sub-Branch, Women’s Auxiliary and the Kingsgrove RSL Community Group continue to do a great job in looking after their members and the Community including the local nursing homes, sporting groups, schools and hospitals to name a few who benefit from their and the Club's support.

THE BURST
From the President and Directors of Kingsgrove RSL Club Ltd, & the President and Committee of the Kingsgrove RSL Sub Branch. Kingsgrove RSL Club Ltd will be open on Good Friday, Rations Dining and Jade Palace will be open for lunch & dinner
GENERAL M ANAGERS REPORT It is with pleasure I present to the members the Financial Report for year ending 31st December 2018, with a net profit after tax of $611,304. The Club has had a steady year with growth in Bar and Food sales providing the increase in revenue to $10.8M an increase of 2%. With the increased growth the Club has experienced an increase in expenses, but the Club has maintained an excellent result in Earnings before Depreciation and Finance costs of $2.1M. As part of our Club’s strategic plan a strong review of the depreciation on the property, plant and equipment of the Club continues with an increase in this non-cash expense to $1.2M. This avails us the opportunity to reinvest back into your Club in the future.
The Club’s membership also achieved good growth of 7% and now stands at; Financial Members 8,119 Life Members 3 Associate Members 50 Total Membership 8,172 The Club Annual General Meeting will be held on Tuesday 26th March 2019 at 7pm. In January 2019 a notice was placed in the Club informing members that Kingsgrove RSL Club had entered into an exclusive arrangement with Bexley RSL to negotiate the possibility of a merger of both clubs. This decision was formulated to ensure the preservation of both clubs, their facilities and amenities whilst retaining their own identities and RSL heritage.
The Club’s borrowing has been reduced by 15% and now sits at a total borrowings of $3.9M whilst the Club’s investments were increased to $600K.
Both clubs are currently drafting a Business Plan and Memorandum of Understanding outlining the terms of the merger to be presented to the members when approved by both Boards.
With the increases in depreciation and taxation expenses the net profit decreased this year, however the Club’s overall equity has increased to $21.4M, a very strong financial position.
Your Club’s dining experiences are continuing to grow and I recommend all members visit the Club and seek out your favourite dish or review the changing specials menu.
Anzac Day is a special day in our calendar so be sure to check out the program to see all the activities for the day so you can come to your Club and commemorate with us. There are many other great promotions throughout March and April with Easter and many daily activities on every week so check out this Burst magazine for the details. Don’t forget to spoil mum this Mother’s Day. Check out the breakfast offer and the Special menus here at Kingsgrove RSL Club. In closing my thanks to the President Alan Barnes and the Board of Directors for their contribution and support and the ongoing effort of my management team lead by Operations Manager Debbie Harris and all our staff. Thanks to all our loyal members, I look forward to seeing you all in the Club. Ian Todd ACCM General Manager

The provision of seven (7) especially reserved parking spaces in the Club car park. LIFE MEMBERSHIP RESOLUTION: That the members hereby elect Mr J.A. Graham to Life membership of the Club. SPECIAL RESOLUTION: That the Constitution of Kingsgrove R.S.L. Club Ltd be amended by: 1. adding a new rule 22.18 as follows: 22.18 A member is ineligible to be nominated for, elected to, or appointed to the Board if that member: (a) has been expelled from membership of the Club, or, has been suspended from membership of the Club and has completed that period of suspension at any time within the 3 year period immediately prior to the date of nomination, election or appointment; (b) has been convicted of an offence on indictment within the 5 year period immediately prior to the date of nomination, election or appointment or if they actually serve a term of imprisonment when it is 5 years from the date of release; (c) is a former employee of the Club whose services were terminated by the Club for misconduct; or (d) was an employee of the Club, or was an employee of any other registered club that has amalgamated with the Club, within the 3 year period immediately prior to the date of nomination, election or appointment. 2.
deleting rule 23.1(i) in its entirety and replacing it with the following new rule 23.1(i):
(i)
becomes an employee of the Club, or, was an employee of any other registered club which has amalgamated with the Club within the 3 year period immediately prior to the date of such amalgamation.
Explanatory Notes Ordinary Resolutions: • Pursuant to the Registered Clubs Act 1976, honoraria and other benefits made available to the Board and other members, which are not equally available to all full members of the Club, must first be duly approved at this Annual General Meeting.
• The Board seeks an increase in the Directors honorariums and Sports Administrator honorarium in accordance with CPI of 2%. • To be carried each Ordinary Resolution requires a vote in favour by a simple majority of those members present and voting at the meeting. Life Membership Resolution: A nomination for Life Membership of Kingsgrove RSL Club Ltd for Mr J. A. Graham in accordance with By-Law 11.1 of Kingsgrove RSL Club Ltd has been submitted and approved by the Board of Directors. The Board recommends this resolution to the members in accordance with Rule 6.11 of the Constitution. This resolution is proposed as a special resolution, and to be carried, this resolution requires a vote in favour by a 75% majority of those members present and voting. Financial Full Club Members and Life Members (who were previously Full Club Members when elected to Life Membership) are entitled to vote on the Life Membership Resolution. Special Resolution: • If passed, the special resolution would amend the Constitution to provide that a person is ineligible to be nominated, elected or appointed to the Club's Board in the circumstances set out in the resolution above. • The criteria in paragraphs (a) to (c) of the new rule 22.18 set out matters where the Board considers that it would be inappropriate for a person to hold office on the Board in those circumstances. •
Paragraph (d) of the new rule 22.18 provides that members previously employed by the Club (or another club that the Club has amalgamated with) within the last 3 years are ineligible to be on the Board. This is proposed in order to ensure the independence of the Board from the management of the Club.
•
A casual vacancy on the Board will already arise under rule 23.1(i) of the Constitution if a director becomes an employee of the Club. This special resolution would also provide that a casual vacancy will arise if a director was an employee of another club which has amalgamated with the Club, within the last 3 years.
•
This resolution is proposed as a special resolution in accordance with rule 42 of the Constitution, and to be carried, the special resolution requires a vote in favour by a 75% majority of those members present and voting at the meeting. Financial Full Club Members and Life Members (who were previously Full Club Members when elected to Life Membership) are entitled to vote on the special resolution.
•
Pursuant to the Registered Clubs Act 1976, the members would hereby approve for the 2019 Board year the above Ordinary Resolutions to cover expenses and benefits relating to Directors and others deriving directly or indirectly any profit, benefit or advantage not equally offered to every full member.
• A copy of the current Constitution is available to members on request from the Club's office.
•
The members acknowledge that the benefits in Ordinary Resolutions 1, 2, and 3 above are not available to members generally, but only to those members who are elected to the Board of Directors of the Club, and those members directly involved in the above activities.

SUB BRANCH PRESIDENT Welcome to our first 2019 edition of the Burst, I am hopeful that 2019 will see the NSW RSL back on the right path after a very tumultuous year. This year’s ANZAC Day Service will follow the usual format by assembling in Shaw Street at 6.45 am for the march to the Club/memorial park, we would like to think that the service will be just as well attended as the last four services that commemorated the 100 years of ANZAC. All ex service men and women and their descendants are welcome to march and attend the service. A breakfast will be provided at the completion of the service.
extraordinary congress meeting in December to vote on a new Constitution however as expected it was voted down and an amended version is being prepared for the Congress Meeting at Albury in May. Hopefully the NSW State Branch will have listened to the members and will make the necessary amendments that will make it acceptable to the members.
Lucette van Someren Boyd & Family of the late Jim McMahon DCM
The 100th Anniversary of Armistice Day Service was held on Sunday the 11th November with the Cadets from TS Sirius and 233 St George Regional Cadet Unit making up the Catafalque Party and the Guard. The Remembrance Day Address was given by Major Jon Green of the Royal Australian Artillery, the Sutherland Shire Band provided the music for the service and entertained the members and guests at lunch. A special mention must go to the Sing Australia Choir Ashbury who are now participating at our commemorative services, thanks to Margaret Fitzpatrick. As Remembrance Day was a special milestone, the Sub Branch decided it was appropriate to make two important presentations, the first was to Sub branch Secretary John Graham with his RSL Life Membership Certificate this was a well deserved honour, what made it more pleasing was that John and his wife Ann had many of their family attending the luncheon to see John receive his award, congratulations John.
Sub Branch members presenting a photo of Jim McMahon receiving the Distinguished Conduct Medal (DCM) by Lieutenant General Leslie Morshead in the western desert on the 7th September 1942.
The other presentation was made to the family of the late Jim McMahon DCM a long time Sub Branch member. The Sub Branch presented his family with a photo that had hung in the Club for many years. Lucette van Someren Boyd accepted the photo on behalf of the family, many of whom were in attendance. Our next Commemoration Service and luncheon is on Sunday the 5th May in recognition of the Battle of the Coral Sea, the TS Sirius Cadets will provide the Catafalque Party and the Guard. The Service will commence at 10.45am, medals to be worn.
Mr John Graham with his RSL Life Membership Certificate
Since my last report your Far Southern Metropolitan District Council (FSMDC) representatives have attended meetings at Canterbury Leagues Club hosted by Lakemba RSL in November, the February meeting was at Ingleburn RSL and March is at Bankstown RSL. We attended the NSW RSL
Being the first edition of the Burst for 2019, I will take the opportunity to thank our hard-working Secretary John Graham and Treasurer Peter Burgess; they do an enormous amount of work behind the scenes to make your Sub Branch run efficiently. Vice Presidents Neil Arena who has not been well lately and Peter Merlino who has taken over Barry Willoughby’s role and doing a very good job with the school Commemoration Services. Thanks to the Committee who pitch in giving up their own time to attend member’s funeral, school and nursing home commemoration services. A special thanks must go to Committee member Phil Pollard, you may have noticed last year that our memorabilia display cabinets were missing the various weapons, this was due to a glitch with our Police weapons permit however Phil after many months of paperwork managed to have our permits reinstated and the weapons are now back on display. The Women’s Auxiliary unfortunately were not allowed to fund raise last year this was as a result of an edict from the NSW RSL State branch, however the club decided to run the raffles with the ladies assisting by selling tickets, the Club will be organizing for the proceeds from the raffles to go to various nominated charities. We believe that later this year the Women's Auxillary will be able to fund raise again. On behalf of the Sub Branch Committee we offer our condolences to the families and friends of all those Sub Branch members who have passed away since the last report. “What this country needs, is not more liberty, but fewer people who take liberties with liberty”

S P O R T S A D M I N I S T R AT O R Another year has come and gone and the Club Champions of the Sporting Clubs were presented with their trophies at the Stars Tribute Night in December. It was pleasing to see so many members from the Club and Sporting bodies in attendance, this coupled with great food and entertainment ensured a great night was had by all. Congratulations must go to the Darts Club who won the Club round-robin and to all Sporting Clubs that participated in the competition it was very close competition with all Clubs within 9 points of each other. I would like to take this opportunity to thank all of those who participated in the running of our

Sporting bodies during the past 12 months without your efforts our members would not have had a range of activities to participate in. All the Sporting Clubs are currently holding their AGM’s with elections to appoint their new committees for 2019. So far the Fishing, Snooker, and Golf Clubs have conducted their AGM’s with these Sporting Club’s Presidents re-elected although there have been a few changes within their committees. The Dart’s club AGM is scheduled to be held on the 15th February and by the time this is published the Committee for 2019 will have been elected.
This year’s Round Robin Competition will have begun by the time you receive this publication, with the Fishing competition which is scheduled to be held in early March. Hopefully it will be a dry day which isn’t always the case for some of Fishing Club outings. The other competitions will be held later in the year. To our members who are not involved in any of these groups, I urged you to come along and try your sport of choice and I can guarantee you will enjoy yourself and make many new friends. Please see reception for further details in regards to meeting dates and contacts of how to join. Heather Shepherd

Our Friday night comp has begun and is going great, averaging 16 players and starting the year with 30 financial members (as at January 2019) which I am sure will increase throughout the year. This year we are happy to say we have two teams (an A-grade and B-grade) representing Kingsgrove in the St. George area Dart Competition, with both teams playing in new Darts Club shirts. We wish them all the best for 2019. If you’re interested in joining us come down and join the fun every Friday night.

COMMUNITY GROUP Since our last report we have had a luncheon for Christmas for the nursing homes and delivered Christmas presents to three nursing homes which include Bexley Park Aged Care (Estia), Fairmont Aged Care and St. George Aged Care. All residents were very happy when we visited them. We do craft days once a month at Bexley Park and residence who attend this day have a few laughs with us. In January we did a project on Australia Day. In March we will hold another luncheon for our seniors. The ladies have already started making presents for next Christmas, so we are well underway. If you would like to join our group you are most welcome. We hold meetings every two months so if you are interested you can leave your name and phone number at reception. Our next meeting is in April. Easter will soon be upon us and we will be delivering Easer eggs to the nursing homes the week before. We would like to thank everyone for their support and donations. Have a Happy Easter.

WOM E N’S AUX I L I A RY Happy New Year to all our readers. It doesn’t seem long since I wrote my last report. Since then we have celebrated Christmas and the New Year. The Auxiliary enjoyed a luncheon at Canterbury Hurlstone Park RSL where we renewed friendships with members from their other Auxiliaries. Our members assisted the Club by filling the show bags for the Carols by Candlelight celebrations. Melbourne Cup Luncheon proved to be profitable for those of us who backed the winner. A good time was had by all. At our last meeting of the year and after we exchanged our Kris Kringle gifts, we joined the Sub-Branch for an enjoyable ‘Christmas Dinner’. We also assisted the Club selling raffle tickets for their Christmas Raffle. All funds raised from this are donated to charity. A list of the prize winners is attached.
The next Crazy Whist night will be held on Tuesday March 19th 2019. Don’t worry if you don’t know how to play, someone will teach you. Do come I’m sure you will enjoy yourself. Pat Graham President Women’s Auxiliary.
