AUTOGAS & NEW TECHNOLOGY To focus on the propane autogas industry and related new technology.

CODE & SAFETY It is the responsibility of this committee to keep abreast of changes in the Code, to review and make recommendations for possible changes in the Code, maintain communication with Ohio regulatory agencies and assist in interpreting regulations, and respond to members’ questions regarding specific sections of the Code.

MEMBERSHIP SERVICES The major function of this committee is to respond to requests for membership Information, to enlist new members of the association, and provide membership value for the industry. Membership services committee members contact new members and call and invite marketers to quarterly meetings.

CONVENTION This committee plans the annual convention and decides upon future meeting locations.

EDUCATION It is the responsibility of this committee to consider and develop industry training schools.

OPGA PAC Administers and operates Ohio propane industry political action committee, including fundraising, record keeping and reporting to appropriate state agencies regarding receipts and contributions.

Decides upon recommended contributions to Ohio legislators and policy makers from the OPGA lobbyist professionals. Attends legislative receptions and functions under the direction of the OPGA lobbyists. Supports the OPGA

Government Affairs Committee as needed.

PROPANE AWARENESS & COMMUNICATIONS This committee is charged with developing the strategy, plans and programs that communicate and promote the propane industry to propane consumers and the public at-large throughout Ohio.

SCHOLARSHIP Establishes guidelines for granting scholarships and recommends funding mechanism for the association’s scholarship program.

TRANSPORTATION The two major functions of this committee concern involvement with the general efficiency and economy of transporting propane gas, and to provide technical input to communities where HAZMAT transportation ordinances are being considered.

Membership Categories INTRASTATE MARKETER Any person, firm, association, partnership or corporation engaged in the retail sale and distribution of propane gas in the State of Ohio only or in Ohio with no more than one plant in another State.

Includes membership in the National Propane Gas Association.

ASSOCIATE MEMBER Any person, firm, association, partnership or corporation engaged in the production or manufacture, distribution, sale or installation of propane gas or propane gas equipment, appliances, containers, systems, insurance or other business related services.

MULTISTATE MARKETER Any corporation engaged in the retail sale and distribution of propane gas in the State of Ohio and one or more other states.

INDIVIDUAL MEMBER Any person employed by a member firm of this Association and designated by such firm shall be eligible for individual membership in the Association.

CYLINDER RETAILER Any entity engaged in retail sales of propane gas having no bulk tank truck, and with sales of less than 100,000 gallons per year. Membership in this category does not include membership in the National Propane Gas Association.

HONORARY Such persons as shall have through their personal efforts rendered some outstanding service to the propane gas industry may be elected to honorary membership by two-thirds vote of the Board of Directors.

ARTICLE I.

NAME A. The name of this Association shall be Ohio Propane Gas Association

ARTICLE II.

LOCATION A. The corporate location and principal office shall be located as designated by the Board of Directors and the Association shall maintain such office or offices as the Board may authorize.

ARTICLE III.

PURPOSE a. To promote and develop the propane gas industry in the State of Ohio and to coordinate its activities to the end that it may serve to the fullest possible extent the best interests of the public. b. To increase the effectiveness of gas service for the mutual benefit of the producers, distributors, and users of propane gas. c. To advance to the highest efficiency the methods of manufacture, distribution, utilization, sales, and accounting employed in the propane gas industry, and to collect, coordinate and disseminate ideas and information for this purpose. d. To promote closer relations and cordial cooperation in all branches of the propane gas industry. e. To advance the knowledge, education and learning in the sciences, and to stimulate invention and research, especially as applied to the propane gas industry. f. To cooperate with other organizations in efforts toward economic advancement, accident prevention, conservation, standardization and other activities. g. To promote industry-wide safety through employee training and education focused on specific skills employed in the propane gas industry.

ARTICLE IV.

CAPITOL STOCK A. This Association shall be incorporated as a not for profit Corporation under the laws of the State of Ohio and shall have no capitol stock, nor shall it engage in any business or enterprise for profit.

ARTICLE V.

MEMBERSHIP A. Membership in this Association shall be based on acceptance of the membership application by the Board of Directors and shall be designated as follows: a. Independent Marketer: Any person, firm, association, partnership or corporation engaged in the retail sale and distribution of propane gas in the State of Ohio only or in Ohio with no more than one plant in another State. b. Multistate Marketer: Any corporation engaged in the retail sale and distribution of propane gas in the State of Ohio and other states as defined by the National Propane Gas Association. c. Associate: Any person, firm, association, partnership or corporation engaged in the production or manufacture, distribution, sale or installation of propane gas or propane gas equipment, appliances, containers, systems, insurance, or other business related to the propane gas industry. d. Individual: Any person employed by a member firm of the Association and designated by such firm shall be eligible for individual membership in the Association. e. Honorary: Such persons as shall have through their personal efforts rendered some outstanding service to the propane gas industry may be elected to Honorary membership by two-thirds vote of the Board of Directors. f. Cylinder Retailer: Any entity engaged in retail sales of propane gas having no bulk tank truck, and with sales of less than 100,000 gallons per year. Membership in this category does not include membership in the National Propane Gas Association.

Constitution ARTICLE VI.

DUES A. Annual dues shall be paid as prescribed in the schedule of dues fixed by the Board of Directors and shall be due on the first day of January each year. To be considered a member of the Ohio Propane Gas Association, all intrastate marketers and multistate marketers shall be required to become members of the National Propane Gas Association and pay dues as prescribed by the National Propane Gas Association. Honorary members shall not pay dues.

ARTICLE VII.

REMOVAL FROM MEMBERSHIP OR OFFICE A. The following are grounds for removal from Association membership: 1. Failure to pay dues 2. No longer active in the propane gas industry 3. A member may resign from the membership by giving written notice to that effect to the association Secretary.

B. Removal from office. Any officer or director may be removed, either with or without cause, by a vote of the majority of the Board of Directors at any meeting of the Board of Directors.

ARTICLE VIII.

ORGANIZATION A. Board of Directors. The Board of Directors shall be the governing body and shall have the supervision, control and direction of the affairs of the Association, its committees and publications. The Board shall determine the Association policies or changes therein, its objectives and shall supervise the disbursement of its funds.

Standing or special committees shall be designated by the Board as needed. It shall be the duty of the board to supervise the annual election. The Board may delegate certain of its duties and responsibilities to the Executive Committee. a. Composition of the Board of Directors. The Board of Directors shall consist of: ii. A director from each of the three districts in the state. Each elected director must be a member in good standing of the Association. Except as provided in (iii) below, each director shall be elected for a two year term of office. iii. Three At-large Directors shall also be elected. Each elected at-large director must be a member in good standing of the Association. Except as provided in (iii) below, each at-large director shall be elected for a two-year term of office. iv. Beginning in the year 2020, the district directors shall be elected for a two-year term of office, and the at-large directors shall be elected for a one-year term of office. v. The association Officers and the Ohio representative to the National Propane Gas Association shall also be designated as the Association Board of Directors. vi. Past Presidents in attendance at a Board of Directors meeting shall have one vote as a group. b. The Officers, Directors and At-Large Directors shall be elected at the annual meeting by a majority vote of members voting. c. The Board of Directors shall fill any vacancy of an officer or director when any position is vacated. The person appointed shall serve the remainder of the term of the vacating officer or director.

B. Officers. The Officers shall consist of a President, Vice President, Secretary and Treasurer. Each elected officer must be a member in good standing of the Association. The term of office for each office is one year, and each officer shall serve the term until a successor is elected. The duties of the officers are: a. President. The president shall preside at all meetings of the membership, the Board of Directors and Executive Committee. The president shall be the chief executive officer of the Association in charge of the general and active management of the Association. that they carry out their responsibilities. The president shall serve as ex officio member of all committees.

The president shall perform other duties as prescribed by the Board of Directors.

Vice President. The vice president shall act in the place of the president in the event of the president is absent from a meeting or unable to serve the Association. The vice president shall perform other duties as prescribed by the Board of Directors.

Secretary. The secretary shall be responsible for all papers, publications and records of the Association.

The secretary shall give all notices as required by statute, bylaws or other resolution. The secretary shall perform other duties as prescribed by the Board of Directors.

Treasurer. The treasurer shall be responsible for all funds, records of accounts, receipts and disbursements of the Association. The treasurer shall be responsible for deposits of the Association and shall disburse funds as directed by the Board of Directors.

Immediate Past President. The immediate past president shall be Chairman of the Board and shall be entitled to vote in case of a tie. The immediate past president shall serve as chairman of the Nominating Committee.

C. Committees. a. The Executive Committee. The Executive Committee may act in place and stead of the Board of Directors between Board meetings on all matters except those specifically reserved to the Board by the Constitution pursuant to delegation of authority to such committee by the Board of Directors. Actions by the Executive Committee shall be reported to the Board for ratification at the next Board meeting. The Executive Committee shall consist of the Officers. b. The Nominating Committee. The Nominating Committee shall consist of the past presidents. This committee shall meet during the board meeting preceding the annual meeting to nominate candidates to fill all elective offices of the Association. The Nominating Committee shall ascertain that the nominee will accept the office if elected. c. Standing Committees. The Board of Directors shall create and remove standing committees. Committee chairs shall be appointed by the President. Committee members shall be appointed by Committee Chairs.

All committee members must be a member in good standing of the Association.

D. Elections. At least 60 days before the annual meeting, the Nominating Committee shall present a written slate of candidates to the membership. Additional candidates for any office may, at any time more than 40 days before the annual meeting, be nominated by five or more members filing a written nomination with the Executive Director, providing the nominee has approved and will accept the office if elected. Thirty days before the annual meeting, the Executive Director shall notify the membership of any additional candidates and announce that the election for offices where there is more than one candidate will be conducted by ballot at the annual meeting.

E. Election by Mail Ballot. In the event that an annual meeting is conducted by conference telephone or digital means of communication, the Board of Directors may use a postal mail ballot to conduct the annual election of officers.

Constitution ARTICLE IX.

MEETINGS A. Annual Membership Meeting. The annual membership meeting of the Association shall be held at a place and time designated by the Board of Directors. Ten or more members in good standing shall constitute a quorum.

B. Board of Directors Meetings. The Board of Directors shall meet as often as required but at least four times a year, and notice of at least 14 days shall be given prior to each meeting. Six members of the Board of Directors shall constitute a quorum.

C. Executive Committee Meetings. The Executive Committee shall meet as designated by the President. A majority of the officers shall constitute a quorum.

D. Committee Meetings. The chairman of a committee shall designate when his/her committee meets.

E. The annual membership meeting, a board of directors meeting, an executive committee meeting or any committee meeting may be held through the use of a conference telephone or other digital means of communication in which all persons participating in the meeting are able to communicate securely.

ARTICLE X.

VOTING A. Any intrastate marketer, multistate marketer, associate or cylinder retailer member in good standing of the Association shall be entitled to vote at the annual or any special meeting of the Association membership.

B. Proxy votes. A member in good standing may execute a proxy which may be voted by the holder thereof, except that no company, firm or association or partnership shall have more than one vote.

C. Individual and Honorary members shall not have a vote in the affairs of the association.

ARTICLE XI.

PROPERTY AND FUNDS A. The Board of Directors shall be trustees to take and hold any and all property, real and personal, of this Association.

B. All monies due the Association shall be paid to the Association deposited in a bank or savings and loan institution as designated by the Board of Directors.

C. The Treasurer shall make a financial report available at each Board of Directors meeting and the annual membership meeting.

D. The financial report of the Association may be reviewed at any time as directed by the Board of Directors.

E. In addition to the Treasurer, the President shall be duly authorized to sign checks of the Association.

ARTICLE XII.

COMPENSATION A. No officer or director of the Association shall receive any compensation or remuneration for their service to the Association.

B. This article shall not apply to any person or firm employed by the Association as professional representation.

Constitution ARTICLE XIII.

PROFESSIONAL REPRESENTATION A. The Board of Directors shall be authorized to retain or enter into contracts with an Executive Director, attorney, accountant, auditor, consultant or legislative advisor to protect and promote the interests of the Association. The Association is permitted to pay retainers for such services including expenses and fees approved by the Board of Directors.

B. The Executive Director shall be permitted to act as the chief administrative officer of the Association responsible for the day-to-day activities of the Association. The Executive Director shall be an ex officio member of the Executive Committee and Board of Directors, but the Executive Director is not permitted to vote in the affairs of the Association. The Executive Director shall perform other duties as prescribed by the Board of Directors.

ARTICLE XIV.

INDEMNIFICATION A. The Association shall indemnify the directors, officers and committee members of the Association to the full extent permitted by law.

ARTICLE XV.

RULES AND PROCEDURES A. The proceedings of this Association shall be conducted according to the most recent edition of Robert’s Rules of Order.

B. The Board of Directors may adopt rules, policies and procedures for the general administration of the Association so long as those rules, policies and procedures remain consistent with Robert’s Rules of Order.

ARTICLE XVI.

DISSOLUTION A. The Association shall use its funds only to accomplish the objectives and purposes specified in this Constitution.

B. No part of said funds shall be distributed to the members of the Association.

C. On dissolution of the Association, any funds remaining shall be distributed to one or more regularly organized and qualified charitable, educational, scientific, or philanthropic organization selected by the Board of Directors.

ARTICLE XVII.

AMENDMENTS A. This Constitution may be amended, repealed or altered in whole or in part by a two-third majority of the votes cast by the members of the Association on any submitted question. Votes for amendments, repeal or alterations shall take place at an annual membership meeting or a special membership meeting called for the purpose or by mail ballot to all the members.

B. Amendments shall be proposed to the Board of Directors, by the Executive Committee, or by any five members by submitting written changes and reasons therefore. No amendment shall be considered unless written notice is provided to all members as least twenty (20) days prior to the membership vote.
