Established in 1981, the Burglar and Fire Alarm Association of Michigan (BFAAM) serves a growing, dynamic industry with ever, rapidly changing technology. Through BFAAM, members stay informed about industry trends, technological developments and improved managerial procedures. ARTICLE I
NAME AND PURPOSE OF CORPORATION
1.1 Name. This Corporation shall be known as THE BURGLAR & FIRE ALARM ASSOCIATION OF MICHIGAN (hereinafter called the “Association”). The offices of the Association shall be located in the State of Michigan and/or in such other locations as may be determined by the Board of Directors.
1.2 Purpose. The purpose and objectives of the Association shall be:
a. For its members to associate themselves in a manner so as to foster, promote and advance the interests of the electrical protection and security industry.
b. To promote the dissemination and exchange of information concerning trade practices, business conditions, technical developments and any and all other related subjects of concern to the electrical protection and security industry.
c. To advance, by any and all lawful means, the expanded use of electrical burglar, security and fire alarm systems.
d. To cooperate, by any and all lawful means, with legislative bodies, administrative agencies and/or bureaus, sellers and/or users of electrical burglar, security and fire alarm equipment on matters affecting the business and common interests of the members of the Association.
e. To conduct or engage in all lawful activities in furtherance of the foregoing objectives and purposes or any lawful activity reasonably incidental thereto.
1. The Association does not contemplate the pecuniary gain or profit, incidental or otherwise.
ARTICLE II MEMBERSHIP
2.1 Incorporators. The membership of the Association shall initially consist of those persons who have signed the Certificate of Incorporation as Incorporators, together with all persons who are hereafter received in or elected to membership, as hereinafter provided.
2.2 Classes of Membership. The membership of this Association shall be divided into the following classes: applicant membership, regular membership; associate membership; life membership; honorary membership.
a. Applicant Membership. Applicant membership shall be open to any person or business entity, except a public utility or subsidiary thereof, and which shall meet the following requirements:
i. Be engaged, as its primary source of revenue, in the burglar, security, and/or fire alarm business, and/or the installation and servicing of electrical systems supporting such business under a maintenance contract.
ii. Have been engaged in such activity described above for a period of not less than one (1) year; provided however, this requirement may be waived by the Board of Directors in the event the designated representatives of such applicant member shall have been a regular member in the Association for at least one (1) year preceding the date of such application.
iii. Agree to conduct their business in accordance with the Code of Ethics (as amended from time to time) of the Association.
iv. Have first complied with the provisions of MCLA 338.1051 et seq as amended (more commonly known as the Private Security Guard Act of 1968) or have first complied with the provisions of MCLA 338.881 (more commonly known as the Electrical Administrative Act of 1956), or have first complied with MCLA 338.2181 – 338.2187 (more commonly known as the Security Alarms Act of 2012), or have an application for a license pending, but in good standing prior to February 1, 1981.
An applicant member shall be entitled to all the benefits of the Association, except holding of office, and shall not have voting status.

b. Regular Membership. Regular membership in the Association shall be open to any individual, partnership, firm or corporation engaged primarily in the business of installing burglar, security or fire alarm services, pursuant to a contract of maintenance and/or service for a period of at least one (1) year preceding the date of application for membership. Regular members must maintain the qualifications of an applicant member.
c. Associate Membership. An associate membership shall be open to any individual partnership, firm or corporation who does not qualify under (b) Regular Membership, but who may supply any service, equipment or is otherwise closely associated with the burglar, security and fire protection industry, as determined at the discretion of the Board of Directors. Such associate member shall not be exempt from the payment of dues or assessments, shall not have the right to vote, but may attend meetings.
d. Life Membership. A life membership may be conferred on a person, partnership, firm or corporation who has rendered conspicuous and meritorious service to the Association; provided, however, that such membership shall be recommended by the Board of Directors and shall receive a majority vote of the Association. Such life member shall be exempt from payment of all dues and assessments and may have the privilege of attending all meetings, but shall not have the right to vote.
e. Honorary Membership. Honorary membership may be conferred on a person who has performed meritorious service to the Association and who would desire to attend conventions and meetings but cannot fulfill the requirements of regular or associate membership. Such membership shall be recommended by the Board of Directors and shall receive a majority vote of the Association. Honorary members shall be exempt from all dues and assessments and may attend all open meetings, but shall not have the right to vote.
f. Courtesy Membership. Courtesy membership may be conferred on a person who would desire to attend conventions and meetings but who cannot fulfill the requirements of other membership. Such membership shall be given at the discretion of the President, or shall be recommended by the Board of Directors and shall receive a majority vote of the Association. Courtesy members shall be exempt from all dues and assessments and shall not have the right to vote.
2.3 Application. All candidates for membership shall make application to the Association, to the Secretary, upon the form prescribed by him, and supported by a regular member in good standing. After due investigation and approval of the Membership Committee, the Board of Directors, at a meeting duly called, shall act upon such application. A candidate for membership must be willing and agree to conduct himself/herself and their firm’s business in accordance with the Code of Ethics adopted by the Association. Any candidate for membership shall become a member immediately upon payment of the application fee, as established by the Board of Directors from time to time, and upon the approval of the majority of the members at the next regular meeting. Membership in this Association shall not be transferable or assignable, except upon the approval of the majority of the members at the next regularly scheduled meeting.
2.4 Representatives. Each member, other than a natural person, shall designate the person or persons who will attend the meetings on its behalf, and each member entitled to vote shall designate one person who shall cast its vote.
ARTICLE III GOOD STANDING
3.1 A member in good standing is one who is not in arrears in the payment of any indebtedness to the Association. A member is in arrears thirty (30) days from the date when said obligation was first due.
3.2 A member may be suspended from the Association on any one of the following grounds:
a. Not in good standing.
b. Failure to uphold the principles of the Code of Ethics of the Association.
c. Making false reports to the Association.
d. Failure to continue to fulfill all the standards and requirements for membership adopted by the Association.
3.3 A member or its designated representative who is not a regular member and in good standing may not be an officer or director of the Association; and a person may neither serve on the Board of Directors nor serve on any committee, nor hold any office in the Association, unless he is and remains in good standing.
3.4 Any member may be suspended for good cause shown by action of the Board of Directors. A determination by the Board that a member has committed any of the acts set forth in Section 3.2 above shall be conclusively deemed to constitute good cause. The period for suspension shall not exceed three (3) months. Notice of suspension, stating the reason for suspension and the terms and conditions of the suspension, shall be promptly sent to said member by registered mail. At the next regular meeting of the Board of Directors following the end of the suspension period, the Board of Directors shall consider the reinstatement, further suspension or the expulsion of said member. If the Board of Directors recommends expulsion, said recommendation shall be presented to the general membership. The member shall be expelled upon the affirmative vote of two-thirds of the voting members in attendance at the next regular meeting of the general membership.
3.5 If a member who has been expelled re-applies for membership to the Association, he shall submit the new application, accompanied by a check for payment of all dues and assessments during the period of time in which he was a member and during the period of time which he was under suspension. Said applicant shall also submit evidence showing that the terms and conditions of the original suspension have been satisfied.
ARTICLE IV GOVERNMENT
4.1 Board of Directors. The general management of the affairs of the Association shall be vested in the Board of Directors, who shall be elected as provided in Article VI of these Bylaws. The number of directors may not exceed eleven (11) and may be reduced to not less than five (5) by amendment of these Bylaws.
4.2 Officers. The officers of the Association shall consist of a President, Vice President, Secretary and Treasurer, selected from the Board of Directors, as provided in Article VI of these Bylaws. The Secretary and Treasurer may be one person.
4.3 The President as Committee Member. The President shall be a member, ex officio, of all committees.
ARTICLE V MEETINGS
5.1 Annual Meeting of Members. The annual meeting of the members of the Association shall be held on a date to be determined by the Board of Directors. Notice of the time and place of holding the annual meeting shall be sent to each member at least ten (10) days previous thereto.
5.2 Special Meetings of Members. Special meetings of members may be called by the President at any time on their own initiative or by the President or Secretary, upon the request of five (5) regular members to such officer made in writing. Notice of the meeting shall be sent to each member at least five (5) days previous to the meeting, and at such special meeting, there shall only be considered such business as is specified in the notice of the meeting.
5.3 Quorum for Members Meeting. At all meetings of the Association, either regular or special, ten percent (10%) of the total regular membership who are in good standing shall constitute a quorum. Each regular member in good standing shall be entitled to cast one (1) vote.
5.4 Lack of Quorum. If a quorum is not present, the presiding officer may adjourn the meeting to a day and hour fixed by him.
5.5 Order of Business. At all meetings of the Association, the order of business shall be as follows:
a. Reading of minutes of immediate prior meeting for information approval.
b. Reports of officers.
c. Reports of committees.
d. Election of Directors.
e. Unfinished business.
f. New Business.
g. Reading and approval of minutes of meeting just held, if requested.
5.6 Meetings of Board. Meetings of the Board of Directors shall be called by the President on their own initiative whenever in their judgment it may be deemed necessary, or by the Secretary upon request of any two (2) members of the Board of Directors. Fourteen (14) days’ notice of meetings of the Board shall be sent to all Directors, and shall be deemed sufficient notice of such meetings. Fourteen (14) days notice is not required to reschedule a meeting date. In any event, the Board of Directors shall meet prior to each annual meeting.
a. Special meetings of the Board. Special meetings of the Board may be called by the President at any time on their own initiative or by the President or Secretary, upon the request of five (5) regular members to such officer made in writing. Notice of the special meeting shall be sent to each board member at least five (5) days previous to the meeting, and at such special meeting, there shall only be considered such business as is specified in the notice of the meeting.
b. Electronic meetings and voting. The Board of Directors may meet via electronic communication and may conduct association business affairs through electronic voting.
5.7 Quorum for Board Meeting. A majority of the Board of Directors shall constitute a quorum.
ARTICLE VI
ELECTION OF DIRECTORS AND OFFICERS
6.1 Election of Directors. The Directors of the Association shall be elected at the annual meeting. Each regular member shall be entitled to one (1) vote for each Director to be elected, and the candidate receiving a majority of votes cast shall be declared elected.
6.2 Classes of Directors. The Directors shall be divided into three (3) classes such that one-third of the director terms expire each year. The number of Directors shall be such that at the first annual meeting, one-third thereof shall be elected to serve for one (1) year, one-third thereof for two (2) years and one-third thereof for three (3) years. Then, upon the expiration of the terms of each class of Directors, the new Directors shall be elected for a full three-year term. Additional directors shall be elected to serve within one of the above classes to follow the original intent of this section.
6.3 Election of Officers. The Board of Directors shall elect from among their number a President, a Vice President, a Secretary and a Treasurer. The meeting of the Board of Directors to elect officers shall be held at the next scheduled Board of Directors meeting following the annual meeting of the members. The officers elected shall hold office until the new officers are elected.
6.4 Membership Committee. There shall be a Membership Committee which shall be elected by the Directors at the same meeting at which they elect the other officers. The Committee shall be composed of a minimum of three (3) persons, two (2) of whom must be Directors. An action by a majority of the Committee shall be deemed to be the action of the whole Committee.
ARTICLE VII VACANCIES IN OFFICE
7.1 If a vacancy occurs among the officers or in the Board of Directors, the vacancy shall be filled for the unexpired term by the Board of Directors.
ARTICLE VIII DUTIES OF OFFICERS
8.1 President. The President shall be the chief executive officer of the Association and shall have supervision, direction and control of the business and affairs of the Association. The President shall preside at all meetings of the Association and of the Board of Directors shall consider expedient or necessary.
8.2 Vice President. In the absence of the President, the Vice President shall perform the President’s duties, and in the absence of both the President and Vice President, the Treasurer shall preside and assume the duties of the President.
8.3 Secretary. The Secretary shall keep or cause to be kept all the records of the Association, including minutes of all Board of Directors meetings and all general meetings of the Association; shall, if requested read such minutes at the close of each meeting for approval; and shall mail out all notices for meetings of the Association or the Board of Directors. The Secretary shall keep accurate accounts and collect all application fees, dues and charges due from members and perform such other duties as may be required by the Bylaws, the President or the Board of Directors.
8.4 Treasurer. The Treasurer shall be bonded and shall have charge of all receipts and monies of the Association, deposit them in the name of the Association in a bank approved by the Board of Directors, and disburse funds as ordered or authorized by the Board of Directors. The Treasurer shall keep regular accounts of receipts and disbursements, submit records when requested, and give an itemized statement at regular meetings of the Association. The Treasurer shall sign checks and withdrawal slips on behalf of the Association upon any and all of its bank accounts, and the same shall be honored on the Treasurer’s signature along with the approval of the President.
8.5 Execution of Instruments. The President and the Secretary or the Treasurer shall, on being so directed by the Board, sign all leases, contracts or other instruments in writing.
ARTICLE IX
DUTIES AND POWERS OF THE BOARD OF DIRECTORS
9.1 Management of Association. The Board of Directors shall have general charge in management of the affairs, funds and property of the Association. The Board shall have full power, and it shall be the Board’s duty, to carry out the purposes of the Association according to its Articles of Incorporation and Bylaws; to determine whether the conduct of any members is detrimental to the welfare of the Association; and to fix a penalty for such misconduct or any violation of the Bylaws or rules.
9.2 Rule Making. The Board of Directors may make rules for the conduct of the members and the use of the Association property, and define and limit the duties and privileges of the members, not inconsistent, however, with anything set forth in these Bylaws.
9.3 Appointment of Committees. The Board of Directors or the President may appoint such committees as it deems necessary. The Board of Directors may vote the expenditure of monies as it deems necessary or advisable; and the Board of Directors may contract for the lease or purchase in the name of the Association of property or facilities for the use of the members.
9.4 No Authority to Impose Liability on Members. The Board of Directors shall not impose any liability or levy an assessment upon the members, except as set forth in these Bylaws.
9.5 Place of Directors’ Meetings. The meetings of the Directors may be held in such place or places within or without the State of Michigan which they shall deem appropriate.
ARTICLE X COMPENSATION OF DIRECTORS AND OFFICERS
10.1 Neither the officers, directors nor members serving on committees shall receive any salary or compensation for services rendered to the Association, except for industry specific training by qualified personnel provided to members of the association and approved by two-thirds (2/3) of the Board of Directors.
ARTICLE XI
APPLICATION FEES AND MEMBERSHIP DUES
11.1 Membership Dues. The annual membership dues of members for each twelve month period, commencing with the year 1981, shall be determined by the Board of Directors. If an applicant shall become a member for less than one (1) full twelve month period, then the membership dues shall be prorated on a monthly basis over the unexpired calendar year for which such membership dues have been assessed. All applications for memberships must be accompanied by the first year’s dues; in the event the applicant is not accepted, the first year’s dues will be returned to them.
11.2 Time for Payment of Membership Dues. The annual membership dues shall be payable by all members on or before April 1 of each year and shall be paid to the Association.
11.3 Loss of Privileges and Membership. Any members whose dues remain unpaid after June 30 shall automatically cease to be a member.
ARTICLE XII COMMITTEES
12.1 The Board of the Directors and/or the President is empowered to establish and appoint such committees as he or they deem necessary for the fulfillment of the purposes and objectives of the Association. They may include, but are not limited to, a budget committee, supplier relations committee, insurance relations committee, and grievance committee, Underwriter Laboratories and an FPS Liaison Committee, convention committee, legislative committee, membership committee and nominating committee.
ARTICLE XIII
GRIEVANCE PROCEDURES
13.1 The President shall appoint a Grievance Committee upon which the President shall preside as Chairman. The Grievance Committee shall consist of five (5) regular members. All grievances submitted to the Grievance Committee must be sent to all members of such committee at least thirty (30) days prior to its next scheduled meeting.
a. In the event the grievance is against the President, the Vice President shall appoint a Grievance Committee and the Vice President shall preside as Chairman.
13.2 Any regular member in good standing, who shall have a grievance, shall submit same in writing to the President and the other members of the committee, setting forth with particularity the grievance involved. Upon receipt by the President of such written grievance, the President shall submit same to the Grievance Committee for its preliminary investigation, and upon completion of same, the Grievance Committee shall establish a date and time for hearing and notify all parties to the grievance The Grievance Committee shall then make a finding and submit such finding to the Board of Directors. The Board of Directors may at that time resolve the grievance or present same to the membership present at the next regular meeting of the Association.
13.3 The recommendations of the Board of Directors shall be passed upon by the affirmative vote of two-thirds of the regular membership present at the regular membership meeting. In the event a grievance is presented to the general membership without recommendation from the Board of Directors, a two-thirds vote from the regular members attending such meeting must be received before any action is taken.
13.4 In the event a member shall be deemed responsible pursuant to the grievance as filed, the Board of Directors, upon ratification by two-thirds of the members at the next regularly scheduled membership meeting, may impose one of the following sanctions:
a. A warning.
b. Suspension of member status.
c. Dismissal from the Association.
ARTICLE XIV RULES AND REGULATIONS
14.1 The Board of Directors may establish and enforce any and all additional rules and regulations deemed advisable and necessary.
ARTICLE XV PROFESSIONAL REPRESENTATION
15.1 The Board of Directors shall be authorized to retain an attorney, C.P.A. or legislative advisor to protect the interests of the Association. The Association shall pay a monthly retainer for such services, plus all expenses, costs and any additional fees that are approved by the Board of Directors.
ARTICLE XVI RULES OF ORDER
16.1 All meetings shall be conducted under Roberts Rules of Order.
ARTICLE XVII
FISCAL YEAR
17.1 The fiscal year of the Association shall be from January 1 through December 31 in each calendar year.
ARTICLE XVIII LIMITATIONS
18.1 Neither the Association nor any of its officers, committee members or members of the Board of Directors shall incur any obligation or announce any policy in the name of the Association, unless the action or obligation or policy shall have been formally approved by a majority vote of the Board of Directors.
18.2 The Association or membership therein shall not be used for the promotion or the individual interests of members. No member shall use their office or title for personal use on business stationery, advertising or business cards. Members may designate their membership by using the name of the Association on their letterheads, advertising or business cards.
18.3 Meetings of the Association, discussions and considerations shall be limited to such questions as are acceptable to the majority of the representatives.
ARTICLE XIX NOTICES
19.1 All notices to members shall be sent to their addresses as given on the books of the Association, and such mailing shall constitute presumptive evidence of service thereof.
ARTICLE XX AMENDMENTS
20.1 These Bylaws may be amended only by a majority vote of the members present at a regular or special meeting of the Association, provided notice of the proposed amendment has been stated in the call for the meeting.
ARTICLE XXI DISSOLUTION
21.1 In the event three-fourths of the voting members in good standing of the Association shall vote to dissolve this Association, then in the event, the Association shall be forthwith dissolved.
21.2 In the event of a liquidation or dissolution of the Association, whether voluntary or involuntary, no member shall be entitled to any distribution or division of its remaining property or its proceeds, and the balance of all money and other property received by the Association from any source, after the payment of all debts and obligations of the Association, shall be used or distributed, subject to the order, if any, of any court of the State of Michigan having jurisdiction thereover, and exclusively for any purpose within the intendment of Section 501(c) of the Internal Revenue Code of 1954 and the Regulations thereunder as the same now exist or as the same may be hereafter amended from time to time.
