PREFACE The KDA Board of Directors would like to thank you for your interest in KDA.

The purpose of the KDA Board of Directors’ Handbook is to serve as a reference for Board Members of Kern Dance Alliance. Included in this handbook is information which is pertinent to the structure, governance, and purpose of KDA, as well as the duties and responsibilities of the Board.

Attention should also be given to the Kern Dance Alliance Bylaws.

MISSION Kern Dance Alliance (KDA) is a non-profit dance advocacy organization supporting and promoting dance and the arts in Kern County.

VISION KDA seeks to become one of the premier arts and culture organizations in Kern County by providing a network of information, increasing access to programs that promote professional cultural experiences, and focusing on nurturing and strengthening the greater Kern County community through arts initiatives.

VISION STATEMENT: Moving our community!

GOAL The goal of KDA is to provide arts education and niche programming for Kern County residents while working as a conduit for dancers and dance organizations with Kern County businesses and organizations. KDA offers Kern County unique educational opportunities with an approach that focuses on the holistic mentoring and empowerment of youth and adults while using the arts as the medium. KDA advocates for dance because we believe in the legitimacy of this specific art form and the transformative power of movement.

HISTORY KDA evolved from Kern Classical Ballet Company (KCBC). KCBC, incorporated in 1996, was initiated to expand understanding and appreciation of ballet through education and performance outreach. KCBC operated for ten years before disbanding in 2006. Between 2006 and 2012, KCBC operated as a scholarship organization providing dance scholarships for educational pursuits. Recognizing that the needs of the Kern dance community had changed, in June 2012, the Board of Directors approved the motion to allow KCBC to change its name and mission. As a result, KCBC was amended with the California Secretary of State and officially became the Kern Dance Alliance in January 2015.

KDA is a resource where dancers and organizations are able to learn from one another, widen their professional and cultural experiences, and evolve as both individuals and groups. KDA is an autonomous organization that supports an underserved niche and provides four pillars of resources related to the field of dance. (continued)

1

KDA serves the community through the following four pillars: DANCE COMMUNITY ALLIANCE: Disseminates information about events, news, tips, articles, and advocacy.

DANCE SCHOLARSHIPS + GRANTS: Provides scholarships and grants for dance-related opportunities.

DANCE PROGRAMS: Makes it possible to attend professional programs, classes, and performances by national and international artists.

PROFESSIONAL DEVELOPMENT: Provides educators with tools to enrich the quality of dance education for students. KDA is a resource, where dancers and organizations are able to learn from one another, widen their professional and cultural experiences, and evolve as both individuals and groups. KDA is an autonomous organization that supports an underserved niche and provides four pillars of resources related to the field of dance.

BOARD MEMBER OVERVIEW POSITION The Board will support the work of KDA and provide mission-based leadership and strategic governance. Specific Board Member responsibilities include:

LEADERSHIP, GOVERNANCE, AND OVERSIGHT • Serving as a trusted advisor to the President as s/he develops and implements KDA’s strategic plan

FUNDRAISING KDA Board Members will consider KDA a philanthropic priority and make annual gifts that reflect that priority. So that KDA can credibly solicit contributions from foundations, organizations, and individuals, KDA expects to have 100% of Board Members make an annual contribution that commensurates with their capacity. KDA works within the "Give vs. Get" model, where Board Members are expected to "give" or "get" a specific contribution.

BOARD TERMS The officers shall be elected by a majority vote of the current Board of Directors during the last quarter of the fiscal year (Oct-Dec).

• All directors shall serve for a two (2) year term and may serve up to four (4) consecutive terms or eight (8) years. All directors completing a 8th year of service must take a mandatory one (1) year break from the Board before reapplying for nomination. In the event a director is selected to be an officer at the end of their seventh or eighth year on the board, the board member shall stay on the board until the completion of their one (1) year term as an officer and then must take a one year break from the board before reapplying for nomination.

DRUG-FREE ENVIRONMENT KDA provides a drug-free, healthy, and safe environment. While on KDA premises and while conducting KDA-related activities off KDA premises, a Board member may not use, possess, distribute, sell or be under the influence of alcohol or illegal drugs. Occasionally, KDA may sponsor events where alcohol is served. In such situations, Board members who consume alcohol are expected to act in a responsible manner.

The legal use of prescribed drugs is permitted during volunteer service only if it does not impair a Board member’s ability to perform the essential functions of the volunteer position effectively and in a safe manner that does not endanger other individuals in the workplace. Board members must advise the President if they are taking any prescription or over-the-counter drug which could adversely affect safety or performance.

SAFETY AND LIABILITY KDA aims to provide a safe and healthy environment for all Board members. If a Board member is injured in the course of the service, it is important that the Board member notify the President immediately.

KDA Board members must sign a release absolving KDA of liability when KDA Board members voluntarily and knowingly subject themselves to certain risks while performing services on behalf of KDA.

Contact the KDA Volunteer Manager with questions or for more information about insurance and liability.

REIMBURSEMENT OF EXPENSES Board members may be eligible for reimbursement of pre-approved, actual out-of-pocket expenses, including food expenditures, incurred while engaging in service for KDA. Upon the approval of the President, Board members need to track and submit receipts for all actual out-of-pocket expenses for which they seek reimbursement.

TRAVEL REIMBURSEMENT It is the policy of KDA to provide reimbursement for employees, Board members and volunteers for preapproved travel related expenses, including transportation, hotels, and food. These expenses must be reasonable and necessary, as well as job-related, and must be pre-approved in writing by the KDA President.

KDA will only reimburse for pre-approved travel related expenses when the employee, Board member or volunteer provides documentation of the expense with receipts from purchases or other verifiable documentation.

Employees, Board members or volunteers seeking reimbursement must complete the “KDA Travel Reimbursement Request form.” The form must be fully and accurately completed, and submitted to the KDA Treasurer. All receipts should be scanned/attached and submitted with the form. (continued)

!7

Local travel will be reimbursed through petty cash in accordance with applicable petty cash policies and procedures. This includes reimbursement for transportation by taxi and/or public transportation, and, when pre-approved, use of an employee, Board member or volunteer’s personal automobile. KDA will reimburse employees, Board members or volunteers for the use of their personal automobile in accordance with the federally approved nonprofit mileage rate for business use of personal vehicles.

Reimbursement of meals when there is no overnight travel should be paid by the organization only when the meal has a defined business purpose.

For out-of-area travel, KDA will reimburse all pre-approved travel related actual costs, such as hotel accommodations, transportation to and from the destination, including airline, train or bus tickets, taxicab fares, meals and gratuities etc. A per diem amount limited to the federally approved per diem limits will be provided to Board members, volunteers, or employees for any overnight business travel. Board members, employees and volunteers should travel at the lowest available airfare to accommodate the purpose of the business trip.

SAFETY AND SECURITY KDA desires to provide a safe environment. Board members are responsible for using the following common-sense suggestions to help ensure a safe environment:

• Be aware of any unknown person who comes into your area and is not accompanied by a staff member.

• Never leave your purse, wallet, or other valuable items in a non-secure location. Keep these items out of sight.

• Keep your wallet or purse with you at all times or keep them in a secure car, drawer or cabinet. Avoid carrying large sums of money.

• Desks, lockers, tables and other storage devices may be provided for a Board member’s convenience, but remain the sole property of KDA. Accordingly, they, as well as any articles found within them or under them, can be inspected by any KDA representative at any time, either with or without prior notice.

• KDA is not responsible for lost or stolen personal property. KDA will not reimburse a Board member for any personal property which disappears from a volunteer site.

USE OF KDA PROPERTY Equipment and Vehicles —Any equipment, machines, tools, or vehicles which appear to be damaged, defective, or in need of repair should be reported to the President. Prompt reporting of damages, defects, and the need for repairs could prevent deterioration of equipment and possible injury to others. The President can answer any questions about the Board member’s responsibility for maintenance and care of equipment or vehicles used during a volunteer assignment.

KDA owned or leased equipment and vehicles are to be used for KDA’s business purposes only and may not be borrowed or otherwise used for personal use.

Board members must have a valid driver’s license to operate any vehicles during their time with KDA. There is a continuing obligation on the Board member’s part to notify the President if the Board member’s driver’s license is suspended or revoked at any time throughout the Board member’s service. KDA will perform random checks with appropriate state motor vehicle departments on the status of the licenses of those Board members who need to use any vehicles while volunteering for KDA. Board member use of a vehicle without a valid driver’s license may result in disciplinary action up to and including dismissal. (continued)

All KDA property must be returned on or before your last day. KDA may take all actions deemed appropriate to recover or protect its property.

TELEPHONES When permitted, personal phone calls should be kept to a minimum and should not interfere with volunteer service.

CONFLICT OF INTEREST KDA is judged, in large part, by the individual and collective performance of its Board members. KDA must recognize the importance of a Board member’s duty to KDA, and to its members and supporters, to act in a manner that merits public trust and confidence.

Each Board member must act in all matters in a manner that will safeguard the reputation and integrity of KDA and will preserve and strengthen public confidence in KDA activities. Likewise, Board members must refrain from engaging in any transaction in which personal interests conflict, potentially conflict or appear to conflict with those of KDA.

Participation in any activity prohibited by this policy can result in the termination of a Board member’s service. Some conflict of interest situations are easily identifiable, whereas others are more subtle. Some of the more common situations pertaining to Board member’s potential conflicts are set out below. This list is illustrative only and should not be regarded as all-inclusive:
