ACCOUNT OPENING INSTRUCTIONS

Capital Security Bank Limited ‘CSB’ is pleased to provide you with the following account opening instructions for the common account types we work with.

Should you wish to open an account for an entity outside of the below listed please contact our banking team on newaccounts@capitalsecuritybank.com for a list of the required documents.

*

A shareholder/member, Partner or beneficial owner is a person who holds 10% or more of the shares or the voting shares/rights in the

corporation. In the case of a trust the settlor is to be regarded as the beneficial owner unless the settlor is deceased or dissolved in which case the beneficial owners shall be the named or non-discretional beneficiaries of the trust who are not minors. Where there is no discernible connection between the settlor and the beneficiaries of the trust both the settlor and the named non-discretional beneficiaries shall be regarded as beneficial owners. Discretional or unnamed beneficiaries will be required to provide due diligence upon a disbursement. **

All documents must be certified in line with CSB’s certification requirements, these can be found on page three.

OTHER INFORMATION • Where an account is to be opened in the name of a trust, corporation, limited liability company, international business company, or other legal entity, the account opening documents should be completed by those persons who are authorized by the constitutive documents of that entity to complete account opening documentation.

• If a passport is

not available, please submit a notarized copy of a driver’s license or other government issued photo identification

• If any trustee, settlor, director, officer, shareholder, manager, or member of any of the above entity is itself a legal entity (e.g. trust, corporation, IBC, or LLC), please submit the above requested documentation relevant to that type of entity as if it were applying for an account.

• All documents must be notarized or certified in line with CSB’s certification requirements set

out on page 3 of this document

• For such period as the account holder is a resident of the Cook Islands, the account holder’s account shall be with Capital Security Bank Cook Islands Limited, and all references in this account opening documentation to “Capital Security Bank Limited” and the “Bank” shall be deemed to refer to “Capital Security Bank Cook Islands Limited.”

WHO CAN CERTIFY DOCUMENTS A certifier of documents must be a suitable person, independent of the account, such as a lawyer, a notary public, a member of the judiciary or police, a chartered accountant or civil servant, or a Senior employee of Capital Security Bank. The certifier should sign the ID/Company document (printing their name clearly underneath) indicate their position or capacity on it together with a contact address and phone number. If documents are being scanned to Capital Security Bank, then each page will need to be signed/initialed by the certifier. See below an example of the wording on each document provided.
