Sponsor- Everyone who joins the Unique / KW ecosystem will name someone as their sponsor. The sponsor is the person who had the most influence in bringing you to Unique.

(Agents Name), herein named as the Independent contractor, and Unique A Real Estate Collective agree to the following:
1 . Independent contractor shall place his/her real estate license with Unique A Real Estate Collective as of , 20 , and this agreement shall last for the duration of independent contractors affiliation with Unique.
2. Independent General Terms of Engagement
A Marketing - Any, and all external or personal marketing, vendors, digital, and print , will need to be approved by the firm before use for standards and consistency
First set of business cards, initial agent branding done for you, yard signs, lockboxes, copies, and your monthly technology fees will be covered by Unique. Sign riders, additional business cards, and print Marketing will need to be ordered directly through the firm for consistency.
B. Technology Set-up Fee- All agents affiliated with KW are required to pay a monthly fee for the use, and maintenance of technology. Unique will absorb and pay the monthly fee for agents, a fee of $100 for initial set-up and integration of technology will be debited from your account after onboarding.
C. During the entire time that agent remains with the firm, agent agrees to list all real estate listings that agent obtains, and to handle all real estate transactions in which agent engages in the name of UNIQUE , A REAL ESTATE COLLECTIVE, - DBA UNIQUE AREC
D. Unique agents are encouraged to participate in free coaching sessions, and company meetings, but are not required to do so. [The room you're in matters.]
E.All listings transferring in from other firms will be required to purchase the ‘list to close’ marketing package for every transferring listing, for MLS and firm compliance. This package is available through the firm for all listings, and firm pays a fee to keep this option available for agents. The package is not required to be purchased for listings taken through unique, although all branding and quality has been approved, is consistent, and encouraged.
3. Compensation / Fees and Expense Allocation
A.Runner- Unique will have a runner in place to set up/breakdown materials for listings. Although signs and lockboxes will be supplied, and stored by the firm, agents will be responsible for purchasing all personalized sign riders through the firm. Sign riders can be stored by the firm at no additional fee.
B. Licenses current commission, splitting, and commission structure listed below.

30% before royalty cap
15% after/at 8 million in sales

Contractor recognizes that 6% royalty will be collected from contractors gross commission up to a cap as specified by KWRI. Up to $3000 in a contract year.
C. Our Fees After Cap – Independent contractor agrees to pay a fixed fee of $1500 to the brokerage once the agents / Contractors sales reach or exceed $12 million, per side / per transaction.
D. Office rent per square foot – The exact office rent per square foot will be provided separately, as it may vary depending on specific factors.
E.Unique Legacies - [Our profit sharing entity] – $12 million in volume for the previous 12 months will qualify agent to apply to Unique Legacies. This will be based upon such other terms and subject to a separate agreement.
4.Limited trademark license
A . For as long as agents affiliation with Unique A Real Estate Collective continues, agent has permission to use the Unique A Real Estate Collective name and logo on his or her yard signs, business cards, letterhead, other business forms, and any other promotional or marketing materials approved by the firm.
5.E&O liability insurance; indemnification
A . Agents E&O insurance covering errors and omissions will be covered by Unique A Real Estate Collective. Section 5.B, 5.C, 5.D, from the independent contractor agreement should all still apply.
B. All claims will be reviewed by the broker in charge and agent may be released of their deductible liability at BIC discretion. Without written release of deductible liability by BIC, Agent will be responsible up to $5000 per filed claim while a member of "Unique A Real Estate Collective”
6.Term and Termination
A . Licensee will release and allow agent to transfer all active listings and buyer agency contracts that agent was responsible for obtaining. Any pending contracts will remain, and funds will be processed through the firm according to current commission and cap structure.
Independent contractor agrees to any and all language outlined in the “Independent Contractor Agreement," or in the “Keller Williams Professionals Realty Independent Contractor Agreement;" not covered in this “Unique A Real Estate Collective Addendum”.

IN THE EVENT OF ANY CONFLICT BETWEEN THIS “UNIQUE A REAL ESTATE COLLECTIVE ADDENDUM” AND THE ATTACHED “INDEPENDENT CONTRACTOR AGREEMENT” OR THE “KELLER WILLIAMS PROFESSIONALS REALTY INDEPENDENT CONTRACTOR AGREEMENT ADDENDUM”, THIS ADDENDUM SHALL CONTROL.
