AMENDMENT TO BYLAWS OF THE RIDGE AT EAGLE CREST OWNERS ASSOCIATION

THIS AMENDMENT made as of the3RDday of January, 2005 by THE RIDGE AT EAGLE CREST OWNERS ASSOCIATION, an Oregon non-profit corporation (the "Association").

RECITALS

A. Association is the owners association established pursuant to the Declaration of Protective Covenants, Conditions, Restrictions and Easements for The Ridge at Eagle Crest dated June 5, 1996 was recorded June 5, 1996 in the Records of Deschutes County, Oregon as Document No. 96-20423 as amended by Amended and Restated Declaration of Protective Covenants, Conditions, Restrictions and Easements for The Ridge at Eagle Crest recorded of even date herewith.

B. The Association has voted to amend its Bylaws and replace the Bylaws with the attached Amended and Restated Bylaws.

NOW, THEREFORE, the Association hereby adopts the attached Amended and Restated Bylaws of The Ridge at Eagle Crest Owners Association which shall hereafter supercede and replace the prior Bylaws.

SUPPLEMENT TO AMENDED AND RESTATED DECLARATION OF PROTECTIVE COVENANTS, CONDITIONS, RESTRICTIONS AND EASEMENTS FOR THE RIDGE AT EAGLE CREST

THIS SUPPLEMENT TO AMENDED AND RESTATED DECLARATION OF PROTECTIVE COVENANTS, CONDITIONS, RESTRICTIONS AND EASEMENTS FOR THE RIDGE AT EAGLE CREST, is made as of the 7day of November 2005, by EAGLE CREST, INC., an Oregon corporation ("Declarant").

Recitals

A. That certain Amended and Restated Declaration of Protective Covenants, Conditions, Restrictions and Easements for The Ridge at Eagle Crest dated January 3, 2005 was recorded on January 28, 2005 in the Records of Deschutes County, Oregon as Document No. 2005-05688 (the "Declaration").

B. Pursuant to Section 9.7 of the Declaration, the Declarant has the right to appoint the interim Board of Directors for The Ridge at Eagle Crest Owners Association (the "Association") until the termination of Declarant's Class B membership.

C. Without terminating its Class B membership or waiving any other of Declarant's rights under the Declaration, the Declarant wishes to relinquish to the members of the Association, Declarant's right to appoint the interim Board of Directors for the Association.

Addendum

NOW,THEREFORE, the Declarant hereby declares as follows:

1. Declarant's Relinquishment of Right to Appoint the Interim Board. The Declarant hereby relinquishes to the Association and its members Declarant's right to appoint the interim Board of Directors for the Association. Upon the next annual meeting of the Association, the members of the Association shall elect a Board of Directors pursuant to Section 9.10 of the Declaration. The Declarant shall be entitled to vote in the election pursuant to Section 9.3(b) of the Declaration.

2. No Waiver. Except as set forth herein, Declarant does not waive or renounce any other of its Declarant rights under the Declaration, including its Class B membership.

FIRST AMENDMENT TO BYLAWS OF THE FALLS OWNERS ASSOCIATION

THIS FIRST AMENDMENT to the Bylaws ofThe Falls Owners Association (the "Association"), adopted this 7 day of APRIL, 2005, is as follows:

RECITALS

A. The Initial Bylaws of the Falls Owners Association were adopted on September 20, 2002 by Eagle Crest, Inc., an Oregon corporation (the "Declarant") and C Corp., Inc., an Oregon corporation (the "Project Declarant") and recorded November 1, 2002, as Document 200261058, in the office of the County Clerk, Deschutes County, Oregon (the "Bylaws").

B. Pursuant to Article 14 of its terms, the Bylaws may be amended by members holding a majority of the voting rights, together with the written consent of the Class B member, if any.

C. Members holding a majority of the voting rights, by vote in person or by proxy at a meeting of members held on April 7, 2005, have approved the amendment to the Bylaws as set forth herein and the written consent of the Class B member has been obtained.

NOW, THEREFORE, the Association hereby adopts the following First Amendment to the Bylaws.

AMENDMENT

1. Section 3.7(a) of the Bylaws is hereby amended by deleting the phrase "ninety percent (90%)" and replacing it with "seventy-five percent (75%)".

2. Except as modified by this First Amendment, the Bylaws and each of its provisions shall remain in full force and effect without change.
