i-GATE NEST Board Meeting Meeting Minutes June 30, 2014

INTRODUCTIONS/ROLL CALL Present: Mayor John Marchand, Art Pontau, Rick Lazansky, Sblend Sblendorio, Dr. Marshall Kamena, Mayor Tim Sbranti (Time), Council Member Newell Arnerich, Mayor Jerry Thorne, Alex Greenwood, Marc Roberts, Nelson Fialho, Joe Calabrigo, Linda Smith Call In: Rameet Kohli, Bjornulf White, Dr. Woody Clark Excused absence: Chairman Shail Khiyara CITIZENS FORUM none ACCEPTANCE OF MINUTES Tabled until next meeting MATTERS FOR CONSIDERATION Downtown Facility Update Brandon Cardwell provided an update on the progress of the downtown facility renovation, stating that the facility is scheduled to open on 7/7. Brandon stated that last item to be completed is the IT networking infrastructure, which has been delayed due to a technical issue the ISP is working through. Brandon showed several photos of the renovated space, including flooring, paint, and furnishing upgrades. Brandon provided an update on some of the prospective companies/entrepreneurs that are interested in joining the space; companies range from radiation nuclear detection to mobile app startups. Brandon noted that all of i-GATE’s current portfolio companies are exploring moving out of the Longard facility into their own space, though some may end up moving downtown. CEO Search Update Mayor Marchand provided an update on the three candidates interviewed, stating that each had qualities that the committee liked, but that no one candidate possessed all the skills necessary to be successful. Mayor Marchand stated that there had been discussion of appointing Mark Wilhelm as interim CEO in advance of this board meeting, and if he was not ultimately selected for the permanent role, Mark would return to his position as a Venture Advisor. It was then discovered that Mark was not a member of i-GATE’s Venture Advisory Board, and it seemed inappropriate for the search committee to try to appoint him to the Venture Advisors without the consent of the VAB. Mayor Marchand commented that it ultimately made sense to wait until this board meeting to
