Mike Kinning HBAL President The generosity of homebuilders, trades and suppliers is evident in the contributions to the tornado relief efforts for the communities of Beaver Crossing and Pilger through the Lincoln Home Builders Care Foundation. If you have not contributed through one of the many organizations assisting these communities and would like to, please send your contribution to the HBAL office (see page 20 for more details). A stronger economy and storm damage have made for a ver y busy summer for many HBAL members. In some cases considerable overtime has been required. During these busy time periods, it is easy to relax on training and documentation. Remember to focus on safety training and document maintenance to prevent injuries and to be prepared in the event OSHA would conduct an inspection. Reports of more visits have been heard both locally and nationally. Place events such as the 2nd Annual Hog Roast, Husker Night (GMM), Open House at the newly remodeled HBAL office and Young Building Professionals kick-off event on your calendar now. These and other upcoming events are great opportunities to connect and reconnect with fellow building professionals. I look forward to seeing you on the golf course, at the Hog Roast and/or the Nebraska Champion’s Club for Husker Night!

Rooftop Solar Panels Lower Electric Bills, Increase Value of Home What was once considered an expensive novelty for environmentalists has quickly become a growing trend among energy-conscious home owners: installing solar panels on your rooftop. Over the past few years, the cost of solar panel systems has decreased dramatically – more than 50% since 2010 – making this energy-producing tool a more affordable option for many home owners. At the same time, federal and state incentives along with energy-efficient mortgages – which factor in lower energy costs when calculating how much a buyer qualifies to borrow– have helped home owners see the value of investing in this renewable technology. The most common solar technology used for homes is rooftop solar panels, also known as photovoltaic (PV) systems. If you’re considering installing solar panels on your home, here are a few things to keep in mind: • Calculate how much energy your household uses now – and in the future. Before installing solar panels, you need to know how much energy your household uses now and how much your energy consumption will change in the future. A young family can expect their usage to increase as their family grows, while families with older children may see their consumption decrease as their kids leave the house. Talk to your solar installer about these changes so that they can determine the right system to install. • You will still receive a bill from your power company. There are strong signs that OSHA is increasing its enforcement actions on home building sites throughout the country—in both Federal and state plan jurisdictions. One of the main reasons is that new data shows the number of fatalities in residential construction increased by 37% compared to just a 3% increase in nonresidential construction in 2012, which is the most recent data available. OSHA has also instituted a number of local enforcement emphasis programs aimed at reducing numerous construction hazards, including those in residential. There are a few simple things that builders and trade contractors should do to improve safety on the jobsite and be prepared for OSHA inspections: • Conduct an assessment to identify and correct safety hazards on the jobsite; • Conduct appropriate safety training for employees; • Update records and make sure they are readily available; • Understand the OSHA inspection process (go to www.nahb.org and search “OSHA Inspection Toolkit”). In regards to No. 9 above, there have been some recent questions by builders about OSHA’s requirements for house foundations/ basement excavations. For those parts of the country where basements are common, the area between the house foundation and basement excavations becomes a trench (by OSHA’s definition) when constructing formwork, foundations, or walls. In 1995, OSHA issued a memo “Suspension of 29 CFR 1926.652 to House Foundation/Basement Excavations”, whereby the agency altered the trenching/exaction requirements of the regulation as they apply to house construction, which is still in effect at the present time. This memo essentially requires house foundations to be benched 2 feet horizontal for every 5 feet vertical and the other conditions outlined in the memo exist. Legally Binding Contracts

By Michael J. Arens, CPA, HBE Becker Meyer Love LLP In business, the importance of forming quality contracts cannot be underestimated. A well-written contract can protect all parties involved, whereas a poor contract can lead to disaster. Contracts are entered into often, whether they are oral or written. In fact, every time a promise is made to exchange property or services, a contract is formed. Contracts can be unclear and difficult to enforce. More importantly, these agreements can be tough to prove in court if not explicitly written. Because contracts are entered into so regularly and can have such a large impact, it is crucial that they are formed to protect the parties involved. Before signing a contract, here are a few important issues to understand: 1. Put the contract in writing. If a contract isn’t in writing, it can be very difficult to prove what an agreement might have been. If an arrangement is discussed over the phone or in person, jot it down and have both parties sign. 2. Make sure the terms are satisfactor y. If the proposed terms of a deal are not to your liking, propose a counter-offer. Once the contract is signed it becomes enforceable, so don’t be afraid to ask for modifications before signing anything. 3. Be specific and clear. Make sure all facets of the agreement are covered and easy to understand. If the contract is based on an earlier verbal agreement, be sure the terms agree to what was originally discussed. Use simple language to avoid confusion and misunderstandings. Confusion can lead to incorrect assumptions, which can ultimately result in a lawsuit. 4. Be consistent. If a certain item is used more than once in the agreement, don’t change the term unnecessarily. For example, it could be confusing if “cargo” was used in one paragraph, “goods” in another paragraph, and “freight” in yet another.

In addition to the above general guidelines, there are also several specific items that should be taken into account: 1. Duties and responsibilities. Be sure to include a specific description of the duties and responsibilities of each of the parties involved, and the date by which the item should be completed. Each item to be completed should be easy to understand and specific. 2. Warranties. In contract law, a warranty is a promise by one party to another party that certain facts are true. Typically, these warranties deal with issues such as the ownership of goods and the right to sell or designate them. For contracts which include the sale of goods, certain warranties are implied under state law unless they are expressly disclaimed. It is important to watch for these warranties when signing a contract. 3. Termination. A termination clause explains how either party can end the contract and the steps that must be taken to do so. Generally, a breach of contract by one party will grant the other party the option to terminate. The contract should also explain specifically how to give notice that the right to terminate is being exercised, and if the person at fault has any opportunity to resolve the issue. 4. Remedies and arbitration. When a contract is broken, a remedy clause can be used to name the rights of the party who was not at fault. Many times, this clause is designed to limit the liability for damages of the party who was not at fault. An arbitration clause provides that a dispute must be resolved outside of court. Typically, the clause will indicate the name of the organization that will handle the arbitration and who will be responsible for the cost. 5. Merger clause. A merger clause helps to prevent evidence that is not included in the contract from being used in court to replace the terms of the agreement. Contract law is a complex and complicated subject. When in doubt, it is always best to consult an attorney before signing or verbally agreeing to a contract that requires certain acts to be performed.

Home Sales Surge after Slow First Quarter Housing news continued to improve as pending home sales surged following a slow first quarter. Home prices also continued to move higher but at a more moderate pace, suggesting the extra push caused by investors may be slowing. Economic news, however, was mixed. Consumer confidence increased in response to improving labor market conditions. On the other hand, new estimates from the first quarter revealed a steeper decline in real GDP. Early indications are that real GDP will reverse course from a dismal first quarter and gains in housing will continue the pace set before the end of 2013. Pending homes sales posted the biggest month-over-month increase in four years. The Pending Home Sales Index (PHSI) increased 6.1% in May. The increase in pending home sales follows a healthy increase in existing home sales and a Census report showing a surge in new home sales. In May, new single-family home sales increased 18.6% from the prior month. The first quarter of 2014 continued to disappoint as the Bureau of Economic Analysis released its third estimate of real GDP. According to the release, real GDP contracted at a 2.9% seasonally adjusted rate. The second estimate showed real GDP decreasing by 1%. The poor result is largely due to declining inventories, exports, and fixed investment. Housing’s contribution to real GDP was 15.6% in the first quarter of 2014, which is low compared to historical standards. Real GDP and housing’s share of real GDP are expected to grow in the second quarter.

Consumer Confidence Index hit its highest level since January 2008. The index rose three points to 85.2. Consumer outlook on the present situation and expectations of economic conditions also improved from the prior month. Although sentiment recovered in June, builders remain cautious due to supply constraints including a persistent shortage of labor. A recent NAHB survey found a particularly acute shortage of carpenters. In particular, a serious shortage of framing crews was reported by 15% of builders while 52% reported some shortage. The survey also found that builders reported a more difficult time finding subcontractors when compared to hiring directly-employed workers. In a related post, NAHB examined specialty trades or subcontractors. The analysis found lower volatility in specialty trade one-person firms versus company employment during the Great Recession. For example, employment in multi-employee companies decreased 19.4% from 2008 to 2009 while one-person firms declined just 3.7%. Lower volatility reflects the ability of a oneperson firm to better adjust to changing market conditions.

In two posts, NAHB economists discussed results of a recent survey from McGraw Hill Construction (MHC) that queried a set of NAHB single-family and multifamily members and asked a series of questions on cost and prevalence of green building. The employment situation improved according to the latest release from the Bureau of Labor Statistics (BLS), with widespread employment growth in professional and business services, retail trade and health care. Payroll employment grew by 288,000 in June. The threemonth average is 272,000 jobs added per month. The unemployment rate improved as the number of unemployed decreased 325,000. The June unemployment rate of 6.1% fell from the prior month and is well below the June 2013 unemployment rate of 7.5%. Improvements in the labor market are reflected in recent gains in consumer confidence. Consumers were more optimistic about the labor market in June and the

Don’t Let Faulty Appraisals Affect the Housing Recovery Before you buy a home, your lender requires an appraisal so they can be confident the amount of money they are loaning you is comparable to the home’s value on the market. With the turmoil in the credit and housing markets over the past years, however, the appraisal has changed from merely another box to check off in the process to the step that makes or breaks the sale.

Refinancing Difficulties When housing values slumped, many home owners found themselves in a situation where the amount they owed on their mortgage loan was significantly higher than their home’s value, called “being underwater” on their mortgage. Home owners who sought assistance from their lender to restructure their loans to help decrease monthly payments, especially in cases of adjustable rate, interest-only or balloon payment mortgages, found that they were being denied due to tighter lending restrictions. Even those with good credit scores who were allowed to refinance faced much higher fees and long waits to see any progress from their lender. Then the subsequent recession — which resulted in job losses for many Americans — forced many home owners into foreclosure when they could no longer make payments on their home due to their inability to refinance.

How Foreclosures Affect Other Home Values One part of the appraisal process is comparing the property to other homes in the immediate area that recently sold. However, foreclosed and distressed properties often are sold for far below market value due to damaged condition or the seller, often a bank, just wanting to get rid of the property. So an appraisal based on inappropriate “comps” might come in much lower than the home’s true market value, delaying closing and creating headaches for home buyers and sellers.

Even worse, lenders sometimes refuse to finance the purchase even though the buyer and seller have agreed on a fair purchase price.

How can this be fixed? Mortgage industry regulators need to adopt and enforce clear, concise regulatory guidance that will allow appraisers to develop realistic valuations based on sales that are truly comparable. New and well-kept homes need to be compared with other such homes in the neighborhood, not with homes that are run-down and neglected due to abandonment. If that is not possible due to a large number of foreclosed homes in a neighborhood, the area in which appraisers should use for comparison should be expanded to include more options. Faulty appraisals cause decreased sales and home values and a negative impact on the housing industry and the economic recovery.

Protect Your Investment Home owners and buyers may feel powerless during the appraisal process. That is not true. For example, you have a right to receive a copy of the appraisal upon completion. Thoroughly review it and immediately bring any questionable items to your lender’s attention. If you do not agree with the appraisal, you have the right to — and should — ask for a second appraisal through your lender.
