company’s most valuable asset is its customers. Businesses expend a great deal of energy to develop and maintain client relationships. What happens, though, when an employee exits the company to start a competing business and takes valuable clients with him? Without adequate safeguards, the results can be devastating. The best way a business can protect itself from this scenario is through the use of employee non-competition, non-solicitation and non-disclosure agreements (often referred to collectively as “restrictive covenants”). Broadly speaking, a non-competition agreement is a contract which prohibits an exemployee from competing against his former employer for a specific period of time and within a specific geographic territory. A non-solicitation agreement prohibits an exemployee from soliciting business from, or doing business with, his former employer’s customers and vendors. A non-disclosure agreement prohibits an ex-employee from disclosing any of his former employer’s intellectual property or other confidential information – such as customer lists and pricing information – to any third party. When used together, restrictive covenants can effectively prevent a doomsdaytype scenario where a key employee abruptly leaves a company, sets up shop down the road, and begins doing business with his former company’s clients. Sales is a field that is particularly vulnerable to such a scenario. A salesperson who knows his former company’s pricing information and who has established relationships with the company’s best customers, for example, could lure away those customers with promises of lower prices. Restrictive covenants can help prevent this scenario. Purchasing a business is another situation in which restrictive covenants are worth their weight in gold. The purchaser of a business certainly does not expect to compete with the seller of the business once the sale is finalized, but without the inclusion of restrictive covenants in the purchase agreement, that is exactly what may happen. In this context, restrictive covenants operate to prevent the seller from remaining in the same business or doing business with its old customers once the sale is final. To be enforceable, restrictive covenants must comply with very specific legal requirements. Courts carefully scrutinize the contents of the written contract to ensure that the terms of the restrictive covenants are reasonable and that all requirements for a valid contract have been met. Proper drafting, therefore, is critical. In virtually every state, including Kentucky and Ohio, courts require restrictive covenants to be reasonable in both temporal (time) and geographic scope. What is “reasonable” varies greatly from case to case and is an extremely fact-sensitive question. Generally speaking, restrictive covenants are reasonable only to the extent that they are necessary to protect the employer’s legitimate business interests. Using the sales example from above, if a company sells products throughout the entire states of Kentucky and Ohio, then a court would likely hold that it is reasonable to restrict an employee from competing within either of those states. By contrast, if the company’s sales area included only the Greater Cincinnati region, then that would be the maximum permissible geographic scope of the restrictive covenants. Restrictive covenants generally apply for the duration of employment and then for a specific number of years following separation of employment. The temporal scope of the restrictive covenants must be reasonable. An employer cannot, for instance, prohibit an employee from competing for all of eternity. Depending on the circumstances, a period of one, three or five years following separation of employment may be appropriate.

he Enzweiler Apprentice Training Program celebrates several milestones this year that speak to the support of the HBA Membership and the quality of the Staff and Students! To begin with, the Enzweiler Apprentice Training Program was honored by the NAHB with an Assoication Excellance Award for Workforce Development for the Curriculum and Practical aspects of the school. Everyone is very excited to receive such a high honor, especially considering that there are more than 800 HBA’s competing for awards nationwide. It is a testament to the input of our members and the high quality of instruction that such an award was bestowed upon us. Another remarkable feat this year has been the commitment of our HBA members to draw from the school to fill their employment needs. The Enzweiler Program can now boast that almost 95% of our students are gainfully employed in their trade and are earning credits towards their Journeyman Status! This is up almost 35% from last year! The support of our members makes this school what it September is and only serves to provide Northern Kentucky with a well trained workforce capable of meeting the needs of our growing community. Helpful Tips for the Fireplace Burn Season

W

ith the Fall season quickly approaching, now is the time to think about servicing your indoor and outdoor fireplaces. Typically, homeowners do not consider servicing their fireplace until issues arise. Taking the time to check your fireplace and schedule a service call with Reading Rocks’ experienced technicians can help you to avoid frustration during the burn season. Cleaning and Maintenance If your fireplace has louvers or grills on the front, it is a “circulating” fireplace, which means it is designed to circulate room air around the combustion area. This is true of both gas and wood fireplaces. Any home, but particularly a home with pets, will gather dust in areas that are not vacuumed regularly. Circulating fireplaces, especially those with fans or blower kits, will attract whatever is in the air – including dust - into that area. Using a shop vacuum or the hose extension on your vacuum to clean the area in front and behind the louvers or grills will help prevent dust from accumulating and keep the fan working properly. Masonry fireplace chimneys, as well as manufactured fireplace chimneys must be swept regularly. If you use your fireplace frequently, your chimney should be swept once a year, perhaps more if you use unseasoned, “soft” wood, like pine, in your fireplace instead of seasoned hardwoods like oak or hickory. If your fireplace has a remote control, remember to change the batteries in the transmitter (handheld) and the receiver, which is probably hidden in your fireplace somewhere (some receivers are 110v, without batteries, but they are not as common). If the batteries in your remote control are unusual, try your local drug store for a replacement they tend to keep a variety of unusual small batteries for hearing aids and other medical devices. Electric fireplaces do not require heavy maintenance, but Fall is a good time to replace all of the light bulbs to avoid a burnout in the middle of fireplace season. Crack Repair Most manufactured wood burning fireplaces have refractory firebrick panels in the sides and bottom to simulate the appearance of brick. These panels are generally ¾” thick or thicker and protect the sheet metal behind from the high heat of a roaring fire. Small cracks are possible, even in brand new firebrick panels, and these cracks are normal and safe, but large cracks – larger than ¼” wide – must be repaired or the panel should be replaced. Many manufacturers have replacement panels available to match your existing panels. Pilot Light Maintenance There are different types of gas fireplaces, and the guidelines for servicing are somewhat different for each type. If your model has a standing pilot that is, a pilot light that stays on all of the time - then it is very important to regularly service the pilot assembly. Some units have pilots that are on only when the unit is burning, others use electronic ignition to light the 18

burner directly without a pilot system; these will not need to be serviced as often. For the last two decades, all unvented gas fireplaces and gas logs have required an Oxygen Depletion Sensor Pilot assembly which monitors safe operation of the appliance. This assembly should be cleaned every year to prevent the system from becoming over-sensitive and causing nuisance shutdowns. It is important to clear the accumulation of sediment in the tiny pilot orifice (where the gas originates). A can of compressed air – like those used for keyboard cleaning – may be used with the included straw to direct air toward the orifice and clear it (this must be done while the pilot is OFF). If the pilot assembly is at least five years old or if you live close to salt water, this may not be effective you should consult a professional. Unvented and Vented Fireplaces Unvented logs are designed to burn cleanly, so if you find soot (black) deposits on your logs, stop using them immediately and make sure your logs and/or burner are set up correctly. If you are not absolutely certain that everything is correct, please stop using your fireplace until a professional technician can fix the situation. Vented gas logs should be cleaned regularly if there is any accumulation of soot; there are commercially available spray log cleaners for homeowners to use. Other fireplaces and gas logs need cleaning, too, but perhaps not as often, depending on how much they are used. Direct vent gas fireplaces have a fixed glass panels that require annual cleaning to stay clear. If the glass collects a black residue (soot), the fireplace should be adjusted to burn more cleanly. If the glass has a gray or white film, this is completely normal as there are chemicals in the gas which produce the residue. Do not use glass cleaners containing ammonia to clean your glass. Water and a soft cloth will usually suffice, and adding a little vinegar to the water should help. Tough deposits may require special fireplace glass cleaner. Be sure to dry your glass completely and check for streaks and fingerprints before re-installing the glass. With a little attention to your fireplace now, you’ll be able to enjoy a trouble free burn season and get the most from your investment. REMODELER’S COUNCIL WHAT’S HAPPENING??

Code Issues: The new International Energy Code will go into effect on October 1, 2012. The N.K.A.P.C. started energy inspections on July 1 to help remodelers get used to what they are looking for in the inspections. The new Kentucky Building Code will go into effect on January 1, 2013. The Building & Housing Codes Committee will continue to meet with inspectors the remainder of this year to discuss the new changes. If you are experiencing any code enforcement issues or have questions about these new Codes, please contact Brian Miller at the HBA office.

The early bird deadline has passed and the final deadline for entries is August 3. We hope to have several projects in Cincinnati again this year. If you need entry forms or any information about the TORH, please contact Melanie Meyer at the HBA office. There will be project sponsorships available again this year.
