The Ohio AgriBusiness Association is pleased to offer its members a wide variety of leadership opportunities through the Advancing Modern Professionals for Tomorrow Program. The program offers leadership opportunities at all levels to prepare leaders to take the next step in their professional careers.

The AMP’T Program consists of the following programs:

Tomorrow’s agribusiness leader will need to be nimble and lead change in addressing workforce pressures, consumer demands, and governmental challenges, all while fostering networks and collaborative work styles. Emerging agribusiness leaders can build their skills through LAUNCH – Leaders Achieving Unexpected New Career Heights – to rise to the challenges and opportunities facing agribusinesses today and tomorrow.

OABA is pleased to partner with The Ohio State University Leadership Center, granting members access to outstanding professional development workshops. Beyond being able to register and attend online and inperson classes, OABA members also have special access to bring course selections to their locations or work with OABA to host an event in their area, open to the general membership.

Even though women have been working in agribusiness for decades, there are particular challenges that face women in professional agribusiness roles. Through small group discussions and input from members, OABA is pleased to offer a forum for women who are looking for resources from experts and peers alike to face these challenges - the Women Leading in Ohio Agribusiness program.

With members in mind, OABA has partnered with Crestcom International, a globally recognized leadership development organization, to offer Crestcom’s results-oriented, live facilitated leadership development program in a virtual environment.

The 12-month Crestcom Leadership Development program includes two live 2-hour courses each month for a total of 48 hours of interactive leadership development experiences.

The

Ohio AgriBusiness Association (OABA) is a trade association established in the late 1800s to represent the best interests of business serving Ohio agriculture.

OABA member companies and their employees are committed to supplying modern agriculture with the basic needs and essential support necessary to grow Ohio’s number one industry. Our membership includes businesses in manufacturing, wholesale and retail, which represent business sectors including agronomic inputs (seed, plant food, crop protection), livestock feed and nutrition, grain and marketing operations, insurance, equipment and financial services.

With more than 200 members and a board including owners or employees of OABA members, OABA is the leading advocate for Ohio agribusiness.

Industry Excellence Awards

OABA’s Industry Excellence Awards honor excellence, professionalism and achievement among member companies and their employees, through three award opportunities: Achievement as an Emerging Leader, Excellence in Customer Service and Excellence in Safety & Stewardship. Award recipients are recognized at the annual Industry Conference.

Advancing Modern Professionals of Tomorrow (AMP’T)

The AMP’T Program is the all-encompasing arm of OABA’s leadership efforts - preparing emerging leaders to take the next step in their professional careers and providing seasoned professionals the opportunity to continue developing their leadership skills. Through active engagement with the OABA board, Public Policy Committee and member companies, OABA keeps up-to-date on policy issues impacting each segment of the industry.

LEGISLATION

OABA ensures agribusinesses have a voice at both the state and national levels, through a committed presence at the Ohio Statehouse and strong relationships with our national partner organizations. By engaging members in the process, OABA helps members achieve a more secure business climate by engaging federal and state governments for common sense regulatory and legislative reform. Members have the opportunity to be hands-on with important legislation through visits with state and federal elected officials through trips to the Statehouse and Capitol Hill.

REGULATION

OABA advocates for a sensible and sustainable regulatory environment, including responsible nutrient management, water quality improvements, grain handling safety and much more. OABA has a strong record of success on the legislative and regulatory front, developing strong relationships with our elected and regulatory officials to stay abreast of potential policy changes that will affect our members, both in Ohio and in Washington, D.C.

LEGAL

OABA remains vigilant when it comes to legal cases impacting the agricultural industry. When cases have the potential to affect members, OABA submits amicus briefs and engages the courts to ensure the best outcome for Ohio’s agribusinesses.

ADVANCING

EDUCATIONAL TRUST

More than $45,000 in scholarships is distributed annually through the OABA Educational Trust. The scholarship program provides financial assistance to students enrolled in an agriculture-related field attending The Ohio State University and Ohio State ATI, Central State University, Clark State College and Wilmington College. Educational Trust events - Golf for Scholarships and Target: Scholarships - help raise scholarship dollars for agricultural scholarships.

Endowment Fund: The Ohio AgriBusiness Association Endowed Scholarship Fund, established through The Ohio State University College of Food, Agricultural, and Environmental Sciences, provides financial support in perpetuity for Ohio State students working toward agricultural degrees and enrichment opportunities through their education.

News & Notes E-Newsletter: a weekly newsletter that provides members with current news stories, OABA and policy updates, conference and event opportunities and much more

Social Media: engage with the association and its members through OABA’s Facebook, Twitter and Instagram Career Center: companies with positions that need filled are able to post their job on the OABA web site for maximum exposure; the position will be posted within 48 business hours and the listing will remain posted for up to 90 days E-Bulletins: OABA E-Bulletins provide information on upcoming OABA and Educational Trust events, policy updates and other information.

Industry Conference

More than 325 agribusiness professionals and industry experts attended the annual conference.

Anhydrous Ammonia Safety

Nearly 200 attendees participated in hands-on training for NH3 handling, cautions and hazards.

Grain Operations Course

20 students attended the Grain Operations Course to learn efficient grain operations and methods.

Grain Grading Schools

More than 250 participants learned the skills necessary to attain or maintain a Commodity Tester Certificate.

Grain Law Roundtables

Grain managers and merchandisers met with ODA’s Dave Simmons to discuss grain law.

2024 YEAR IN REVIEW

Agronomy College

More than 80 agronomists, CCAs, custom applicators and farmers learned about current agronomy issues.

4R Technology Review Field Day 75 participants heard from ag tech experts sharing 4R nutrient management, technology and best practices.

Career Exploration Fair

More than 400 students and career-seekers met with OABA members at Farm Science Review.

She manages association governance and membership and industry relations, while also overseeing strategic planning, member services and operational administration to ensure the association’s success in aligning with industry needs.

Work History: Spending over a decade at the Ohio Farm Bureau Federation, Melinda’s roles have

included Senior Director of Leadership Development, where she transformed the Young Ag Professionals program and directed the AgriPOWER Leadership Institute. She also played a key role in developing the ExploreAg and Ohio Farm Bureau Ag Literacy programs.

About Melinda: A native of Morgan County, Ohio, Melinda currently resides in Beverly, Ohio, with her husband, Scott, and their two children where they are active in their local community and church and own and manage Witten Farms —a third-generation produce farm.

Job Duties: Lauren handles all aspects of association communications including social media management, event promotion, press release and news writing, graphic design, photography and videography, as well as managing members’ experiences, including Member Directory, event support, sponsorships, website and more.

Education: BS, Agricultural Communication, The Ohio State University, 2014

Work History: Previously, Lauren worked for Inspire PR Group serving a range of clients in the agriculture, restaurant and hospitality, tourism and nonprofit industries. Additionally, she worked for the South Carolina Farm Bureau Federation from 2014 to 2020 as the director of digital media.

Lauren currently serves as vice president of the OSU Department of Agricultural Communication, Education, and Leadership’s Alumni Board. She is involved with the Ohio Farm Bureau Federation, currently serving as vice president of the Franklin County Farm Bureau. Lauren is also a member of the Ohio Society of Association Professionals and the Cooperative Communicators Association.

About Lauren: Lauren grew up on her family’s row crop and beef cattle farm in Marion County and currently resides in Marysville with her husband, Parker, and their two dogs, Piper & Kip. In her free time, Lauren enjoys traveling, hiking, live music and spending time with family and friends.

OABA members have the opportunity to share their knowledge and support through volunteerism. Individuals serving on the association’s committees contribute their time, experience and expertise for the good of the agribusiness industry. Committees and subcommittees were developed to serve the general membership as well as the specific segments of the industry.

As we work to implement our strategic plan, it is important that our organizational structure align with our mission and goals. The below committees have been designated to carry out the policies and programs of the association.

Finance/Audit Committee

This committee serves as the audit committee and also is responsible for annually reviewing OABA investments and (along with the CEO) making investment strategy recommendations to the OABA board of directors.

Industry Education Committee

Made up of a cross section of our membership whose purpose is to develop quality and timely education that meets the needs of OABA members. This committee explores and develops new educational programming and is broken out into subcommittees that plan and assist in implementation of OABA educational events.

Nominating Committee

This committee is responsible for coordinating the annual nominations of candidates for the expiring board of director positions.

Public Policy Committee

Made up of a cross section of our membership whose purpose is to stay abreast (via OABA staff) of current and potential legislative and regulatory issues and make recommendations, as appropriate, to the board for policy positions and action.

BYLAWS OF THE OHIO AGRIBUSINESS ASSOCIATION

ARTICLE I NAME & LOCATION

Section 1. The name of this association will be the Ohio AgriBusiness Association.

Section 2. The principal office of the Association will be located in Ohio as may be determined and approved by not less than two-thirds of the Board of Directors as a whole.

The Association may have such other offices as may from time to time be designated by the Board of Directors.

ARTICLE II PURPOSES

The purposes of this Association will be:

1. To promote and encourage the common goals, needs and interests of the agribusiness industry and those engaged in the agribusiness industry through education, legislative activities, public relations and research.

2. To consider and deal by all lawful means with common problems of management, such as those involved in the production, distribution, employment and financial functions of the agribusiness industry; to foster cooperative action in advancing by all lawful means the common purposes of its members and promote activities designed to enable the agribusiness industry to be conducted with the greatest economy and efficiency.

3. To afford due consideration to and expression of opinion upon questions affecting the agribusiness industry and the financial, commercial and industrial interests of the state and nation, and to promote the common business interests of the agribusiness industry.

4. To cooperate with other industries and organizations, including educational institutions and governmental agencies.

5. To conduct or engage in all lawful activities in the furtherance of the foregoing purposes or incidental thereto.

ARTICLE III MEMBERSHIP

Section 1. Member. Any person, firm or corporation engaged in, or providing products or services to, agribusiness in the state of Ohio is eligible to become a member of this Association. The Board of Directors may create such classes or subclasses of membership as they deem appropriate from time to time.

Section 2. Honorary. An individual because of eminent service to the agribusiness industry or to this Association may be extended an honorary designation in this Association by approval of not less than two-thirds of the Board of Directors as a whole; however, each Chair of the Board of this Association shall at the end of the fulfilled term of office become an honorary designee without Board action. An honorary designee of this Association shall be so for life.

Section 3. Voting. Each member shall have one (1) vote in matters coming before the Association. An entity may designate for voting purposes an official representative or alternate who shall be an officer, partner or employee of that member, but proxy voting is not permitted.

Section 4. Application for Membership. Any person, firm or corporation eligible for membership under these bylaws shall submit written application. Membership acceptance is subject to approval of the Board of Directors as a whole.

Section 5. Suspension & Expulsion. Any member may be suspended or expelled for cause. Sufficient cause for such suspension or expulsion of membership will be a violation of the bylaws or any lawful rule or practice duly adopted by the Association, or any other conduct prejudicial to the interest of the Association. Suspension or expulsion will be by not less than a two-thirds vote of the Board of Directors as a whole; provided a statement of the charges will have been sent by certified or registered mail to the last recorded address of the member at least ten (10) days before final action is taken thereon. This statement will be accompanied by a notice of the time and place of the meeting of the Board of Directors at which the charges will be considered and the member shall have the opportunity to appear in person and/or to be represented by counsel to present any defense to such charges before action is taken thereon.

Section 6. Reinstatement. A suspended or expelled member may be reinstated by approval of not less than two-thirds of the Board of Directors as a whole.

Section 7. Transfer of Membership. Membership in this Association is not transferable.

ARTICLE IV DUES

Section 1. The annual rate of dues for each respective class or subclass of membership shall be determined by the Board of Directors and such rates shall remain in effect until changed by the Board of Directors. No dues will be required of honorary designees.

Section 2. Members who fail to pay their dues within thirty (30) days from the time they become due shall be notified in writing, and, if payment is not made within the succeeding thirty (30) days shall, without further notice and without hearing, be dropped from the rolls and thereupon forfeit all rights and privileges of membership; provided the Board of Directors may by approval of not less than two-thirds of the Board of Directors as a whole, prescribe procedures for extending the time of payment of dues and continuation of membership privileges upon request of a member and for good cause shown.

ARTICLE V MEMBERSHIP MEETINGS

Section 1. Annual. There will be an Annual Meeting of this Association during the first quarter of the calendar year for receiving the annual reports and the transaction of other business. Notice of such meeting signed by the secretary, will be sent to each member at least ten (10) days in advance with a statement of time and place and information as to any special subject(s) to be considered.

Section 2. Special. Special meetings of the Association may be called by the Chair of the Board, or the Board of Directors, or will be called by the Chair of the Board upon written request of ten (10) members of the Association. Notice of any special meeting will be sent to each member at least ten (10) days in advance, with a statement of time and place and information as to any special subject(s) to be considered.

Section 3. Members Eligible to Vote. At least ten (10) days before every Annual Meeting or special meeting of the membership of this Association, a complete list will be arranged of the members entitled to vote at such meeting(s). Such list will be open at the office of this Association at least ten (10) days before such meeting(s) and will be available at the meeting for the examination by any member of this Association.

Section 4. Quorum. Twenty (20) members present at any membership meeting of this Association shall constitute a quorum, and in case there is less than this number, the presiding officer may adjourn the meeting from time to time until a quorum is present.

BOARD OF DIRECTORS

Section 1. The Board of Directors shall have supervision, control and direction of the affairs of this Association, shall determine its policies or changes therein within the limits of the bylaws, shall actively prosecute its purposes and shall have discretion in the disbursement of its funds. It may adopt such rules and regulations for the conduct of its business as will be deemed advisable, and may, in the execution of the powers granted, appoint such agents as it may consider necessary.

Section 2. The Board of Directors shall be composed of fifteen (15) Directors, all of whom shall be members or representatives of members of this Association. No member shall be allowed more than one (1) position on the Board of Directors at any given time. The fifteen (15) Directors shall be representative of the agribusiness industry as follows:

Section 3. During the first quarter of the calendar year (but no later than the date of the Annual Meeting), Directors, whose terms expire, shall be elected by mail ballot for a term of three (3) years. Should a tie vote occur as a result of the mail ballot in the election of a Director, said tie will be broken by a majority vote of the Board of Directors no later than the next subsequent Board of Directors meeting. Directors shall be eligible for reelection, provided no Director shall be elected to more than two (2) consecutive terms of three (3) years each, with the exception, this limitation as to term of service shall not apply to a person serving in the capacity of Chair of the Board, Vice Chair of the Board or Past Chair of the Board. Directors shall take office upon certification of their election and shall continue in office until their successors shall be duly elected and qualified or unless they resign, are removed or are otherwise unable to fulfill an unexpired term.

Section 4. Board Meetings. Except that the Board of Directors shall have a regular meeting within ninety (90) days following the Annual Meeting, the Board shall meet upon call of the Chair of the Board of Directors or upon demand of a majority of the Board of Directors as a whole, at such times and places as may be designated. Notice of all meetings of the Board of Directors will be sent by mail or other mode of transmittal to the last recorded address of each Board member or candidate for the Board at least ten (10) days in advance of such meetings. The Board of Directors may, upon the request of its Chair, vote upon any proposal by mail or electronic means, a majority vote to decide any such questions submitted.

Section 5. Quorum. A majority of the Board as a whole shall constitute a quorum, and in case there is a less than this number, the presiding officer may adjourn the meeting from time to time until a quorum is present.

Section 6. Compensation. Directors shall not receive any compensation for their services as Directors, but the Board may by resolution authorize reimbursement of expenses incurred in the performance of their duties. Such authorization may prescribe procedures for approval and payment of such expenses by designated officers of this Association. Nothing herein will preclude a Director from serving this Association in any other capacity and receiving compensation for such services.

Section 7. Resignation or Removal. Any Director may resign at any time by giving written notice to the Chair of the Board, the Secretary or to the Board of Directors as a whole. Such resignation will take effect at the time specified therein, or if no time is specified, at the time of acceptance thereof as determined by the Chair of the Board of the Board of Directors as a whole. Any Director may be removed for cause by a vote of not less than two-thirds of the Board of Directors as a whole at any regular or special meeting.

Section 8. Vacancies. Any vacancies, which occur on the Board by reason of death, resignation or removal, may be filled by appointment by the remaining members of the Board of Directors for the unexpired term.

Section 9. In the event circumstances, such as but not limited to a change of a member employer or a merger of member employees, inadvertently result in a member occupying more than one position on the board of directors, the member shall within 30 days of notification from the Ohio AgriBusiness Association, inform the Chair of the Board, President or Secretary of the Ohio AgriBusiness Association of the member representative it wishes to maintain on the board. The remaining member representative(s) shall simultaneously resign from the board in writing.

ARTICLE VII OFFICERS

Section 1. The officers of this Association shall be Chair of the Board, Vice Chair of the Board, President, Secretary and Treasurer. Separate individuals must hold all Board Chair positions. One or more individuals may hold the positions of President, Secretary and Treasurer. The Chair of the Board and Vice Chair of the Board shall be elected by and of the Board of Directors as a whole. The President, Secretary and Treasurer shall be appointed by, and serve at the pleasure of, the Board of Directors as a whole.

Section 2. Elected officers shall take office upon their election and shall serve for a term of two years and until their successors are duly elected and qualified.

Section 3. Vacancies. Vacancies, which occur in any office by reason of death, resignation or removal, may be filled by appointment by the Board of Directors for the unexpired term.

Section 4. Chair of the Board. The Chair of the Board shall serve as the principle officer of this Association and shall preside at all meetings of the membership, Board of Directors and Executive Committee, and shall be a member Ex-Officio, with the right to vote on all committees except the Nominating Committee.

Section 5. Past Chair of the Board. When a person fulfills the obligation of Chair of the Board, that person shall then serve for two years as a Past Chair of the Board, with full voting rights. The segment of industry, which the Past Chair of the Board represented, under Article VI, Section 2, shall be relinquished and a new director shall be elected as per Article VI, Section 3 to represent the relinquished segment of industry. In addition to serving on the Executive Committee and as Chair of the Nominating Committee, this office shall also be subject to such other duties as the Board of Directors may assign.

Section 6. Vice Chair of the Board. The Vice Chair of the Board shall succeed to the office of the Chair of the Board in the event of death, resignation or removal of the person holding that office, or by the delegation of the Board of Directors in the event of that person’s temporary disability or absence from a meeting(s). This office shall also be subject to such other duties as the Board of Directors may assign.

Section 7. President. The President shall be a salaried staff head selected by, but not of, the Board of Directors and shall be responsible for the administration and management of the Association. The President shall employ and may terminate members of the staff necessary to carry on the work of this Association and shall manage and direct all functions and activities of this Association and perform such other duties as may be duly specified by the Board of Directors.

Section 8. Secretary. The Secretary shall give notice of and attend meetings of this Association, be responsible for the keeping of a record of all proceedings, attest documents and perform such other duties as are usual for such official or as may be duly assigned to the office.

Section 9. Treasurer. The Treasurer shall be responsible for keeping an account of all monies received and expended for the use of this Association and shall make a report at the Annual Meeting or when called upon by the Chair of the Board. The funds, books and vouchers of this Association will at all times be subject to verification and inspection by the Board of Directors.

Section 10. Bonding. At the direction of the Board of Directors, any officer, director, trustee or employee of this Association shall furnish, at the expense of this Association, a fidelity bond, in such a sum, as the Board shall prescribe.

ARTICLE VIII COMMITTEES

Section 1. The Chair of the Board shall annually appoint such standing, special or subcommittees as may be required by the bylaws or as may be necessary.

Section 2. Executive Committee. The Chair of the Board, Vice Chair of the Board and Immediate Past Chair of the Board shall constitute an Executive Committee with the Chair of the Board also chairing the Committee. This Committee may exercise the powers of the Board of Directors at the direction of the Board or carry out specific urgent business when there is not sufficient time to schedule a meeting of the Board as a whole to resolve the issue(s). Meetings may be held at the direction of the Board as a whole, when called by the Chair or when requested by two (2) members of the Committee. Three (3) members of the Committee shall constitute a quorum. All action taken by this Committee will be reported to the Board of Directors at the next succeeding meeting.

Section 3. Nominating Committee. The Vice Chair of the Board, Past Chair of the Board and a Member-at-Large appointed by and of the Board of Directors as a whole shall constitute the Nominating Committee with the Past Chair of the Board chairing the Committee.

In the event the Vice Chair of the Board or Past Chair of the Board is unable to serve on the Nominating Committee, Member(s)-at-Large shall be appointed by and of the Board of Directors as a whole to fill the vacant position(s).

During the last quarter of each calendar year, the Chair of the Board shall charge the Nominating Committee to nominate candidates for expiring Board of Director positions.

The Committee shall notify the Secretary, in writing, by the first day of January of the candidates it proposes, and the Secretary shall prepare a ballot for the membership to be mailed or otherwise transmitted on or before ten (10) days prior to the annual meeting to each member or its representative eligible to vote. Ballots will be formatted so as to allow members to write in candidates not previously nominated.

ARTICLE IX MAIL VOTE

Section 1. Whenever, in the judgment of the Board of Directors, any question arises which it believes should be put to a vote of the membership and when it deems it inexpedient to call a special meeting for such purpose, the Board may, unless otherwise required by these bylaws, submit such matter to the membership in writing by mail for vote and decision, and the question thus presented will be determined according to majority of the votes received by mail within ten (10) days after such submission to the membership, provided in each case, votes of at least ten (10) percent of the membership, but in no case less than twenty (20) members will be received. Any and all action taken in pursuance of a majority mail vote in each such case will be binding upon this Association in the same manner as would be action taken at a duly called meeting.

Section 2. The Board of Directors may authorize votes of the membership (including election of Directors) to be solicited and conducted by electronic means in addition to mail, with votes solicited or cast by electronic means having the same effect as those cast by mail.

ARTICLE X FISCAL YEAR

Section 1. The Board of Directors shall determine the fiscal year of the association.

ARTICLE XI SEAL/LOGO

Section 1. This Association shall have a seal or logo(s) of such design as the Board of Directors may adopt.

ARTICLE XII INDEMNIFICATION

Section 1. This Association shall indemnify any person who was or is party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding whether civil, criminal, administrative or investigative by reason of being or having been a director, officer, employee or agent of this Association, or member of any committee of this Association, against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by the person in connection with such action, suit or proceeding, if the person acted in good faith and in a manner the person reasonably believed to be in or not opposed to the best interests of this Association, and with respect to any criminal action or proceeding, had no reasonable cause to believe the conduct was unlawful. The termination of any action, suit or proceeding by judgment, order, settlement, conviction or upon a plea of nolo contendere or its equivalent, will not, of itself, create or its equivalent, shall not, of itself, create a presumption the person did not act in good faith and in a manner which the person reasonably believed to be in or not opposed to the best interests of this Association and with respect to any criminal action or proceeding, had reasonable cause to believe the conduct was unlawful.

Section 2. To the extent a director, officer, employee, agent or committee member of this Association has been successful on the merits or otherwise in defense of any action, suit or proceeding referred to in Section 1 of this Article XII in defense of any claim, issue or matter therein, the person shall be indemnified against expenses (including attorneys’ fees) actually and reasonably incurred by the person in connection therewith.

BYLAWS OF THE OHIO AGRIBUSINESS ASSOCIATION

Section 3. Any indemnification in connection with the settlement of an action referred to in Section 1 of this Article XII, unless ordered by a court, will be made by this Association only as authorized in the specific case upon a determination that indemnification of the director, officer, employee, agent or committee member is proper in the circumstances because the person has met the applicable standard of conduct set forth in Section 1 of the Article XII. Such determination will be made (1) by the Board of Directors by a majority vote of a quorum consisting of directors who were not parties to such action, suit or proceeding, or (2) by independent legal counsel in a written opinion, if such quorum is not obtainable of even if obtainable, such quorum of disinterested directors so directs, or (3) by the members.

Section 4. Expenses incurred in defending a civil or criminal action suit or proceeding may be paid by this Association in advance of the final disposition of such action, suit or proceeding as authorized in the manner specified in Section 3 of this Article XII upon receipt of an undertaking by or on behalf of a director, officer, employee, agent or committee member to repay such amount unless it shall ultimately be determined the person is not entitled to be indemnified by this Association as authorized by these bylaws or otherwise pursuant to applicable law.

ARTICLE XIII DISSOLUTION

This Association shall use its funds only to accomplish its objectives and purposes specified in these bylaws, and no part of said funds will inure, or be distributed, to the members of this Association. Upon dissolution of this Association, any funds remaining will be distributed to one or more regularly organized and qualified charitable, educational, scientific or philanthropic organization(s) to be selected by the Board of Directors.

ARTICLE XIV AMENDMENTS

Upon proposal by the Board of Directors, or at the written request of not less than ten (10) members of this Association, these bylaws may be amended, repealed or altered, in whole or in part, (a) by a two-thirds vote at any meeting of the membership of this Association, provided one copy of any amendment proposed for consideration will be mailed or electronically transmitted to the last recorded address of each member at least ten (10) days prior to the date of the meeting; or (b) by approval of two thirds of the ballots cast through mail or electronic vote in accordance with the provisions of Article IX.

How to Host a Visit

On-site visits are a powerful way to introduce legislators and regulators to your agribusiness and its day-to-day operations. The Ohio AgriBusiness Association is pleased to coordinate on-site visits and will act as a liaison between you and the legislator’s office. If you are interested in hosting a visit at your facility, please contact Aaron Heilers at aheilers@oaba.net to begin scheduling.

Preparing for the Visit

Legislative visits are most powerful when you take time to plan the visit and prep your staff. See tips below for best practices:

Talk with OABA. Your association is a great resource for helping to plan your facility visit. OABA can provide talking points, advice for structuring the day, coaching for staff and more.

Inform your staff of the visit. Make sure all staff know the date and time of the legislative visit. Though you should take time to prep anyone who will be involved in the visit, all staff should be aware you will be hosting an important visitor.

Plan the visit. Know where in the facility you will take your visitor and alert staff in those areas that you will be bringing the visitor through. See below for key elements to plan in your day.

Prepare your script. Have your “script” prepared for the day, everything from company details to regulations/issues you wish to feature. Ensure all involved in the visit know what they are responsible for.

Anticipate questions. Your visitors will likely have many questions about your operations and the issues your company faces. Think through what questions they may have and be prepared with answers.

Practice. Prior to the visit, plan a walkthrough of the day, visiting every area and talking through your script as a staff.

Clean the facility. Take extra time to make your facility presentable. Ensure there are no safety concerns or regulation violations.

Remind the day before. The day before the visit, remind your staff about the upcoming visit. You may encourage staff to wear their company shirts to show off their company pride.

During the Visit

Each visit will look different, but a successful visit will include the following: Welcome and Introductions. Upon their arrival, greet your legislator and their staff warmly — as if you were welcoming them into your home. Introduce them to all who will be involved in the day’s visit.

Company Overview. Introduce the visitors to your company, your history, current operations, territory, staff size, community involvement... whatever you deem most important. This provides your visitors background on your operations.

Facility Tour. As you are able, showcase all areas of your facility and explain their importance to your operation.

Question & Answer. Leave ample time to allow your visitors to ask questions.

Take a Picture & Share It! Legislators love engaging with their constituents online and showcasing the visits they’ve conducted in their districts. Commemorate the visit with a photo in front of your facility sign and share it on your social media channels.

After the Visit

Send a thank you. Send a thank you note to your legislators’ office, thanking them for visiting and highlighting any key issues you discussed.

Continue the relationship. Site visits are a powerful tool and deepen your relationship with your legislators. Continue to engage with your legislators through phone calls, emails and office visits when the need arises.

ENGAGING IN ADVOCACY

How to Schedule a Meeting with a Legislator

State and national legislators make time for meetings with constituents as part of their duties as elected officials. As one of the most powerful ways to advocate for agribusiness policies, face-to-face meetings make your company and your issue more memorable to legislators.

It is important to note that the legislative staff is very important too — as they are trusted to research upcoming issues and share feedback with legislators. Whether you meet directly with your Senator or Representative or with their staff, you are building a relationship with the legislator and bringing greater attention to your legislative needs.

You can set up a meeting by following the steps below.

1. Find the Office That You Would Like to Visit

State legislators have an office at the Ohio Statehouse where you can schedule to visit. Similarly, U.S. Senators and Representatives maintain offices in their home states that allow their constituents to meet with them or their staff, as well as their offices in Washington, D.C. Visit your legislator’s website for more information.

2. Contact Your Legislator’s Office to Set Up a Meeting

Once you have chosen your local office, use the guide below to contact your legislator’s office to schedule a meeting.

Understand your legislator’s schedule. For state representatives, find out when they will be in their Columbus offices.

• Decide which office you’ll be visiting. While the legislature is in session, federal legislators will be in Washington, D.C., while state legislators will be in Columbus. While the legislature is in recess, legislators will likely be back in their local offices. You can check your senators’ and representatives’ websites to find out when they are on recess.

• Request a meeting. Most legislators’ websites include a “Request for Meeting” form that you can fill out online or offer an email address for the person in charge of scheduling their appointments. Before calling your lawmaker’s office, fill out the form or send an email request for a meeting. If you are sending an email, it should contain the following:

• Your name and address (to show that you are a constituent)

• The issues you wish to discuss

• The office you wish to visit

• The dates that you can meet (include several dates or a wide time frame so that there is flexibility in scheduling the meeting)

• Follow up your request with a phone call. A day or two after you anticipate your communication has arrived, follow up with a phone call to your legislator’s local office. Ask for the person in charge of scheduling your lawmaker’s appointments.

• Write down the date, time and person you spoke with. If you have not heard back in a few days, call again to follow up. Be polite but persistent!

• Recognize that you might meet with a member of your legislator’s staff. Sometimes legislators may not be available, and you will be scheduled to meet with a member of their staff. This is still a wonderful opportunity! Legislators rely heavily on their aides to make decisions, as aides are policy experts. Your meeting with a staff member can inform his/her recommendations to your legislator and also build an important relationship with your lawmakers.

3. Confirm Your Appointment

The day before your meeting, call your legislator’s local office to confirm your appointment. Your legislator’s office may request a list of those who will be attending the meeting if there are attendees other than yourself.

4. Follow Up Your Meeting with a Thank You

After your meeting, be sure to send a thank you letter to your lawmaker and/or your lawmaker’s staff. Thank them for taking the time to meet with you and re-iterate the asks that you made in your meeting. Your legislator and his/her staff will appreciate it — and it is a great way to remind them about your requests!

Ask for Support

• Know your objective. The purpose of the meeting is to gain the legislator’s support and commitment to vote for your position on the issue.

• Personalize the request. Face-to-face meetings are one of the best ways to communicate. Make certain the legislator understands you are there to demonstrate that this issue affects his or her constituency.

Be Brief… and Prepared

• Respect the legislator’s time constraints. You will probably only have a 15- to 20-minute meeting. Be on time and be prepared to make your points quickly and get your message across in 5 to 7 minutes.

• Make your points concisely and coherently. When possible, provide bill numbers and titles.

• Be knowledgeable about the issue. Know the facts and what the opposition is saying.

• Emphasize how the issue affects you. Explain the impact on your business, your employees and your community.

• Do not guess. If you are unsure about the answer to a question, offer to follow up with more information.

• Leave a fact sheet with the legislator that summarizes the issue.

Close the Deal

• Be persuasive. Present your viewpoint politely but convincingly. Speak concisely and with commitment. Stress the positive impact of the legislation you support and relate the negative impact of opposing the legislation.

• Be firm. Find out where your legislator stands on the issue. Ask what position and what action he or she will take. If the legislator does not yet have a position, ask when you can expect an answer.

• Listen carefully. Hear what the legislator says regarding his or her concerns and position. Unless you hear, “I am with you,” do not count on the legislator’s vote.

• Follow up. Always send a thank you letter for the meeting. Include a brief summary of your position and any new information you may have.

Twelve Steps for an Effective Legislative Meeting

1. Introduce yourself and tell the elected official or their staff person who you are representing. Be certain to describe your operations, the location(s) and the number of employees and let them know of any special connections you may have with the legislator.

2. Start with a compliment. If the member is to receive an award, here is where you present it and thank them for their past support. If you voted for them, this is where you may want to tell them that. At the very least, thank them for taking the time to meet with you.

3. Take the initiative and state clearly and concisely what issues you want to discuss, what your position is and follow this with facts about why he or she should take your position.

4. State how the issue affects the member’s district or state. If possible, tell a personal story which highlights your experience with the issues and why you care about it.

5. Give the legislator a brief fact sheet which outlines your position.

6. Mention any other organizations, important individuals, government officials and legislators that support your position.

7. Be a good listener. After you make your pitch, allow the member to respond. Be sure to bring the conversation back to the issue at hand if the conversation veers off in another direction or the member attempts to evade the issue.

8. Answer any questions to the best of your ability, but if you are unable to answer, admit it. Offer to follow-up with the information and do so promptly.

9. Answer a direct question to which the legislator can respond “yes,” such as, “Can we count on your support?” Press politely for a commitment unless the member is clearly opposed to making your position or to making a commitment.

10. Always thank the member for his or her time at the end of the meeting, even if he or she did not agree with your position.

11. Record any information regarding the member’s position or view immediately after the meeting.

12.  Always follow up with a prompt thank you letter.
