Empire State Cannabis Update: Takeaways from the First Round of Open Adult-Use Applications

IN LATE 2023 cannabis entrepreneurs looking to enter the New York market were given the first opportunity to apply for a slate of adult-use licenses without having to prove they met any eligibility criteria. For many, this first open application window was the culmination of nearly three years of waiting, planning, and recalibrating to the ever-changing industry landscape since the Marijuana Regulation and Taxation Act (“MRTA”) was passed in March of 2021. This application round was categorized by two phases: (1) adult-use retail dispensary and microbusiness applicants

who could prove immediate site control over real estate, who were asked to apply in a condensed 30-day window; and (2) cultivation (indoor only), processing, distribution, and provisional dispensary and microbusiness applicants, who had a longer, 60-day window to submit materials. Below we highlight a few lessons learned from this first nonconditional application window that we hope will guide future applicants.

QUEUED UP: YOU’RE IN LINE

Arguably the biggest surprise of this application window was the Office of Cannabis Management’s (“OCM”) introduction of

a randomized selection process by which it would review and award licenses. While many expected this first window to be a merit-based review system (i.e. the stronger the application, the more likely the applicant is to get licensed), instead, OCM created a lottery system. Specifically, after the application window closed and all applications were received, OCM worked with the NYS Gaming Commission to create a randomized process by which applicants were assigned a queue number, which number would dictate the order in which applications would be reviewed and licenses awarded. The higher the number, the greater chance an applicant would have at being licensed, so long as the applicant met all application criteria (e.g., actually proving site control via a lease or deed) or corrected application deficiencies within the window provided by OCM. Great – but how do I get a high queue number?

As required by New York’s Cannabis Law, OCM must attempt to issue at least half of available adult-use cannabis licenses to social and economic equity (“SEE”) applicants –those applicants whose ownership is comprised of at least 51% of any of the following: individual(s) from a community disproportionately impacted by prior cannabis enforcement, minorityowned or women ownedbusiness (“MWBE”),

distressed farmers, or service-disabled veterans. If an applicant could demonstrate SEE status, it received certain additional points awarded to its application that could help, but did not guarantee a higher queue number.

Okay – so what’s the takeaway from the queuing process?

Put simply – accessibility and equity. Instead of requiring hundreds of pages of application submissions detailing, among other things, security and employee training plans, OCM released a relatively straightforward application that required cannabis entrepreneurs to provide general personal and business information, certify they met basic compliance requirements and did not violate true party of interest (“TPI”) restrictions, and had control over the site they wished to operate at. Moreover, application fees were relatively low ($1,000) and cut in half for SEE applicants ($500).

As told by the sheer number of SEE applicants in the non-provisional dispensary (77%) and microbusiness (70%) round, OCM achieved, at least initially, its equity goals and has made the industry accessible to all demographics of cannabis entrepreneurs.

DEFICIENCY NOTICE AND THE 30-DAY GRACE PERIOD

The next big takeaway for applicants is that the application process does not end once you hit “submit” and pay your application

fee. On the contrary, it has only just begun. Pursuant to Section 120.20 of the Adult-Use Cannabis Regulations, OCM may issue a deficiency notice (“Notice”) which requests applicants to submit additional documentation or information, answer certain questions raised by OCM, or cure certain deficiencies in the documents previously provided by the applicant (e.g., lease agreements, labor peace agreements, vendor contracts, or corporate documents). These deficiency notices were quite common, especially for applicants in the non-provisional microbusiness and dispensary window, as OCM showed it was going over submissions, both application and the associated TPI disclosures, with a fine-toothed comb.

It has proved to be imperative that applicants who received a Notice take immediate action to prepare curatives (i.e., requested documentation, answers to questions or requests for information) because applicants have only 30 days to submit those required documents or information to OCM. If you miss the window, the email gets caught in your spam folder, or you simply thought your application process was over, you will risk giving up your coveted queue spot, and, accordingly, the chance at receiving a license.

That said, for those applicants who saw the deficiency emails, it provided both the applicant and OCM the opportunity to get to know one another and demonstrated that OCM has been more than willing to work with applicants on curing defects so long as applicants comply with the applicable

30-day grace period.

It wouldn’t be an Empire Cannabis Update if we didn’t touch on the notorious true party of interest (“TPI”) disclosures. In fact, even with the application period closing at the end of 2023, applicants may still find themselves working through the nuances of TPI disclosures. What are our biggest takeaways from the TPI disclosure process?

Clean corporate documents are non-negotiable. If and when your application gets selected from the queue, the clearer your TPI disclosure is (e.g., Operating Agreement, By-Laws, Organizational Chart), the better OCM can understand your entity’s structure, and the happier your OCM reviewer will be. The more digestible your entity’s structure is to your assigned OCM reviewer, the less room for questions there is (e.g., who the owners are, who is entitled to profits, etc.), the smoother the application process will be and the less back and forth you are likely to have.

As always, remember that OCM is vigilant in weeding out those entity structures that seek to circumvent the Cannabis Law’s prohibition on vertical integration. Applicants should tread lightly when setting up their ownership structures, and keep in mind that OCM has zero tolerance for attempts by applicants to receive profits from both supply and retail side operations (with the exception of microbusiness applicants).

CONCLUSION

In a nutshell, OCM’s first round of open-adult use applications was promising for SEE applicants, especially those who received a high queue number. On the other

hand, those with a lower queue number may feel less than optimistic that they will receive a license this round. However, these applicants should not throw in the towel just yet. Rather, they should remain vigilant in checking for communications from OCM and be prepared to move quickly upon receiving a Notice from OCM. Moreover, they should ensure that their TPI disclosure(s), and more specifically, their entity’s structuring, is easily understood. Finally, this is the first of many licensing rounds the OCM will roll out and

just because the queue dominated the dialogue this time, it is not necessarily indicative of what is to come in subsequent application windows.

I went to the greenhouses, dispensaries and offices to learn what these challenges and opportunities feel like, as experienced by industry insiders. THE LEGISLATIVE LABYRINTH

St. John’s journey from traditional accountancy to a dynamic role attuned to the cannabis industry’s compliance and regulatory requirements exemplifies the flexibility needed to thrive.

MARKET DYNAMICS: EVOLVE OR PERISH

The market dynamics are equally challenging and exciting. St. John, who started her business pre-MRTA in 2021, observed a gap in professional services for the cannabis industry.

There is no historical data to draw on.

What the Hemp? NY’s Confusing Hemp Regulations

DUE TO FEDERAL inaction on regulating cannabinoid hemp products like CBD, New York developed their own laws to govern the manufacturing, processing, and sale of hemp-based products.

Remember that hemp is cannabis with less than 0.3% THC content by weight. The New York State Office of Cannabis Management (OCM) oversees these regulations, requiring businesses to obtain licenses for processing and selling hemp products and the regulations set standards for manufacturing, laboratory testing, packaging, and labeling. The goal of these regulations being to help improve consumer safety and set industry standards.

One key aspect of these regulations is what products do and do not qualify as “cannabinoid hemp.” Hemp beverage companies, other product manufacturers, processors, and retailers have benefited from a

somewhat loose interpretation of what is hemp. For instance, a THC-infused beverage with 5mg THC per serving in an 8 oz can fulfills the weight based criteria to qualify as hemp. But the OCM believes this should not be the case and wants to limit hemp products to 1 mg per serving. The OCM issued emergency regulations to try and reign in the sale of these types of products.

The company, along with other plaintiffs, challenged the emergency regulations adopted by the New York State Cannabis Control Board and the OCM, which limited the amount of THC in hemp-based beverages. A New York state judge granted a preliminary injunction in favor of Cycling Frog, halting any enforcement. The court recognized the potential economic harm to businesses and the need for a balance between regulation and the industry’s viability.

Overall, New York’s cannabinoid hemp regulations aim to create a safe and regulated market for hemp products, balancing consumer protection with industry growth. But the Cycling Frog lawsuit and subsequent injunction highlight the ongoing challenges and debates surrounding the implementation and impact of these regulations on businesses.

SUCCESSFUL CONCLUSION OF THE SUNY CANNABIS CONFERENCE: SHAPING THE FUTURE OF CANNABIS EDUCATION AND INDUSTRY

THE STATE UNIVERSITY of New York (SUNY) Niagara concluded its highly anticipated two-day SUNY Cannabis Conference on January 10th, 2024, marking a significant milestone in advancing cannabis education and industry collaboration. Hosted by SUNY Niagara in partnership with SUNY Erie, Jamestown Community College, and Genesee Community College, the conference brought together diverse stakeholders to explore the latest trends, research, and opportunities in the rapidly evolving cannabis landscape. History was made on the first day of the conference with the first-ever National Cannabis Culinary Competition occurring, sanctioned by the American Culinary Federation (ACF). This took place at the Niagara Falls Culinary Institute (NFCI), located within walking distance of the Niagara Falls State Park in New York. SUNY Niagara and NFCI have dedicated the past few years to pioneering cannabis education. In 2021, NFCI became the first college to offer students the ability to earn an ACF Specialization Certificate in Culinary Cannabis and Edibles.

Other highlights of the day included keynote presentations from Tremaine Wright, the chairperson of the NY State Cannabis Control Board, and also the James Beard nominated Chef, bestselling author, cannabis culinary pioneer, and podcast host– Jordan Wagman.

The second day of the SUNY Cannabis Conference took place on the main campus of SUNY Niagara. Attendees had the opportunity to hear from internationally renowned medical cannabis doctors, and experts in cannabis genetics, and processing technology. Guests were also treated to a once-in-a-lifetime panel of 7 legacy pioneers from the cannabis industry, including Dan Herer from Jack Herer Brands, Tim Blake from the Emerald Cup, and Andrew DeAngelo co-founder of Harborside.
