PURPOSE & SCOPE

Purpose

This is the standard for our ongoing sustainability goals and shared values that we have regarding, human rights, ethics, environment, health and safety in the supply chain. It’s a governing document in which we expect our suppliers to follow our standards and values.

Scope

The FOGA system code of conduct must be signed and returned by our supplier.

Requirements

This Code of Conduct summarises the values and goals that everyone within Foga System shall work in accordance with, to create trust and good relations with colleagues, customers, business partners and suppliers. Our suppliers and other business partners are encouraged to inform their suppliers of Foga systems Code of Conduct.

Legal Requirements

We require that the business activities of our suppliers and other business partners always comply with the local legislation in the respective countries of operation. If the requirements under the Code of Con-duct differ from the national legislation in a country or territory, the legislation always prevails. In such cases, suppliers must notify Foga system immediately, before the Code of Conduct is signed.

All employees and commercial partners must comply with applicable laws, norms and regulations in the industry areas and countries in which we operate. This applies to our own production, how we treat our employees and how we handle our accounting, reporting and taxes.

Human Rights

We support and respect the United Nations Declaration of Human Rights and accepts our responsibility to uphold the rights of employees and society in our operations.

• We do not accept forced labour or modern slavery in any form.

• Employees must be treated with respect and dignity. We do not accept the use of offensive treat-ment or bodily punishment by our suppliers, their sub-suppliers or other business partners. No employees may be harassed or offended physically, sexually, psychologically, or verbally.

• No employees may be discriminated against in connection with recruitment or allocation of tasks based on marital status, gender, age, pregnancy, sexual orientation, skin colour, faith, political opinion, nation-ality, ethnicity, illness, or disability.

Child labour

Foga System do not accept forced or child labour and supports the UN convention on the rights of the child. No employee may be under the minimum age for employment. The company must take such preventive measures as required to ensure that the products we sell don´t come from companies that use child workers.

Trade unions

Foga system does not accept the use of disciplinary or discriminating measures by employers in relation to employees who organise themselves or who join an organisation for the peaceful protection of their statutory rights.

All employees have a right to a written employment contract in the language of the relevant country.

The terms of employment must be specified in the contract. The employer must ensure that all employees are informed of their statutory rights and obligations.

Salaries must be paid regularly and in a timely manner.

We respect the employees’ right to form and join the trade unions they wish to and to negotiate collectively.

Environment

We provide open and factual information about our environmental work to employees and other stakeholders. Our goal is to reduce the company’s direct and indirect environmental impact

We also expect our suppliers to operate in line with our environmental policy.

Ethics & Morals

Our ambition is to constantly exceed the requirements that customers and other stakeholders place on the quality of our services/products. We also keep our promises in customer relationships but also with respect to internal work. We conduct our operations with a high degree of integrity and morality and follow our high ethical standards. We also take responsibility for our actions.

All employees must be aware of and follow our purchasing guidelines, but also take responsibility for our costs as far as possible.

To maintain our business ethics, we must never act in violation of applicable competition laws, e.g., by abusing a dominant position, participating in illegal industry cooperation, such as by forming a cartel or being involved in counterfeiting goods.

We also consider confidentiality when carrying out our work and we ensure that no unauthorised per-sons or companies are allowed to access confidential information internally or from our suppliers. We all behave in an ethically defensible manner.

Bribes & gifts

We are committed to the rules governing free and fair competition and complying with all laws regard-ing competition. We expect all suppliers to Foga system also comply with all competition laws and regulations.

Suppliers to Foga system must comply will all valid and applicable laws when importing and export-ing goods and services.

Suppliers shall directly or indirectly offer, promise, accept or receive bribes, facilitation pay-ments or other undue advantages in the purpose to obtain advantage in business.

Health and Safety

We require our suppliers and other business partners to always prioritise their employees’ safety. We do not accept the use of hazardous equipment or operations in substandard buildings. The workplace premises must be maintained and cleaned regularly and offer a healthy working environment.

Employers should actively prevent that employees are injured in accidents at the workplace. Risk assess-ments of hazards must be documented and control measures for unacceptable risks implemented. All employees shall to perform the tasks that are required of them.

All employees at the workplace, including managers and other staff, shall receive regular training in how to act in case of a fire or other emergencies. Evacuation drills should take place regularly together with all employees. Evacuation plans and fire safety equipment must be free for residents.

Work environment

Foga System strives to create a supportive work environment where cooperation, individual responsibility, innovation and high performance are important core values. The company complies with rules and laws re-garding health and safety and all employees are expected to take their responsibility to ensure that the work-places are safe for themselves and their colleagues.

We respect that all employees need a healthy balance between work and leisure.

The competence of all employees is an important asset, and the company wants to allow everyone to develop individually.

Inspections & Compliance

Foga systems expects all suppliers and other business partners to respect the Code of Conduct and make their best efforts to comply with its requirements. We also expect our suppliers and other business part-ners to be transparent. We believe in cooperation and will be happy to cooperate with our suppliers and other business part-ners to achieve sustainable solutions and support suppliers and other business partners who comply with our Code of Conduct. Please report any breaches of Foga systems Code of Conduct immediately to Foga system. All suppliers and other business partners must notify Foga system continuously of where each product is manufactured. This information must also comprise sub-suppliers. Relevant documents must be saved and presented in case of an audit.

We reserve the right to make unannounced visits at any time at any entity that manufactures goods or per-forms services on behalf of Foga system. We also reserve the right to hire an independent third party to car-ry out audits and to assess compliance with our Code of Conduct.

Systemic Approach

To comply with Foga systems Code of Conduct and local labour law and environmental regulations, our suppliers and other business partners should have policies and management systems in place re-quired in relation to their operations.

Foga systems Code of Conduct applies to our companies, direct suppliers, other business partners and producers of goods and services on behalf of Foga system. However, we expect our suppliers and other business partners to impose similar social and environmental requirements on their own suppliers.
