Report says the chain’s new owner Cracker Barrel will open two stores on Sunday as a test.
When Cracker Barrel Old Country Store Inc. bought Maple Street Biscuit Company in October, it promised to leave Maple Street’s restaurant operations basically intact. However, C.L. King & Associates analyst Todd Brooks said in a research report last week that Cracker Barrel is considering one major change for Maple Street’s 33 restaurants: opening on Sundays. When Cracker Barrel bought Maple Street for $36 million, it said it was targeting annual sales of about $1 million per restaurant and earnings before interest, taxes, depreciation and amortization of at least 17% of sales. “Currently, the MSBC units are not at these targeted economics, but they are also currently closed on Sundays,” Brooks said in his report.
“Cracker Barrel will test opening two of the units on Sundays to confirm if the additional operating day will quickly get the concept to the targeted unit economics,” he said. As a private company, Maple Street had not reported financial data, but Cracker Barrel’s latest quarterly report showed Maple Street’s business produced about $3.9 million in sales for the quarter. Brooks also said in his report that Maple Street CEO Scott Moore and other executives are relocating from their corporate office in Orange Park to Cracker Barrel’s headquarters outside of Nashville, Tennessee. Cracker Barrel CEO Sandy Cochran said during the company’s quarterly conference SEE BASCH, PAGE 6
The prospect of selling Jacksonville’s customer-owned utility has been discussed every few years since 1968, when the city Electric Department became the Jacksonville Electric Authority as part of the consolidation of city and Duval County governments. The latest attempt led to major changes in leadership at what now is called JEA. Its board halted sales talks Dec. 24. Here’s what happened the past 25 months.
SUGGESTING PRIVATIZATION
On Nov. 28, 2017, at his final meeting as a member of JEA’s board of directors, businessman Tom Petway asked: Would JEA’s customers and the people of Jacksonville be better served if the utility was privately owned, and whether JEA and the city should consider the financial benefits that would come from privatization? The following January, JEA staff began a “strategic planning process” that led to issuance of an “invitation to bid.” That procurement process is similar to a request for proposals or a call for bids, but with more SEE JEA, PAGE 4

Rowe’s renovating former Deerwood Winn-Dixie Aldi to Durbin Creek Crossing: St. Johns County is reviewing an application for construction of an Aldi supermarket in Durbin Creek Crossing at southwest Race Track Road and St. Johns Parkway. The 19,209-squarefoot store is planned on 2.26 acres. It is the 12th site open or proposed in Northeast Florida for the Germany-based discount grocery chain. The Ferber Co. is developing Durbin Creek Crossing.
KAREN BRUNE MATHIS EDITOR
The supermarket chain is seeking a $1.6 million permit to remodel the store’s interior. A year after buying the property, supermarket operator Rob Rowe is starting 2020 by renovating the former WinnDixie store in Deerwood into a Rowe’s IGA Supermarket. Rowe applied to the city for a permit to remodel the store’s interior at a cost of $1.6 million. The 58,000-square-foot store at 9866 Baymeadows Road was built in 1986 and closed in 2018 as part of the Southeastern Grocers Inc. bankruptcy restructuring. Winn-Dixie is a Southeastern Grocers banner. Rowe said Dec. 26 that he did not have a specific timeline for the project. “We are waiting on the permit and the schedule will follow,” he said. Rowe said he will invest $4.5 million in “a total retrofit of the space.”

Rob Rowe owns Rowe’s IGA Supermarkets with five stores in Jacksonville and Orange Park. Two are in development in Deerwood and in Northwest Jacksonville.
“We are doing a full remodel replacing everything inside the location, new front, new loading dock, new parking lot” and landscaping, he said. Plans show deli, meat, seafood, bakery, produce and wine departments as well as general groceries. A seating area with tables is shown near the front door. Like other Rowe’s stores, it will be full-service but without a pharmacy. Dzyneconcepts LLC of Jacksonville is the architect. Williams & Rowe Co. Inc. is the contractor. Rob Rowe is not related to Williams & Rowe. Through Rarre LLC, Rowe bought the closed store in February for $3.7 million. At the time, he said he was assessing what to do with it. Rowe said in October he
decided to open the Baymeadows store and expected to do so in the first quarter of 2020. Rowe said he expects to hire at least 90 people. Rowe’s IGA Supermarkets, operates five stores in west, northwest, north and south Jacksonville and in Orange Park. The IGA brand serves independent grocery chains. The stores are at 8595 Beach Blvd., 5435 Blanding Blvd., 6765 Dunn Ave., 8299 W. Beaver St. and at 1670 Wells Road in Orange Park. Rowe also intends to open a Rowe’s IGA Supermarket in the former Harveys Supermarket at 1020 Edgewood Ave. N. in Commonwealth Shopping Center in Northwest Jacksonville. Harveys also is a Southeastern Grocers banner.
Publix to RiverTown: Publix Super Markets Inc. paid $3.4 million for property in the Shoppes at Rivertown, buying the land from Helow Properties Ltd. Mattamy Homes announced in 2019 that a 54,000-square-foot Publix will anchor the commercial development it will launch at RiverTown along the St. Johns River in St. Johns County. Publix in Riverside: Elkins Construction LLC is the contractor for the proposed renovation at Publix Super Markets Inc. at 2025 Riverside Ave. for a 1,300-square-foot wine and spirits section. It’s shown as a $130,000 build-out.
Southeastern Grocers closed the Deerwood Winn-Dixie and Commonwealth Harveys, along with more, in spring 2018 as it restructured under bankruptcy laws. City Council enacted Ordinance 2019-767-E on Nov. 26 appropriating $750,000 to open Rowe’s at the Commonwealth site. The Northwest Jacksonville Economic Development Fund supermarket incentive program will provide the money to Commonwealth Commerce Center landlord Saglo Development Corp. for the 49,000-square-foot project. The program is designed to serve customers in what are considered urban food deserts,

where there isn’t a grocery store within a mile. Miami-based Saglo and Rowe plan a $3.5 million renovation of the Harveys store, parking lot, signage and landscaping. Rowe said there isn’t a fullservice grocery store within 2 to 3 miles of the location. Rowe said he is in the early stages of the Edgewood project and will know more after the holidays. He said he is working on the plans and will seek permits “to set things in motion.” KMATHIS@ JAXDAILYRECORD.COM @MATHISKB (904) 356-2466

Turnover at JEA
CONTINUED FROM PAGE 1
As of noon Dec. 31, in addition to former CEO Aaron Zahn, who was terminated without cause Dec. 17, four other JEA officials had left the utility during the month:
flexibility in terms and conditions. Responding to the public’s reaction, City Council, unanimously approved a measure April 10, 2018, to place the question of how Council might authorize the sale of more than 10% of JEA’s assets on the ballot in the next general election. Voters went to the polls Nov. 6 and approved a nonbinding straw measure. Three weeks later, Council enacted an amendment to the City Charter to require approval of a referendum to authorize the sale of more than 10% of the utility.
On Dec. 2, board member Andy Allen resigned less than six months into his four-year term, citing increased demands from family and business responsibilities.
LEADERSHIP: THE RISE AND FALL OF AARON ZAHN
In February 2018, Aaron Zahn was appointed to the JEA board by Mayor Lenny Curry to replace Petway. Two months later, Paul McElroy, who had been with JEA as CFO and then for six years as CEO and managing director, stated he would not renew his contract that was set to to end in September. McElroy said he would immediately step away from dayto-day operations. The board appointed CFO Melissa Dykes as Zahn interim CEO. Two days after McElroy announced his departure, Zahn resigned from the board and stated his intention to compete with Dykes to be interim CEO. At its April 17 meeting, the board selected Zahn over Dykes as interim CEO and managing director, effective immediately. Zahn’s first action was to appoint Dykes as chief operating officer, in charge of day-to-day operations. A search firm was engaged to recruit a permanent CEO and on Nov. 27, Zahn was
Lynne Rhode, former city assistant general counsel and JEA vice president and chief legal officer, resigned Dec. 19. She accused attorneys in the city Office of General Counsel of “extremely inappropriate and dishonest” behavior during a fact-finding meeting into her role in the approval of a JEA employee bonus plan that later was rescinded by the board of directors.
chosen over two other candidates. Zahn’s performance came under scrutiny soon after his appointment and calls for his removal led to his termination without cause on Dec. 17, 2019. He remains on paid administrative leave, pending the outcome of severance compensation negotiations that remained unresolved as of Dec. 31, despite the board putting a Dec. 30 deadline on that process when Zahn was terminated. INVITATION TO NEGOTIATE
At the May and June board meetings, while he was interim CEO, Zahn reported that JEA would have to lay off about
Former Vice President and Chief Government Affairs Officer Sherry Hall resigned Dec. 27. She said in her resignation letter she accepted a position in the Duval County Tax Collector’s Office, where she was chief administrative officer before joining JEA in July.
one-third of its workforce and raise electric rates by more than 25% if the utility remained publicly owned. The cuts were part of a “Strategic Planning Overview” report prepared by JEA and McKinsey & Co., a consulting firm hired by the utility in September 2018 to assist with the strategic plan. On July 23, the board voted to allow Zahn to begin an invitation to negotiate with private companies that could lead to the sale of the utility. The invitation released Aug. 2 included a “cone of silence” to keep the bidders’ identities and offers secret until the top bid was selected.
Former JEA CFO Ryan Wannemacher was terminated without cause Dec. 27. Wannemacher waived his right to a three-month separation agreement and agreed to appear voluntarily to be questioned under oath by city attorneys and investigators
JEA announced Oct. 14 that nine private companies would move into negotiations to possibly purchase the utility. PUSHBACK FROM THE PUBLIC
With public pressure growing for transparency, JEA revealed the identities of eight of the nine companies, including the parent company of Florida Power & Light Co. On Oct. 28, City Council announced it would hold public hearings to examine the possible sale and that it would appropriate $1.85 million to retain an independent law firm to advise Council on the matter.

Jacksonville Civic Council CEO Jeanne Miller appeared at the Nov. 6 hearing to refute JEA’s claims of financial distress and said there was insufficient evidence to warrant the sale. The Council Auditor issued a memo Nov. 18 warning that a stock option-style Long-Term Performance Unit Plan for JEA employees, enacted by JEA’s board along with the invitation to negotiate, could cost the city more than $600 million if the utility was sold. The next day, Zahn notified Council President Scott Wilson that he would recommend to the board at its next meeting that the plan be rescinded. The board did rescind the plan, the same day it terminated Zahn, who was represented at the meeting by his attorney. ‘END THIS NOW!’
Public skepticism of selling JEA grew during the invitation to negotiate process. Former Mayor Jake Godbold took out full-page ads in late November in the Jacksonville Daily Record and The Florida Times-Union. In an open letter to Council, Godbold criticized Curry and JEA Curry for considering selling the utility and asked Council for a no-confidence vote in the board and Zahn. Godbold suggested that the board and Zahn be removed and he blamed Curry for replacing former board members with “hand-picked cronies” with the specific purpose of selling the utility. “End this now! Don’t be on the wrong side of history. And, for God’s sake, don’t fail Jacksonville,” Godbold wrote. On Dec. 23, at the end of a news conference called to award a scholarship to Florida State College at Jacksonville’s Fire Academy of the South, Curry revealed he had asked JEA board Chair April Green
the day before to end the ITN process. Within hours, the board noticed an emergency meeting at 9 a.m. Dec. 24. By the time the meeting adjourned about an hour after it began, the ITN was rescinded and JEA pledged to make all of the related documents open to the public. WHAT’S NEXT?
Questions remain about the privatization process and the actions of those involved. On Dec. 11, Isaiah Rumlin, president of the Jacksonville branch of the NAACP, called for a federal investigation of the ITN. On Dec. 15, Council member Matt Carlucci asked for a grand jury investigation. The Jacksonville Civic Council sent a letter to city and state officials Dec. 17 calling for a grand jury investigation into the invitation to negotiate, Zahn and city officials who were involved in the process. State Attorney Melissa Nelson said Dec. 18 that she was “looking into” matters involving JEA. Asked for an update, the State Attorney’s Office responded Dec. 31: “The last public update was the comment from a couple of weeks ago.” On Dec. 23, Rumlin sent a letter to Nelson urging her to open a criminal investigation into the matter. After the ITN was canceled Christmas Eve, Council President Scott Wilson said he supports Council conducting a public investigation with full disclosure of documents and witnesses testifying under penalty of perjury. “There’s an expectation that that’s going to happen. It’s important for the Council to get to the bottom of this,” Wilson said. “The great thing about the Council doing it is that it will be in the sunshine so the public will get a strong understanding about it as well,” he said.

call in November that the Maple Street team would be moving, but Maple Street and Cracker Barrel officials did not respond to phone messages seeking more information on the move. Brooks, who initiated coverage of Cracker Barrel with a “neutral” rating, said the company bought Maple Street as part of a new Brooks growth strategy. “The Cracker Barrel concept itself is mature, as evidenced by the fact that the company plans to open just six new locations in fiscal 2020; there is simply not much more unit growth left to the brand beyond the roughly 1% per year that we are seeing,” he said. “Management has thus made the decision to pursue new growth opportunities for the company with the acquisition of new brands with room for unit growth,” he said. Maple Street is a good fit because it “shares the same focus on made-from-scratch cooking and hospitality that Cracker Barrel has long been known for, but the brand positioning is more targeted to the millennial and Generation Z customer,” Brooks said. “On balance, we are positive on the acquisition, as the brand and cultural fit seem to both be in place.”

Fund that targeted Rayonier AM closing Rayonier Advanced Materials Inc. was the worst performing stock among Jacksonvillebased public companies last year, dropping 65% through last weekend. That followed a 47% drop for Rayonier AM in 2018, as the maker of cellulose specialty products has been hurt by price declines in its markets. The poor performance likely contributed to the demise of an activist hedge fund. Marcato Capital Management L.P. is closing “as assets have shriveled after two years of poor returns,” Reuters news service reported last week, citing unnamed sources. One of its assets was Rayonier AM. Marcato, which was known for waging proxy fights to get directors elected to public company boards, began buying shares of Rayonier AM in late 2017. Although the firm never publicly stated its intentions for the maker of cellulose specialty products, Rayonier AM avoided a fight by agreeing to put a Marcato representative on its board in February 2018. Marcato partner Matthew Hepler joined the board in May 2018 but resigned a year later, without any comment from Marcato or Rayonier AM. Marcato last spring controlled about 2.35 million Rayonier AM shares, or 4.7% of outstanding shares. The stake was reduced to 1.3 million shares in August, according to Marcato’s quarterly filing with the Securities and Exchange Commission, and its last filing in November showed no Rayonier AM shares.
Reuters said Marcato has been selling assets to raise cash to meet requests for redemptions from investors.
Staffing firm GEE Group reports loss Jacksonville-based staffing company GEE Group Inc. last week reported a net loss of $17.8 million, or $1.50 a share, for the fiscal year ended Sept. 30. Revenue fell 8% to $151.7 million. The company said in a news release the lower revenue resulted from a “reduction in the number of marginally performing and underperforming full time employees in sales, recruitment and account management coupled with certain office consolidations.” CEO Derek Dewan said in the release GEE Group is continuing a plan to streamline operations and increase productivity. “We will continue to build on the progress made in fiscal 2019 and we expect to obtain some additional operational efficiencies and economies of scale in fiscal 2020. The cost savings expected, coupled with our anticipated revenue gains, will help GEE significantly improve its bottom line in fiscal 2020,” he said. GEE Group also will pursue “strategic” merger and acquisition opportunities, he said. Dewan said demand for the company’s staffing services is high. “We anticipate that the strong employment environment experienced in the last several years will continue as we enter 2020,” he said. “The widespread use of contingent labor, coupled with
continued requirements for full time hires, will continue to benefit the staffing industry and GEE. Macroeconomic conditions are anticipated to be conducive to the continued growth and profitability of our sector and our company.”
Michaels again names a new CEO The Michaels Companies Inc. shook up its top management Dec. 27, announcing a new CEO for the second time in less than a year. The Texas-based arts and crafts retailer, which has a distribution center in Jacksonville, said former Walmart executive Ashley Buchanan will become CEO on April 1. Buchanan Buchanan will succeed Mark Cosby, who was brought in as interim CEO in February and became the permanent chief executive in October. Michaels also said Chief Financial Officer Denise Paulonis is leaving at the end of January. Like other brick-and-mortar retailers, Michaels has been struggling to grow sales. Comparable-store sales (sales at stores open for more than one year) fell 1.7% in the first three quarters of fiscal 2019 and it projects full-year comparablestore sales to be down 2%. The company’s stock rose $1.98 to $8 Friday after the announcement. MBASCH@ JAXDAILYRECORD.COM

Cecile Evans Rider comes home to Rogers Towers
Bar foundation pays off loan early
MAX MARBUT ASSOCIATE EDITOR
Rider is the granddaughter and namesake of Cecil Bailey, whose name was once on the door of the law firm.
Special to the Daily Record
Attorney Cecile Evans Rider, who left what is now called Rogers Towers in 2004, has returned to the firm.
Attorney Cecile Evans Rider said when she returned in November to the Rogers Towers law firm, it brought back memories and it “felt like coming home.” Rider is the granddaughter and namesake of Cecil Bailey, who was admitted to The Florida Bar in 1927. In 1941, 36 years after Toomer & Reynolds, predecessor to Rogers Towers, was established, Bailey joined and the name on the door changed to Rogers Towers and Bailey. Rider, who grew up in Melbourne, said she remembers visiting her grandfather at the law firm long before she enrolled in Stetson University College of Law, Cecil Bailey’s alma mater. “When we came to Jacksonville, it was like going to the
big city. We’d go to where my grandfather worked at the Gulf Life Building, and I ran up and down the halls at his office,” Rider said. Cecil Bailey was president of the Jacksonville Bar Association in 1943-44. He had an office at the firm until his death in 1992. “That was when named partners got to stay as long as they wanted to,” Rider said. None of Cecil Bailey’s children became lawyers and Rider said she’s the only grandchild who went to law school. “I was maybe his last hope,” she said. After graduating from law school and being admitted to The Florida Bar in 1981, she
joined the firm, then Rogers Towers Bailey Jones & Gay. Rider left the firm in 2004 to begin five years as general counsel of her family’s real estate business in Brevard County. Then, after a period of what Rider calls “semiretirement,” she reached out to Rogers Towers to rejoin the firm, and was welcomed back in November. Her daughter, Bailey Rider, is enrolled at Florida State University College of Law and is treasurer of FSU’s Trial Team. Cecile Rider said Cecil Bailey’s great-granddaughter probably won’t practice real estate law like her mother when she’s admitted to the Bar, after working while in
The Florida Bar Foundation in December paid off its $6 million loan from The Florida Bar 22 months early. The loan, approved by the Bar’s board of governors in 2014, was to help the foundation continue its mission of providing greater access to justice at a time when foundation reserves had been depleted after years of historically low and stagnant interest on trust account revenue. The terms of the loan required the foundation to use $2 million of the loan to fund the startup of the Florida Justice Technology Center and other technology projects, resulting in the development of several statewide websites and technology products including FloridaNameChange.org, Turning18.org, FloridaLawHelp.org and FLARE (Florida Legal Assistance at Reduced Expenses). The $4 million dollar balance was used to support existing grant programs. With the final payment of all principal and interest due on the loan, the foundation effectively reduced its multiyear obligations/total assets ratio
from 12.8% to 2%. The Florida Bar Foundation is a nonprofit with the mission to provide greater access to justice. Through grants, it funds local and state civil legal aid organizations and projects to improve the administration of justice and increase the effectiveness and efficiency of the legal aid delivery system. The foundation also invests in training, technology, technical assistance, assessment and capacity-building for legal aid and works to develop and expand pro bono initiatives. TECHNOLOGY PRO FROMBONO THE PRESIDENT
Understanding the legality of installing a ‘granny cam’ There are considerations for surveillance in the health care setting.
R. CHRISTOPHER DIX JBA LEGAL TECHNOLOGY COMMITTEE CO-CHAIR
Internet-connected video cameras are becoming prevalent, from doorbells to street corners. But what about when this technology intersects with a health care setting? Many families have considered installing a webcam in a loved one’s room at a skilled nursing facility. These so-called “granny
cams” can provide opportunities for family members to interact with their loved one if they are out of town or not able to visit in person on a consistent basis. Granny cams also can provide peace of mind for family members that are concerned about improper care or abuse. For skilled nursing facilities and other health care providers, there is a different set of considerations because the presence of protected health information requires consideration of the
Health Insurance Portability and Accountability Act, as updated by the Health Information Technology for Economic and Clinical Health Act. These laws generally require the protection and confidential handling of protected health information by health care providers, but not patients. The video surveillance considerations facing health care providers can be vastly different than the considerations facing patients and their family members.
THE PATIENT PERSPECTIVE
Patients and families typically are motivated to install granny cams for convenience and to alleviate concerns about abuse or improper care. Families may think secrecy is a clever workaround when health care providers prohibit cameras, but installing a hidden camera in a loved one’s room (rather than disclosing its presence) could violate laws. Why don’t lawyers in private practice retire? Is it because they just love what they do?
Do attorneys really retire when they retire?
MICHELLE BEDOYA BARNETT JBA PRESIDENT-ELECT
The time to plan your postpractice relevance is now. When was the last time you attended a lawyer’s retirement party? I have attended lots of birthday parties, celebratory dinners and other gatherings for lawyers in their 60s, 70s, 80s and even 90s, but I have attended only one retirement party and I can attest that the lawyer wasn’t really retired. With the talk of lawyer mental health and the stress of the profession, you would expect people to be retiring in droves. I haven’t reviewed any empirical data, but I am litigating against someone well into their 70s and have litigated against a lawyer in his 80s. I also regularly work with mediators in their 70s and 80s. I think it begs the question: Why don’t lawyers in private practice
retire? Is it because we just love what we do? Is it because we’d like to stay happily married? Is it because we haven’t saved enough money to retire? Is it because we’ve never stopped the hamster wheel long enough to figure out what we would do in retirement and how we would spend our time? Is it because we as lawyers have the need to feel relevant and practicing law fills that need? In a previous Bar Bulletin, I wrote about taking a sabbatical and the joy and stress of planning for it. I’m happy to report that my sabbatical was awesome, wonderful, healthy and more necessary than I ever imagined. I ran out of time and am already looking forward to my next sabbatical. It also gave me the tiniest glimpse into retirement. I liked it. In fact, I loved it. I was still a lawyer while on sabbatical and lawyered in many ways, but I wasn’t billing time or responding to clients. I took care of myself during this season. Despite being middle-age and still having some time until retirement, it is a subject I have been thinking about a lot. I want to make sure that when the time comes, I am ready. I suggest that there are two main reasons why lawyers don’t retire: First, they can’t afford to do so. Second, they need to feel relevant. Regardless of your age, the time to start planning financially for retirement and the time to start managing your relevance is now. My involvement in the Jacksonville Bar Association has very

much nurtured my need to feel relevant over the years. I’ve received great personal satisfaction in planning events, providing input and participating in service projects. There are so many ways to be involved in our profession and in our community that do not involve the traditional practice of law. Some of us coach our kids’ ball teams, others serve on nonprofit boards. Others participate in prison ministries or are active in their places of worship. Some of these opportunities evaporate as our kids grow older or as we progress in life, yet other opportunities come along. Whether it’s through the JBA or elsewhere, we as lawyers have so much to offer our community. We are relevant. How will you set yourself up so that you feel relevant in retirement? The people that I know outside of our profession who are retired and happy have found a way to reinvent themselves and remain relevant. They are teaching, they are giving, they are remodeling, they are growing and they are continuing to learn. Travel, reading, golfing, cooking and gardening might help fill our time. I challenge you to start thinking about what you will you do to not only stay busy during retirement, but to stay relevant. COMMENTARY FROM THE PRESIDENT
Beware of pitfalls in assisted living facility and nursing home contracts Jorgensen
Hickman
Don’t relinquish your right to be heard in court. BY MIKE JORGENSEN & ALISON HICKMAN JBA ELDER LAW COMMITTEE CO-CHAIRS As elder law attorneys, we often hear stories from our clients and their families about dealing with facilities where they are placed, such as an assisted living facility or a nursing home. Both have a similar goal: To care for people who need help with activities of daily living. An ALF is appropriate when a person needs some help, but not constant supervision. When a person begins to need a lot of help, a doctor may recommend long-term care for the person, and a nursing home is the appropriate type of facility. Whether you or your loved one are entering an ALF or a nursing home, both will require a contract to be signed regarding care, payment and other important policies and agreements. All too often, attorneys meet with the client or their representative after the agreement has been signed and it is too late to advise the client on the potential pitfalls of the contract. Here are some tips for anyone who may be entering into a facility or who is assisting a loved one in the process: First, it is important to understand the way the facility is to be paid. ALF’s can range from a fee of $3,000 to $7,000 per month, depending on the amenities offered, the room size and the amount of assistance the person needs. A resident in a nursing facility can pay between $250-$400 per
Special to the Daily Record

day for care, which amounts to $7,500 to $10,000 per month. Health insurance, including Medicare, does not pay for assisted living or nursing home care. Many residents cannot afford to pay that much per month, so they file for Medicaid assistance. Make sure you understand who is to pay the bill – it should be the resident only. Many facility contracts ask a family member to guaranty the payment in case the resident cannot pay. The guaranty of another person is not required to enter a facility. Under no circumstances should the person assisting a resident give his or her Social Security number to the facility. The guaranty form typically will be part of a large package of documents anywhere from 20 to 100 pages. The resident should
sign the paperwork if possible, and if not, a person who has a valid durable power of attorney should sign for the resident, for example, “John Doe, by Jane Doe, AIF” in order to obligate the resident to pay and not the person assisting them. If there is no durable power of attorney, a guardianship may have to be filed over the resident to allow the guardian to sign the contract for the ward. Second, beware of signing an arbitration clause. Arbitration is a method of alternative dispute resolution that does not go to court, so those participating in arbitration do not get to plead the case to a judge or a jury. The arbitrator will listen to both sides and dictate a decision much like a judge would, which has to be followed by both parties. It often is alleged that
arbitrators prefer the facilities in their decisions to the detriment of the residents. Some facilities may require an arbitration clause to be signed to become a resident, but at least ask if you can strike that clause from the contract before signing and potentially losing the chance to be heard in court in the event of a dispute. In addition, if you are signing the contract for someone else, check the durable power of attorney to see if you even have the power to sign a binding arbitration agreement on the principal’s behalf. Finally, always make sure you read and understand everything you are signing. Do not let the facility rush you to read and sign the contract unless you understand its terms. It can be overwhelming to
read, understand and sign a contract with a facility, and it often happens at a stressful time. If you have questions or already have signed a contract and want to find out if it is enforceable, we encourage you to meet with an elder law attorney to help you understand the contract and its terms. Knowledge is power. Protect yourself and your loved ones and preserve the right to be heard in court. Mike Jorgensen is the managing partner of Senior Counsel Attorneys at Law, focusing on estate and longterm care planning. Alison Hickman of Grady H. Williams, Jr., LL.M., Attorneys at Law P.A. practices elder law.

COMMENTARY FROM THE PRESIDENT
PROFESSIONALISM: A MATTER OF PRIDE JIM NOLAN JBA PROFESSIONALISM COMMITTEE CHAIR Those of us fortunate enough to live and practice in Northeast Florida often comment anecdotally that there seems to be a higher sense of professionalism in our corner of the state than in areas further to the south. Perhaps that perception is not scientifically accurate, but it is certainly widespread and commonly expressed. My law firm has offices throughout the state. I know that my partners in Orlando, Tampa, Boca Raton, Fort Lauderdale and Miami certainly sense a level of professionalism in their practices. And yet even with that awareness, I remain very proud of the Bar in Northeast Florida for its
outstanding level of professionalism. What fosters our heightened sense of professionalism here, and how do we ensure that it continues to thrive? Certainly one factor that contributes to professionalism is our mutual knowledge and respect for our fellow lawyers. The French use the term “connaissance” to mean a knowledge and familiarity of someone derived from experience. Our relative connaissance of each other certainly leads to improved professionalism in our everyday practice. This sense can be enhanced through increased interaction with other lawyers. Participation in Bar activities as well as community and civic volunteering can increase our awareness, familiarity and respect for other lawyers. Perhaps the relatively small size of our Bar contributes to our sense of professionalism, although I am reluctant to suggest that Bar population is relevant to professionalism. There is something to be said for practicing with lawyers that we know. The thinking is that we are less likely to treat an opponent rudely when we know
we must face that lawyer in the future. I believe most lawyers have a stronger motivation to treat others as they would like to be treated. They are not driven by the purely self-serving motivation of being kind out of a concern for future interactions. Some people believe there is a cultural explanation for the increased sense of professionalism in our area. After all, they explain, we have better manners, or we aren’t as rude as lawyers in South Florida. Maybe “reputation” is more important here than elsewhere – that would certainly impact a sense of professionalism. The willingness of our judiciary to interact with and get to know the members of the Bar certainly builds familiarity among lawyers and judges, and more importantly, fosters a profession wherein one’s reputation is valuable. Bend the truth with a judge once and you will learn the importance of a good reputation. People know you from what you do, but also from what they have heard you’ve done (which may not always be quite as accurate). We all know that a juicy tale of a lawyer’s unprofessional behav-
Some thoughts on why we’re so collegial in Northeast Florida.
ior tends to travel quickly. Every interaction with a judge or attorney affects a lawyer’s reputation and provides a new opportunity to build a strong reputation for being trustworthy, dependable, honest, and kind. To achieve a broader sense of professionalism in your practice, engage in various Bar activities. Meet other lawyers who practice in the same area of law and get to know them. This will provide personal awareness and knowledge of lawyers with whom you likely will practice, and it also will provide a resource of other competent lawyers in your practice area from whom you can seek advice and gain insight and experience. Volunteer in religious or community activities. As you meet lawyers with diverse practice areas, you may find that professionalism crosses practice area lines. Finally, be cordial with opposing counsel. As a young lawyer, I litigated a fairly complex probate and guardianship matter against a much older and seasoned attorney. At the end of the litigation, having obtained a very favorable outcome for my client, and feeling quite proud of myself for out-dueling the more experi-
enced attorney, the wise lawyer came over to me in private and graciously offered, “I just want to say that it was a pleasure litigating this matter with you.” With that, he turned and walked away. All sense of competitiveness, animosity and the burning desire to win vanished, and it was replaced with a sense of kinship within this important profession. I have litigated against that attorney several times over the years, and although I didn’t win them all, it was always an honor to work with him. Send a short note or offer opposing counsel a handshake after your next matter concludes and say, “It was a pleasure working with you.” Hopefully, with these steps, some chair of the Jacksonville Bar Association Professionalism Committee many years in the future will be asking “Why does it seem that we have such an elevated level of professionalism here in Northeast Florida?” Jim Nolan is a shareholder with GrayRobinson and focuses on corporate transactions, estate and tax planning, trust, probate and guardianship administration.
PRO FROMBONO THE PRESIDENT
Make 2020 your year for pro bono service
MISSY DAVENPORT JBA PRO BONO COMMITTEE CHAIR
Help make someone’s life better by volunteering. As attorneys, we have a professional responsibility to engage in volunteer service to our community. The provision for pro bono service is outlined in Florida Bar Rule 4-6.1 Pro Bono Public Service. It sets an aspirational goal
for each attorney to provide at least 20 hours of pro bono legal service to the poor or make a monetary donation to a legal aid organization. We state our commitment to legal services for all in our Oath of Attorney: “I will never reject from any consideration personal to myself, the cause of the defenseless or oppressed.” Many of us went to law school to make a difference and we want to help others. We all need to make a living, but we also want to help make someone else’s life better along the way. Pro bono service is the right thing to do and it also happens to be good business. Pro bono work provides professional development and networking opportunities and can be an effective marketing tool. There are many resources available when you participate in pro bono projects and cases through legal services organiza-
tions. You are covered by the legal services law firm’s professional liability insurance, CLE training webinars are available for many topics and you can be paired with mentors or expert resources. Many of you are active in the pro bono community and we thank you for your time, dedication and commitment. For those of you who are ready to get started with pro bono, there are many ways to get involved. Our goal is to find the right project or case for each volunteer’s interests, expertise and availability. If you are looking to get involved in a case from start to finish, there are many available for full representation in areas such as family law, bankruptcy, last will and testament creation, immigration and probate. If you are interested in participating in a one-day or limited representation clinic or a com-
munity outreach event, there are many projects to choose from throughout the year. We have weekly clinics, such as Jacksonville Area Legal Aid’s Eviction Defense Self Help Project. Every Wednesday afternoon at JALA, volunteer attorneys assist tenants of private landlords with rental conditions issues and evictions. There are monthly clinic opportunities, including the Pro Se Bankruptcy Clinic, where pro se litigants are provided free legal guidance by volunteer bankruptcy attorneys; the Advance Directives Clinic, where volunteer attorneys and paralegals prepare power of attorney, living will and health care surrogate documents for low-income clients; and Family Law Group Information Clinics where volunteer attorneys provide an overview of the procedures for filing for divorce, child support modification and timesharing.
Ask A Lawyer events are scheduled several times during the year and offer a chance for a volunteer attorney to spend a Saturday morning providing brief advice about legal issues at various locations throughout Duval County. Imagine the impact we could make in our community if every attorney took just one pro bono case or volunteered for one clinic in 2020. You can share your time and expertise to help improve access to justice for all Florida residents. It matters to the child, to the person in need, to the single mother, to the senior citizen, to the veteran, to the disabled adult. Make 2020 your year for pro bono service. Attorneys interested in pro bono opportunities in the 4th Judicial Circuit are encouraged to contact Missy Davenport at missy.davenport@jaxlegalaid.org.

Before you set up cameras to record a loved one in a care facility, know that in Florida it is a crime to intercept or record audio communications unless all parties to the communication consent.
Dix: Crime to record unless all parties consent CONTINUED FROM PAGE 10
For example, in Florida it is a crime to intercept or record audio communications unless all parties to the communication consent. Thus, even if you capture proof of verbal abuse by a health care provider using a hidden camera, the evidence wouldn’t be admissible in a Florida court if it was obtained illegally. In fact, the person that made the recording could face criminal charges or civil damages in Florida if the recording was made without the proper consent. Disclosing the presence of a camera is preferable to a hidden camera in any event, because knowledge of the camera has a deterrent effect. If health care workers know they’re being monitored, they’re more likely to behave appropriately knowing there is recorded proof of their actions. THE HEALTH CARE PROVIDER PERSPECTIVE
Administrators at skilled nursing facilities and other health care facilities may feel
uneasy about the idea of surveillance cameras monitoring their employees and patients. Many administrators choose not to develop policies or even acknowledge the presence of cameras for fear of inviting increased scrutiny or turning clients away if such cameras are restricted. However, the use of cameras is part of a broader trend in health care that can’t be ignored. Telemedicine and other remote care options are being offered to patients, meaning that cameras are being incorporated into patient care. Ignoring the granny cam phenomenon is therefore not a longterm option for most health care providers. One potentially significant benefit of having granny cams in skilled nursing facilities is that they can provide evidence that alleged abuse or other misconduct did not actually occur. Although there’s nothing in HIPAA and HITECH that explicitly prohibits webcams in a health care setting, providers still need to have the appropriate safeguards in place to ensure
compliance with these laws. The HIPAA Security Rule segregates the safeguards into three categories: Administrative, physical and technical. Each of these safeguards must be addressed and documented prior to installation of granny cams to ensure compliance with HIPAA and HITECH. LEGAL ISSUE FACING BOTH PATIENTS AND PROVIDERS
One legal issue that must be addressed by all parties involved is the legality of recording another person. This typically is a matter of state law in the state in which the recording is made, and laws vary significantly. In Florida, it is generally legal to capture video of people as long as you’re not recording audio. The exception to this is the voyeur statute, which prohibits capturing video without consent in places where people would have an expectation of privacy, such as a changing room or bathroom. When it comes to recording audio, Florida is a two-party consent state, meaning recording audio without someone’s
consent in a place where there is a reasonable expectation of privacy is a third degree felony and you also could face civil action. Therefore, the preferred route when it comes to granny cams in a health care setting is to only capture video, and thus avoid the need to obtain consent from all people being recorded. Some states have changed their laws to expressly permit patients to use webcams in their skilled nursing facilities, even without consent of other parties. New Jersey has taken it a step further by offering surveillance equipment that can be used to document abuse. PRACTICAL CONSIDERATIONS FOR PATIENTS AND PROVIDERS
Health care organizations considering this issue should: n Seek input from different stakeholders, including patients, family members and medical staff n Perform a risk analysis (which is required under HIPAA) n Obtain informed consent from anyone whose privacy rights may be affected n Balance the potential risks,
which are numerous and significant, against the potential improvements to patient care n Develop and implement policies and procedures, and then review the policies and procedures at least annually to ensure they are consistent with actual practice. Patients or family members considering this issue should: n Determine whether video surveillance is permitted, prohibited or not addressed in existing agreements with the health care organization. n Implement a solution that does not violate the law (e.g., configure the camera to record video without audio). n Use trained IT professionals to select and install equipment in a safely and securely. n Place cameras and signage in prominent locations as a deterrent to abusive behavior. YOUNG LAWYERS FROM THE PRESIDENT
YLS: The year in review And here’s how we’re planning to make 2020 even better.
HILLARY MUSSELMAN EX OFFICIO YLS BOARD MEMBER With the end of 2019 and the start of 2020, the Jacksonville Bar Association Young Lawyers Section is taking a moment to reflect on the year that was as we look forward to the year ahead. The YLS calendar year starts with Holidays in January at the Jacksonville Zoo and Gardens. This is an opportunity for children who entered the foster system too late to be included in holiday wish lists to participate in the season and receive gifts. Last year more than 20 children came to the zoo to spend an afternoon playing games, meeting Santa and enjoying holiday treats. Each child took home a new scooter and helmet. At the 10th annual YLS Chili Cook-off in February, about 5,000 attendees helped raise more than $18,000 for Best Buddies, an organization that helps people with intellectual disabilities build friendships and life skills. The YLS poker tournament followed soon after and raised more than $5,000 for the Jay Fund, a local organization that helps families of cancer patients meet their everyday needs. In October, the annual golf tournament at the Jacksonville Beach Golf Club raised more than $24,000 for Learn to Read Jacksonville, the nonprofit that each year helps more than 500 adults learn to read or improve their reading skills. In addition to our collective charity work, for the second year in a row one of our members received The Florida Bar Young Lawyers Division’s Pro Bono Award. Plata Schott Attorneys & Counselors at Law co-founder Belkis Plata was honored by the Jacksonville Young Lawyers Section and also by the state organization for the many hours she dedicates to Jacksonville Area Legal Aid, the Northwest Florida Community Develop-

ment Association and Take Stock in Children, among her many other service activities. Beyond serving our community, YLS seeks to serve our members through educational programming aimed at new attorneys. Noon in June introduces summer law clerks and new associates to the Jacksonville legal community, including judges, public defenders and prosecutors as participants tour key government buildings. Afternoon at the Courthouse follows in October. The 2019 program was a shift from previous years and included The Florida Bar Young Lawyers Division’s Technology Roadshow. Fifty attorneys attended the program, which addressed the advantages, pitfalls and obligations that come with technology in practice. YLS also strives to help build professional networks and
relationships. We hosted three judicial breakfasts in 2019 to bring together members of the bench and Bar and sponsored numerous social events, including a post-swearing-in ceremony happy hour, a pet Halloween costume contest at Kanine Social and the Holiday Happy Hour and Gingerbread Extravaganza. With more than $56,000 donated to charity, our educational programming and so many opportunities for gathering with colleagues, 2019 was a year of learning, making connections and giving back for the Young Lawyers Section. We’re planning to make 2020 even better, and we hope you’ll join us along the way. Hillary Musselman is an information security counsel with Fidelity National Financial focusing on risk management services.
