irehouse Subs started with the sale of two hot dogs. It was opening day Oct. 10, 1994, at the Jacksonvillebased sub shop’s San Jose Boulevard slice of strip-mall space in Mandarin. Firehouse Subs was the dream of firefighter brothers Robin and Chris Sorensen.
Chris was 34 and Robin was 26. Sales for that store’s first 12 months totaled $347,000. What a difference 27 years can make. “We will do close to $1.1 billion in revenue this year,” said Robin Sorensen on Nov. 15. That’s with 1,206 restaurants in 46 states, Puerto Rico and Canada. The biggest achievement is expected in a month or two when the Sorensens and their partners close on the sale of Firehouse Subs to publicly traded Restaurant
Brands International Inc., the Canadian owner of Burger King, Popeyes and Tim Hortons. For $1 billion. Cash. The deal with Toronto-based RBI was signed late at night Nov. 14. It was announced to employees, franchisees and the world at 8:30 a.m. Nov. 15. Sorensen said he was anxious that morning to explain the deal SEE FIREHOUSE, PAGE 6

RH Jacksonville to open Nov. 19 BY MONTY ZICKUHR MANAGING EDITOR
If you want to enjoy a glass of wine while you shop for furniture, window treatments or just admire the rooftop view, RH Jacksonville, The Gallery at St. Johns Town Center, is opening Nov. 19. RH, which describes itself as “a curator of design, taste and style in the luxury lifestyle market,” offers home furnishings, design services and a rooftop restaurant and wine bar. It comprises 70,000 square feet of indoor and outdoor space on three levels. The store opens at 11 a.m. Nov. 19 and then daily from 10 a.m. to 9 p.m. The store is at 4831 Village Shops Way east of the Nordstrom alley, Lush and Tory Burch. Customers won’t immediately be taking home their purchases. After choosing them in the gallery, items are ordered for delivery. Prices on the RH.com website are the same at the store. THREE LEVELS
Concepts within the store include the Rooftop Restaurant & Park, Wine Bar, RH Interior Design Firm & Atelier, RH Interi-
ors, RH Modern and RH Outdoor. Spaces inside the store are large, but many of the items come in smaller sizes. The store’s first level comprises RH Interiors. Customers will find an entry room filled with large sectional couches and seating areas. More areas are on each side. To access the upper floors, customers can ascend a double floating staircase spanning nearly 40 feet. The space is lit by a skylight three floors above and handblown Serenella Chandeliers hanging 54 feet overhead. According to the RH website, the regular price of a 29-inch Serenella Chandelier is $7,900 and $5,925 for members. RH offers a membership program that reduces the price of items. The $150 annual membership fee includes 25% off full-price and 20% off sale items. It includes services with RH Interior Design. The store’s second floor includes RH Modern, RH Interior and Design Firm & Atelier. RH Modern features a 9,000-square-foot exhibition space featuring “the largest fully integrated assortment of modern furnishings, lighting, textiles and décor under one brand in the world.” Level two also features the RH Interior Design Firm & Atelier, a 5,000-square-foot studio offering professional design services.

The store’s third level comprises the Rooftop Restaurant & Park, Wine Bar and RH Outdoor. The restaurant and wine bar hours are the same as the store. Reservations will be available on OpenTable.com. Offerings include brunch, lunch and dinner. Breakfast starts at $12 for thick cut pork belly bacon. The RH Scramble with farm eggs, crème fraîche, avocado and chives is $20. Salad prices start at $18 and $19 with the option to add chicken ($9), shrimp ($13), lobster ($24), salmon ($16) or avocado ($4). Entrees range from $20 for the RH Burger to $59 for a 16-ounce charred ribeye steak. Dinner prices are the same as lunch and the menus are similar, with a few items removed. The Wine Bar offers 40 sparkling, rose, white and red wine
by the glass as well as limited production offerings from small vintners in Napa Valley, California. Wine prices start at $14 for a glass of Bisol Prosecco, from Valdobbiadene, Italy, and rise to $20 for an Hourglass Proprietary Blend HGIII from Napa Valley. Wine also is available by the bottle. Beer is available for $8, coffee starts at $4, a chai latte is $7 and a Diet Coke is $5. According to RH, customers can enjoy their beverages “in Rooftop Park or while exploring the rest of the Gallery.” PATH TO OPENING
The Jacksonville RH is the 27th Design Gallery for the Corte Madera, California-based company. It is the 13th to offer a restaurant. The company also has 36 smaller Legacy Galleries.
The store has been in the works for years. Engineering firm England, Thims & Miller Inc. filed civil plans with the city for RH in November 2019. Construction permits issued since December 2019 total about $34.4 million. The contractor is J.E. Dunn Construction Co. of Kansas City, Missouri. It is the second time the company, which changed its name from Restoration Hardware in 2012, has had a store in Jacksonville. In 2016, RH opened an outlet store near The Avenues mall on the Southside. It closed in 2019. EDITOR KAREN BRUNE MATHIS CONTRIBUTED TO THIS REPORT. MZICKUHR@ JAXDAILYRECORD.COM (904) 356-2466

Firehouse CONTINUED FROM PAGE 1
to leadership and his employees. “It was a highlight of my life,” he said. “We want to feel like we’ve done right by everyone and I think we’ve done it. That’s what makes me happy.” Sorensen said Firehouse Subs is his family’s legacy. “It’s everything we have. I was 26 when we opened Firehouse and I’m 53. It’s half my life,” he said. Chris Sorensen is 61. “We felt like it was our job to try to make the right decision and put the business first. That is how we have run the business for 27 years.” Reached at 4 p.m. the day of the announcement, Robin Sorensen was absorbing the events. “I am emotionally and physically wiped out.” HOW IT HAPPENED
Robin Sorensen said that several years ago, he and his brother decided they would entertain an acquisition “under certain circumstances.” “It would be a tall order and I wasn’t too sure that we could pull it off.” He ruled out an initial public offering. “It’s not my personality,” he said, having owned and operated a privately held company for decades. Firehouse Subs, a quick-service restaurant concept selling “hearty, hot specialty subs featuring steamed meats and cheeses on a toasted sub roll,” had been growing, attracting awards, franchisees, customers and media attention. As Firehouse grew, the Sorensens hired veteran restaurant operator Don Fox in 2003, promoting him to COO in 2005 and CEO in 2009. Vincent Burchianti joined in 2001 as chief financial officer. “We have one of the best CEOs in the industry,” Sorensen said. But the company found it was reaching its capacity with resources.
Special to the Daily Record
Firehouse Subs co-founders Robin Sorensen, left, and Chris Sorensen, right, with Jose Cil, CEO of Restaurant Brands International Inc. RBI agreed to buy Firehouse for $1 billion.
“We needed somebody with much larger resources than we have,” he said. That included resources for supply chain efficiencies and digital and social platforms. Sorensen acknowledged the success to date. “Taking it from 1 to 1,200 is an amazing ride,” he said. Not only that, he noted: “Most founders are gone way before 1,200 restaurants.” The Sorensens own the supermajority of the stock. There are a few other investors, including partner Stephen Joost.
Dozens of restaurant groups and investors showed interest in buying Firehouse Subs over the years, so the Sorensens knew there were opportunities. They hired TD Securities of Toronto to identify prospective buyers. Sorensen said Firehouse has banked with TD Bank since the financial organization came to Jacksonville when it bought Mercantile Bank in 2010. Cindy Stover, the company’s banker since the 1990s, was with Mercantile and then TD. Through Stover, now TD Bank North Florida market president, the Sorensens
developed a relationship with TD Securities. The Sorensens went through the list of companies that reached out with interest and narrowed it “to who we thought had the right stuff.” RBI wasn’t on the list. TD Securities suggested it. “We went through a group of companies and went through the process to see who stood out and they stood out from the beginning,” Sorensen said. Sorenson said RBI CEO Jose Cil had submitted a growth plan when he became the company’s leader in 2019. “And we fit right in with that.” “They were well aware of us and had been tracking us and following us,” Sorensen said. TD Securities represented Firehouse and communicated with the brands. It took two to three months, not counting the time leading up to it “and the long time thinking of it.” Then came the time to act. “Chris and I didn’t know this was happening until the past five to six weeks,” Sorensen said. It was then they brought Fox into the decision. “We needed our CEO Don Fox to believe in it and be the biggest cheerleader,” Sorensen said. They all spent time with Cil the past month to six weeks. And the $1 billion? TD Securities priced the transaction at $1 billion, Sorensen said, “a multiple based on many factors.” “We didn’t ask for that number. We talked to a handful of companies. We had them bring forth what they were willing to pay.” Language went back and forth for months. The deal was set to be announced Nov. 15. Sorensen was the last of the shareholders to sign off electronically Nov. 14, a few minutes before midnight. “It doesn’t sound very sexy, but I signed it at my house and the other shareholders had signed it a little bit earlier,” he said.

Assuming the deal closes after conditions and regulatory approvals the next month or two, Fox said he is preparing “to stay on and lead the company through this time of what we anticipate to be great growth.” He leads the headquarters staff of about 180, of which about 150 are in Jacksonville and the rest outside the market. The company owns 35 restaurants in Northeast Florida, where they employ about 700 workers.

Firehouse Subs CEO Don Fox says under the new ownership he is “really looking forward to leading this team to new heights.”
“We have 850-880 that are directly employed by us,” Fox said. There are more than 450 franchises in the system. He cited RBI’s presence worldwide, which “gives us the opportunity to expand faster than we ever would have on our own.” Fox, 63, said he is energized and “really looking forward to leading this team to new heights.” He also will promote Firehouse’s role in Jacksonville. “We are the largest restaurant brand based here. This year we crossed the billion-dollar mark in system sales. I hope the community of Jacksonville can look at that with pride,” he said. “Often, people are not aware of the size of Firehouse,” Fox said. “We are an international brand and we are proud to call Jacksonville home.” Fox said customers will not see any change that detracts from Firehouse Subs’ commitment to quality, service and community. “It will only get stronger because of our commitment to resources,” he said. Fox invites those who question it to visit. “Keep coming and testing us,” he said. “I appreciate the continued investigatory interest.” Sorensen said the only negative of the public announcement of a $1 billion sale was that “everyone got to see the number.” He said the family always has been private, as was the company. “But it just kind of is what it is.” Sorensen said he, his wife and his brother will continue focusing on philanthropy. He said he will take time to find where they can help. “We don’t want to just write a check,” he said. “We want to find where somebody or some group is underserved.” Camp Sorensen is an example. First Baptist Church Jacksonville asked Robin Sorensen and his wife, Tabitha, if they wanted to buy the 130-acre First Baptist Church Jacksonville Hilliard Retreat Center. The couple paid almost $1 million to fund the purchase and gave the property to the Florida Sheriffs Youth Ranches. The couple also is helping to raise money for the capital campaign to renovate and open it for youth camping programs in Northeast Florida. Sorensen said he will continue his investments in other businesses and some restaurants. He and his brother also talk about restaurant concepts, although there is a line. “I don’t want to grow a big chain again.” Then again, he might take another turn. “I may go get a job tending bar somewhere. I like being in the environment and talking to people. Maybe I’ll see who is hiring.” Regardless of what he does, “I’m still Firehouse’s No. 1 fan and always will be.” KMATHIS@JAXDAILYRECORD.COM @MATHISKB (904) 356-2466

Fox, Robin Sorensen and Cil led the morning announcement Nov. 15 at the Firehouse Subs headquarters in Flagler Center in South Jacksonville. Chris Sorensen attended as well. Fox said he was asleep when he learned by email about midnight that the deal was done. He was able to sleep a little, but his mind was on the 8:30 a.m. staff meeting. “There was a lot to do to make our announcements this morning,” Fox said about 3:30 p.m. Nov. 15. He said staff came to headquarters. “We had an excellent two hours with them,” he said. “We were prepped and ready, but we also were prepared to pull it back if it didn’t happen on schedule, but thankfully it all did.” Fox and Robin Sorensen said about 150 staff attended in person and 30-50 more logged in through Zoom. The RBI news release was sent out simultaneously, as were notices to affiliates, like vendors. “We have some close relationships with so many staff members,” Sorensen said. “We had a lot of tears today, but as we went through the morning, we really feel like we made the right decision.” Sorensen said he introduced Cil to the staff. “He was there for us to go through why they made the decision, why they were investing in Firehouse and the resources they can bring,” he said. Cil took questions and the staff broke into a smaller leadership group. That was followed by media interviews and tours. “It was a busy morning,” Sorensen said.

A GREAT TIME TO SELL
THE REQUIREMENTS
The Sorensens had their terms in pursuing and accepting a deal. “If it didn’t work along the way, Chris and I weren’t going to do it,” Robin Sorensen said. First, the founders wanted to leave the brand in a strong financial and operational shape. “If we are doing the best we’ve ever done, that would be a good time,” he said. “It’s important to us that the brand is healthy.” Second, the deal would not be dollardriven. Rather, it would depend on meeting the requirements. Those included keeping the local employees, retaining the Jacksonville headquarters and carrying on the mission of the nonprofit Firehouse Subs Public Safety Foundation to support public safety organizations. Third, the buyer needed to have the resources to grow Firehouse. “We met with a lot of good companies, but not everyone was necessarily aligned,” Sorensen said. RBI was. It has 28,000 restaurants in 100 countries. “All they see is growth opportunity,” Sorensen said. “They see the white space they can fill.” That includes international growth for Firehouse Subs. Fox remains CEO and Burchianti stays as CFO. Robin Sorensen will chair the foundation, which has granted $62.5 million in support, and Chris Sorensen will serve on its board. In addition to TD Securities, Firehouse was advised by the Latham & Watkins law firm, said the news release about the sale. For RBI, BofA Securities Inc. and J.P. Morgan Securities LLC were financial advisers and Paul, Weiss, Rifkind, Wharton & Garrison were legal advisers.

Cadre Holdings IPO starts strong

Quarterly earnings and projections are below the forecast. Dream Finders Homes Inc. started the year as a red-hot stock, with the price more than doubling after its January initial public offering. However, the stock has cooled off in recent weeks amid supply chain concerns for homebuilders, and Dream Finders’ third-quarter earnings report didn’t help. The Jacksonville-based company reported earnings Nov. 10 of 20 cents a share, well below the consensus forecast of 48 cents by analysts surveyed by Zacks Equity Research. Revenue rose 27.7% to $362.9 million and home closings rose 17% to 316. But Dream Finders reduced its forecast for home closings for the full year. After acquiring Texas home building company McGuyer Homebuilders Inc. on Oct. 1, Dream Finders was projecting to close on the sale of 5,000 to 6,000 homes this year. It now is projecting 4,900 to 5,300. “We have successfully delivered our third sequential quarter of year-over-year revenue, gross margin and pretax income growth, despite supply chain constraints,” CEO Patrick Zalupski said in a news release. “We’ve continued to see elevated consumer housing demand and price appreciation; however, industry-wide labor, material and supply chain challenges have impacted sequential gross margins and temporarily drawn out cycle times by a month longer than our historical averages,” he said. Dream Finders has not been holding quarterly conference calls with analysts to discuss earnings as other public companies typically do. Dream Finders’ stock jumped

from its IPO price of $13 to as high as $36.60 in June, but it fell to a low of $15.25 on Nov. 2 and has continued to trade in the teens. Wedbush analyst Jay McCanless lowered his price target on the stock from $19 to $16 after the earnings report and maintained his “neutral” rating. “DFH’s legacy business had a much weaker quarter than we expected due to the supply chain issues affecting the entire industry and due to management’s intentional limits on orders,” McCanless said in a research note. “DFH indicated in the release that it was limiting orders to manage the construction process but did not detail the extent of those caps across the footprint,” he said. McCanless said the addition of McGuyer will help the company’s long-term prospects. “We anticipate the MHI deal should be a growth catalyst in 2022 as MHI brings DFH a large and established presence in the major Texas markets,” he said.
Redwire postpones earnings report Redwire Corp.’s life as a public company got off to a rocky start as the Jacksonville-based space technology venture postponed its scheduled Nov. 10 earnings report. Redwire announced the postponement, with no explanation, late Nov. 9 and
followed with a Nov. 10 news release saying it was due to an accounting issue. The company said it had been notified Nov. 5 of “potential accounting issues with a business subunit.” It said because of the timing, it was unable to complete its financial report. “Redwire remains confident in its business prospects,” it said. The company did not say which business unit has the accounting issue in question. Redwire was formed last year with acquisitions of seven space technology companies and became publicly traded in September by merging with a special purpose acquisition company. It added an eighth merger Nov. 2 by acquiring Techshot Inc., which it described as “a leader in biotechnology in microgravity, bioprinting, and on-orbit manufacturing needed for commercial space-based research and development.” “The deal strengthens Redwire’s diverse offering and ability to capture emerging space themes, including the rise in small sats, on-orbit manufacturing, and the broader commercialization of space,” Jefferies analyst Greg Konrad said in a Nov. 2 research note. Konrad, the only Wall Street analyst covering Redwire, maintained a “buy” rating and a $15 price target on the stock before the company’s scheduled earnings report. Redwire’s stock dropped

The latest Jacksonville-based company to go public, Cadre Holdings Inc., is off to a strong start after its Nov. 4 IPO. After selling 6.9 million shares at $13 each, Cadre’s stock rose $2.29 to $15.29 on its first day of trading and reached a high of $22 on Nov. 16. Cadre also declared its first quarterly dividend of 8 cents a share. The company said in its IPO registration statements that it intended to pay the dividend. Cadre, which does business mainly under the name Safariland, makes safety and survivability products for the law enforcement, first responder and military markets. Cadre Chief Executive Warren Kanders still owns 76.6% of the stock after the IPO, according to Cadre’s latest Securities and Exchange Commission filing. Kanders was CEO of Jacksonville-based Armor Holdings Inc., which was sold to BAE Systems Inc. for $4.5 billion in 2007. Five years after the sale, Kanders led an investor group that bought the law enforcement products business back from BAE for $124 million. The $13 IPO price valued the company at more than $430 million.
Coach brand helps Tapestry earnings Increasing sales of Coach brand handbags and other accessories propelled a strong quarter for Tapestry Inc. Tapestry, which also sells products under the Kate Spade and Stuart Weitzman brands, said sales of $1.48 billion in the first quarter ended Oct. 2 were 9% higher than pre-pandemic levels two years ago, and Coach sales were 15% higher. New York-based Tapestry handles all of its North American distribution for Coach products from a facility in Jacksonville International Tradeport near Jacksonville International Airport. Coach’s North American business is the biggest revenue driver of the company, with $682 million in first-quarter sales.
“While supply chain challenges persist due to the global pandemic, we’re remaining agile and taking deliberate actions to meet growing consumer demand,” CEO Joanne Crevoiserat said in a news release. Adjusted earnings of 82 cents a share were 13 cents higher than the consensus analysts’ forecast, according to Zacks. Tapestry also increased its revenue forecast for the full fiscal year from $6.4 billion to $6.6 billion and said it now expects earnings of $3.45 to $3.50 a share, up from its previous forecast of $3.30 to $3.35. Tapestry’s stock rose $3.57 to $46.18 on Nov. 11 after the earnings report, an 8.4% gain that the Wall Street Journal said was its largest daily increase in more than a year.
American Eagle Outfitters buying Quiet Logistics
American Eagle Outfitters Inc. said Nov. 2 it is buying Quiet Logistics Inc. for $350 million in cash. Quiet Logistics, which operates distribution centers under the name Quiet 3PF, opened a fulfillment center in Jacksonville in September 2020 and has other centers in Boston, Chicago, Los Angeles, Dallas and St. Louis. The company said in February its facility in Park 295 in Northwest Jacksonville employs 200 people yearround and increases that to 375 to 400 during peak season. American Eagle said Quiet Logistics will run the business independently as a wholly owned subsidiary of the specialty retailer.
Hazlnut receives $3 million in funding Jacksonville-based Hazlnut, which provides an online ordering platforms for restaurants, said Nov. 3 it received $3 million in new funding. The funding round was led by investment firm Atlanta Ventures, along with Jacksonville-based PS27 Ventures’ Rhea Fund. Hazlnut said it previously received less than $200,000 in seed funding from PS27 in 2018. MBASCH@ JAXDAILYRECORD.COM

The final leg of the marathon series benefiting Jacksonville Area Legal Aid ends at the Duval County Courthouse. Attorney Mike Freed’s fifth annual Freed to Run will cross the finish line at about 4 p.m. Nov. 20 on the lawn in front of the Duval County Courthouse. Freed to Run is six marathons in six days from the state Supreme Court in Tallahassee to Jacksonville. Each day’s stop, about 26 miles apart, is a county courthouse along the way with relay teams accompanying Freed on the run: Day one, Florida Supreme Court, Tallahassee Day two, Jefferson County Courthouse in Monticello Day three, Madison County Courthouse in Madison Day four, Suwanee County Courthouse in Live Oak Day five, Columbia County Courthouse in Lake City Day six, Baker County
Courthouse in Macclenny to the finish line Freed was joined on the first leg of the series by The Florida Bar President Mike Tanner and a relay team from VyStar Credit Union, which committed to fielding relay runners on every leg of the series. The other relay teams, each of which has an individual fundraising goal, include Carithers Freed Pediatric Group; Harrell & Harrell; Jacksonville Women Lawyers Association; The Florida Bar; Driver, McAfee, Hawthorne & Diebenow; the Solo and Small Firms Committee of the Jacksonville Bar Association; the Pro Bono Service Initiative of the University of Florida Levin College of Law; and two JALA teams, one from its board of directors and the other from its staff. The race ends with a finale 5K from the Jacksonville Farmers Market to the Duval County Courthouse. The marathon series raises money and awareness to support pediatric patients and their families facing legal obstacles that often impede their health outcomes. In the past four years, Freed and his fellow runners helped JALA raise more than $1.5 million, with more than $400,000 raised in 2020 alone. Donations increase the JALA Endowment for the Northeast
Florida Medical Legal Partnership. The Baptist Health Foundation matches donations by 125%. Visit freedtorun.com to make a contribution to the endowment.
Poitier recognized by Catholic Lawyers Guild
The Catholic Lawyers Guild of the Diocese of St. Augustine gave Joni Poitier, a partner at Moseley Prichard Parrish Knight & Jones, the 2021 Law & Spirituality Award. The guild presented the honor Nov. 4 during the 31st annual Red Mass at the Basilica of the Immaculate Conception Catholic Church in Downtown Jacksonville. “Joni is very involved in the community, including her parish at St. Pius V. She represents the essence of the Spirituality Award,” said Rachel Rall, president of the Catholic Lawyers Guild. In 1997, the guild’s executive board established the award to be presented each year at the Red Mass to an individual who has exemplified his or her work in the law arena and at the same time made spirituality a part of his or her work as well as his or her life.
